CONTRACT 5544A AmendmentAgreement No. 5544A FIRST AMENDMENT TO AGREEMENT NUMBER C-131917 OF CITY OF LOS ANGELES CONTRACT BETWEEN THE CITY OF LOS ANGELES AND THE CITY OF EL SEGUNDO THIS FIRST AMENDMENT to Agreement Number C-131917 ("First Amendment") is made and entered into by and between the City of Los Angeles, a municipal corporation (the "City") and the City of EI Segundo, a municipal corporation ("Subrecipient"). WITNESSETH WHEREAS, the City and Contractor entered into that certain City of Los Angeles Contract Number C-131917 (the "Agreement"), related to the Fiscal Year 2016 Urban Areas Security Initiative Grant ("UASI 16" or the "Grant"), whereby the City agreed to disburse UASI 16 grant funds to Subrecipient in accordance with the UASI 16 approved budget and Subrecipient agreed to use the grant funds to support the development and sustainment of core capabilities as outlined in the National Preparedness Goal by addressing the unique equipment, training, planning, organization, and exercise needs of the Los Angeles/Long Beach Urban Area ("LA/LBUA"), and assisting it in building an enhanced and sustainable capacity to prevent, protect against, mitigate, respond to, and recover from acts of terrorism; such Agreement having a term of September 1, 2016 to May 31, 2019, with an original allocation of UASI 16 grant funds to Subrecipient in the amount of One Hundred Thirty -Nine Thousand One Hundred Twenty -Five Dollars ($139,125.00), and the execution of said Agreement having been authorized by the Los Angeles City Council (C.F. #16-0777, 3/22/2017); and WHEREAS, the City and the Subrecipient desire to increase Subrecipient's UASI 16 grant fund allocation amount by Fifty -Nine Thousand Five Hundred Fifteen Dollars ($59,515.00) for its Regional Training Group (RTG) Staffing Intelligence, resulting in a total allocation of One Hundred Ninety -Eight Thousand Six Hundred Forty Dollars ($196,640.00); su h increase having been authorized by the Los Angeles City Council (C. F. #16-077, !' P19); and WHEREAS, Section 3.12 of the Agreement provides for amendments to the Agreement; WHEREAS, the City, through its Mayor's Office of Public Safety ("Mayor's Office"), which has been designated by the City to administer the Agreement and the project contemplated therein, and Subrecipient desire to enter into this First Amendment to the Agreement to: (a) increase Subrecipient's allocation by Fifty -Nine Thousand Five First Amendment, UASI 16 Subaward, C-131917 City of Los Angeles and the City of EI Segundo Hundred Fifteen Dollars ($59,515.00); and (b) to required in connection with the foregoing, all as Amendment and as authorized by Section 14.8; and Agreement No. 5544A make such other changes as are detailed elsewhere in this First WHEREAS, this First Amendment is necessary and proper to continue and/or complete certain activities authorized under the Agreement. NOW, THEREFORE, the City and Contractor hereby covenant and agree that the Agreement be amended, effective September 1, 2016, as follows: Section 1.2 of this Agreement entitled "Subaward Information and Period of Performance" is hereby amended in its entirety to read as stated within the quotation marks in the following paragraph: "Subrecipient hereby accepts the following subaward ("Subaward") of the Federal award upon the terms and conditions set forth in this Agreement: Subaward amount: $198,640.00 Subaward Period of Performance ("Term"): September 1, 2016 to May 31, 2019 Match Requirement: None The term of this Agreement shall be the "Term" as set forth in this Section 1.2." Such amendment increases Subrecipient's UASI 16 grant funds allocation set forth in the Agreement to reflect the Reallocation Modification. The Workbook (as such term is defined in the Agreement) shall be amended accordingly to reflect such modification and Subrecipient's use of grant funds in connection thereto. 2. Except as herein amended or modified, all terms and conditions of the Agreement shall remain unchanged and in full force and effect by way of this First Amendment. 3. This First Amendment may be executed in one or more counterparts, each of which will be deemed an original, but all of which together will constitute one and the same instrument.
