As a condition of acceptance of this agreement, exhibitors and/or sponsors agree to abide by these Rules and Regulations, as set forth herein. Furthermore, exhibitors and/or sponsors agree to abide by CORENET's Standards, as may be amended by CORENET from time to time. Upon written acceptance, this document represents a commitment to exhibit and/or sponsor a CORENET event, and shall serve as a binding agreement between the parties, constituting their entire agreement regardless of prior negotiations and understandings regardless of any -written or verbal presentations of any agent, manager, board member, officer, or other employee of CORENET to the contrary. This shall constitute the entire agreement between the parties and this agreement will not include any oral or unwritten terms for goods or services that are not specifically set out in this agreement or CORENET's Standards, or otherwise agreed to in writing by a CORENET officer or employee. None of the clauses or terms of this Agreement may be revised or otherwise amended without the prior written consent of a CORENET officer or employee. Any revisions to this agreement proposed by Access Marketing & Events, LLC or any other agent or third party, must be pre - approved in writing by CORENET. The participation, goods and services to be provided under this Agreement must receive the prior written approval of an Officer ofCORENET. 2. CORE, NET: The phrase "CORE -NET" as used herein shall mean CoreNct Global or its officers, CORENET approved agents, of employees acting for it, in the management of the Exhibition, provided however that Access Marketing & Events, LLC, agents, and third parties shall not have the authority to offer participation, goods, or services or proposed amendments to this Agreement without the prior written consent of a CORENET officer or employee. The phrase CORENET shall not include any third party agent, including Access Marketing & Events, LLC. Use of CORENET's or the Convention Center's logo, design, trademark, trade name, patent, copyrighted work or symbol must be approved in writing by the party prior to any use by exhibitor. 3, EXHIBIT SPACE RENTAL FEE: The rental fee for exhibit space includes an 8' high back wall drape if needed and 3' high side rails, a booth identification sign (if requested), Exhibitor Mt and a listing in the Show Program — providing materials are submitted one hundred twenty (120) days before the first day of the Event. The quantity of Full conference registrations for agents, representatives or employees is reflected above per your participation, 4. PAYMENT TERMS: Fifty percent (501/6) of the total exhibit space rental fee and/or Participation program fee must accompany this application. The balance of the exhibit space rental fee and Participation program fee will be due on one hundred twenty (120) days before the first day of the Event. Applications received after one hundred twenty (120) days before the first day of the Event must be accompanied by 100% of the fees, with such fees to be paid by cashier's check money order or credit card Checks should be made payable to CofeNet Global and sent to CoreNet Global, 133 Peachtree St. NE, Ste. 3000, Atlanta, GA, 30303. CORENET may elect not hold any exhibit space for applications that are not accompanied by the required payment. If full payment is not received 30 days before the Event, the exhibitor and/or sponsor shall forfeit any exhibit space reserved, shall be subject to the cancellation policy below, and CORENET may reassign the exhibit space, as determined in CORENET's sole discretion a) CANCELLATION POLICY: Cancellations must be made in writing and are subject to the following provisions: Cancellations received more than 90 days before the Event are subject to a 15'5'6 penalty on the price of the booth and/or Participation. Cancellations received less than 90 days, but more than 60 days before the Event, are subject to a 509 o penalty on the price of the booth and/or Participation. No refunds will be issued if CORENET is not notified of the cancellation at least 60 days before the Event and the Exhibitor/Sponsor will be liable for any unpaid balance if cancellation is received after that date. b) DEFAULT IN PAYMENT: Failure to make timely payment of any invoice gives CORENET the to exercise any one or more of the following remedies: (i)Past due invoices will be subject to interest charges at the rate of 1.5° o per month (annual percentage rate of 18%.) on the unpaid balance. Collection charges and/or legal fees necessary to enforce payment will be added to the balance due; (ii) any early payment or promotional discounts can be revoked with Exhibitors /Sponsors liable for the full Est price of the corresponding exhibit or sponsorship; and (iii) CORENET may relocate exhibitors in booth spaces other than those specified in the executed exhibitor agreement even if the space is not comparable. 5. LIMITATION OF LIABILITY: The exhibitor and/or sponsor assumes entire responsibility for and hereby agrees to protect, indemnify, defend and hold harmless, CORENET and its agents and/or employees, the Convention Center and or Hotel, and its employees and agents, -against all claims, losses and damages to persons or property, governmental charges or fines, and attorney's fees arising out of or caused by exhibitor installation, removal, maintenance, occupancy or use of exhibit premises or a part thereof. CORENET will be held harmless for any trademark, trade name, copyright or patent infringement on any printed materials belonging to or distributed by any exhibitor. Notwithstanding the foregoing or anything to the contrary contained herein, (1) Exhibitor's/Sponsor's aggregate liability under or in connection with this Agreement will not exceed the total fees paid by Exhibitor/Sponsor to CORENET hereunder, and (2) EXHIBITOR/SPONSOR WILL NOT BE RESPONSIBLE FOR SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS) THAT CORENET, MAY INCUR OR EXPERIENCE IN CONNECTION WITH THIS AGREEMENT, provided, however, that clause (1) above will not apply to the extent such claim was caused by the intentional or willful misconduct, or grossly negligent acts, of Exhibitor/Sponsor or its employees, agents or contractors. 6. INSURANCE: Lability insurance, property insurance and worker's compensation, with a minimum limit of $1 million, must be taken out by each Exhibitor at his awn expense. Exhibitor shall provide CORENET with proof of insurance upon request by CORENET Exhibitor will immediately notify CORENET in the event of any changes to insurance coverage required under this Agreement 7. DEFACING OF BUILDING: Exhibitors/Sponsors may not fasten any displays or fixtures to the building floors, walls or standard booth equipment without the prior written approval of CORENET. Exhibitors/Sponsors are liable for damage caused by fastening displays or fixtures to the building floors, walls or to the standard booth equipment, or for damage caused in any other manner. Exhibitors/Sponsors may not apply paint, lacquer, adhesive or any other coating to building walls and floors or to standard booth equipment, 8. DISPLAY DIMENSIONS: With the exception of island booths, maximum exhibit height is 8 feet. Exhibitors in island spaces wishing to go beyond 16 feet must submit a display sketch for prior written approval from CORENET and building management. Where an unfinished portion of an exhibit is exposed, the offending surface must be made presentable, as determined in CORENET's sole discretion, at the expense of the Exhibitor Each Exhibitor is entitled to a reasonable sightline from the aisle regardless of the size of the exhibit. Therefore, a display may not extend above the side rail more than 4 feet from the back wall. 9. SOUND DEVICES: The use of devices for mechanical reproduction of sound or music is permitted, but must be controlled. Sound of any kind must not be projected outside the confines of the exhibit booth. 10. REJECTED DISPLAYS: The Exhibitor agrees that his exhibit shall be admitted and shall remain from day to day solely on strict compliance with these Rules and Regulations. CORENET reserves the right to reject, eject or prohibit any exhibit in whole or in part, or any Exhibitor or its representatives, with or without giving cause. If cause is not given, CORENET's liability shall not exceed the return to the Exhibitor in the amount of rental unearned at the time of ejection. If an exhibit or Exhibitor is ejected for violation of these rules including, but not limited to the Summit standards, or for any other reason stated, no return of rental fee shall be made and Exhibitor shall be solely responsible for any expenses incurred in the removal of such exhibit. 11, EXHIBITOR REPRESENTATIVES RESPONSIBILITY: Each Exhibitor must name at least one person to be his representative in connection with installation, operation and removal of exhibit Such representative shall be authorized to enter into such service contracts as may be necessary, and for which the Exhibitor shall be responsible. CORENET reserves the right to have the exhibit installed at the expense of the Exhibitor if work has not commenced on installation by the designated time in the Exhibitor Service Kit, CORENET shall not be liable for any damages to the exhibit caused during such installation. 12. EXHIBITOR'S PERSONNEL AND OTHER CONSIDERATIONS: Distribution of advertising matter and souvenirs must be confined to exhibitor's spaces. Undignified methods of attracting attention will not be permitted, as determined in CORENET's sole discretion. CORENET reserves the right to prohibit an Agreement No. 5772 exhibit or part of an exhibit that, in its sole judgment, may detract from the character of or may be considered objectionable to the Exhibition as a whole. The use of costumes is limited to theater presentations only. The use of games or contests in your booth must receive prior written approval from CORENET. Balloons are prohibited. Canvassing in exhibit halls or distribution of advertising matter or souvenirs by representatives of exhibiting or non -exhibiting firms is strictly forbidden. Only those in exhibits may distribute any materials. All others distributing materials not approved by CORENET may be removed in CORENET's sole discretion. Exhibitors, sponsors and advertisers acknowledge their participation at a Summit is at the sole business discretion of CORENET. Further, exhibitors, sponsors and advertisers recognize that they may provide products or services that are competitive with CORENET and that CORENET's decision to allow them to participate is to further the goals of the corporate real estate industry and to allow for intellectual exchange. By virtue of exhibitors, sponsors and advertisers decision to participate in the CORENET Summit, exhibitors, sponsors and/or advertisers agree they will not directly or indirectly, expressly or implicitly solicit, recruit or otherwise promote to CORENET participants any product, service or organization that is in any way competitive with CORENET without the advanced, expressed written permission of CORENET. 13. OFFICIAL CONTRACTORS: The official contractor has been designated to perform services for exhibitors, such as the rental of furniture, erection of exhibits, electrical work, plumbing, labor, cleaning and other service. No exhibitor or representative shall contract for such services with other than the said official contractor without the express written consent of CORENET, which, for reasons of security, in its sole discretion can deny such permission. 14. UNION LABOR: Exhibitor/Sponsor must comply with all union regulations applicable to installing, dismantling and display of the exhibits. CORENET has no control over such union regulations or regulations provided by the facility. 15. INSTALLATION AND DISMANTLING OF EXHIBITS: Information for installation and dismantling of exhibits will be sent to you, along with other service forms and information, in ample time to prepare For these activities. Exhibits must remain in place until show closes. If Exhibitor has not set up their booth the designated time in the Exhibitor Service Kit and has not contacted their sales representative within CORENET, CORENET reserves the right to reassign the exhibitor's booth(s). 16. ATTENDANCE: CORENET shall have sole control over attendance policies at all times. Space not occupied by the time designated in this Agreement will be forfeited by exhibitors and their space may be resold, reassigned or used by CORENET without refund. 17. SUBLEASING OF SPACE: Exhibitors may not sub -let their space, nor any part thereof. 18. SECURITY: CORENET will employ guards during the course of the Exhibition. The duty of the guards will be to protect the general Exhibition against fire or other catastrophes. Neither CORENET, show management, nor the owners or lessors of the premises will assume any responsibility for an Exhibitor's personal property. Each exhibitor must make provisions for the safeguarding of his or her goods, materials, equipment and display at all times. It is suggested that the Exhibitor insure his property against loss and theft. 19. FIRE, SAFETY AND HEALTH: The exhibitor/ sponsor assumes all responsibility for compliance with local, city, state and federal ordinances, facility regulations covering fire, safety and health. All exhibit equipment and materials will be reasonably located within the booth Only fireproof materials should be used in displays and the necessary fire precautions will be taken by the exhibitor. Wiring must comply with fire department and underwriters rules. Smoking in the Convention Center is forbidden. Crowding will be restricted. Aisles and fire exits cannot be blocked by exhibits. Exhibitor shall not provide any display or entertainment that causes aisles and Fire exits to be blocked. No combustible, hazardous, or other dangerous material will be used or stored in or around exhibit booths. See additional Fire regulations included in the exhibitor kit. 20. BOOTH LOCATION AND RELOCATION: CORENET shall have sole discretion as to the placement of all booths and exhibits. CORENET reserves the right to relocate exhibitors in comparable spaces other than those specified in the executed exhibitor agreement if it is deemed advisable and necessary and in the best interest of the exhibition. In the event of relocation, exhibitors will be advised in writing and given the option of selecting another location if available, or to cancel and receive a full refund of all payments, In addition, CORENET reserves the right to modify the configuration of the exhibit floor at anytime for any reason in CORENET's sole discretion. CORENET will take reasonable measures to keep the placement of exhibitor in a similar order as they were prior to reconfiguration. Such reconfiguration shall not give exhibitor the right to cancel. 21. SCHEDULE: CORENET shall have the sole right and option to change, modify, delete or add speakers, educational sessions, networking events and otherwise modify the schedule of events. When possible, CORENET will provide notice of such change in schedule. 22. ACTS OF GOD, FIRES, STRIKES, ETC: In the event that any outside cause, such as an Act of God, war, government regulations, disaster, acts of terrorism, strikes or threat of strikes, civil disorder, health crisis, curtailment or delay in transportation facilities making it illegal, impossible or impractical for at least 40% of the contracted participants from attending, or any other emergency beyond the control of either party making it illegal, impracticable, or impossible to provide the facilities or prevents the Event from being held, CORENET may retain such part of the Exhibitors rental as shall be required to recompense management for expenses incurred up to the time such contingency shall have occurred. In no event will CORENET provide any refunds of airline tickets, hotel charges, or other charges incurred in connection with exhibitor's attendance of the Event. In no event will CORENET be liable for more than the amount paid by Exhibitor/Sponsor under this Agreement. 23. CORENET GLOBAL CORE PURPOSE, VALUES, PRINCIPLES AND POLICIES: Exhibitor/Sponsors shall adhere to the CoreNet Global Core Purpose, Values, Principles and Policies (' Principles' , in existence at the time of the execution of the Agreement as described on the CoreNet Global website and any Principles subsequently revised, amended, or provided by CoreNet. Any breach of said Principles by Exhibitor/Sponsors, its agents, employees, licensees or invitees shall be a breach of this Agreement and may result in additional actions by CoreNet, including but not limited to termination of this Agreement, removal from the Event, exclusion from future CoreNet events and other remedies as may be allowed by law. Exhibitor/Sponsors hereby acknowledges that Exhibitor/Sponsors has reviewed all the CoreNet Global Core Purpose, Values, Principles and Policies and by signing this Agreement, agrees to abide by said CoreNet Global Core Purpose, Values, Principles and Policies. 24. AMENDMENTS TO RULES. a.) Any and all matters or questions not specifically covered by the preceding rules and regulations may be amended at any time by a CORENET officer or employee and all amendments made shall be binding on Exhibitors/Sponsors equally with the foregoing rules and regulations. b.) Should there be any dispute of any type between the parties to this agreement; said dispute will be submitted tta raandatogr binding arbitration, using an arbiter from the Judicial Arbiter Group. Arbitration will be governed by the rules used regularly by the arbiter or, if Tv rlivru by the rules of the American Arbitration Association Commercial Arbitration Rules.
