Seventh Amendment to
Agreement No. 3990 Between
The City of EI Segundo and Everbridge, Inc.
This Amendment("Amendment")to the Agreement No. 3990, as previously amendment, by and between Everbridge, Inc., a
Delaware corporation ("Contractor"), and the City of EI Segundo ("City") is effective as of the date of the City's signature below. All
capitalized terms used herein without definition shall have their respective meanings set forth in the Agreement(as defined below).
WHEREAS,the City is now migrating to the Area G which necessitates changing the contract term start and end dates in order
to align with the Area G Project.
WHEREAS,the Parties desire to amend the Agreement on and subject to the terms of this Amendment;
NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, and other good and valuable
consideration,the Parties agree to amend the Agreement as follows:
1. Term: The Term provision of the Agreement shall be updated to state the revised start and end dates of the contract term as
follows:
As a participating Area G entity,the annual Term of the Agreement shall commence on March 1 sc and continue for 36 months,as
stated in the Quotation attached to this Amendment and incorporated by this reference.
2. Remaining Terms.All other terms and conditions of the Agreement remain in full force and effect as amended by this
Amendment.
IN WITNESS WHEREOF,the Parties have caused this Amendment to be executed by their duly authorized representatives.

1. Additional rates apply for all international calls.
2. Quote subject to the terms and conditions of the service agreement, including any amendments,executed between
Everbridge, Inc.and the customer listed above.
3. Subject to sales taxes where applicable.
4. Except for currency designation,the supplemental notes below, if any,supplied in this Quote are for informational
purposes and not intended to be legally binding or override negotiated language of the Everbridge Inc. Service
Agreement.
5. 5. Pricing is based upon full Area G participation. Should the Area G entities not agree to the terms of the
agreement and pricing by March 1,2019, Everbridge has the right to adjust total program pricing from$8,175 in
year 1 up to$13,618 in year 1,excluding any credits for existing service.
