CONTRACT 4647C Amendment CLOSED Agreement No. 4647C THIRD AMENDMENT TO AGREEMENT NO. 4647 BETWEEN THE CITY OF EL SEGUNDO AND ENVIRONMENTAL SCIENCE ASSOCIATES INC. (FORMERLY PCR SERVICES CORPORATION) THIS THIRD AMENDMENT ("Amendment") is made and entered into this 17th day of September, 2018, by and between CITY OF EL SEGUNDO, a California general law city and municipal corporation ("CITY") and ENVIRONMENTAL SCIENCE ASSOCIATES INC., a California corporation("CONSULTANT"). 1. Pursuant to Section 35 of Agreement No. 4647 ("Agreement"), Section 7 is amended to read as follows: "7. TERM. The term of this Agreement is from January 1,2018 to September 30, 2019. Unless otherwise determined by written amendment between the parties,this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit "A" (dated August 31, 2018), attached to this Third Amendment; B. Termination as stated in Section 15." 2. Pursuant to Section 35 of Agreement No. 4647 ("Agreement"), CITY agrees to pay CONSULTANT an additional amount of$45,890.00, resulting in a maximum not-to- exceed grand total of $505,075.00 for the preparation of the Environmental Impact Report(EIR) for the Continental Grand Campus Specific Plan. The additional amount of$45,890.00 includes additional out-of-scope work necessary to complete the EIR. As consideration, CONSULTANT agrees to perform the additional services listed in the attached Exhibit"A". 3. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 4. Except as modified by this Amendment, all other terms and conditions of the Agreement remain the same. The Agreement was signed in November 2015 and includes a scope of work dated November 2014, as modified through three subsequent amendments executed for the company name change and out of scope work associated with publication of the Draft EIR. Since authorization of the contract amendment for out of scope work on the Draft EIR and preparation of the Final EIR, a decision has been made to prepare a Partial Recirculated Draft EIR in response to comments received on the Draft EIR. The scope work and costs are outlined below. Scope of Work Preparation of Partial Recirculated Draft EIR:Additional screening efforts related to the traffic analysis were undertaken as a result of comments received on the Draft EIR. Based on the preliminary analysis and research, the City has determined that a partial Recirculated Draft EIR(RDEIR)should be prepared. ESA will prepare the RDEIR, which will include an Introduction that explains the process and provides the rationale for recirculation.The document will also summarize CEQA Guidelines Section 15088.5 that addresses recirculation of documents prior to certification. The RDEIR will include those sections of the EIR that contain revised or new information, which will include the Traffic Section with additional intersection modeling results, and the Air Quality Section with addition information related to toxic air contaminants(TACs). Kimley-Horn will prepare a revised Traffic Study to address comments received on the Draft EIR as further described below.ESA will coordinate with Kimley-Horn regarding the analysis and will summarize the revised Traffic Study in the EIR section. In addition, it has been determined that ESA will prepare a refined-level quantitative health risk assessment(HRA)to address comments received on the Draft EIR,which will be included in the RDEIR to enable the public the opportunity to review the information. The technical effort to prepare a response to comment was previously authorized as part of Amendment No.3. A small additional amount is included to prepare the EIR section for distribution. ESA will prepare a Screencheck RDEIR for City review. This scope of work assumes two(2)round(s)of City comments will need to be incorporated before the Public Review RDEIR copy is finalized. As the precise Agreement No. 4647C Mr. Eduardo Schornborn August 31, 2018 Page 2 amount of time and associated fees required for review and incorporation of City comments cannot be specifically predicted since such staff time and fees will be dependent upon the extent of comments, ESA has proposed an"allowance"for completion of these tasks. Thus, if the fee is less than the fee cited in the fee table below,the balance will not be billed. In addition, if fees are more than required, ESA will seek written authorization prior to proceeding. ESA will prepare a Notice of Completion and a Notice of Availability for the RDEIR. ESA will assist in the distribution of the document using the list from the distribution of the Draft EIR. Commenters on the Draft EIR will be added to the list,which will also include State Clearinghouse,the County Clerk, Responsible Agencies, local libraries, agencies, organizations, and individuals who commented on the Draft EIR, and other interested parties identified in coordination with the City. ESA will also prepare files for posting the document on the City's website and produce CDs for City distribution. In addition, in light of the recirculation, additional budget is requested for other direct costs,such as printing, mileage, and postage. Products • 1st Screencheck RDEIR City Review(1 electronic copy) ■ 2nd Screencheck RDEIR(Proof-Check)for City Review(2 hard copies, 1 electronic copy) ■ Public Review RDEIR (25 hard copies with appendices on CD, 35 CDs (15 for State Clearinghouse), and 1 electronic copy) Notice of Completion and Availability Cost: $17,560(Labor)+ODCs$1,100 Preparation of Final EIR It is anticipated that a second set of public comments will be received on the RDEIR.ESA will prepare the Final EIR, which will include responses to the comments on the Draft EIR as well as responses to comments on the RDEIR. In light of the limited nature of the recirculation,a low volume of comments is anticipated although it is likely that LA CREED will submit a comment letter that could be technical in nature. Thus,the complexity of the comments is unknown. Therefore,the budget for this task is considered an allowance. Cost: $7,750 Management and Meeting Our authorized scope of work and contract amendment includes budget for management and meetings. In light of the recirculation, additional management time will be necessary and additional meetings will occur to address questions that arise during the preparation of the document. Similarly, if these allowances are not sufficient ESA will request additional authorization from the City. Cost: $2,980 Subconsultant Technical Study(Kimley-Horn—Traffic Study) Revised Traffic Study:Kimley-Horn will prepare a revised Traffic Study to include the analysis of four(4) additional intersections requested in the City of Hawthorne comment letter. The Traffic Study revisions will include: a. Conduct intersection analysis for all study scenarios; b. Modify the report text to reference the revised study locations and the analysis results; c.Modify all study figures to include the new study intersections; d. Modify all report tables to include the new study locations; e. Evaluate potential mitigation for significantly impacted intersections. In addition, ongoing coordination with the Project Team will be necessary. The scope includes up to six(6) conference calls. Final EIR: In light of the revised traffic study, it is anticipated that comments regarding the analysis will be submitted to the City. Kimley-Horn will assist in responding to the comments. The budget is considered an allowance as the number and technical nature of the comments is not known. Cost: $16,500(includes the 10% administrative cost) This amendment totals$45,890, including the other direct costs of$1,100. Together with the current contract amount of$459,185 ($408,035 original contract plus$51,150 contract amendment 3),the total amount of the contract would be$505,075.
