CONTRACT 5314H Amendment CLOSED Agreement No. 5314H Agreement No. EIGHTH AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT NO. 5314 BETWEEN THE CITY OF EL SEGUNDO AND MANAGEMENT PARTNERS CORPORATION This Eighth Amendment is entered into this Is'day of October, 2018, by and between the CITY OF EL SEGUNDO, a municipal corporation and general law city ("CITY") and MANAGEMENT PARTNERS CORP., an Ohio Corporation ("CONSULTANT"). The parties agree as follows: 1. Pursuant to Section 35 of the Agreement between the parties, Section 2 of the Agreement ("Scope of Services") is amended to add the services described in the attached Exhibit J "Mid-Managers Teambuilding Workshop", and Exhibit K, "Two- Day Executive Team Retreat and half-day Strategic Planning Workshop"; which is incorporated herein by this reference. 2. The parties also desire to amend the Agreement by increasing the total amount of the Agreement by $30,200, so that the total, not-to-exceed amount of the Agreement is $95,300. 3. The term of this contract is amended to expire September 30, 2019. 4. This Amendment may be executed in any number or counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 5. Except as modified by this Amendment, all other terms and conditions of Agreement No. 5314 remain the same. Activity 1 —Prepare for Workshop Key tasks involved in preparing for the workshop include the following: Meet with you and your team.Jan will meet with you and your executive team to learn about the group's objectives for the session. » Prepare agenda.Jan will prepare a draft agenda and review it with you or Finance Director Joe Lillio.She will finalize the agenda based on feedback received. » Coordinate logistics.Jan will provide advice about room set up and other logistics to help ensure a smooth workshop. » Prepare materials.Jan will prepare materials in advance to ensure a productive day. Materials will include a PowerPoint and various handouts to be copied by the City for distribution. Activity 2—Facilitate Workshop The workshop will be one day in length. It will be facilitated in a way that is engaging and encourages all executive team members and mid-managers to fully participate.Jan will use a combination of small and large group activities during the day. After the workshop,we will prepare a report summarizing the results and follow-up steps to be taken. Some of the questions Jan will ask Council members include: o What are some of the City's key accomplishments over the past year? o What are the most important strategic issues facing El Segundo? o What are your top three priorities for the coming year? o What other issues would you like to discuss at the strategic planning sessions?
