CONTRACT 5165C Amendment CLOSED Agreement No. 5165C Agreement No. 5165C THIRD AMENDMENT TO AGREEMENT NO. 5165 BETWEEN THE CITY OF EL SEGUNDO AND CAROLYNA MESSINA & ASSOCIATES, INC. THIS THIRD AMENDMENT ("Amendment") is made and entered into this 16"' day of October 2018, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and CAROLYNA MESSINA & ASSOCIATES, INC.,a California Corporation ("CONTRACTOR"). The parties agree as follows: I, The term of the Agreement is extended from October 01, 2018 to September 30, 2020. The parties intend for this Amendment to take effect retroactively. The Agreement may be renewed upon mutual consent of the parties. 2. As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed nine thousand dollars ($9,000) for CONSULTANT's services per fiscal year. CITY may modify this amount as set forth below. Unless otherwise specified by written amendment to this Agreement, CITY will pay this sum as specified in the attached Exhibit"A,"which is incorporated by reference. 3. The parties also desire to amend Section 6, paragraph C to read "Payments for Additional Work that would cause the total amount of this Agreement to exceed $25,000 per fiscal year must be approved by CITY's city council. Unless CONSULTANT advises otherwise, CONSULTANT will perform all Additional Work at the hourly rate listed in the scope of services, and all such Additional Work will be subject to all other terms and provisions of this Agreement." 4. This Amendment may be executed in any number or counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 5. Except as modified by this Amendment, all other terms and conditions of Agreement No. 5165 remain the same. Hensley, jnslJy, 1 j City Attorney L/ f's 6ue-p-�T- 2 Agreement No. 5165C M °SSINA and Associates October 5, 2018 City of EI Segundo Fire Department Employee Development/Executive Coaching Scope of Work The Consultant shall provide professional services to the City of EI Segundo Fire Department (ESFD) that consists of employee development and executive coaching. The Consultant will provide such services in a manner specified by the Chief of the ESFD. Services are described as: Employee Development/Succession Planning Consultant will work in collaboration with the fire chief and others to develop a customized employee development plan to address issues such as: • Succession Planning • Employee engagement Cultural change The goal will be to address the aforementioned issues but also to create a development plan that is available to all employees while teaching supervisors and managers how to develop and coach their direct reports. Agreement No. 5165C Executive Coaching Consultant will work with key members of the organization to assist them in developing career plans and increasing supervisory and management acumen. This coaching will aid in speeding up the development process to address succession challenges facing the organization. Qualifications Consultant works with private, public sector and non-profit organizations, which provides unique insights into the strengths of each segment for the benefit of all. Consultant has over a decade of experience as a facilitator and coach for various executive, mid-manager and line level employees. Consultant has taught at several universities at both the graduate and undergraduate level in the following areas: • Collaborative Leadership • Ethics • Public Policy Process As well consultant has over 20 years of practical executive management level experience in the public sector. The ESFD agrees to pay Consultant and Consultant agrees to accept payment at the rate of $190 per hour for all services required by this proposal provided that the total compensation to the Consultant does not exceed the sum of $9,000. The hourly rate of $190 will include services in the form of on-site meetings, resource development, individual and group meetings and on-call availability. Any payment for reimbursable expenses (not anticipated) will only be made when the Chief of the ESFD or his/her designee authorizes the expenses prior to being incurred. Michael J.
