CONTRACT 3516D Amendment Agreement No. 3516D FOURTH AMENDMENT TO AGREEMENT NO. 3516 BETWEEN THE CITY OF EL SEGUNDO AND TYLER TECHNOLOGIES, INC. THIS THIRD AMENDMENT("Amendment") is made and entered into this )-q `day of :'.jly._ , 2018, by and between the CITY OF EL SEGUNDO, a general law city and rntijiac,ipl corporation existing under the laws of California("CITY"), and TYLER TECHNOLOGIES, INC., a Delaware corporation("TYLER"). The parties agree as follows: 1. The items set forth in the Sales Quotations attached as "Exhibit D — Onsite Payroll & HR Training" to this Amendment is hereby added to Agreement 3516 as of the execution date of this Amendment. TYLER has indicated the attached is an estimate. Certain travel expenses may be higher than estimated. This amendment is for an amount not to exceed $10,000. To the extent additional expenses are required beyond the not to exceed amount, the parties agree to negotiate and execute a new amendment to Agreement No. 3516. Payment of fees and costs for items in Exhibit D shall conform to the following terms: a. Services Fees & Expenses: Fees for services, plus expenses, will be invoiced as provided and/or incurred. 2. In addition, TYLER may provide additional future training at rates agreed upon by the CITY in writing. 3. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Service Agreement. 4. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. 5.
