CONTRACT 3516C Amendment
Agreement No. 3516C THIRD AMENDMENT TO AGREEMENT NO. 3516 BETWEEN THE CITY OF EL SEGUNDO AND TYLER TECHNOLOGIES, INC. THIS THIRD AMENDMENT("Amendment") is made and entered into this `day of 2018, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California("CITY"), and TYLER TECHNOLOGIES, INC., a Delaware corporation ("TYLER"). The parties agree as follows: 1. The items set forth in the Sales Quotations attached as "Exhibit B - Tyler Payments" and "Exhibit C — Web Server Migration Assistance" to this Amendment are hereby added to Agreement 3516 as of the execution date of this Amendment. Payment of fees and costs for such items shall conform to the following terms: a. Annual Fees: Annual fees for Tyler Payments,prorated for a time period commencing on Initiation (first day of training) and ending at the same time as the end of the then-current annual maintenance term for the Tyler Software already licensed under the Agreement, are due on Initiation (first day of training). Subsequent Annual Fees for Tyler Payments, invoiced with annual maintenance fees due under the Agreement, are due annually in advance on the anniversary of that date at our then-current rates. b. Services Fees & Expenses: Fees for services,plus expenses,will be invoiced as provided and/or incurred. 2. The total amount of the items in Exhibits B and C will increase the amount of the contract by$2,640.00. 3. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Service Agreement. 4. Unless otherwise amended, all other terms and conditions of the Services Agreement shall remain in full force and effect. This solution provides full compliance with the latest PCI/ PA-DSS requirements issued by the PCI Security Standards Council,while relieving your agency of all the burdens associated with acquiring and maintaining PCt DSS compliance when taking credit-card payments with Eden Web. From the end-user's perspective, Tyler Payments as a service is virtually indistinguishable from a locally hosted payment solution. Your users will continue to make their payments from within Eden-Web as before. Only, their credit card information no longer transits through your network, freeing you from having to maintain a PCI DSS compliant environment for Eden Web. From an administrative point of view, Tyler Payments as a service also doesn't change the way you have been managing your credit-card transactions.
