AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN
THE CITY OF EL SEGUNDO AND
RINCON CONSULTANTS, INC.

This AGREEMENT is entered into this � I""day of May, 2018, by and between the CITY
OF EL SEGUNDO, a general law city and municipal corporation ("CITY") and RINCON
CONSULTANTS, INC., a California corporation ("CONSULTANT").
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, contained in the proposal attached as Exhibit"A", which
is incorporated herein;
B. As additional consideration,CONSULTANT and CITY agree to abide by the terms
and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed $80,808.00 (15% is included for possible contingencies, if needed and
approved) for CONSULTANT's services. CITY may modify this amount as set
forth below. Unless otherwise specified by written amendment to this Agreement,
CITY will pay this sum as specified in the attached Exhibit"A".
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit"A".
B. CONSULTANT will, using a standard of care equal to, or greater than, the degree
of skill and diligence ordinarily used by reputable professionals, with a level of
experience and training similar to CONSULTANT, performing under
circumstances similar to those required by this Agreement, furnish all of the labor,
technical, administrative, professional and other personnel, all supplies and
materials, equipment, printing, vehicles, transportation, office space and facilities,
and all tests, testing and analyses, calculation, and all other means whatsoever,
except as herein otherwise expressly specified to be furnished by CITY as specified
in Exhibit"A", Scope of Services,necessary or proper to perform and complete the
work and provide the professional services required of CONSULTANT by this
Agreement.
3. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly
rates for each personnel category and reimbursable costs (all as set forth in Exhibit"B")the tasks
performed, the percentage of the task completed during the billing period, the cumulative
percentage completed for each task, the total cost of that work during the preceding billing month
and a cumulative cash flow curve showing projected and actual expenditures versus time to date.

4. POLITICAL REFORM ACT. CONSULTANT agrees that it will be considered a public
official subject to the Political Reform Act of 1974 for purposes of this Agreement.
CONSULTANT agrees and warrants that it has no financial interests which may be materially
affected by the project for which the Initial Study, as specified in the SERVICES, is being
prepared. Such financial interests may include, without limitation, interests in business entities,
real property,or sources of income exceeding$500 received within the past year. CONSULTANT
further warrants that, before executing this Agreement, it reviewed the Political Reform Act of
1974 and the Fair Political Practices Commission regulations, including, without limitation,
Chapter 7 of Title 2 of the California Administrative Code, Section 18700, et seq., in order to
determine whether any conflict of interest would require CONSULTANT to refrain from
performing the SERVICES or in any way attempting to use its official position to influence the
governmental decisions underlying the subject environmental clearances.
5. FAMILIARITY WITH WORK.
A. By executing this Agreement,CONSULTANT represents that CONSULTANT has
i, Thoroughly investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT represents that
CONSULTANT has or will investigate the site and is or will be fully acquainted
with the conditions there existing, before commencing the services hereunder.
Should CONSULTANT discover any latent or unknown conditions that may
materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at
CONSULTANT's own risk until written instructions are received from CITY.
C. Although CITY has a duty to the public to independently review any environmental
document, including, without limitation a negative declaration or draft EIR,
prepared by CONSULTANT,that duty to the public, or the breach thereof,will not
relieve CONSULTANT of its duties under this Section or any representation
provided by CONSULTANT in this Agreement.
6. KEY PERSONNEL.
A. CONSULTANT's key personnel assigned to perform work under this Agreement
and their level of responsibility are identified in the proposal attached to this
Agreement in Exhibit"A".
B. The resume of each of the individuals are attached to this Agreement, collectively,
in Exhibit"A".

C. In the event CITY objects to the continued involvement with this Agreement by
any of the persons listed in this Section, or any other person selected by
CONSULTANT to perform services under this AGREEMENT, CONSULTANT
agrees that it will replace such persons with individuals that are agreed to by CITY.
7. TERM. The term of this Agreement will be from May L41, 018, to May31',T2019. Unless
otherwise determined by written amendment between the parties,this Agreement will terminate in
the following instances:
A. Completion of the work specified in Exhibit"A";
B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE. CONSULTANT will not perform any work under this
Agreement until:
A. CONSULTANT furnishes proof of insurance as required by this Agreement; and
B. CITY gives CONSULTANT a written Notice to Proceed.
C. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the contracted
services. If delay occurs, CONSULTANT must notify CITY within forty-eight hours (48 hours),
in writing, of the cause and the extent of the delay and how such delay interferes with the
Agreement's schedule. CITY may, but is not required to, extend the completion time, when
appropriate, for the completion of the contracted services.
10. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.
11. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
12. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain
during the term of this Agreement, all necessary permits, licenses, and certificates that may be
required in connection with the performance of services under this Agreement.
13. PROJECT COORDINATION AND SUPERVISION.
A. Joseph Power, Vice President/Principal will be responsible for negotiations and
contractual matters with CITY's Project Manager.

K Susanne Huerta, Senior Environmental Planner will be assigned as Project Manager
and will be responsible for job performance and coordination with CITY's Project
Manager.
C. Gregg McClain, Planning Manager will be assigned as CITY's Project Manager
and will be personally in charge of and personally supervise or perform the
technical execution of the Project on a day-to-day basis on behalf of CITY and will
maintain direct communication with CONSULTANT's Project Manager.
14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause. Notice of termination will be in writing.
B, CONSULTANT may terminate this Agreement at any time with CITY's mutual
consent. Notice will be in writing at least thirty (30) days before the effective
termination date.
C. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by CONSULTANT
will, at CITY's option, become CITY's property, and CONSULTANT will receive
just and equitable compensation for any work rendered in accordance with the
terms and conditions of this agreement up to the effective date of notice of
termination, not to exceed the total costs under Section 1(C).
D. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
E. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.
16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's property.
CONSULTANT may retain copies of said documents and materials as desired, but will deliver all
original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's
completed work product,for purposes other than identified in this Agreement,or use of incomplete
work product, is at CITY's own risk.

17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under
this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared
pursuant to this Agreement,will be released by CONSULTANT to any other person or city without
CITY's prior written approval. All press releases, including graphic display information to be
published in newspapers or magazines, will be approved and distributed solely by CITY, unless
otherwise provided by written agreement between the parties.
18. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will save
harmless and indemnify, including, without limitation, CITY's defense
costs (including reasonable attorney's fees), from and against any and all
suits, actions, or claims, of any character whatever, brought for, or on
account of, any injuries or damages sustained by any person or property
resulting or arising from any negligent or wrongful act, error or omission
by CONSULTANT or any of CONSULTANT's officers, agents,
employees,or representatives,in the performance of this Agreement,except
for such loss or damage arising from CITY's sole negligence or willful
misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies and
holds CITY harmless from and against any claim, action, damages, costs
(including, without limitation, reasonable attorney's fees), injuries, or
liability, arising out of this Agreement, or its performance, except for such
loss or damage arising from CITY's sole negligence or willful misconduct.
Should CITY be named in any suit, or should any claim be brought against
it by suit or otherwise, whether the same be groundless or not, arising out
of this Agreement, or its performance, CONSULTANT will defend CITY
(at CITY's request and with counsel satisfactory to CITY) and will
indemnify CITY for any judgment rendered against it or any sums paid out
in settlement or otherwise.
iii. Exclusion for CEQA Actions. Notwithstanding the foregoing,
CONSULTANT need not indemnify, defend, or hold CITY harmless in
CEQA actions initiated pursuant to Public Resources Code §§ 21167 and
21168 where CONSULTANT's work may form the basis of a lawsuit.
However, should CONSULTANT's work, as contemplated by this
Agreement, contain errors or omissions that results in an adverse ruling
against CITY, CONSULTANT agrees to indemnify and hold CITY
harmless to the extent provided for in Section 18(A)(i).
B. For purposes of this section "CITY" includes CITY's officers, officials and
employees,
C. It is expressly understood and agreed that the foregoing provisions will survive
termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be maintained
by CONSULTANT as required by Section 22, and any approval of said insurance
by CITY, are not intended to and will not in any manner limit or qualify the
liabilities and obligations otherwise assumed by CONSULTANT pursuant to this
Agreement, including, without limitation, to the provisions concerning
indemnification.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT
will act as an independent contractor and will have control of all work and the manner in which is
it performed. CONSULTANT will be free to contract for similar service to be performed for other
employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY
and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY
provides for its employees. Any provision in this Agreement that may appear to give CITY the
right to direct CONSULTANT as to the details of doing the work or to exercise a measure of
control over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
21. AUDIT OF RECORDS.
A, CONSULTANT agrees that CITY, or designee,has the right to review, obtain, and
copy all records pertaining to the performance of this Agreement. CONSULTANT
agrees to provide CITY, or designee, with any relevant information requested and
will permit CITY, or designee, access to its premises, upon reasonable notice,
during normal business hours for the purpose of interviewing employees and
inspecting and copying such books, records, accounts, and other material that may
be relevant to a matter under investigation for the purpose of determining
compliance with this Agreement. CONSULTANT further agrees to maintain such
records for a period of three (3) years following final payment under this
Agreement.
B. Upon inspection, CONSULTANT will promptly implement any corrective
measures required by CITY regarding the requirements of this Section.
CONSULTANT will be given a reasonable amount of time to implement said
corrective measures. Failure of CONSULTANT to implement required corrective
measures will result in immediate termination of this Agreement.
C. CONSULTANT will keep all books, records, accounts and documents pertaining
to this Agreement separate from other activities unrelated to this Agreement.
22. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times this
Agreement is effective, CONSULTANT must procure and maintain the following

types of insurance with coverage limits complying, at a minimum, with the limits
set forth below:

Workers compensation Statutory requirement.
B. Commercial general liability insurance will meet or exceed the requirements of
ISO-CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth
above will be a combined single limit per occurrence for bodily injury, personal
injury, and property damage for the policy coverage. Commercial General Liability
policy will be endorsed to name City, its officials, and employees as "additional
insureds" under said insurance coverage and to state that such insurance will be
deemed "primary" such that any other insurance that may be carried by City will
be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20
10 11 85 or 88. Such insurance will be on an "occurrence," not a "claims made,"
basis and will not be cancelable or subject to reduction except upon thirty(30)days
prior written notice to City.
C. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00
01 06 92, including symbol 1 (Any Auto) or an acceptable equivalent.
D. Professional liability coverage will be on an"occurrence basis" if such coverage is
available, or on a"claims made"basis if not available. When coverage is provided
on a"claims made basis," CONSULTANT will continue to maintain the insurance
in effect for a period of three(3)years after this Agreement expires or is terminated
("extended insurance"). Such extended insurance will have the same coverage and
limits as the policy that was in effect during the term of this Agreement, and will
cover CONSULTANT for all claims made by City arising out of any errors or
omissions of CONSULTANT, or its officers, employees or agents during the time
this Agreement was in effect.
E. CONSULTANT will furnish to City duly authenticated Certificates of Insurance
evidencing maintenance of the insurance required under this Agreement,
endorsements as required herein, and such other evidence of insurance or copies of
policies as may be reasonably required by City from time to time. Insurance must
be placed with insurers with a current A.M. Best Company Rating equivalent to at
least a Rating of"A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, City may terminate.
23. USE OF CONSULTANT. CONSULTANT must obtain CITY's prior written approval to
use any consultants while performing any portion of this Agreement. Such approval must approve
of the proposed consultant and the terms of compensation.

24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status
on the project, which will include a schedule update and a short narrative description of progress
during the past month for each major task, a description of the work remaining and a description
of the work to be done before the next schedule update.
25. NOTICES. All communications to either party by the other party will be deemed made when
received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances,notices will be deemed given at the time of actual
delivery. Changes may be made in the names or addresses of persons to whom notices are to be
given by giving notice in the manner prescribed in this paragraph.
26. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee, to solicit or
secure this Agreement..Further, CONSULTANT warrants that it has not paid nor has it agreed to
pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
27. THIRD PARTY BENEFICIARIES.This Agreement and every provision herein is generally
for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party.
There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's
obligations under this Agreement.
28. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County or in the Federal District Court in the District of
California in which Los Angeles County is located.
29. ENTIRE AGREEMENT. This Agreement, and its Exhibits, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. There are three (3) Exhibits to this Agreement. This
Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent
successors and assigns.

30, CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibit; this Agreement supersedes
any conflicting provisions.
31. RULES OF CONSTRUCTION.Each Party had the opportunity to independently review this
Agreement with legal counsel. Accordingly,this Agreement will be construed simply, as a whole,
and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party.
32. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable,then such portion will be deemed modified to the extent
necessary in the opinion of the court to render such portion enforceable and, as so modified, such
portion and the balance of this Agreement will continue in full force and effect.
33. AUTHORITY/MODIFICATION.The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage
in the actions described herein. This Agreement may be modified by written amendment signed by
both parties. CITY's city manager, or designee, may execute any such amendment on behalf of
CITY.
34. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be entered into in
connection with this Agreement will be considered signed when the signature of a party is
delivered by electronic mail in "portable document format" (i.e., pdf) form, or by facsimile
transmission. Such signature will be deemed to be and treated in all respects as an original
signature.
35. COVENANTS AND CONDITIONS. The parties agree that all of the provisions hereof will
be construed as both covenants and conditions,the same as if the words importing such covenants
and conditions had been used in each separate paragraph.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. FORCE MAJE URE. In no event shall either CONSULTANT or the CITY have any claim or
right against the other for any failure of performance where such failure of performance is caused by
or is the result of causes beyond the reasonable control of the other party due to any occurrence
commonly known as a "force majeure," including, but not limited to: acts of God; fire, flood, or
other natural catastrophe; acts of any governmental body, labor dispute or shortage; national
emergency; insurrection; riot; or war.
38. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity
to perform the Agreement using a standard of care equal to, or greater than,the degree of skill and
diligence ordinarily used by reputable professionals,with a level of experience and training similar
to CONSULTANT,performing under circumstances similar to those required by this Agreement.
CONSULTANT represents that its financial resources, surety and insurance experience, service
experience, completion ability, personnel, current workload, experience in dealing with private
consultants, and experience in dealing with public agencies all suggest that CONSULTANT is

capable of performing the proposed contract and has a demonstrated capacity to deal fairly and
effectively with and to satisfy a public agency.

Dear Mr. Schonborn:
Rincon Consultants, Inc. is pleased to submit this proposal to the City of EI Segundo to conduct
environmental review and associated technical studies for a zoning code amendment and a new
boutique hotel, referred to as the Segundo House Hotel project.We believe that our combination of
experience on similar projects and previous work in EI Segundo make us uniquely qualified to assist the
City with this assignment.
We are very enthusiastic about the opportunity to work with the City and have assembled a team of
highly skilled environmental science and planning professionals who combine extensive technical
qualifications and knowledge of CECA with many years of experience working on projects similar to the
proposed project and in urban environments similar to the project site. Rincon's recent experience
includes projects in Hermosa Beach, Redondo Beach, Long Beach and Los Angeles. Currently,we are
preparing an EIR for a mixed-use residential and hotel project for the City of Burbank as well as EIRs for
two hotels in West Hollywood.
Our in-house team includes planners, air quality, noise, biological, and cultural specialists.We are
recognized experts in greenhouse gas analysis and climate change issues.To augment our in-house
expertise,we have included Linscott, Law and Greenspan, Inc. (LLG)to conduct the traffic impact study.
Rincon has successfully partnered with LLG on numerous projects throughout the region.
We believe that you will find our proposed approach to the assignment thorough,yet cost-effective. We

Proposal to Conduct Environmental Studies-Zoning Code Amendment and New Boutique Hotel
The City of EI Segundo(City) is requesting services from an environmental consultant to conduct the
required California Environmental Quality Act(CEQA) documentation and associated environmental
studies for the development of the Segundo House Hotel project, a boutique hotel.
The proposed scope of services will consist of preparing an Initial Study-(Mitigated) Negative Declaration
(IS-MND), including an Air Quality Study(including Greenhouse Gas Emissions Analysis), Cultural
Resource Study, and Noise and Acoustical Study.
Rincon has prepared numerous IS-MNDs and EIRs for projects throughout southern California, including
in the cities of Hermosa Beach, Redondo Beach, Long Beach, Beverly Hills, and Los Angeles.To help
ensure that our environmental and planning documents are technically sound, we maintain a staff of
professionals and subject matter experts in air quality, noise,geology, biological resources,greenhouse
gases (GHG), permitting, contamination assessment and remediation, health risk analysis,
environmental engineering, and land use planning.This cross-discipline team of experts provides
different ways of seeing the consequences of projects on the environment.
To augment our team,we have included Linscott, Law and Greenspan, Inc. (LLG)to prepare a traffic
impact study. Rincon has teamed with LLG for many years and on several recent projects with the cities
of Long Beach and Chino Hills. Rincon has a strong working relationship with LLG and can attest to their
work product quality.
The cornerstone of our business philosophy is focused on partnering with clients —working with you as
your advocate and expert. Rincon has achieved remarkable success completing projects successfully by
committing resources, partnering with agency staff, maintaining project schedules,and delivering
quality work products. Our experience with similar projects and understanding of local environmental
conditions will facilitate the efficient completion of the IS-MND for the Segundo House Hotel project.

The applicant is proposing to develop the Segundo House Hotel on an approximately 1.3-acre site
located at 707 Sepulveda Boulevard that is currently developed with a surface parking lot and former
restaurant/tavern.The project site is designated General Commercial by the City's General Plan and
zoned C-3, General Commercial.The proposed project would involve demolition of the existing building
for construction of a four-story, 59,405 square-foot boutique hotel.The proposed hotel would include
116 guest rooms, a fitness room, 10 bicycle parking spaces, and a subterranean parking garage that
would provide 91 basement parking spaces and two surface parking spaces for employees and hotel
guests. A parking demand study has been submitted by the applicant to reduce the required parking
from 107 spaces to 93 spaces.The site is surrounded by a sit-down restaurant to the north,a fast food
restaurant to the south,an office building to the east, and multi-family residences to the west.
The applicant is also requesting approval of a zoning code amendment that would increase the
allowable height from 40 to 55 feet and allow additional FAR on 23 C-3 zoned properties on the west
side of Sepulveda Boulevard and one parcel at the southeast corner of E. Imperial Avenue and California
Street.The amendment would also allow Transfer of Development Rights (TDR) between the same C-3
zoned properties west of Sepulveda Boulevard.
We understand that the City is requesting environmental review that will include a peer review of the
traffic impact study and an air quality/greenhouse gas study. Rincon also proposes to conduct a noise
study because of the sensitive land uses to the west of the project site and a cultural resources study
due to the age of the existing on-site building. As necessary, mitigation measures will be included in the
environmental analyses to avoid significant environmental impacts.

2. Scope of Work
The following scope of work has been developed based on our understanding of the proposed project,
our previous experience completing environmental documents for other suburban cities similar to EI
Segundo, and our knowledge of environmental regulations related to development projects in EI
Segundo.
The tasks below outline our approach to completing the IS-MND and CEQA review process.This
proposal assumes that all project impacts can be mitigated to a less than significant level and that an EIR
will not be required. However, if during the preparation of the IS it is determined that one or more
issues will or may have significant and unavoidable impacts, Rincon will notify the City immediately to
discuss an appropriate course of action.
The CEQA document will meet all the requirements set forth in the California Environmental Quality Act
(Public Resources Code 21000 et seq.) and the State CEQA guidelines (California Code of Regulations,
section 15000 et seq.). Our general work program for the MND,which conforms to what is requested in
the RFP, is described below.
Task 1 — Kick-tiff reefing
Rincon's Principal-in-Charge and Project Manager will attend a kick-off meeting with the City and, if
appropriate,the applicant.The meeting will serve to discuss:

Rincon proposes to prepare a combined Air Quality/GHG Study since the background information and
underlying calculations for these two issues are closely related.The Air Quality analysis will be prepared
in accordance with the methodologies prescribed by the South Coast Air Quality Management District
(SCAQMD).The air quality analysis will include the following:
• Model temporary and long-term emissions using the most current version of the California
Emissions Estimator Model (CalEEMod). Emissions will be calculated based on the scope of the
project and associated vehicle trips.
• Compare temporary emissions generated during demolition,site preparation, and construction to
SCAQMD regional thresholds and Localized Significance Thresholds (LSTs).
• Calculate operational emissions based on the land use and traffic trips associated with the proposed
project using the latest version of CalEEMod.The daily operational vehicle trips used in the analysis
will be based on the applicant-provided traffic impact study.
Perform a carbon monoxide "hot spot" screening analysis if the traffic impact study indicates that an
intersection(s)will be substantially congested.There is no evidence to indicate that dispersion using
the CALINE4 model would be required for the proposed project.
Discuss odors associated with diesel-fueled vehicles, particularly as they relate to construction.
Analyze the project's consistency with the SCAQMD's Air Quality Management Plan.
Identify measures that the applicant proposes to use to reduce air quality impacts, such as:

• Specific worker transportation control measures during the construction period;
• Dust control measures during construction and operation;
• Measures to minimize or avoid stationary source emission impacts; and
• Measures to minimize engine idling during construction.
Develop mitigation measures and recommendations as needed to reduce pollutant emissions to the
extent feasible and practicable.
The GHG analysis will evaluate the project's potential contribution to cumulative impacts related to
climate change.The analysis will include the following tasks:
• Describe the applicable GHG emissions/climate change regulatory framework, including applicable
federal,state, and local regulations and standards.
• Describe the methodology and significance thresholds, which will detail the criteria for determining
a project's contribution to cumulative GHG emissions/climate change impacts (SCAQMD's
recommended quantitative threshold is 3,000 metric tons/year).
• Quantify carbon dioxide equivalent KOM units associated with proposed construction and project
operation using CalEEMod (emissions will be estimated for construction, motor vehicle trips, natural
gas combustion, electricity use,water demand, and solid waste generation).
• Determine the significance level of project generated GHG emission contributions to cumulative
GHG emissions/climate change.
• Identify any necessary or recommended mitigation measures (including measures already included
to address other short-term and operational air quality impacts).
Assess residual GHG emissions impacts.
Rincon will conduct a California Historical Resources Information System (CHRIS) records search at the
South Central Coastal Information Center(SCCIC) located at California State University, Fullerton.The
records search will reveal the nature and extent of any cultural resources work previously conducted
within the project site and adjacent vicinity. Based on our review of the project site,the existing building
was constructed in 1957. In accordance with the City's Historic Preservation regulations (Section 15-14
of the EI Segundo Municipal Code), Rincon will survey the project site for built environment resources
since the building was constructed more than 50 years ago. Upon completion of the SCCIC records
search and built environment survey, Rincon will prepare a cultural resources technical report and
California Department of Parks and Recreation (DPR)forms for all properties evaluated for California
Register of Historical Resources (CRHR) eligibility.
Rincon will assist the City with Native American government-to-government consultation in accordance
with AB 52 and SB 18. Rincon assumes that the City will provide a list of tribes who have requested AB
52 notification from the City. Rincon will draft letters and maps for Native American tribal government
contacts and provide the City with a tracking sheet and instructions for successful AB 52 and SB 18
consultation. For AB 52 Native American contacts have 30 days to respond and request further
consultation. For SB 18 Native American contacts have 30 days to respond and request further
consultation.
Rincon will also conduct a desktop paleontological resources impact assessment. Based on the results of
these tasks,our analysis will identify potential project impacts and recommended avoidance,
minimization, and/or mitigation measures,as applicable,for potential effects to on-site cultural
resources.

The routing of traffic associated with the project will be a critical element in determining the significance
of noise effects. Rincon will use the information provided by the traffic report to determine the possible
effects on sensitive receptors.The following outlines the tasks involved in the noise technical study:
IN Conduct up to four 15-minute peak hour noise measurements to characterize existing ambient noise
levels on the project site and at adjacent noise-sensitive receptor locations.
IN Compare existing ambient noise levels on the project site to applicable community noise
compatibility guidelines established by the City of EI Segundo to evaluate the project's compatibility
with the existing noise environment.
■ Characterize and generally quantify temporary noise and vibration levels at nearby noise-sensitive
receptors based on construction information (typical equipment use, duration, and location of use)
to be provided by the applicant. If specific construction information is not available, Rincon can
make assumptions about these items.Temporary noise and vibration levels will be estimated based
on construction equipment noise levels reported by the U.S. Environmental Protection Agency and
the Federal Highway Administration's Roadway Construction Noise Model Version 1.1.
■ Model existing and future mobile noise levels at noise-sensitive receptors based on the applicant's
traffic impact study or traffic data provided by the City.Traffic noise will be forecast using the
Federal Highway Administration Traffic Noise Model Version 2.5,or other applicable model,to
quantify noise impacts along local roadways.
Characterize and generally quantify noise generated by permanent on-site noise sources based on
project site plans and their locations with respect to nearby noise-sensitive receptors.
Compare noise levels to applicable City noise standards.
As necessary, provide recommendations for construction and operational noise at noise-sensitive
receptor property lines,and estimate future noise levels with recommendations implemented.
LLG will conduct the Traffic Peer Review based on the following scope of work. LLG's entire scope of
work is provided in Appendix A.
IN Traffic Task 1: Project Mobilization
13 1.1—Confirm the development description with the project team,work schedule, and
assumptions to be considered as part of the peer review. Obtain the current project site plan
that illustrates the access scheme to the project site in both hard copy and digital formats and
obtain a copy of the Applicant's traffic and parking analyses/studies.
13 1.2—Contact City of EI Segundo staff to discuss the proposed project and the traffic study
assumptions and analysis methodology(e.g.,formulation of the project study area, analysis
conditions,etc.)employed by the Applicant's traffic consultant.
■ Traffic Task 2: Review of the Applicant's Traffic Study and Parking Analysis
13 2.1—Review the existing conditions section and existing level of service (LOS) analysis including
the traffic count data, lane configurations,traffic signal phasing, among others.
13 2.2—Review the project trip generation and trip distribution. Provide an independent weekday
daily,AM and PM peak hour trip generation forecast for the proposed project and compare to
the trip generation forecast included as part of the Applicant's traffic study.
ILI 2.3—Review the existing plus project conditions section and corresponding LOS analysis.
13 2.4—Review the cumulative and cumulative plus project conditions section and LOS inputs and
corresponding analyses.

2.5—Review the parking analysis including the proposed project parking supply,the City's
zoning ordinance parking requirements, as well as the parking demand analysis. Based on the
review of the City's RFP, LLG understands that the parking demand study provided by the
Applicant's consultant justified a reduction in parking from 107 total spaces to 93 spaces.
13 2.6—Review the potential project-related and cumulative traffic impacts, as well as the
proposed mitigation, if applicable and the corresponding mitigation effectiveness. Review the
potential residual impacts, if any,and provide a statement documenting the residual impacts.
LLG will review the project study area to make sure that it adequately addresses potential traffic
impacts associated with the proposed project.As part of this review, LLG will recommend
whether additional analysis locations(i.e.,other City of EI Segundo study intersection/s, Caltrans
freeway mainline segment/s, Caltrans freeway ramp intersection/s,etc.)should be added to the
traffic study. Should additional study location/s be recommended, LLG would inform the project
team and the City to have the Applicant's consultant revise the traffic study accordingly.
13 2.7—Review the Congestion Management Program (CMP)traffic analysis including impact
criteria, potential impacts associated with CMP arterial intersection and freeway monitoring
locations, and proposed mitigation, if applicable. Should the need for additional or alternative
CMP mitigation be identified, LLG would inform the project team and the City to have the
Applicant's consultant revise their analysis accordingly.
Traffic Task 3: Site Access and Circulation Review
3.1—Review the proposed site plan. Review the site access recommendations included in the
traffic study.
■ Traffic Task 4: Preparation of Review Memorandum
4.1—Prepare a draft memorandum that details all the above-mentioned items,our analysis,
findings and conclusions.The draft memorandum will be suitably documented with tabular,
graphic and appendix materials as needed.The draft memorandum will be submitted for your
review and review by appropriate members of the project team.
4.2—If necessary, update the draft memorandum based on project team comments (one round
of revisions assumed). Submit a final memorandum to the team and the City of EI Segundo for
their review and consideration.
Task 3- Administrative Draft IS
Rincon will prepare an Administrative Draft IS using the CEQA Appendix G environmental checklist.
Rincon will submit one electronic copy of the Administrative Draft IS in PDF format and five bound
copies of the IS-MND.
The Administrative Draft IS will evaluate each of the 18 issue areas on the CEQA environmental
checklist.The IS will address: (1)the specific impacts of the currently proposed Segundo House Hotel;
and (2)the conceptual impacts of the proposed zoning code amendments as they may affect other
parcels along the west side of Sepulveda Boulevard and the one parcel at the southeast corner of E.
Imperial Avenue and California Street.The analysis of the Segundo House Hotel proposal will be a
project level and will include quantification of such items as air pollutant emissions,greenhouse gases,
noise,traffic,and utilities. It will also include modeling of shade/shadow impacts associated with the
hotel and consider applicant-provide visual tools such as elevations and photosimulations.
The analysis of potential impacts at the other properties will describe the types of changes that could
potentially occur on these properties, but will not involve specific quantification of impacts that assumes
all affected properties are built out to the maximum allowable height and FAR under the updated C-3

zone. Instead, impacts will be described conceptually and, as necessary, appropriate triggers for
additional analysis will be developed as mitigation to be implemented as necessary as individual
properties are redeveloped.The analysis of other properties will include such items as records searches
for cultural resources and hazardous materials,general field reconnaissance of the properties to identify
potential environmental constraints, and identification of potential shade/shadow impacts associated
with the increase in maximum building height from 40 to 55 feet.
Rincon will incorporate information from any relevant and available technical studies to assist in
addressing checklist issues.Where appropriate, impacts will be quantified in relation to established
thresholds of significance.A determination of significance will be made for each issue area and
mitigation measures will be provided as necessary for identified significant effects. Although each topic
will be discussed in appropriate detail in the Administrative Draft IS,we anticipate that key issue areas
for the project will include aesthetics, air quality and GHGs, cultural resources, noise, and
transportation/traffic.
Task 4 - Public and Agency Review Draft IS-MND
Assuming that the project can be processed with an IS-MND, Rincon will respond to internal team
comments on the Administrative Draft IS and format the document as a Draft IS-MND to be distributed
for public review. Up to 20 bound or electronic copies of the Draft IS-MND will be provided to the City.
Rincon will be responsible for distribution of the Public Review Draft IS-MND to the Clearinghouse,
which will require 15 electronic copies of the document, as well as circulation of the Notice of Intent to
Adopt an IS-MND to state agencies and neighboring jurisdictions, and for posting with the County Clerk.
Rincon will also prepare the draft newspaper notice and Rincon assumes the City will publish the
required newspaper notice.
Task 5 — Final IS—MND receipt of all public and agency comments on the Draft IS-MND, Rincon will prepare draft
responses for City review. Upon receipt of internal review comments on the draft responses,we will
incorporate changes and prepare the Final IS-MND. Upon Final IS-MND approval, Rincon will produce up
to 5 hard copies and 5 CDs of the Final IS-MND (including responses to comments). We will also prepare
the CEQA findings for the project and include them in electronic format. Rincon will file the Notice of
Determination (NOD)within five days of any project approval.
Task 6- Project Management Meetings and Hearings
In addition to the kick-off meeting, Rincon's Principal-in-Charge and/or Project Manager will attend two
in-person meetings with City staff.These meetings will be scheduled as appropriate and are anticipated
to occur after completing the Administrative Draft IS and prior to producing the Final IS-MND. We will
participate in conference calls as necessary throughout the process, including regularly scheduled status
update calls if desired by the City.

Rincon's Principal-in-Charge or Project Manager will attend three public hearings(assumed to be two
Planning Commission hearings and one City Council hearing) on the project. If requested,we will

3. Schedule
The following schedule was developed to identify the projected timeline for each task and overall
duration of the proposed project.
13 Kick-Off Meeting- Rincon's Principal-in-Charge and Project Manager will attend a kick-off meeting
within 1 week of authorization to proceed.
• Administrative Draft IS and Technical Studies- Rincon will submit the Administrative Draft IS,
including the technical studies,within 6 weeks of project kickoff. Rincon assumes one round of City
review and a 1-week turnaround.
• Public and Agency Review Draft IS-MND- Rincon will submit the Draft IS-MND within 2 weeks of
receipt of comments on the Administrative Draft IS from the City;we will submit subsequent
internal drafts within one week of City comments. The Draft IS-MND will be distributed for the
required 30-day public and agency review period.
• Final IS-MND—Rincon will submit the Administrative Final IS-MND (including responses to
comments on the Draft IS-MND), MMRP, and Findings within two weeks of receipt of all public and
agency comments on the Draft IS-MND;submit subsequent internal review versions and the Final
EIR within one week of receipt of City comments
• Notices and Mailings- Rincon will prepare the Notice of Intent to Adopt an IS-MND and submit the
required CEQA notices along with the Review Draft IS-MND.The Notice of Determination will be
prepared and the required CEQA notices processed after the Final IS-MND has been adopted.
• Project Meetings and Hearings- Rincon will attend 3 public hearings as scheduled by the City. In
addition, we will attend 2 project management meetings.

Our fee to complete the scope of work described above,which includes technical studies as well as an
IS-MND, is$70,268,as detailed in the following table.This includes all required CEQA notices and
mailings. If the IS determines that an EIR is required,we will negotiate a scope and fee for the EIR at that
time.The cost to prepare an EIR would depend on which issues are determined to have potentially
significant impacts and require further analysis in the EIR.

Avenue and Herondo Street.The site was zoned Industrial
(1-113)and used as a processing and storage area for
dirt/soil, landscaping products,firewood and related items.
The proposed project involved discontinuation of the
existing operations and development of a two-story,202-
room hotel with a single level of semi-subterranean
parking and surface parking. The project also included the dedication and improvement of a right-of-way
along Francisca Avenue to allow efficient ingress/egress. Hotels are not permitted use within the 1-16
zoning district;thus,the current Coastal Zoning Ordinance, General Plan, Coastal Land Use Plan and
Harbor Civic Center Specific Plan needed to be amended to accommodate the proposed use. Given the
current use of the site, a key issue was ensuring that hazards and hazardous materials were properly
identified and remediation requirements, if any, addressed in the CEQA document. Rincon's
Environmental Site Assessment (ESA)team, experienced at working with industrial properties, prepared
a Phase I Environmental Site Assessment to support the CEQA findings regarding hazards.
Other important issues were traffic circulation, construction noise, construction phasing,and building
design details as they related to air emissions and GHG calculations.

Linscott, Law&Greenspan, Engineers (LLG) is pleased to submit this Scope of Work
to provide transportation planning consulting services associated with the traffic and
parking study peer review work effort for the proposed Segundo House Hotel Project
in El Segundo, California. LLG understands that our consultation would consist of two
overall work efforts: 1) conduct peer review of the Applicant's traffic and parking
studies, and 2) provide recommendations, if necessary, regarding the adequacy of the
traffic analysis study area, existing and future conditions, and mitigation measures, if
applicable. LLG will also provide corrections to the studies if needed.
SCOPE OF WORK
Task 1: Proiect Mobilization
1.1 Confirm the development description with the project team,work schedule,and
assumptions to be considered as part of the peer review. Obtain the current
project site plan that illustrates the access scheme to the project site in both hard
copy and digital formats and obtain a copy of the Applicant's traffic and parking
analyses/studies.
1.2 Contact City of El Segundo staff to discuss the proposed project and the traffic
study assumptions and analysis methodology (e.g., formulation of the project
study area, analysis conditions, etc.) employed by the Applicant's traffic
consultant.

project and compare to the trip generation forecast included as part of the
Applicant's traffic study.

2.5 Review the parking analysis including the proposed project parking supply,the
City's zoning ordinance parking requirements, as well as the parking demand
analysis. Based on the review of the City's RFP, LLG understands that the
parking demand study provided by the Applicant's consultant justified a
reduction in parking from 107 total spaces to 93 spaces.
2.6 Review the potential project-related and cumulative traffic impacts, as well as
the proposed mitigation, if applicable and the corresponding mitigation
effectiveness. Review the potential residual impacts, if any, and provide a
statement documenting the residual impacts.
LLG will review the project study area to make sure that it adequately addresses
potential traffic impacts associated with the proposed project. As part of this
review, LLG will recommend whether additional analysis locations (i.e., other
City of El Segundo study intersection/s, Caltrans freeway mainline segment/s,
Caltrans freeway ramp intersection/s, etc.) should be added to the traffic study.
Should additional study location/s be recommended, LLG would inform the
project team and the City to have the Applicant's consultant revise the traffic
study accordingly.
2.7 Review the Congestion Management Program(CMP)traffic analysis including
impact criteria,potential impacts associated with CMP arterial intersection and
freeway monitoring locations, and proposed mitigation, if applicable. Should
the need for additional or alternative CMP mitigation be identified,LLG would
inform the project team and the City to have the Applicant's consultant revise
their analysis accordingly.
Task 3: Site Access and Circulation Review
3.1 Review the proposed site plan. Review the site access recommendations
included in the traffic study.

�IIt m Mr. Ying holds over 26 years of traffic engineering and transportation planning experience, with
particular emphasis on the preparation of traffic impact studies and parking studies for various
development projects. He is a graduate of the University of California, Los Angeles in 1992. Mr.
Ying has a background in complex operational analyses for intersections and roadway corridors
and specializes in traffic flow simulations. He has prepared many Caltrans Permit Engineering
Evaluation Reports (PEER) for the processing of highway improvements and has performed

" Mr. Ying served as Project Manager for the preparation of the traffic impact study included as
art of an Addendum to the, p previously approved Final EIR. The project consisted of an
approximately 140,000 square-foot retail-commercial expansion to the existing Americana at
Brand and a proposed street vacation. Mr.Ying prepared weekday and weekend shared parking
demand analyses and provided review of loading dock/truck maneuvering and overall circulation.
The firm was integral in providing support throughout the environmental review process,
including representation at the Planning Commission and City Council public hearings. The
project resulted in successful approval and adoption of the proposed resolution.
Talaria at Burbank Mixed Use Project,City of Burbank,California
Mr. Ying conducted an independent, third party review of the Talaria at Burbank Mixed-Use
project prepared by the City of Burbank's environmental consultant team. Mr.Ying reviewed all
the technical traffic analyses, including project trip generation, trip distribution, traffic
assignment/shifts, and traffic impact analyses associated with 24 study intersections and three
neighborhood study street segments. Mr.Ying also reviewed the project mitigation measures as

Mr. Ying served as Project Manager for the preparation of the traffic impact study included as
l s part of the Draft Environmental Impact Report (EIR) and Final EIR. Consultation included the
P oversight of all existing and future intersection operations at over 30 local and regional study
locations and the development of a comprehensive transportation mitigation program for the
proposed 9,000-student satellite campus. Mr. Ying prepared the required traffic signal warrant

analyses included as part of the Draft and Final EIRs for the project proposed by Westfield, LLC
which includes the development of approximately 358,000 net new square feet of retail-
commercial space at the existing Westfield Shopping Center and up to 262 units of residential.
The firm was integral in providing support throughout the challenging environmental review
process, including pre-litigation support and prepared hundreds of responses to comments in
support of the Final EIR. The traffic analysis reviewed existing and future operations for over 60
