ON-CALL PROFESSIONAL SERVICES AGREEMENT
BETWEEN
THE CITY OF EL SEGUNDO AND
KOA CORPORATION
PW 18-05 ON-CALL CONSTRUCTION INSPECTION SERVICES
This AGREEMENT is entered into this 28th day of March,2018,by and between the CITY
OF EL SEGUNDO,a municipal corporation and general law city("CITY")and KOA Corporation
("CONSULTANT").
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by the terms
and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed TWENTY FIVE THOUSAND dollars ($25,000.00) for CONSULTANT's
services. CITY may modify this amount as set forth below. Unless otherwise
specified by written amendment to this Agreement, CITY will pay this sum as
specified in the attached Exhibit"A,"which is incorporated by reference.
2. SCOPE OF SERVICES.
A, CONSULTANT will perform services listed in the attached Exhibit "A," which is
incorporated by reference.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except as
herein otherwise expressly specified to be furnished by CITY, necessary or proper
to perform and complete the work and provide the professional services required of
CONSULTANT by this Agreement.
3. PERFORMANCE STANDARDS. While performing this Agreement, CONSULTANT
will use the appropriate generally accepted professional standards of practice existing at the time
of performance utilized by persons engaged in providing similar services. CITY will
continuously monitor CONSULTANT's services. CITY will notify CONSULTANT of any
deficiencies and CONSULTANT will have fifteen (15) days after such notification to cure any
shortcomings to CITY's satisfaction. Costs associated with curing the deficiencies will be borne
by CONSULTANT.

4. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit"A")
the tasks performed, the percentage of the task completed during the billing period, the
cumulative percentage completed for each task, the total cost of that work during the preceding
billing month and a cumulative cash flow curve showing projected and actual expenditures
versus time to date.
5. NON-APPROPRIATION OF FUNDS. Payments due and payable to CONSULTANT for
current services are within the current budget and within an available, unexhausted and
unencumbered appropriation of the CITY. In the event the CITY has not appropriated sufficient
funds for payment of CONSULTANT services beyond the current fiscal year, this Agreement
will cover only those costs incurred up to the conclusion of the current fiscal year.
6. ADDITIONAL WORK.
A. CITY's city manager("Manager") may determine, at the Manager's sole
discretion, that CONSULTANT must perform additional work("Additional
Work")to complete the Scope of Work. If Additional Work is needed, the
Manager will give written authorization to CONSULTANT to perform such
Additional Work.
B, If CONSULTANT believes Additional Work is needed to complete the Scope of
Work, CONSULTANT will provide the Manager with written notification that
contains a specific description of the proposed Additional Work, reasons for such
Additional Work, and a detailed proposal regarding cost.
C. Payments over$25,000.00 for Additional Work must be approved by CITY's city
council. All Additional Work will be subject to all other terms and provisions of
this Agreement. In no event may this Contract exceed $25,000.00 per fiscal year
without City Council approval.
7. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT agrees that it has:
i. Carefully investigated and considered the scope of services to be performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT agrees that
CONSULTANT has or will investigate the site and is or will be fully acquainted
with the conditions there existing, before commencing the services hereunder.

Should CONSULTANT discover any latent or unknown conditions that may
materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at
CONSULTANT's own risk until written instructions are received from CITY.
8. TERM. The term of this Agreement will be from March 28, 2018, to September 30, 2018.
Unless otherwise determined by written amendment between the parties, this Agreement will
terminate in the following instances:
A. Completion of the work specified in Exhibit"A";
B, Termination as stated in Section 16.
9. TIME FOR PERFORMANCE.
A. CONSULTANT will not perform any work under this Agreement until:
i. CONSULTANT furnishes proof of insurance as required under Section 23
of this Agreement; and
ii. CITY gives CONSULTANT a written notice to proceed.
B, Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
10. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the contracted
services. If delay occurs, CONSULTANT must notify the Manager within forty-eight hours (48
hours), in writing, of the cause and the extent of the delay and how such delay interferes with the
Agreement's schedule. The Manager will extend the completion time, when appropriate, for the
completion of the contracted services.
11. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes
any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order
in which the Exhibits appear below:
A. Exhibit A: Proposal for Services and Rate Sheet;
12. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.

13. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.
14. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain
during the term of this Agreement, all necessary permits, licenses, and certificates that may be
required in connection with the performance of services under this Agreement.
15. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
16. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause.
B. CONSULTANT may terminate this Agreement at any time with CITY's mutual
consent. Notice will be in writing at least thirty (30) days before the effective
termination date.
C. Upon receiving a termination notice, CONSULTANT will immediately cease
performance under this Agreement unless otherwise provided in the termination
notice. Except as otherwise provided in the termination notice, any additional
work performed by CONSULTANT after receiving a termination notice will be
performed at CONSULTANT" own cost; CITY will not be obligated to
compensate CONSULTANT for such work.
D. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by CONSULTANT
will, at CITY's option, become CITY's property, and CONSULTANT will receive
just and equitable compensation for any work satisfactorily completed up to the
effective date of notice of termination, not to exceed the total costs under Section
1(C).
E. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
F. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.
17. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's property.

CONSULTANT may retain copies of said documents and materials as desired, but will deliver all
original materials to CITY upon CITY's written notice. CITY agrees that use of
CONSULTANT's completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY's own risk.
18. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under
this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared
pursuant to this Agreement, will be released by CONSULTANT to any other person or public
CITY without CITY's prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY, unless otherwise provided by written agreement between the parties.
19. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will save
harmless and indemnify and at CITY's request reimburse defense costs
for CITY and all its officers,volunteers,employees and representatives
from and against any and all suits, actions, or claims, of any character
whatever, brought for, or on account of, any injuries or damages
sustained by any person or property resulting or arising from any
negligent or wrongful act,error or omission by CONSULTANT or any
of CONSULTANT's officers, agents, employees, or representatives, in
the performance of this Agreement, except for such loss or damage
arising from CITY's sole negligence or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies and
holds CITY harmless from and against any claim, action, damages,
costs (including, without limitation, attorney's fees), injuries, or
liability, arising out of this Agreement, or its performance, except for
such loss or damage arising from CITY's sole negligence or willful
misconduct. Should CITY be named in any suit, or should any claim
be brought against it by suit or otherwise, whether the same be
groundless or not, arising out of this Agreement, or its performance,
CONSULTANT will defend CITY(at CITY's request and with counsel
satisfactory to CITY) and will indemnify CITY for any judgment
rendered against it or any sums paid out in settlement or otherwise.
B. For purposes of this section"CITY"includes CITY's officers,officials,employees,
agents, representatives, and certified volunteers.
C. It is expressly understood and agreed that the foregoing provisions will survive
termination of this Agreement.
D. The requirements as to the types and limits of insurance coverage to be maintained

by CONSULTANT as required by Section 23, and any approval of said insurance
by CITY, are not intended to and will not in any manner limit or qualify the
liabilities and obligations otherwise assumed by CONSULTANT pursuant to this
Agreement, including, without limitation, to the provisions concerning
indemnification.
20. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
21. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT
will act as an independent contractor and will have control of all work and the manner in which is
it performed. CONSULTANT will be free to contract for similar service to be performed for other
employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY
and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY
provides for its employees. Any provision in this Agreement that may appear to give CITY the
right to direct CONSULTANT as to the details of doing the work or to exercise a measure of
control over the work means that CONSULTANT will follow the direction of the CITY as to end
results of the work only.
22. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect
to all services and matters covered under this Agreement. CITY will have free access at all
reasonable times to such records, and the right to examine and audit the same and to make
transcript therefrom, and to inspect all program data, documents, proceedings and activities.
CONSULTANT will retain such financial and program service records for at least three (3)years
after termination or final payment under this Agreement.
23. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times this
Agreement is effective, CONSULTANT will procure and maintain the following
types of insurance with coverage limits complying, at a minimum, with the limits
set forth below:

B. Commercial general liability insurance will meet or exceed the requirements of
the most recent ISO-CGL °orm. The amount of insurance set forth above will be

a combined single limit per occurrence for bodily injury, personal injury, and
property damage for the policy coverage. Liability policies will be endorsed to
name CITY, its officials, and employees as "additional insureds" under said
insurance coverage and to state that such insurance will be deemed "primary"
such that any other insurance that may be carried by CITY will be excess thereto.
Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or
equivalent. Such insurance will be on an "occurrence,"not a"claims made," basis
and will not be cancelable or subject to reduction except upon thirty (30) days
prior written notice to CITY.
C. Professional liability coverage will be on an"occurrence basis" if such coverage
is available, or on a"claims made" basis if not available. When coverage is
provided on a"claims made basis," CONSULTANT will continue to renew the
insurance for a period of three (3) years after this Agreement expires or is
terminated. Such insurance will have the same coverage and limits as the policy
that was in effect during the term of this Agreement, and will cover
CONSULTANT for all claims made by CITY arising out of any errors or
omissions of CONSULTANT, or its officers, employees or agents during the time
this Agreement was in effect.
D. Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 0106 92, including symbol 1 (Any Auto).
E. CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance
evidencing maintenance of the insurance required under this Agreement and such
other evidence of insurance or copies of policies as may be reasonably required
by CITY from time to time. Insurance must be placed with insurers with a current
A.M. Best Company Rating equivalent to at least a Rating of"A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, CITY may obtain such coverage at
CONSULTANT's expense and deduct the cost of such insurance from payments
due to CONSULTANT under this Agreement or terminate pursuant to Section 16.
24. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY's prior written
approval to use any consultants while performing any portion of this Agreement. Such approval
must approve of the proposed consultant and the terms of compensation.
25. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status
on the project, which will include a schedule update and a short narrative description of progress
during the past month for each major task, a description of the work remaining and a description
of the work to be done before the next schedule update.
26. NOTICES. All communications to either party by the other party will be deemed made when
received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances,notices will be deemed given at the time of actual
delivery. Changes may be made in the names or addresses of persons to whom notices are to be
given by giving notice in the manner prescribed in this paragraph.
27. CONFLICT OF INTEREST. CONSULTANT will comply with all conflict of interest
laws and regulations including, without limitation, CITY's conflict of interest regulations.
28. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee,to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed
to pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
29. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any
other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or
CITY's obligations under this Agreement.
30. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County.
31. COMPLIANCE WITH LAW. CONSULTANT agrees to comply with all federal, state,
and local laws applicable to this Agreement.
32. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. There are two (2) Attachments to this Agreement. This
Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent
successors and assigns.
33. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this
Agreement with legal counsel. Accordingly,this Agreement will be construed simply, as a whole,
and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party.

34. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable,then such portion will be deemed modified to the extent
necessary in the opinion of the court to render such portion enforceable and, as so modified, such
portion and the balance of this Agreement will continue in full force and effect.
35. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage
in the actions described herein. This Agreement may be modified by written amendment. CITY's
executive manager, or designee,may execute any such amendment on behalf of CITY.
36. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by
facsimile transmission. Such facsimile signature will be treated in all respects as having the same
effect as an original signature.
37. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
38. TIME IS OF ESSENCE. Time is of the essence for each and every provision of this
Agreement.
39. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, acts of terrorism, war, embargo, government action, civil or military authority,the
natural elements, or other similar causes beyond the Parties' reasonable control, then the
Agreement will immediately terminate without obligation of either party to the other.
40. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity
to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy
a public CITY.

Project Manager. Mr. Stephan investigated ADA deficiencies in the entire Rancho Palos Verdes Hesse Park area, including
the Community Center, which houses meeting rooms, exercise room, kitchen and restrooms. The outdoor facilities include
ballfields, volleyball courts, play area, picnic area, drinking fountains,walking paths, and parking areas, and access to public
Right of way. Deliverables included a report with descriptions, map of deficient locations, and estimated cost to remedy.
Residential &Arterial Overlay 2011 Design,Thousand Oaks, CA
Design Engineer. Mr. Stephan prepared Plans, Specifications and Estimate for the City's 3 year Pavement Rehabilitation
Project.Work included field review, documentation, and photographing of all street sections and repair locations;
determination of rehabilitation strategies; preparation of plans, specifications, and estimate for bid;and bid support.The
project included 50,000 tons of asphalt pavement reconstruction and Asphalt Rubber Hot Mix overlay on 30 miles of
local, collector, and arterial streets.All work was completed in a compressed time schedule of 4 weeks. Construction Cost

Arterial Roads Rehabilitation Project Fiscal Year 2010-2011, Rancho Palos Verdes, CA
Project Manager& Design Engineer. Mr. Stephan prepared Plans, Specifications and Estimate for the rehabilitation of Palos
Verdes(PV) Drive South in the City of Rancho Palos Verdes. PV Drive South is a challenging arterial highway winding along
the bluffs of the Palos Verdes peninsula overlooking the Pacific Ocean.The street varies from a fully developed 4 lane
divided highway with bicycle path,to a 2 lane highway over unstable creeping subgrade soils. Rehabilitation strategies
included selective removal and replacement(R&R) areas, asphalt rubber hot mix(ARHM) and conventional asphalt
overlays, and microsurface application.Work included the relocation and improvement of bus pads and shelters, retaining
walls, PCC repairs, striping and markings.A comprehensive traffic sign field review and replacement plan was prepared to

Street Storm Drain Project. The main component of the project was the
installation of 2,300 linear feet of new 36" RCP storm drain pipe that connected
to an existing system before discharging into the ocean. The work included
the jacking of two parallel 28-inch steel casings and the installation of 24-inch
PVC pipe within the casings beneath Pacific Coast Highway. The work also
includes the installation of catch basins and connecting storm drain laterals at
various locations along the project alignment. A significant amount of roadway
reconstruction and paving capping using rubberized asphalt. Significant
challenges including working in PCH with Caltrans, dealing with a 16" high

and concurring projects,the City adopted a zone-based system for the annual paving program. Paul provided project
oversight. He oversaw field testing and inspection work, provided the City with recommendations for repairs and

developing a cold recycling mix design using the collected materials.The thickness of the existing AC and base was

OUTSTANDING CONSTRUCTION MANAGEMENT AND INSPECTION
KOA has a complete Construction Management and Inspection division of dedicated professionals,who provide only
Construction Management and Inspection services, and have been doing so for 30 years.We have developed
procedures and techniques to address virtually every issue that is encountered in the managing of construction
contracts and contractors.A major facet of our management focus is concentrated on the schedule,which we regard as
a powerful tool that is used to control progress as well as the budget. We have an exceptional track record for bringing
in projects within budgets and on time with minimal disruption to the City.
EXPERIENCED LEADERSHIP
As stated, the program will be managed by Mr. Chuck Stephan, PE, LEED AP. Mr. Stephan has successfully managed
contracts for Public Agencies for the past 28 years. The strongest evidence of our success is our repeat business
received from the public agencies year after year.All of the staff proposed have worked for KOA for a considerable
length of time and will be made available to the City as the need arises.
PROJECT UNDERSTANDING AND APPROACH
PROJECT UNDERSTANDING
The City of EI Segundo is seeking a consultant to provide On-Call Construction Inspection services for a variety of
projects.These projects may include road and street rehab and beautification, grinding, crack filling, localized dig-
outs,ARHM/TRMAC/Conventional A/C, leveling course, base material placement, concrete removal and replacement
(alley approaches, curb ramps, drive aprons, sidewalk, curb and gutter), loop detector placement, tree removal, utility
adjustments, landscaping and possibly traffic signal placement.
Funding may include some or all of local, state,federal, and various grant sources. KOA is experienced and proficient
in all these funding sources and services.In addition to Construction Inspection services, KOA is able to provide
Construction Management and Engineering support to the City as on-call or as staff support.
The selected consultant will provide Professional Services in the fields of Construction Inspection on a flexible
schedule to suit the City's needs.It is fully understood that these services may be for a single or multiple projects and
could be on a full or part-time basis.
PREFERRED STAFF EXPERIENCE
KOA's overall objective is to provide scheduling expertise, excellent documentation and superior knowledge of the
contract documents to oversee the contractor and enable us to effectively manage claims and all other areas of the
contract including public relations, quality, safety, RFIs and submittals.
To this end, note that all of the Construction Managers proposed are also schedulers,with years of scheduling
experience using mainstream scheduling software as utilized by the public works contracting industry. This includes
Primavera and Microsoft Project®, and others. Ram Mohseni will serve as our scheduling specialist. He is able to not
only provide schedules, but will provide critical schedule assessment and forensic analysis as well.

types. Our inspectors bring many years of accrued skills in dealing with contractors and keeping projects on track.
KOA provides all parties with updated information and is sensitive to the special needs of the community.
KOA beiieves that a successfW project is built by fostering good relationships and trust between the design team,
client agencies and the contractor.We attempt to understand the viewpoints of the involved agencies and the
viewpoints of the designers, contractors,the general public and other affected project stakeholders,to better deal
with the nuances surrounding the project.The KOA team understands these varying viewpoints because we have
worked with and/or managed design consultants, contractors and several public agencies.
KOA's approach starts with the-end in mind. The end being a quality project delivered on time and within budget.
The process begins with the development of the main project elements: master project schedule, master project
budget and the comprehensive scope of work.These elements are not developed in a vacuum, but rather with all
project stakeholders to ensure that no surprises are encountered during the project. This provides a sense of order
among the stakeholders and team such that all are focused on the same goals.
SCOPE OF SERVICES
The City has identified specific services to be included in the scope of work for this RFP. KOA understands and
proposes to include the following the following services.We have further expounded on our proposed work scope
below. In summary, KOA will:
o Attend all project-related meetings.
o Review plans, specifications, submittals, requests for information (RFI), and other construction-related
documents.
o Review and evaluate proposed change orders made by the Contractor. Provide City staff with a recommendation
on the proposed change order.
o Review shop drawings and submittals from Contractor.
o Photograph project prior, during, and after construction.
o Provide field inspections of work in progress to ensure compliance with plans and specifications.
o Prepare and distribute written daily inspection reports via email and/or hardcopy.At a minimum, daily
inspections shall include site conditions, weather conditions, staff on site, quantity of work performed, and any
major incidents or safety violations.
o Perform and review soil compaction testing, asphalt concrete testing, and concrete slump and strength testing.
o Coordinate inspections with other agencies (i.e. utility companies, other municipalities, etc.) as necessary.
o Monitor compliance with National Pollutant Discharge Elimination System (NPDES) permits and requirements.
Monitor compliance with all other local, state, and federal laws and regulations. KOA Staff have QSP and QSD
certifications for NPDES implementation and compliance.
o Coordinate special testing and inspection work as required.
o Report instances of apparent non-compliance with Contract plans and specifications to City staff.
o Assist in reviewing progress payments made to the Contractor for work performed. Provide complete
measurements and calculations to administer progress payments.
o Create redlines on as-built drawings for any field changes for work inspected upon project completion.
o Upon project completion, conduct a final inspection and project close-out. Ensure all punch list items have been
addressed.
PROJECT CONTROLS/RELEVANT STANDARDS AND SPECIFICATIONS
The services for construction inspection and contract administration shall implement project controls in accordance
with the standards and specifications: Standard Plans; Manual of Uniform Traffic Control Devices;The Greenbook
Standard Specifications and Standard Plans for Public Works Construction;The project plans and special provisions;
Caltrans Standard Plans and Specifications; and the Caltrans Local Procedures Manual.

CONSTRUCTABILITY REVIEW OF BID DOCUMENTS
When requested by the City, a constructability review will be conducted for the project.A"punchlist" of comments and
recommendations will be submitted to the City for consideration and implementation with the project engineer.In the
cases where the design is 100% complete, the reviews will be undertaken and recommendations will be made to
address the deficiencies/changes in the form of an addendum. KOA will review the plans for bidability and proper
placement of critical requirements within the order and precedence of documents. KOA will also recommend key
contract provisions to provide the necessary controls and remedies for the City to maintain a proactive approach on the
project, as noted in the approach section above.
SAFETY
KOA always considers safety the most important issue on any construction project. KOA will recommend key safety
provisions to require the contractor to have competent safety personnel and site specific safety programs
employed on the projects at all times. KOA will monitor the contractor's operations for compliance with the project
safety
requirements.
SUBMITTALS & SHOP DRAWINGS
KOA will review submittals and shop drawings for completeness and general conformance with the contract
documents. KOA will recommend key contractual requirements for the contractor to clearly indicate submittal
processing requirements in the project schedule. Submittal comments will be monitored to identify potential impacts
to quality, cost or schedule, with recommended alternatives and/or solutions.All shop drawings, samples and other
submittals received from the contractor will be logged and routed to the City and the architect. Responses will be
logged and transmitted to the contractor. The submittal approval process will be tracked throughout the project to
ensure timely response in order to avoid contractor claims for delay.
MATERIALS & WORKMANSHIP
KOA will recommend the approval of materials and workmanship that meet the contract requirements, in coordination
with the authority of the consulting engineer, architect,fire inspector, deputy inspector, or other authorized
representative/regulatory authority having jurisdiction.
RFIs
Upon receipt, KOA will log, distribute and respond to each Request for Information (RFI) as required.It is anticipated
that most will be handled upon receipt. However, in the event that the design engineer or City staff are required to
answer questions, the construction manager will coordinate a timely resolution. KOA will identify potential impacts to
cost or time that may result due to issues identified in RFIs, with recommended alternatives or solutions to mitigate the
potential impacts,An up to date RFifogl will be maintained for the duration of the project.
SCHEDULE REVIEW
KOA is very familiar with the entire r-nain stream scheduling software utilized by the public works contracting industry,
including, but not limited to Primavera and Microsoft Project®. KOA will review the baseline construction schedule,
including activity sequences and duration, schedule of submittals and schedule of delivery for products with long lead-
times.
The KOA team can evaluate the baseline project schedule for the following:
o Consistency with the contract schedule;
o Accurate start dates, completion dates, other dates detailed in the contract;
o Any impacts of weather and change orders;
o Sufficient detail, including submittal process and procurement requirements, especially for long lead items;
o Sequence of construction and correct schedule logic; and
o Identification of the critical path and project float.
The schedule will not be approved as the baseline until all discrepancies are resolved.
SWPPP
KOA will enforce all provisions of the Storm Water Pollution Prevention Plan (SWPPP). At a minimum SWPPP

requirements will be monitored and a specific SWPPP Checklist will be compiled. Any deficiencies noted will be
addressed with the contractor for immediate remedy. Upon a weather report of 40% (or higher) expectancy of rain, a
site walk will be conducted to ensure that SWPPP measures are in place and well maintained.

TESTING
KOA will coordir'rate laboratory, jobsite, and offsite testing of construction materials and required observations per
construction documents,construction codes, andjurisdictional agencies. KOA shall provide deputy inspection as
required, KOA will implement established procedures for testing per the construction documents.We will monitor
testing services, track documentation and record testing results in weekly construction progress meetings.When
necessary, KOA will require and track that corrective measures are implemented and re-inspected for acceptable
completion.
QUALITY ASSURANCE/QUALITY CONTROL
KOA has developed Construction Management procedures that are used as a baseline for capital improvement
construction projects. Since every project is unique,we will tailor our procedures to our clients' needs for each project.
Procedures for these projects will include a full review of the plans and specifications, and funding source
r'equ'irements, to develop complete checklists of requirements for construction operations, documentation, and
reimbursement requests.
Caltrans administered projects require adoption and implementation of a Quality Assurance Plan (QAP) by the City.
We will coordinate the designated Acceptance Testing (AT) firm, and Independent Assurance Program (IAP) firm for
material testing in accordance with the City's Quality Assurance Program. KOA will coordinate QA/QC activities on a
daily basis and review activities as they happen, to make sure that QA/QC procedures are followed and deficiencies
are resolved in a timely and efficient manner. The CM will maintain a chronological log of all records. Rejected work
will be thoroughly documented, photographed, and tracked until repaired or replaced to the satisfaction of the City.
The primary objective of KOA's quality control program is to ensure that every aspect of the work is constructed in
accordance with the contract documents and approved submittals, in compliance with the applicable code and to
industry standards.In addition, that it is performed consistent with the owner's expectation. Regular quality control
checks include:
o Obtaining subcontractor input regarding materials, means and methods;
o Management of contract documents to assure that only the most current documents are used;
o Management of submittals and approvals to ensure complete contract compliance;
o Management of samples and all associated approvals to ensure contract compliance;
o Verification of site conditions to ensure that all preparatory work required to be performed is complete and
that the work areas are safe;
o Monitoring of all contract work-in-progress to ensure that quality standards are consistent with
contract documents, which includes testing and deputy inspection;
o Documentation of quality procedures, checklists, test and inspections;
o Maintain detailed written and photographic records to protect the City against spurious claims.

KOA's quality control plan is written for every aspect of construction management and design.The issues addressed
include: Adherence to budget; generating a forecast of all potential expenses to maximize time for financial decisions;
monitoring and addressing schedule issues;safety monitoring; quality monitoring; progress reporting;documentation
control; construction management budget; and morale check of the team. KOA's main objectives are to construct a
project that meets or beats the project requirements with the most economical cost and with minimal frustration for
the City. We also strive to fully closeout projects quickly and efficiently with no remaining issues to resolve.
DOCUMENTATION INTERPRETATION & TECHNICAL ASSISTANCE
KOA will perform the coordination and expediting between the contractor, design team and City Staff to clarify
interpretations of the construction documents.Timely, firrn and fair determinations will be processed to minimize
project cost and time impacts. Con°aplete and current project files shall be kept current and shall be available to the
City at all times. The files will consist of the contract, correspondence related to the contract, proposal requests,
clarifications, permits, logs, reports, RFI's,field orders,change orders, claims inspection reports,test reports, and so
forth. KOA has a detailed file indexing system for all project hard files, and a contract administration database
customized for public works agency construction management for the management of electronic data and
documents. KOA has developed customized forms, reports database structure, and work breakdown structure, well
suited for all applications. We will adapt our system to the specific needs of the project, to monitor,track and control
the project.This detailed tracking system will enable us to provide an accurate assessment of the progress to the City
with recommendations to maintain or improve adherence to the approved project schedule.
SCHEDULE CONTROL
During the progress of construction, KOA will compare the contractor's monthly schedule updates to the baseline
schedule and any approved time extensions, note any shortcomings and monitor and track corrections by the
Contractor to keep the Project Schedule on track. KOA will closely monitor the contractor's work.The contractor will be
required to submit a four-week look-ahead schedule at the weekly meetings which will be updated weekly and
presented at the weekly construction progress meetings.This is a very effective tool in helping to coordinate the
construction operation, particularly regarding interface operations with the City's activities.This tool will keep the
entire team looking one-month ahead of the project and will facilitate proactive handling of project activities and
issues.If necessary, KOA will negotiate time extensions due to change orders or other delays.
PHOTOGRAPHIC JOURNAL/WEEK AT A GLANCE REPORTS (WAG)
KOA will prepare and maintain an electronic photo journal documenting the construction progress. Photos shall be
taken before construction begins, during construction and upon completion of the project. KOA will prepare weekly
progress photo reports delineating the progress made that week and noting any major decisions and milestones
achieved.
DAILY CONSTRUCTION OBSERVATION REPORTS
KOA will compile daily observation reports documenting the contractor's workforce, material and equipment used,
a summary of construction activities,field problems, disputes or claims, resolutions of issues and directions given
to the contractor. Completed daily reports will be transmitted to the City on a weekly basis. Reports will meet all
federal requirements, as-needed.
WEEKLY STATEMENT OF WORKING DAYS
KOA will prepare a weekly statement of working days documenting the construction progress,time of completion,
delays and time extensions, and submit to contractor and the City on a weekly basis.The weekly statement of working
days is typically discussed and agreed upon at each progress meeting and transmitted as an attachment to the minutes.
WEEKLY PROGRESS MEETINGS
Weekly progress meetings will be mandatory for the Contractor and staff, and optional or on an as needed basis for
the City and design team staff. All parties are invited to attend in person or via remote. Meeting minutes will be
distributed to all team members. Meeting discussions will focus on: Contractor's detailed Four-Week look-ahead
schedule, Status of actual overall progress compared to the baseline schedule, Progress and major- decisions during
the last week, Discussion of important issues or issues which require detailed discussion or review of plans and
specifications, Update of unresolved items from previous meetings, and the Status of submittals, RFI's and change

MONTHLY REPORTS
KOA will prepare a monthly, detailed project status report to the City.It shall include a summarized report of
construction activities; construction observation reports; progress descriptions with photos; description of equipment
used; comparison of actual vs. planned progress;contractor's latest detailed four-week look-ahead schedule, as
reviewed by KOA; identification and discussion of current issues, pending change orders, actions, and resolutions;
discussion of new project goals; comparison of actual vs. planned budget expenditures; Master Trend Log of potential
and approved changes; report of progress payments and invoices; Labor Compliance Reports for contractor and
subcontractor employees(if required);QA/QC of testing and regulatory compliance issues; analysis of change order
impacts or potential problems on schedule and budget.
COORDINATION WITH THE CITY
COORDINATION WITH RESIDENTS & PROPERTY
KOA will work with adjacent property owners'and residents'to resolve their concerns, review potential accessibility
issues, and ensure installation of traffic control devices per approved traffic control plans.
UTILITY COORDINATION
KOA will ensure utility coordination throughout the construction phase of the project is performed by the general
contractor.
PROBLEMS & SOLUTIONS
KOA's proactive approach serves to anticipate and expeditiously resolve field problems. Our Team is well trained in
problem solving. All issues are processed with a sense of urgency and presented to the City with suggested
alternatives, cost and schedule impacts and recommended solutions. KOA will quickly implement the alternative,
which suits the best interests of the project and the City.
REVIEW CONSTRUCTION TRAFFIC CONTROL
KOA will review construction traffic control to ensure the optimum situation with regard to: Protection of the traveling
public during the construction operation;arrange the traffic control so that there is minimal disruption to traffic and
access to local business operations; provide safe access for pedestrians and vehicles during the construction
operation; and provide for optimal traffic control phasing to efficiently facilitate the completion of the construction
operation.
MONUMENTATION
KOA will verify removal, recordation notes, and replacement of all monumentation.
PLANS, SPECS & AS-BUILTS
KOA will periodically review the contractor's as-built updates on the approved job plan, identify missing items and
requiring the Contractor to keep as-built records up to date. KOA's inspectors will keep their own set of as-built plans
which will note the location of subsurface utilities encountered and/or installed, identify where any design or field
changes are required (utilizing the corresponding RFI/change order numbers) and note the location of critical building
components that are covered by finish work.At the end of the project the final as-built plans are submitted to the City
within 30 days of construction completion.
CHANGE ORDERS
KOA will establish, implement and coordinate systems for processing all contract change orders.Issues that
identified as a potential change to the design,scope, cost, or schedule will generate a change notice, as
determined by KOA.The plans and specifications will be reviewed against the change notice.If the issue does not
appear to be included in the plans or specifications, a Request for Quotation (RFQ) will be sent to the contractor.
Any credits for work deleted as a result of the change will be required at this time. The contractor's response to the
RFQ will be evaluated for reasonableness and completeness. KOA will prepare independent cost estimates for

c'omraparison with the contractor's proposal. Upon the City's approval, KOA will prepare, log and process change
orders for full execution, and administer their implementation.Once fully executed, KOA will review the timely
completion of the work and coordinate inclusion of the change order in the appropriate payment application. KOA
will maintain a Trend Log, listing potential changes as identified.It shall be used such that potential change items
are not overlooked or deferred until the end of the job.
CHANGE MANAGEMENT/CLAIMS RESOLUTION
KOA will implement its time tested claims management process to minimize changes to the project and avoid claims
such that the project can be quickly and successfully closed out. KOA has done so on over 400 public projects valued
at approximately 1 billion with no unresolved claims" KOA will not defer difficult issues and will process only change
issues that have been analyzed and determined to have merit. Those items will only be recommended for
consideration when the most reasonable cost and time has been negotiated and all alternatives to avoid the impact
have been resolved.
WRITTEN INSTRUCTIONS
KOA will issue written instructions to contractor regarding routine matters and/or follow-up of verbal instructions as
necessary to properly document project issues.
PROGRESS PAYMENT PROCESSING
A cost control system, based on the contractor's schedule of values, approved change orders, and the contract amount
shall be developed and implemented to monitor progress costs. Monthly cost reports will be submitted as a
component of the monthly progress report. KOA will review the payment applications submitted by the contractor and
determine whether the amount requested reflects the progress of the contr'actor's work. Appropriate adjustments to
each payment application will be required by the contractor.When the payment application is acceptable and all
backup documentation is verified, KOA will prepare and submit a progress payment report.It shall state the total
contract price and actual amounts owed for the current period.The KOA team is experienced in evaluating complex pay
applications. It is critical to the City's best interest that the payment application review is performed accurately and
prudently to maintain the prime and subcontractor incentives to perform on the projects.
PRE-FINAL INSPECTION
The construction observer will perform the final job walk and prepare the punchlist(deficiency list). KOA will coordinate
and observe payments to date, current payment requested, retainage,the completion of required corrections. Should
the contractor lag on a portion of the completion of work, KOA will estimate the value of incomplete items and
recommend specific retainage in accordance with the contract. If necessary, a change order will be recommended for
approval for completion of the remaining work such that the City may file the notice of completion and start the time
after which stop notices and/or claims are no longer valid.
FINAL INSPECTION
All corrections must be made before KOA recommends processing the "Notice of Completion". KOA is noted for our
attention to detail.We excel at closing out our own projects and we have been requested to and successfully close
out problem client projects where our services are not initially utilized. Upon completion of the punchlist and final
sign off by all project stakeholders, KOA will make recommendations to the City regarding Contractors final
progress payment request and prepare final progress payment report for submission to City.
DELIVERY PROJECT CLOSE-OUT DOCUMENTS
KOA will review"as-constructed" plans and prepare"as-constructed" reports. KOA will help the contractor maintain
a field set of updated "as-constructed" plans. KOA will continually document changed field conditions and not rely
on the contractor to document "as- constructed" conditions. KOA will report and photograph field condition
changes.
Discrepancies will be discussed, resolved, and recorded. Completed "as-constructed" plans will be submitted to the City.
KOA will provide a final project report, detailing all relevant aspects of the project, inclUding budget, reasons for bid
price variations, schedule information„ as-built plans,and technical details, including a compilation of project
photographs.

needed, training will be conducted prior to transferring responsibility to the City.All construction management and
inspection records will be provided to the City for their recordis. KOA will ensure full compliance with all pre-
construction, construction, and post-construction requirements for all pertinent project permits. KOA can assist with
the final invoice letter to Caltrans if needed. KOA will perform closeOLIt duties including final organization of project
files in binder and electronic format, (CD-ROM or,thumb drive)and submit to the City for final approval, and assist
with the filing of the notice of completion and release of retention.
FEDERAL-AID PROJECTS
On federal-aid projects, KOA will follow the Federal Highway Administration requirements and the Caltrans Local
Assistance Procedures Manual for award packages, inspection and progress reporting, DBE goal administration,the
Quality Assurance Program, and the provisions of specifications, to require the contractor to submit well-coordinated
operations aricl maintenance manuals,warranties and guarantees, certifications, affidavits, leases, easeryients, releases,
bonds, extra stock and/or other documentation pertinent to the contract Administration Checklist and Project filing
format. As stated in our cover letter, KOA has provided services for 15 federally and/or state-funded projects in the
last seven years. None of the audits failed or were denied reimbursement.All projects listed were for city agencies.
Those projects that have been audited are designated with an "(A)" rating.
LABOR COMPLIANCE
KOA performs its own labor compliance reviews with our own staff. We ourselves are registered with the state of
California Department of Industrial Relations as a general contractor providing Building/Construction Inspector
services,and we are subject to the same state and federal prevailing wage law requirements as any other contractor
who will be working with the projects anticipated in this project assignment. KOA has provided labor compliance for
all of our Public works projects where we were reclWred to do so, with tasks including conformance to prevailing wage
rate requirements; apprenticeship programs; notifying arid tracking corrective actions; verifying required postings,
