FOURTH AMENDMENT TO
AGREEMENT NO. 5314 BETWEEN
THE CITY OF EL SEGUNDO AND
MANAGEMENT PARTNERS CORPORATION
THIS FOURTH AMENDMENT ("Amendment") is made and entered into this lst day of
November 2017, by and between the CITY OF EL SEGUNDO, a general law city and municipal
corporation existing under the laws of California ("CITY"), and MANAGEMENT PARTNERS
CORPORATION, an Ohio Corporation ("CONSULTANT").
I. Pursuant to Section 35 of the Agreement between parties, Section 2 of the Agreement
("Scope of Services") is amended to add the services described in the attached Exhibit F
"Facilitator of a Joint Meeting of the City Council and El Segundo Unified School District
Board"which is incorporated herein by this reference.
2. The parties also desire to amend the Agreement by increasing the total amount of the
Agreement by $3,900, so that the total, not-to-exceed amount of the Agreement is $45,200.
3. This Amendment may be executed in any number or counterparts, each of which will be an
original, but all of which together constitutes one instrument executed on the same date.
4. Except as modified by this Amendment, all other terms and conditions of the Agreement
No. 5314 remain the same.

Dear Mr. Carpenter:
Thank you for the opportunity to facilitate a second joint meeting between the City Council and
El Segundo Unified School District(ESUSD)Board, scheduled for mid-December. This letter
proposes a contract amendment to provide for Karen Orlansky to facilitate this second meeting.
Plan of Work
The two primary issues for the City Council and ESUSD Board to resolve are still: 1)ESUSD's
financial contribution to the City toward renovation of the Plunge, and 2) formalizing the terms
of ESUSD's use of the new El Segundo Aquatics Center. To maximize the probability that a
second joint meeting results in a decision on both of these issues, we recommend the following
next steps.
Activity 1 —Prepare for Joint Meeting
Karen will meet with you together twice to prepare for the joint meeting. We recommend
allowing up to two hours for each of these meetings.We suggest the first meeting be held as
soon as schedules allow. The tasks to be accomplished during this first meeting are:
Review what was learned from the October 11 meeting that informs how to best prepare
for and structure the second meeting.
Decide the process for developing written answers to the questions posed at the first
meeting, and the process for soliciting and answering any additional questions that
Council members or Board members have about the issues to be decided.
Explore whether the two of you can reach agreement on the parameters of a joint
recommendation for the Council and School Board to consider that links a dollar
contribution from ESUSD (amount and timing of payments) to the structure of the
agreement for ESUSD's use of the new El Segundo Aquatic Center.
The first meeting will conclude with a consensus decision on what needs to happen at the next
preparation meeting and, as deemed necessary, the tasks to be accomplished before the next
preparation meeting takes place.

Karen will support the two of you throughout the entire planning and preparation process. In
addition to helping you reach a joint recommendation to offer to the Council and School Board
for consideration, she will prepare a draft agenda for the second joint Council/School Board
meeting and then finalize it based on your feedback. She will also take steps to ensure everyone
agrees about how she will approach the facilitation of the second joint Council/School Board
meeting.
Activity 2—Facilitate Joint Session
Karen will facilitate the joint session in a way that responds to your guidance,using processes
to encourage Council members, School Board members and staff to have an open dialogue
about the issues and options presented so a decision can be reached.After the joint session,
Karen will provide a summary of the agreements and/or next steps identified.

Karen Orlansky developed her expertise in local government management and public policy, as
well as the resolution of legislative,budget, and policy disputes during three decades of public
sector service. She spent more than 25 years working for Montgomery County, Maryland,
including 18 years as the Council-appointed director of an office charged with conducting
independent, fact-based reviews of programs,budgets, and management practices. Before
joining Management Partners, Karen was a Fellow at the Straus Institute for Dispute Resolution
at Pepperdine University Law School where she was engaged full-time in the study and
practice of alternative dispute resolution(ADR) strategies,including negotiation, mediation,
and arbitration. Since joining Management Partners in 2014,Karen has helped government
leaders assess organizational performance, resolve conflicts, coach staff and executives, manage
more effectively, and conduct strategic planning. California clients include the cities of Arcadia,
Barstow, Cypress, Encinitas, Fullerton, Garden Grove, Huntington Beach, Manhattan Beach,
and Santa Maria, as well as the Sacramento Area Council of Governments. In addition to her
work with local governments, Karen has provided management consulting, facilitation, and
mediation services to school districts. As one of her ongoing projects, the Santa Monica-Malibu
School District(SMMUSD) retained Karen to facilitate/mediate the negotiations on the financial
implications of reorganizing SMMUSD into two separate unified school districts: a Santa
Monica Unified School District and a Malibu Unified School District.

Project Hours and Cost
Management Partners estimates 19 hours will be required for the workshop.We will complete
the plan of work described above for a fixed fee of$3,900,which includes our expenses.
