THIRD AMENDMENT TO
AGREEMENT NO. 5314 BETWEEN
THE CITY OF EL SEGUNDO AND
MANAGEMENT PARTNERS CORPORATION
THIS THIRD AMENDMENT ("Amendment") is made and entered into this 1St day of October
2017, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation
existing under the laws of California ("CITY"), and MANAGEMENT PARTNERS
CORPORATION, an Ohio Corporation("CONSULTANT"). The parties agree as follows:
1. Pursuant to Section 35 of the Agreement between parties, Section 2 of the Agreement
("Scope of Services") is amended to add the services described in the attached Exhibit E
"Facilitator of a Joint Meeting of the City Council and El Segundo Unified School District
Board" and Exhibit F "Facilitator of Recreation and Parks Department and Library
Collaboration Opportunity Discussion" which is incorporated herein by this reference.
2. The parties also desire to amend the Agreement by increasing the total amount of the
Agreement by $12,000, so that the total, not-to-exceed amount of the Agreement is $41,300.
3. This Amendment may be executed in any number or counterparts, each of which will be an
original, but all of which together constitutes one instrument executed on the same date.
4. Except as modified by this Amendment, all other terms and conditions of the Agreement
No. 5314 remain the same.

Dear Mr. Carpenter:
Thank you for the opportunity to submit a proposal to facilitate a joint meeting of the City
Council and El Segundo Unified School District School Board. We have the experience and
skills to facilitate this meeting, and would be pleased to do so.The El Segundo City Council and
the School Board of the El Segundo Unified School District have scheduled a joint public
meeting to be held on October 10, 2017.The focus of the meeting is a discussion of the new
aquatic center and funding sharing options between the agencies. Karen Orlansky, Special
Advisor, will serve as facilitator.
Management Partners is a professional management consulting firm specializing in helping
local government leaders. The firm is staffed with 80 professionals who are experienced public
service managers as well as qualified management consultants. Our consultants carry out a full
range of projects for local government leaders including teambuilding, strategic planning,
organization reviews, executive coaching,performance management, and development process
reviews. Each assignment we undertake receives careful,professional attention and we take
pride in the quality of our work.
Approach
To make the best use of the City Council's and School Board's time during the meeting, careful
advance planning will be done. The following describes the plan of work anticipated for the
engagement.
Activity 1 —Prepare for Joint Meeting
Karen will start by reviewing background materials provided by you about the aquatics center
project that will be helpful in framing the issues involved in the discussions. She will then carry
out the following tasks.

Conduct individual interviews with you and Dr. Melissa Moore,School Superintendent.
The purpose of these interviews will be to learn about the City's and the District's
interests and potential funding sharing options, as well as goals for the joint
Council/Board meeting.
Summarize the results of the interviews.
Meet with you and Dr.Moore together to discuss the results of the interviews and to
decide about information to be presented to the School Board and City Council on
October 10.
Prepare an agenda for the joint Council/School Board meeting,including the agreed
upon information.
>> Finalize the agenda and information based on feedback from you and Dr. Moore.
Activity 2—Facilitate Joint Session
Karen will facilitate the joint session in a way that is engaging and interactive, using processes
to encourage Council members, School Board members and staff to have an open dialogue
about the issues and options presented, so that a consensus can be achieved.
After the joint session,Karen will provide a summary of the agreements and/or next steps
identified.

Karen Orlansky's qualifications are provided below.
KAREN ORLANSKY
Karen Orlansky,Special Advisor,has more than 30 years of diverse local government service
working on management, evaluation, fiscal, legislative, and policy issues. She has a special
interest and expertise in conflict resolution, executive coaching, and team building using
collaborative problem solving strategies such as mediation and facilitation.
Since joining Management Partners in 2014, Karen has helped government leaders assess
organizational performance, resolve conflicts, coach staff and executives, manage more
effectively, and conduct strategic planning. California clients include the cities of Arcadia,
Barstow, Cypress, Encinitas, Fullerton, Garden Grove, Huntington Beach,Manhattan Beach,
and Santa Maria, as well as the Sacramento Area Council of Governments.
In addition to her work with local governments, Karen has provided management consulting,
facilitation, and mediation services to school districts. As one of her ongoing projects, the Santa
Monica-Malibu School District(SMMUSD)retained Karen to facilitate/mediate the negotiations
on the financial implications of reorganizing SMMUSD into two separate unified school
districts: a Santa Monica Unified-School District and a Malibu Unified School District.
Karen began her public-sector career as an analyst with the U.S. Office of Management and
Budget,followed by 25 years working directly in local government. For 18 years, she served as

the Council-appointed director of the Office of Legislative Oversight (OLO)for Montgomery
County,Maryland (2017 operating budget of$5.3 billion). As OLO director, Karen managed a
team of ten professionals to design, conduct, and publicly present independent studies on
complex and often controversial management, policy, and personnel issues. Her portfolio
extended across the entire range of local government operations, including public safety
services, land use planning, economic development, parks and recreation, social services, and
public education, as well as employee compensation, management practices, and internal
service functions including budgeting and finance,human resources, and procurement.
In addition to extensive experience with performance evaluation, operations and budget
analysis, and organizational review, Karen is a skilled facilitator and is practiced in situation
assessment, conflict coaching, and conflict resolution. Even with contentious issues,Karen has
maintained a reputation for working collaboratively with elected and appointed officials,
department staff, and community stakeholders to improve the effectiveness and efficiency of
local government management, programs, and services.
Directly before joining Management Partners, Karen was a Fellow at the Straus Institute for
Dispute Resolution (at the Pepperdine University School of Law), where she was engaged full-
time in the study and practice of alternative dispute resolution (ADR) strategies, including
negotiation,mediation, and arbitration. As a Straus Fellow, Karen taught modules in a
graduate-level mediation theory and practice class, consulted on a series of public sector
facilitation and dispute resolution projects, and mediated small claims, civil harassment, and
landlord/tenant cases in Los Angeles Superior Court.
Karen has a bachelor's degree from Oberlin College, with a double major in economics and
government. She earned a master's degree from Princeton University's Woodrow Wilson
School of Public and International affairs, and a master's degree in dispute resolution from the
Pepperdine University School of Law. She also is a panelist with the California Academy of
Mediation Professionals and an active member of the International Ombudsman Association.
Project Hours and Cost
Management Partners estimates 23 hours will be required for the workshop. We will complete
the plan of work described above for a fixed fee of$4,500,which includes our expenses.

regarding recreation programs that could potentially be moved into the Library, as a new
Library director is hired.Management Partners has the expertise to provide this facilitation and
we would be pleased to do so.
Understanding of the Engagement
The Library director is retiring at the end of 2017 and the City is recruiting to fill the position.
As the recruitment is underway, City managers are interested in discussing whether there are
new opportunities for collaboration between the Recreation and Parks Department and the
Library. Specifically, the question is whether any existing programs or activities in the
Recreation and Parks Department would be well-served by being placed in the Library.If there
are, such opportunities may change the skills and experience sought in the new library director.
Approach
The City is interested in a relatively short turnaround for this project because of the recruitment
process underway for the library director.A collaborative discussion process is outlined below.
This is amenable to refinement based on discussions with you.
Activity 1—Facilitate First Meeting
Jan will start by preparing for a meeting to be held with you, the Library director and the
Recreation and Parks director. She will facilitate a discussion to include the following items:
Objective of this discussion,
Current collaborations,
Opportunities for expanding the scope of responsibility of the Library to include some
current recreation activities,
Trends in libraries and recreations in other communities, and
Information needed for the second meeting.

Potential information that could be prepared by City staff following this first meeting includes;
A list of programs and activities from both departments that serve the same customers
(e.g.,by age group, other categories);
List of major projects on the horizon requiring significant time allocation that will need
to take workload for the Library director or Recreation and Parks director into
consideration;and
Potential criteria for determining in which department a program or activity is placed.
Activity.2—Prepare for and Facilitate Second Aleeting
Jan will prepare for and facilitate a second meeting with you and the two directors. The
intended outcome of this meeting will be agreement on a path forward regarding whether
recreation programs or activities should be transferred to the Library, or any other new types of
collaboration between the departments.
Preparation for the meeting will include having our library and recreation experts review the
information from the City that will have been gathered after the first meeting. Our experts will
provide perspective on best practices and potential opportunities for collaboration they may see
from examining the materials. We will summarize their comments to share during the second
meeting.
Jan will then facilitate a meeting of approximately three hours with you and the two directors.
Following the meeting, she will prepare a summary of the results, agreements, and next steps.

Jan has 30 years of management experience in local government.Before joining Management
Partners in 2005 she served in several California and Michigan jurisdictions,including as city
manager in Fremont and Morgan Hill, California. She also served the cities of Santa Ana,
California;Grand Rapids, Michigan; and Adrian, Michigan. She provides assistance to
government leaders in organizational analysis, leadership development, facilitation, strategic
planning,teambuilding, executive performance evaluation, and policy board/staff effectiveness.
A sampling of clients she has served includes the Counties of Monterey,Santa Barbara and
Ventura; and the Cities of Garden Grove, Santa Ana, Laguna Beach, Newport Beach,Tustin,
Orange,San Juan Capistrano, Seal Beach, Huntington Beach, Santa Maria,Martinez,Benicia,

Executives in State and Local Government from Harvard University and is an ICMA
Credentialed Manager.

Craig has more than 36 years of full time experience in parks, recreation, and community
services. He started his career in the City of Escalon where he served as the first recreation
director. He was then hired by the City of Turlock and spent over 14 years being responsible for
traditional park and recreation services and programs, including the Parks and Recreation and
Arts Commissions. When the parks and recreation function was merged into the Police Services
Department, Craig became responsible for prevention services, neighborhood associations,
animal control, grants, code enforcement, the Police Activities League, and the records division
as Custodian of Records.
Craig then became parks and recreation director for the City of Brentwood,with an annual
budget of over$17 million and 26 full-time staff and over 200 part-time/seasonal employees.
During that time,he was responsible for the construction of 58 parks, a full aquatic complex, a
38-acre sport facility, two community centers, a dog park, a skate/BMX park, five joint use
gymnasiums with the two local school districts, and a joint use Olympic size aquatic facility at
Heritage High School. Brentwood was also one of the first communities in California to require
residential development to contribute to the City's public art program. The City of Brentwood
Parks and Recreation Department received numerous design and programs awards, and was
recognized as one the 100 Best Communities for Youth in the nation, a six-time winner of the
Playful City award, a bicycle friendly community, and was recognized as a HEAL (Healthy
Eating an Active Lifestyle) City.

Brett has over 30 years of experience in public service, most of it managing organizations
providing library services.Most recently,Brett served as the director of the Sonoma County
Library in Sonoma, California, and of the Martin County Library in Martin County,Florida.
Prior to those leadership roles,Brett was involved in library management in Oregon, Colorado,
and New York.He has the unique perspective of leading public service organizations in
multiple states,with different laws and contexts.He has led the development of both strategic
and business plans for his agencies, as well as public engagement activities,including the
successful passage of a$12 million per year sales tax measure for libraries. He has specific
expertise in staff and organizational development as well as intergovernmental shared services.
He is an active member of American Library Association and the California Library Association
and is the author of ALA Edition's Adult Programs in the Library.
