PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF EL SEGUNDO AND
ECO TIERRA CONSULTING,INC.
This AGREEMENT is entered into this 20th day of September, 2017, by and between the
CITY OF EL SEGUNDO, a general law city and municipal corporation ("CITY") and ECO
TIERRA CONSULTING, INC., a California Corporation ("CONSULTANT").
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration,CONSULTANT and CITY agree to abide by the terms
and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed one hundred eighty-two thousand dollars($182,000)for CONSULTANT'S
services. CITY may modify this amount as set forth below. Unless otherwise
specified by written amendment to this Agreement, CITY will pay this sum as
specified in the attached Exhibit A, which is incorporated by reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit B, which is
incorporated herein.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except as
herein otherwise expressly specified to be furnished by CITY, necessary or proper
to perform and complete the work and provide the professional services required of
CONSULTANT by this Agreement.
3. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly
rates for each personnel category and reimbursable costs (all as set forth in Exhibit A) the tasks
performed, the percentage of the task completed during the billing period, the cumulative
percentage completed for each task, the total cost of that work during the preceding billing month
and a cumulative cash flow curve showing projected and actual expenditures versus time to date.
4. POLITICAL REFORM ACT. CONSULTANT agrees that it will be considered a public
official subject to the Political Reform Act of 1974 for purposes of this Agreement.
CONSULTANT agrees and warrants that it has no financial interests which may be materially
affected by the project, as specified in the SERVICES, is being prepared. Such financial interests

may include, without limitation, interests in business entities, real property, or sources of income
exceeding $500 received within the past year. CONSULTANT further warrants that, before
executing this Agreement, it reviewed the Political Reform Act of 1974 and the Fair Political
Practices Commission regulations, including, without limitation, Chapter 7 of Title 2 of the
California Administrative Code, Section 18700, et seq., in order to determine whether any conflict
of interest would require CONSULTANT to refrain from performing the SERVICES or in any
way attempting to use its official position to influence the governmental decisions underlying the
subject environmental clearances.
5. FAMILIARITY WITH WORK.
A. By executing this Agreement,CONSULTANT represents that CONSULTANT has
i. Thoroughly investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT represents that
CONSULTANT has or will investigate the site and is or will be fully acquainted
with the conditions there existing, before commencing the services hereunder.
Should CONSULTANT discover any latent or unknown conditions that may
materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at
CONSULTANT'S own risk until written instructions are received from CITY.
C. Although CITY has a duty to the public to independently review any environmental
document, including, without limitation a negative declaration or draft EIR,
prepared by CONSULTANT,that duty to the public, or the breach thereof, will not
relieve CONSULTANT of its duties under this Section or any representation
provided by CONSULTANT in this Agreement.
6. KEY PERSONNEL,

B, The resume of each of the individuals identified in this Section are attached to this
Agreement in Exhibit"C," and incorporated by reference.
C. In the event CITY objects to the continued involvement with this Agreement by
any of the persons listed in this Section, CONSULTANT agrees that it will replace
such persons with individuals that are agreed to by CITY.
7. TERM. The term of this Agreement will be from September 20, 2017 to September 19,
2019. Unless otherwise determined by written amendment between the parties, this Agreement
will terminate in the following instances:
A. Completion of the work specified in Exhibit"B";
B. Termination as stated in Section 0.
8. TIME FOR PERFORMANCE. CONSULTANT will not perform any work under this
Agreement until:
A. CONSULTANT furnishes proof of insurance as required by this Agreement; and
B. CITY gives CONSULTANT a written Notice to Proceed.
C. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT'S
own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT'S control, CITY may grant a time extension for the completion of the contracted
services. If delay occurs, CONSULTANT must notify CITY within forty-eight hours (48 hours),
in writing, of the cause and the extent of the delay and how such delay interferes with the
Agreement's schedule. CITY may, but is not required to, extend the completion time, when
appropriate, for the completion of the contracted services.
10. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the
services will be determined in accordance with written agreement between the parties.
11. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with
a Taxpayer Identification Number.

12. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and certificates that
may be required in connection with the performance of services under this Agreement.
13. PROJECT COORDINATION AND SUPERVISION.
A. Craig Fajnor will be assigned as CONSULTANT'S Project Director and will be
responsible for job performance, negotiations, contractual matters, and
coordination with CITY'S Project Manager.
B. Gregg McClain will be assigned as CITY'S Project Manager and will be personally
in charge of and personally supervise or perform the technical execution of the
Project on a day-to-day basis on behalf of CITY and will maintain direct
communication with CONSULTANT'S Project Director.
14. WAIVER. CITY'S review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT'S
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause. Notice of termination will be in writing.
B. CONSULTANT may terminate this Agreement at any time with CITY'S mutual
consent. Notice will be in writing at least 30 days before the effective termination
date.
C. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by CONSULTANT
will,at CITY'S option,become CITY'S property, and CONSULTANT will receive
just and equitable compensation for any work satisfactorily completed up to the
effective date of notice of termination, not to exceed the total costs under Section
1(C).
D. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
E. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY'S termination under this Section.
16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps,
models, photographs and reports prepared by CONSULTANT under this Agreement are CITY'S
property. CONSULTANT may retain copies of said documents and materials as desired, but will

deliver all original materials to CITY upon CITY'S written notice. CITY agrees that use of
CONSULTANT'S completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY'S own risk.
17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art work,
prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or
city without CITY'S prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY,unless otherwise provided by written agreement between the parties.
18. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will save
harmless and indemnify, and at CITY'S request reimburse defense
costs for CITY and all its officers,volunteers, employees and
representatives (including reasonable attorney's fees), from and
against any and all suits, actions, or claims, of any character
whatever, brought for, or on account of, any injuries or damages
sustained by any person or property resulting or arising from any
negligent or wrongful act, error or omission by CONSULTANT or
any of CONSULTANT'S officers, agents,employees, or
representatives, in the performance of this Agreement, except for such
loss or damage arising from CITY'S sole negligence, active negligence
or willful misconduct.
ii. Indemnification for other Damages. CONSULTANT indemnifies and
holds CITY harmless from and against any claim, action, damages,
costs (including, without limitation, reasonable attorney's fees),
injuries, or liability, to the extent resulting from CONSULTANT'S
negligence or other wrongful conduct,arising out of this Agreement,or
its performance, except for such loss or damage arising from CITY'S
sole negligence, active negligence or willful misconduct. Should CITY
be named in any suit, or should any claim be brought against it by suit
or otherwise,whether the same be groundless or not,arising out of this
Agreement, or its performance, CONSULTANT will defend CITY (at
CITY'S request and with counsel satisfactory to CITY) and will
indemnify CITY for any judgment rendered against it or any sums paid
out in settlement or otherwise.
iii. Exclusion for CEQA Actions. Notwithstanding the foregoing,
CONSULTANT need not indemnify, defend, or hold CITY harmless in
CEQA actions initiated pursuant to Public Resources Code §§21167 and
21168 where CONSULTANT'S work may form the basis of a lawsuit.
However, should CONSULTANT'S work, as contemplated by this

Agreement, contain errors or omissions that results in an adverse ruling
against CITY, CONSULTANT agrees to indemnify and hold CITY
harmless to the extent provided for in Section 18(A)(i).
B. For purposes of this section "CITY" includes CITY'S officers, officials and
employees,
C. It is expressly understood and agreed that the foregoing provisions will survive
termination of this Agreement.
D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any approval of said
insurance by CITY, are not intended to and will not in any manner limit or qualify the
liabilities and obligations otherwise assumed by CONSULTANT pursuant to this
Agreement, including, without limitation,to the provisions concerning indemnification.
19. ASSIGNABILITY. This Agreement is for CONSULTANT'S professional services.
CONSULTANT'S attempts to assign the benefits or burdens of this Agreement without CITY'S
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work and the
manner in which is it performed. CONSULTANT will be free to contract for similar service to be
performed for other employers while under contract with CITY. CONSULTANT is not an agent
or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or
similar benefits CITY provides for its employees. Any provision in this Agreement that may
appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to
exercise a measure of control over the work means that CONSULTANT will follow the direction
of the CITY as to end results of the work only.
21. AUDIT OF RECORDS.
A. CONSULTANT agrees that CITY, or designee, has the right to review, obtain, and
copy all records pertaining to the performance of this Agreement. CONSULTANT
agrees to provide CITY, or designee, with any relevant information requested and
will permit CITY, or designee, access to its premises, upon reasonable notice,
during normal business hours for the purpose of interviewing employees and
inspecting and copying such books, records, accounts, and other material that may
be relevant to a matter under investigation for the purpose of determining
compliance with this Agreement. CONSULTANT further agrees to maintain such
records for a period of three years following final payment under this Agreement.
B. Upon inspection, CONSULTANT will promptly implement any corrective
measures required by CITY regarding the requirements of this Section.
CONSULTANT will be given a reasonable amount of time to implement said
corrective measures. Failure of CONSULTANT to implement required corrective
measures will result in immediate termination of this Agreement.

C. CONSULTANT will keep all books, records, accounts and documents pertaining
to this Agreement separate from other activities unrelated to this Agreement.
22. INSURANCE.
A, Before commencing performance under this Agreement, and at all other times this
Agreement is effective, CONSULTANT must procure and maintain the following
types of insurance with coverage limits complying, at a minimum, with the limits
set forth below:

Workers compensation statutory requirement.
B. Commercial general liability insurance will meet or exceed the requirements of
ISO-CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth
above will be a combined single limit per occurrence for bodily injury,personal
injury, and property damage for the policy coverage. Commercial General
Liability policy will be endorsed to name City, its officials, and employees as
"additional insureds" under said insurance coverage and to state that such
insurance will be deemed "primary" such that any other insurance that may be
carried by City will be excess thereto. Such endorsement must be reflected on ISO
Form No. CG 20 10 11 85 or 88. Such insurance will be on an "occurrence," not a
"claims made," basis and will not be cancelable or subject to reduction except
upon thirty (30) days prior written notice to City.
C. Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 01 06 92, including symbol 1 (Any Auto).
D. Professional liability coverage will be on an "occurrence basis" if such coverage
is available, or on a"claims made"basis if not available. When coverage is
provided on a"claims made basis," CONSULTANT will continue to maintain the
insurance in effect for a period of three years after this Agreement expires or is
terminated ("extended insurance"). Such extended insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement, and will cover CONSULTANT for all claims made by City arising
out of any errors or omissions of CONSULTANT, or its officers, employees or
agents during the time this Agreement was in effect.
E. CONSULTANT will furnish to City duly authenticated Certificates of Insurance
evidencing maintenance of the insurance required under this Agreement,
endorsements as required herein, and such other evidence of insurance or copies
of policies as may be reasonably required by City from time to time. Insurance
must be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of"A:V11."

F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, City may obtain such coverage at CONSULTANT'S
expense and deduct the cost of such insurance from payments due to
CONSULTANT under this Agreement or terminate.
23. USE OF CONSULTANT. CONSULTANT must obtain CITY'S prior written approval
to use any consultants while performing any portion of this Agreement. Such approval must
approve of the proposed consultant and the terms of compensation.
24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative description of
progress during the past month for each major task, a description of the work remaining and a
description of the work to be done before the next schedule update.
25. NOTICES. All communications to either party by the other party will be deemed made
when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances, notices will be deemed given at the time of actual
delivery. Changes may be made in the names or addresses of persons to whom notices are to be
given by giving notice in the manner prescribed in this paragraph.
26. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT'S bona fide employee, to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to
pay any company or person, other than CONSULTANT'S bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.
27. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any
other party. There will be no incidental or other beneficiaries of any of CONSULTANT'S or
CITY'S obligations under this Agreement.
28. INTERPRETATION. This Agreement was drafted in, and will be construed in
accordance with the laws of the State of California, and exclusive venue for any action involving
this agreement will be in Los Angeles County or in the Federal District Court in the District of
California in which Los Angeles County is located.

29. ENTIRE AGREEMENT. This Agreement, and its Exhibits, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. There are three Exhibits to this Agreement. This
Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent
successors and assigns.
30. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes
any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order
in which the Exhibits appear below:
A, Exhibit A: Proposal for Services/Scope of Work;
B. Exhibit B: Budget; and
C. Exhibit C: Resumes.
31. RULES OF CONSTRUCTION. Each Party had the opportunity to independently
review this Agreement with legal counsel. Accordingly,this Agreement will be construed
simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for
or against either Party.
32. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable,then such portion will be deemed modified to the extent
necessary in the opinion of the court to render such portion enforceable and, as so modified, such
portion and the balance of this Agreement will continue in full force and effect.
33. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written amendment.
CITY'S city manager, or designee, may execute any such amendment on behalf of CITY.
34. ACCEPTANCE OF ELECTRONIC SIGNATURES. The Parties agree that this
Agreement, agreements ancillary to this Agreement, and related documents to be entered into in
connection with this Agreement will be considered signed when the signature of a party is
delivered by electronic (.pdf)or facsimile transmission. Such electronic or facsimile signature will
be treated in all respects as having the same effect as an original signature.
35. COVENANTS AND CONDITIONS. The parties agree that all of the provisions hereof will
be construed as both covenants and conditions,the same as if the words importing such covenants
and conditions had been used in each separate paragraph.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire,
flood, explosion, war, embargo, government action, civil or military authority, the natural

elements, or other similar causes beyond the Parties' control,then the Agreement will immediately
terminate without obligation of either party to the other.
38. TIME IS OF ESSENCE. Time is of the essence to comply with dates and schedules to be
provided.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity
to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy
a public agency.

Beach Cities Media Campus Project EIR
Scope of Work—EcoTierra Consulting,Inc.
September 26,2017
CEQA APPROACH/STRATEGY
It can be expected that City staff and the community will closely scrutinize the project and the associated
EIR. Therefore, it is important that the EIR be carefully reviewed for technical and legal adequacy to
ensure that it meets the requirements of CEQA and the CEQA Guidelines, and that it be consistent with
the City's standards and practices. The EIR must respond directly to issues raised by responsible agencies,
community organizations, members of the business community, and local residents.
In order to assure that the resulting EIR is both analytically correct and legally defensible, EcoTierra will
prepare a comprehensive and factual project-level EIR that addresses existing conditions, project impacts,
mitigation measures, cumulative impacts, and alternatives to the Project. The EIR will meet the exacting
standards of quality employed by EcoTierra in the preparation of our previous EIRs throughout California.
EcoTierra proposes to use the Initial Study process to focus the project level EIR. It is expected that the
Initial Study will support the preparation of an EIR and focus it to the issue areas outlined below. It is the
opinion of EcoTierra that the following issue areas will not be discussed in the EIR but can be discussed in
the Initial Study with no additional analysis required: Agricultural and Forest Resources, Biological
Resources, Cultural Resources, Mineral Resources, and Population/Housing.
Given the urban setting, key environmental issues that need to be addressed in the EIR,with focus on the
effects that could be experienced in surrounding area, are expected to include:
■ Aesthetics(as an employment center project,the Project Site is located in a Transit Priority Area
(TPA) based on its location within one half mile of major intersecting bus lines. In accordance with
State law, the analysis of aesthetic impacts is not required for projects located within TPAs (i.e.,
impacts related to aesthetics are deemed by law to be not significant). Accordingly, the EIR will
acknowledge, but include only a summary analysis of this issue.
Air Quality/Green House Gas Emissions (the expected pollutant and potential emissions from
project construction, as well as vehicles traveling to the site).
Geology and Soils (soils and seismic safety). A geotechnical report will address the physical
characteristics of the Project Site, and any geological hazards associated with the Site.
Hazards and Hazardous Materials (the potential for the project construction to pose a hazard by
exposure of hazardous materials which would pose a risk to the nearby uses, and existing site
conditions). This assessment would be based on reports (i.e., Phase I Environmental Site
Assessment and any follow-on reports, prepared for the Project Site. These reports will need to
address the previous use(Air Products)and are assumed to be provided by the Project Applicant.

• Hydrology/Surface Water Runoff (the Project will also result in impervious surfaces on the
currently undeveloped Project Site. The site's drainage may be altered and the discharge in
different locations from the previous use. Regulations are in place that govern storm water runoff
quantity and quality).
• Land Use and Planning (the Project use would need be discussed within the context of land use
policies of the City of EI Segundo General Plan, and zoning requirements of the City, as well as
other required land use approvals, including a General Plan Amendment, Zone Change,
Development Agreement and Subdivision).
• Noise (the Project would generate new traffic volumes along the roadways in the vicinity of the
site and these volumes could result in increased noise levels at nearby sensitive uses,and increase
noise levels at the site due to construction activities, increased human activity and mechanical
equipment and such increases could potentially exceed the City's noise standards).
• Public Services (the Project would include development of new commercial office, studio and
retail uses that could place a greater demand on public services).
• Transportation/Traffic (the expected change in traffic with the change in land use could affect
. local roadways and intersections).
• Utilities(the Project would include development of commercial office, studio and retail uses that
could result in greater demand for utilities service and infrastructure).
EcoTierra will team with Pomeroy Environmental Services (PES) for Air Quality, Greenhouse Gas
Emissions, and Noise analyses, and Overland Traffic Consultants (Overland) for traffic study peer review
analysis.
It is expected that technical studies will be provided by the Project Applicant for: TrofficlTransportation
(Traffic Report), Geotechnical(Soils Report), Hazards(Phase 1 Environmental Site Assessment)and Surface
Water Runoff and Water Quality (Hydrology Report). It is expected that these reports will thoroughly
address the respective issues.
PROPOSED SCOPE OF WORK
EcoTierra will serve as the prime consultant and project manager for the production of the environmental
documentation for the Project. The Scope of Work that the consultant team will undertake to prepare
and complete the requested work is described below.
Task 1: Project Start-Up
EcoTierra project manager and other team members (as needed) will attend a kick-off meeting with City
staff. The purpose of the meeting is to: 1) review project application and advise on any additional
information needed;2)collect all relevant reports and drawings;3)reviewthe scope of the environmental
document; 4) review the project schedule; 5) review technical studies to be provided by the project
applicant and those prepared by the EcoTierra team; 6) discuss the desired format of the EIR; and 7)
resolve any issues regarding overall assumptions.
The data needs to initiate the environmental review process are as follows:

■ Proposed Project building and site plans;
■ Information regarding the project buildings including:
o The proposed square footage, units, unit mix and affordability;
o The building height;
o Parking supply.
Is Access points;
Building elevations;
■ Landscape plans, if available;
Grading and excavation plans;
■ Construction information, including schedule, export volume, haul route;
Geotechnical Report;
Hazardous Materials report(s);
Lighting plans, if available;
■ Infrastructure plans;
Hydrology Report(if available),and;
Off-site improvements.
EcoTierra staff will also conduct a site visit to: 1) document in photographs the existing condition of the
site and the surrounding area;2)conduct a land use survey of surrounding uses,and;3)document existing
major noise sources in the Project vicinity.
Task 2: EIR Scoping
Task 2a: Prepare Initial Study
Initial Study will be comprised of detailed responses to all questions in the Initial Study Checklist Form
using the City's format. The Initial Study would also include required information regarding project
description, objectives, environmental setting and discretionary actions. Graphics will be prepared to
show, at a minimum, regional location and project location. The objective of the Initial Study would be to
support the preparation of the EIR and focus the EIR as much as possible. This task would include
preparation of the administrative Draft Initial Study.
EcoTierra proposes to focus out Agricultural and Forest Resources, Biological Resources, Cultural
Resources, Mineral Resources and Population/Housing from the EIR and address these issues in the Initial
Study.There may be other subset issues that also be focused out on other topics.
Task 2b: Revise and Finalize Initial Study
The work effort under this task would be to revise the Initial Study based on City staff comments on the
administrative draft and finalize the document for use in conjunction with the Notice of Preparation.
Task 2c: Prepare and Circulate Notice of Preparation(NOP)
EcoTierra will draft the NOP and transmit it to the City for review at the same time the administrative
Draft Initial Study. EcoTierra will revise the NOP based on City comments. It is anticipated that the City
would want two(2) rounds of review prior to the publication of the NOP fora 30-day public review period.
EcoTierra will provide a PDF file of the Initial Study/NOP package suitable for posting on the City's website.
City staff will provide EcoTierra a circulation list of public agencies, organizations and persons wishing to

receive a copy of the NOP, as well as repository locations. This would specifically include any trustee
agencies and significant stakeholders that the City believes ought to be included in the NOP distribution
for EIR input. EcoTierra will distribute the NOP to the State Clearinghouse. EcoTierra will also file the NOP
with the County Clerk, including payment of the required filing fee.
The NOP and all correspondence received in response to the NOP will be attached as an Appendix to the
Draft EIR. A finalized scope for the Draft EIR will be defined after all comments on the NOP have been
received. EcoTierra will work with City staff to determine if the comments expand the scope of work for
the EIR.
Task 2d: Public Scoping Meeting
A scoping meeting will be required because of the potential for inter-jurisdictional (i.e.,City of Manhattan
Beach) impacts. EcoTierra will work with City staff on format and presentations, provide hand out
materials, and attend the meeting and present the CEQA process and the environmental issue areas
anticipated to be studied in detail in the EIR and take notes on the proceedings. EcoTierra will prepare a
summary of comments from the scoping meeting.
Task 3: Draft EIR
Task 3a: Preparation of Administrative Draft EIR
An Administrative Draft EIR will be prepared for first review by City staff. The following identifies the
major sections that will be included in the Administrative Draft EIR.
a) Introduction and Summary
An Introduction and Summary will be included as the first section of the EIR. The Introduction and
Summary section of the EIR will include a narrative on the background of the EIR process, development
of the Project and Alternatives, a short summation of the environmental review and Project approval
process,and a summary of expected environmental effects and mitigation measures.
b) Overview of Environmental Setting
The environmental setting will provide a physical description of the Project Site and the surrounding area.
Existing improvements and land uses will be described. The environmental setting will also provide a
physical description of the Project Site and the surrounding area. A discussion and tabular list of related
projects/cumulative development will be presented,and the location of such development will be plotted
on an area map. A related projects "list-based" approach (CEQA Guidelines, Section 15130(b)(1)(A)) will
be used to analyze the potential cumulative impacts of the Project in conjunction with other projected
growth in the area. Related project will be obtained from the traffic study.
c) Project Description
The Project description will provide a detailed narrative and graphical presentation of the provisions of
the Project, including proposed improvements and architectural plans. The Project description will
include a qualitative and graphical description of the Project location and boundaries, including regional
and vicinity maps and aerial photos. EcoTierra will incorporate architectural renderings and plan
drawings, as provided by the Project Applicant.

d) Environmental Setting,Impacts and Mitigation
As an introduction to this section of the EIR, each environmental impact area determined not to have a
potentially significant impact on the environment will be listed with an accompanying discussion of the
reasons for the determination.The environmental issue areas anticipated to be included within the scope
of the EIR are the following:
• Aesthetics/Light and Glare a Land Use and Planning
• Air Quality/Greenhouse Gas a Noise
• Geology and Soils ■ Public Services
■ Hazards and Hazardous Mat. ■ Transportation/Traffic
• Hydrology and Water Quality ■ Utilities
It is assumed that the City will scope other issue areas out through the Initial Study process.These issue
areas would be Agricultural Resources, Biological Resources, Cultural Resources, Mineral Resources, and
Population/Housing as previously discussed. These issue areas will be identified and summarized in the
Impacts Found Not To Be Significant section.
Each of the areas of potential impact will describe the existing conditions, environmental impact after
development of the Project, recommended mitigation measures, net unmitigated environmental impact
after Project development and potential cumulative impacts.
Environmental Impacts of the Pro'ep�c . Each of the environmental subject areas identified above would
be evaluated to determine impact significance. Under CEQA, a significant impact is defined as a
substantial, or potentially substantial, adverse change in the physical environment. The specific criteria
or threshold of significance for determining the significance of a particular impact would be identified
prior to the impact discussion in each issue section, and would be consistent with the criteria set forth in
the State CEQA Guidelines.
Mitigation Measures. Where applicable,mitigation measures would be presented to reduce an identified
significant impact to a less-than-significant level in each respective environmental subject area.
Cumulative Imgacts. The Project's cumulative impacts in conjunction with identified related
development/cumulative growth in the area of the Project will be discussed. The discussion will note
where mitigation is likely to be required of related projects to reduce cumulative impacts. The Project is
only responsible for mitigating impacts associated with the Project.
Level of Imoact After Mitigation. A clear, concise statement of the level of impact after the inclusion of
mitigation measures will be presented. Net impacts will be defined as either "significant" or "less than
significant" after mitigation.
Alternatives to the Project
EcoTierra will prepare an analysis of alternatives to the Project for inclusion in the EIR. If so desired,the
alternatives analysis in the EIR will be crafted both to meet CEQA requirements,and as a means to provide

flexibility to the Applicant in terms of both square footage and mix of land uses for the Project. This
proposal assumes a maximum of four alternatives will be analyzed in the EIR (including the No Project
Alternative,as required by CEQA). The other alternatives will be developed in consultation with City staff.
The requirements for these analyses are based on the "rule of reason" as dictated by CEQA, and reflect
the needs of each particular project. Specific alternative schemes will be determined upon consultation
with City staff. It is noted that court cases have been decided in California that can affect the scope of
project alternatives in EIRs. The resulting court decisions have made the alternatives analyses in EIRs
more vulnerable to legal challenges, and thus changed the standards of adequacy for such analysis.
Task 3b: Review/Revise Administrative Draft EIR
City staff will review the Administrative Draft EIR. Upon each review, EcoTierra will make changes to the
sections in track changes mode. Hard copies and electronic versions of each review will be provided as
required by City staff for each review. It is expected that City staff will require two reviews of the
Administrative Draft EIR. However, the review and revision process will undergo as many iterations as
necessary until City staff have approved the Administrative Draft EIR for publication as the Draft EIR.
Task 3c: Production and Circulation of the Draft EIR
Prior to reproduction of the Draft EIR, EcoTierra will provide a final "proof copy" of the Draft EIR to the
City for final review. When City staff has approved the proof copy Draft EIR for release as a Draft EIR,
EcoTierra will produce the Draft EIR and provide the Technical Appendices to the Draft EIR on a CD.
EcoTierra will be responsible for circulating the Draft EIR to the State Clearinghouse and providing the City
with needed copies for inter-departmental and public distribution including copies for the City library.
EcoTierra will draft the Notice of Availability (NOA) and Notice of Completion (NOC) per the City's
preferred format, provide to City staff for review and include the finalized notices in the Draft EIR.
EcoTierra will be responsible for sending the NOA to relevant agencies,filing the NOC at LA County Clerk,
and sending the NOC to the State Clearinghouse. It is assumed the City will publish the NOA/NOC on its
website, and in a local newspaper.
Task 4: Final EIR
Due to the unpredictability of public participation during public review period,the cost proposal discussed
below includes a nominal estimate for responses to public comments and preparation of the Final EIR.
After the public review period is complete and the comments are received, a detailed scope and cost
estimate may need to be prepared based on the level of comments received. This cost estimate will be
provided on a time and materials basis in accordance with our 2017 billing rate schedule (included with
cost estimate).
The City will forward comments as received to EcoTierra for review. Once EcoTierra has reviewed the
comments and prior to preparing the responses, EcoTierra will present a strategy for the response
document and will discuss that strategy with City staff. The strategy will address the following types of
issues: whether comments will be responded to individually or grouped by topic and subtopic; tracking
system for cross referencing and ensuring that all comments are answered;and an approach to answering
comments on issues that may be more philosophical than technical (such as the project objectives).
EcoTierra's objectives for the response to comments are: (1)to be aggressive in assigning responsibilities

to technical members of the team in order to maintain the schedule and minimize later revisions; (2)to
prepare a document that is well organized and usable by all parties, including the public; and (3) to
thoroughly respond to all comments. Although the focus of the responses will be those comments that
are truly subject to CECA review, EcoTierra will also endeavor to answer all questions informatively. The
Final EIR shall include the Responses to Comment Letters, Corrections and Additions to the Draft EIR,final
MMRP, and all Technical Appendices.
EcoTierra has estimated two rounds of review for City staff for the Administrative Final EIR. However,the
review and revision process will undergo as many iterations as necessary until City staff have approved
the Final EIR. Prior to reproduction of the Final EIR, EcoTierra will provide a "proof copy" of the
Screencheck Final EIR for final review.When City staff have approved the Screencheck Final EIR for release
as a Final EIR, EcoTierra will print the Final EIR and provide hard copies and CDs. EcoTierra will distribute
the hardcopy and/or electronic version of the Final EIR to Commenting Agencies,City staff and City library,
and other parties that received the Notice of Preparation and those that notified the City to receive copies.
EcoTierra will prepare the Notice of Completion (NOC)and send to City staff for review. EcoTierra will be
responsible for circulating the Final EIR and NOC to the State Clearinghouse.
Task 5: Public Hearings
This task includes attendance to City public hearings on the Project. EcoTierra has budgeted for up to two
public hearings (Planning Commission and City Council). Attendance at additional meetings would be
billed on a time-and-materials basis with prior authorization by the City.
Attendance at various meetings(or conference calls),such as meetings with City staff and public agencies
over the course of the EIR process is included in the EIR preparation tasks identified above.

shade/shadow impact analyses for several complex and multi-faceted projects using industry-accepted
modeling software. Specifically, Mr. Pomeroy has experience with AERMOD and ISC air dispersion modeling
systems, CaIEEMod, URBEMIS, CALINE4-based model, noise modeling based on the Federal Highway
Administration's Traffic Noise Model (TNM), and the Amethyst Shadow Calculator. In addition to providing
technical support, Mr. Pomeroy is responsible for writing environmental analyses for a wide array of
environmental issues, conducting land use surveys, ambient noise monitoring, site photography, general
environmental research and document management. Mr. Pomeroy's experience includes preparing and
managing environmental documentation for both private and public sector clients. He has provided
environmental analyses to support several types of environmental documents including: Categorical
Exemptions, Initial Studies, Negative Declarations, Mitigated Negative Declarations, Mitigation Monitoring

RESUME
Mr. Jerry Overland — Mr. Overland is a graduate traffic engineer and a registered
traffic engineer with over 25 years of experience in the transportation engineering
field. Prior to incorporating Overland Traffic Consultants in 2002, Mr. Overland was
employed by Crain & Associates for 11 years as a senior traffic engineer managing
multiple transportation studies and design projects throughout the Southern California
area. Mr. Overland began his engineering career with the City of Los Angeles
Department of Transportation preparing traffic signal and roadway striping/signing
plans. Public sector experience includes investigating and analyzing traffic control
devices in addition to conducting and reviewing land development plans, and
developing and administering transportation specific plans.
Ms. Liz Culhane - Ms. Culhane is a graduate engineer from California State University
Northridge. She is a registered traffic engineer with over 20 years of experience in the
transportation engineering field. She has extensive background in both the public and
private sector participating in a broad range of public hearings, development review,
drafting traffic sections of environmental impact reports, mitigated negative
declarations, subdivisions and other forms of the entitlement process. Her career in
engineering began with the City of Los Angeles Department of Transportation with 12
years of experience in transportation planning, signal operations, geometric design,
district operations, and franchises before branching out into the private sector. She
has participated in development teams providing input on traffic generation, parking,
shared parking, site plan access and circulation.
