SECOND AMENDMENT TO
AGREEMENT NO. 5165 BETWEEN
THE CITY OF EL SEGUNDO AND
CAROLYNA MESSINA & ASSOCIATES, INC.
THIS SECOND AMENDMENT("Amendment")is made and entered into this 26�' day of
September 2017, by and between the CITY OF EL SEGUNDO, a general law city and municipal
corporation existing under the laws of California ("CITY"), and CAROLYNA MESSINA &
ASSOCIATES,INC. a California Corporation("CONTRACTOR"). The parties agree as follows:
1. The term of the Agreement is extended from October 1, 2017 to September 30, 2018.
The parties intend for this Amendment to take effect retroactively. The Agreement
may be renewed upon mutual consent of the parties.
2. The parties also desire to amend Section 6, paragraph 6 to read "Payments for
Additional Work that would cause the total amount of this Agreement to exceed
$25,000 per fiscal year must be approved by CITY's city council. All Additional Work
will be subject to all other terms and provisions of this Agreement."
3. This Amendment may be executed in any number or counterparts, each of which will
be an original, but all of which together constitutes one instrument executed on the
same date.
4. Except as modified by this Amendment, all other terms and conditions of Agreement
No. 5165 remain the same.

Leadership/Team Building Consulting Proposal
Scope of Work
The Consultant shall provide professional services to the City of EI Segundo Fire
Department (ESFD) that consists of Leadership Development, Team Building,
and executive coaching. The Consultant will provide such services in a manner
specified by the Chief of the ESFD. Services are described as:
Team Building
Specifically designed for the ESFD managers, supervisors and others to meet
their particular needs. Consultant will facilitate discussions on various topics to
include development of mission and values for the fire department that are
complimentary to the existing city wide mission and vision. As well consultant
will facilitate meetings between management personnel, union board members,
first line supervisors and other employees to discover new ways of optimizing
services and relationships. For staff to be truly effective they must understand the
connection between relationships in the workplace and higher levels of
productivity, effectiveness, and development.

Executive Coaching and leadership development: Marketing Division
Consultant will provide individual coaching with staff to include making
improvements as part of a larger succession development goal. Individual
SWOT analyses will be conducted in collaboration with each coachee in order to
discover where improvements can be made and where weaknesses can be
mitigated. The use of the T.I.L.L. matrix (Technical, Interpersonal, Leadership
and Learning) will provide a filter to identify areas where specific developmental
tools are to be suggested and applied. The SWOT analyses will also provide the
consultant insights into the higher order values for each of member the team.
Each participating team member will receive/develop a personal career plan that
speaks to the needs identified in the SWOT analysis. The application of
developmental tools that are congruent with the values of the individual team
members will greatly increase the likelihood of success in behavioral changes.
Methodologies
Consultant will conduct individual interviews of various members of the
aforementioned teams to identify values systems, beliefs regarding the current
state of the department and teams. In addition facilitated group meetings will be
used to encourage collaboration and team building through small group work,
research and presentations. Applied methods are designed to encourage
personal responsibility, introspection and goal attainment.
Qualifications
Consultant works with private, public sector and non-profit organizations, which
provides unique insights into the strengths of each segment for the benefit of all.
Consultant has over a decade of experience as a facilitator and coach for various
executive, mid-manager and line level employees. Consultant has taught at
several universities at both the graduate and undergraduate level in the following
areas:
• Collaborative Leadership
• Ethics
• Public Policy Process
As well consultant has over 20 years of practical executive management level
experience in the public sector.
The ESFD agrees to pay Consultant and Consultant agrees to accept payment at
the rate of $190 per hour for all services required by this proposal provided that
the total compensation to the Consultant does not exceed the sum of $8.500.
The hourly rate of $190 will include services in the form of on-site meetings,
resource development, individual and group meetings and on-call availability.

Any payment for reimbursable expenses (not anticipated) will only be made when
the Chief of the ESFD or his/her designee authorizes the expenses prior to being
incurred.
