AMENDMENT TO PARKING COVENANT
(TPG's Covenant to Provide Parking)
RECITALS:
A. TPG-El Segundo Partners, LLC, a California limited liability company ("TPG"), is
the owner of certain real property in the City of El Segundo, as more specifically described by the
legal description set forth in Exhibit"A,"which exhibit is attached hereto and incorporated herein by
this reference ("TPG Property").
B. TPG and the City of El Segundo, a municipal corporation(the "City"), entered into
that certain Covenant(TPG's Covenant to Provide Parking), executed as of September 12, 2006 and
recorded in the office of the County Recorder of Los Angeles County, California on September 20,
2006 as Instrument No. 06 2089144 (the "Covenant"). All terms used herein but not defined herein
shall have the meanings assigned to them in the Covenant unless the context otherwise requires.
C. The Covenant was entered into with respect to the property then owned by TPG and
described in the Covenant, which included the TPG Property. TPG has transferred portions of the
property originally subject to the Covenant, more specifically described in the legal description set
forth in Exhibit`B,", which exhibit is attached hereto and incorporated herein by this reference, that
are not adjacent to the Park Site, which the parties have agreed are not intended as the location for
the Park Site Parking Area(the "Excluded Property").
D. Pursuant to Section 1.61 of that certain Declaration of Covenants, Conditions,
Restrictions, Easements and Environmental Restrictions for Campus El Segundo dated September
26, 2006 and recorded in the Official Records on October 3, 2006 as Instrument No. 06-2202258
(the"CC&Rs"), TPG is deemed to have assigned its rights and delegated duties under the Covenant
to Campus El Segundo Association, a California nonprofit mutual benefit corporation, which was
formed under and pursuant to the CC&Rs (the "Association"). The Association is joining in the
execution of this Amendment as the assignee of such rights and duties.
E. The obligation to provide parking for the Park Site is currently being fully satisfied by
providing 100 spaces in the Temporary Parking Area defined in the Covenant, and the parties have

agreed that replacement of such spaces need not occur until TPG elects to develop the Temporary
Parking Area.
NOW, THEREFORE, for good and valuable consideration the receipt of which is hereby
acknowledged, the parties hereby agree as follows:

that parking for the Park Site must continue to be provided in the Temporary Parking Area until TPG
elects to develop the Temporary Parking Area, at which time such parking in the Temporary Parking_
Area must be replaced with parking spaces provided in one or more adjacent surface parking lots or
structures on the Property. The permanent parking spaces may be provided on a shared-use basis, as
permitted by the Development Agreement and the Covenant.
2. Park Site I''afldii�,, Area I:. ) atioii. The parties confirm that the Covenant shall not
apply to the Excluded Property.
3. Successors and Assigns. The Covenant, as amended by this Amendment, shall run
with the TPG Property and shall be binding upon any future owners, encumbrancers, their
successors,heirs or assigns.
4. No Further C°larific atiop. Except asmodified by this Amendment, all other terms and
conditions of the Covenant, including TPG's obligation to provide parking spaces for the Park Site,
remain unmodified and in full force and effect.
