EASEMENT AGREEMENT
This Easement Agreement (this "Agreement") is made as of the 12th day of September,
2006,by and between TPG-El Segundo Partners, LLC, a California limited liability company
("TPG"), and the City of El Segundo, a municipal corporation(the "City"), with reference to the
following facts:
RECITALS:
A. TPG owns certain real property in the City of El Segundo, consisting of
approximately 46.53 acres in the northeast quadrant of the City, as more specifically described
by the legal description set forth in Exhibit "A" attached hereto and incorporated herein by this
reference (the "Property").
B. TPG and the City are parties to a Development Agreement adopted by the City
Council pursuant to Ordinance No. 1345 on January 2, 2002 ("Development Agreement")
regarding the development of the Property with a mixed use corporate campus more particularly
described in the Development Agreement (the "Project").
C. Section 6.6 of the Development Agreement provides that TPG shall offer to the
City an approximate five-acre portion of the Property located at the northeast corner of Nash
Street and Mariposa Avenue as more particularly described in Exhibit "13" attached hereto and
incorporated herein by reference (the "Park Site"). TPG has agreed to sell to the City the Park
Site on the terms and conditions of the Agreement of Purchase and Sale and Escrow Instructions
dated December 5, 2005 ("Purchase Agreement"). Such sales transaction is hereinafter referred
to as the "Park Site Sale."
D. Sectioii 6.2 of the Development Agreement provides that TPG shall dedicate to
the City one acre of the southeast portion of the Property at a mutually acceptable location
abutting on either Douglas Street or Mariposa Avenue for use as a fire station("Fire Station
Site"). The parties have agreed that the Fire Station Site shall abut Mariposa Avenue at the
location as more particularly described in Exhibit "C" attached hereto and incorporated herein by
reference.

E. Concurrently herewith, the Park Site Sale and Fire Station Site dedication are
being closed and recorded.
F. The parties now desire to execute and record this Agreement in order to provide
for needed ingress and egress and for utilities and other facilities as more particularly set forth
herein.
NOW, THEREFORE, in consideration of the foregoing, the parties hereby promise,
covenant and agree to the following:
1. Definitions. In addition to other terms defined elsewhere herein, the following
terms shall have the meanings specified.
a. Utilities. The term"Utilities" as used herein means any facilities and
improvements for storm drains, sanitary sewer systems, domestic water systems and meters,
reclaimed water systems and meters, fire protection water systems and hydrants, natural gas
systems and meters, electrical power systems (excluding transformers) and meters, telephone
systems, cable television systems, fiber optic systems and any other utility systems and facilities
reasonably necessary to service any permitted uses situated on any part of the Property.
b. "l"PG Propcily. The term "TPG Property" as used herein means the
remainder of the Property following the conveyance of the Park Site and the Fire Station Site to
the City.
C. Association. The term"Association"means the association to be formed
by the owner(s) of lots within the contemplated subdivision of the TPG Property for the
regulation of the development of the subdivision and the management of the common areas
within the subdivision.
2. City Grant of Easelneiits to TPG.
a. hwiress and Egess. The City hereby grants to TPG, the Association and
owners of the TPG Property a permanent, nonexclusive easement, appurtenant to the TPG
Property and each parcel or lot thereof as it may be subdivided, for vehicular and pedestrian
ingress and egress over the portions of the Park Site and the Fire Station Site that lie within
streets, parkways and sidewalks installed from time to time on the perimeter of the Park Site or
the Fire Station Site, as described below:
(1) that certain strip of land 23.5 feet and variable width and located
immediately adjacent to, and southerly of, the northerly property
line of the Park Site, and located between the westerly and easterly
boundaries of the Park Site as depicted on Exhibit "D":
(2) that certain strip of land 23.5 feet and variable width and located
immediately adjacent to, and westerly of, the easterly property line
of the Park Site, and located between the northerly and southerly
boundaries of the Park Site, as depicted on Exhibit "D"; and
(3) that certain strip of land 23.5 feet and variable width and located
immediately adjacent to, and easterly of, the westerly property line
of the Fire Station Site, and located between the northerly and

southerly boundaries of the Fire Station Site, as depicted on
Exhibit "D."
The areas of the Park Site and Fire Station Site described above in subsections (1)through(D of
this Section 2.a. and shown on Exhibit"D" are collectively referred to herein as the "Easement
Area." It is understood and agreed that vehicular and pedestrian traffic over the Easement Area
for ingress and egress will increase from time to time as the contemplated subdivision of the
TPG Property is developed and the various lots within the subdivision become occupied and
open for business.
b. Perimeter Landscapin.sy and Sidewalks around Park Sete. The Cityhereby
grants to TPG the right, appurtenant to the TPG Property, at TPG's sole cost and expense (but
without obligation on TPG's part), (1)to enter the Easement Area and install perimeter
landscaping and sidewalks within the Easement Area on the Park Site, and (2) to enter and install
landscaping and sidewalks along the perimeter of the Park Site immediately adjacent to Nash
Street and Mariposa Avenue, consistent with the perimeter landscaping and sidewalks along
adjacent portions of the TPG Property. TPG shall install such landscaping and sidewalks
concurrently with TPG's installation of landscaping and sidewalks on adjacent portions of the
TPG Property. Nothing herein shall prohibit the City from itself installing such perimeter
landscaping and sidewalks on the Park Site, in which case TPG shall have no further right or
obligation under this Agreement with respect to perimeter landscaping and sidewalks on the Park
Site. Without regard to which party installs the perimeter landscaping and sidewalks, it shall be
the City's responsibility at its expense to maintain, repair and replace the perimeter landscaping
and sidewalks on the Park Site.
C. 'fenvorary C'onstructiOn Easements. The City hereby grants to TPG
temporary construction easements, appurtenant to the TPG Property, (1) to enter onto the
Easement Area from time to time, as reasonably necessary, to grade, construct and install the
streets, curbs, gutters, Utilities and other similar improvements on or beneath the Easement Area,
and (2) to enter onto the Easement Area, as well as onto the perimeter of the Park Site along
Nash Street and Mariposa Avenue, from time to time, as reasonably necessary, to install the
perimeter landscaping and sidewalks described in Section 2.b. above. Prior to such entry, TPG
shall provide the City with evidence of commercial general liability insurance reasonably
acceptable to the City. These temporary construction easements shall terminate at such time as
the City has completed its own construction of its improvements on the Park Site and the Fire
Station Site and the same have been, respectively, opened to the public for use and placed in
operation. Meanwhile, TPG and the City shall cooperate and coordinate their respective
construction activities in order to facilitate those projects and avoid hindering one another and so
that TPG's construction activities on the Park Site and the Fire Station Site shall not
unreasonably interfere with the City's quiet enjoyment of the Park Site and the Fire Station Site,
including but not limited to the City's construction activities on these Sites.
d. LJ ility Conivanics. Upon request from TPG, the Association or any
successor or any future owner of any of the TPG Property, from time to time, the City shall grant
permanent, nonexclusive subsurface easement(s) within the Easement Area, but only to the
extent that the use of such easement shall not unreasonably interfere with the City's quiet
enjoyment of the Park Site or Fire Station Site and shall not cause damage to the improvements
thereon, to any utility company for the construction, installation, operation, use, cleaning,

maintenance, repair, relocation, modification, enlargement, replacement and removal of any
Utilities owned or operated, or to be owned or operated,by such utility company and located, or
to be located, in the Easement Area, and for associated surface entry and restoration. A utility
company installing Utilities in the Easement Area shall be required to restore the area disturbed
by its construction activities to the same or better condition as the area was in prior to the time
the utility company commenced its construction activities.
e. Utility and Street Maintenance. In addition to the initial construction and
installation of Utilities and streets as provided for in Sect ioai 2.c. above, the City hereby grants to
TPG and the Association a permanent, nonexclusive easement, appurtenant to the TPG Property
and each parcel or lot thereof, for the maintenance, repair, resurfacing and replacement of the
streets, curbs and gutters installed on the Easement Area and for the operation, use, cleaning,
maintenance, repair, relocation, modification, enlargement, replacement and removal of any
subsurface Utilities owned or operated, or to be owned or operated,by TPG or the Association
and located, or to be located, beneath the Easement Area, and for associated surface entry and
restoration. All Utilities shall be located beneath the Easement Area except for fire hydrants.
f. TPG Indemnity. TPG or the Association shall indemnify, defend and hold
the City harmless from and against any claim arising from their or their customers, invitees,
licensees, employees, agents, vendors or successors or assigns entry onto the Park Site or the Fire
Station Site, except to the extent arising from the City's negligence or willful misconduct.
3. Ra11i with the Land. This Agreement shall run with the Park Site, the Fire Station
Site and the TPG Property and shall be binding upon and shall inure to the benefit of any future
owners, encumbrancers, their successors, heirs or assigns.
4. Attonievs' Fees. If any action or proceeding shall be brought by either party in
order to enforce the provisions of this Agreement, or to collect damages as a result of the breach
of any of the provisions of this Agreement, the prevailing party shall be entitled to recover all
reasonable costs incurred in connection therewith, including attorneys' fees.
5. Amendment. All amendments and supplements to this Agreement must be in
writing and executed by the City and TPG or the Association. This Agreement has been entered
into after full investigation of the facts by both parties and neither party has relied on any
statement or representation not embodied in this document. This Agreement has been drafted
through a joint effort of the parties and their counsel and therefore shall not be construed against
either of the parties as the draftsperson.
6. Governina Law. This Agreement shall be governed under the laws of the State of
California and the venue for any legal or equitable action arising out of or relating to this
Agreement shall be the Los Angeles County Superior Court.
7. (,oLinter[)arts, Fica(lit7�,is <a1id l)eljlic.c1 Te1°1lis. This Agreement maybe executed in
several counterparts each of which shall be an original, but all of such counterparts shall
constitute one such Agreement. The headings used herein are for convenience only and are not
to be construed to be part of this Agreement.
8. Waiver. The waiver by one party of performance of any covenant, condition or
promise shall not invalidate this Agreement, nor shall it be considered to be a waiver by it of any
other covenant, condition or promise. The waiver by either or both parties of the time for

performing any act shall not constitute a waiver of the time for performing any other act or an
identical act required to be performed at a later time. The exercise of any remedy provided in
this Agreement shall not be a waiver of any other remedy provided by law.
9. Third Parties. Nothing contained in this Agreement, expressed or implied, is
intended to confer upon any person, other than the parties hereto and their successors and
assigns, any rights or remedies under or by reason of this Agreement.
10. Severabilitv. If any one or more of the provisions contained in this Agreement
shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity,
illegality or unenforceability shall not affect any other provision hereof and this Agreement shall
be construed as if such invalid, illegal or unenforceable provision had never been contained
herein.
11. Additional DDocuineiits. Each party hereto agrees to perform any further acts and
to execute and deliver any further documents which may be reasonably necessary to carry out the
provisions and purposes of this Agreement.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day and
year first set forth above.

California, described in the grant deed from the Santa Fe Land Improvement Company to the
Atchison, Topeka and Santa Fe Railway Company, recorded April 11, 1949 in book 29807 page
332 of official records of said county, described as follows:
Beginning at a point on that certain course described as having a bearing of north 78 degrees 47
minutes east and a length of 633.30 feet in the southerly line of the land described in said deed,
said point being distant thereon south 78 degrees 55 minutes 38 seconds west 435.35 feet from
the easterly terminus thereof; thence south 89 degrees 56 minutes 28 seconds west 6.55 feet;
