COVENANT
(TPG's Covenant to Provide Parking)
RECITALS:
A. TPG-El Segundo Partners, LLC, a California limited liability company ("TPG"),
is the owner of certain real property in the City of El Segundo, consisting of approximately 46.53
acres in the northeast quadrant of the City, as more specifically described by the legal description
set forth in Exhibit"A."which exhibit is attached hereto and incorporated herein by this
reference ("Property").
B. TPG and the City of El Segundo, a municipal corporation (the "City"), are parties
to a Development Agreement adopted by the City Council pursuant to Ordinance No. 1345 on
January 2, 2002 (the "Development Agreement") regarding the development of the Property
with a mixed use corporate campus more particularly described in the Development Agreement
(the "Project").
C. Section 6.6 of the Development Agreement provides that TPG shall offer to the
City an approximate five-acre portion of the Property located at the northeast corner of Nash
Street and Mariposa Avenue as more particularly described in lxllibit "B" attached hereto (the
"Park Site"). Section 6.6 also provides that TPG shall execute a covenant reasonably
satisfactory to the City to provide 100 parking spaces for the Park Site on the Property adjacent
thereto.
D. TPG has agreed to sell to the City the Park Site on the terms and conditions of the
Agreement of Purchase and Sale and Escrow Instructions dated December 5, 2005 (the
"Purchase Agreement"). Such sales transaction is hereinafter referred to as the"Park Site
Sale."
E. As part of the closing of the Park Site Sale, the parties desire that TPG execute
and record this covenant in order to temporarily satisfy the parking covenant requirement of
Section_6.6 of the Development Agreement.
NOW, THEREFORE, in consideration of the foregoing, the parties hereby promise,
covenant and agree to the following:
1 Teinnor•ary Parkiria, Area On or before the City's completion of improvements to
the Park Site to enable it to be used by the public for recreational purposes (which is currently

anticipated to be Jun 1, 2007), TPG shall provide 100 parking spaces for use by visitors to the
Park Site in a surface parking lot on the Property (the "Temporary Parking Area") generally ��
located in one of the two locations depicted on Ex' ,it""C," or at such other location as mutually
agreed by TPG and the City in their respective sole discretion. In the event one of the parties
requests that the location of the Temporary Parking Area be located in a different location and
the other party does not approve of the location, the Temporary Parking Area shall be
constructed on of the two locations depicted on Exhibit C. TPG shall improve the surface of the
Temporary Parking Area with asphalt, or similar material acceptable to the City, and shall be
required to stripe and improve the Temporary Parking Area with temporary lighting reasonably
acceptable to the City and maintain an adequate number of trash receptacles on the Temporary
Parking Area. The City shall provide TPG access to electrical power for the lighting and TPG
shall pay for the costs of the electricity utilized to power the temporary lighting. TPG shall
provide reasonable directional signage to the Temporary Parking Area. TPG may relocate all or
a portion of the 100 parking spaces from one of the locations depicted on Exhibit "C" to the
other, provided that TPG provides a total of 100 spaces at all times when the Temporary Parking
Area must be provided pursuant to this covenant. TPG shall maintain the Temporary Parking
Area in a reasonably good condition including the improvements thereon and keep the site free
from trash and debris. Except as expressly provided herein, TPG shall not be required to meet the
design, landscaping and other standards under the City Municipal Code applicable to parking
lots.
2. -a.il(,,Site._Parkip , Area. Upon the earlier occurrence of(i) TPG's development of
the legal parcels upon which the Temporary Parking Area is located, or(ii)within seven(7)years
from the date of execution of this Covenant, TPG shall replace the Temporary Parking Area with
100 spaces for use by visitors of the Park Site in a surface parking lot or parking structure (the
"Park Site Parking Area"). The Park Site Parking Area shall be in a location in accordance
with the Development Agreement as approved by the City, which approval shall not be
unreasonably withheld, conditioned or delayed. The Park Site Parking Area shall be paved and
striped and shall contain such lighting, landscaping and such other improvements as may be
required under the City Zoning and Building Codes, and the approvals granted by the City for
the Project.
3. Retalaceiiiemit.C, , ra,aaat. Following completion of the Park Site Parking Area,
TPG shall execute a replacement covenant in favor of the City to provide the required parking in
the Park Site Parking Area until such time that the City ceases to use substantially all of the Park
Site for a pubic park/and or soccer fields or similar public facilities compatible with the
improvements on the Property, such as a police station or a community center. Upon execution
and recordation of such replacement covenant, this covenant and all of the rights granted herein
shall automatically terminate and be of no further force or effect.
4. hiuress and Egress. TPG hereby grants to the City and its licensees and visitors to
the Park Site a nonexclusive easement for vehicular and pedestrian ingress and egress over, and
parking on, the 100 parking spaces established pursuant this covenant, wherever those parking
spaces are located on the TPG Property from time to time in accordance with this Covenant to
Provide Parking or in accordance with the contemplated replacement covenant. Additionally,

TPG shall allow licensees and visitor to the Park Site to utilize the private streets located on the
TPG Property for ingress and egress to and from Parking Site Area.
5. Rtil ITsITITaild Rc tmlatiom. The visitors to the Park Site shall comply with such
reasonable non-discriminatory safety related rules and regulations as TPG may adopt from time
to time but which do not prohibit parking during the hours that the Park Site is open to the
public, and TPG reserves the right to eject any persons and vehicles that do not comply with such
rules or regulations.
6. Maintenance. TPG shall, at its sole cost and expense,maintain the Temporary
Parking Area in a reasonably safe manner and to the same standards as other temporary parking
areas in the City or nearby cities.
7. Successors and Assigns. This covenant and agreement shall run with the Property
and shall be binding upon any future owners, encumbrancers, their successors, heirs or assigns.
