REIMBURSEMENT AGREEMENT
This Reimbursement Agreement ("Agreement") is entered into as of April 5,2017, by and
between the City of El Segundo,a general law city and municipal corporation ("City"), and
Chick-fil-A, Inc. ("Applicant/Developer"). The parties agree as follows:
1. Recitals. This Agreement is made with reference to the following facts and
circumstances:
a. The Applicant/Developer filed an application to build a new approximately
5,000 square-foot Chick fil-A at 740 N. Sepulveda Boulevard (APN 4138-
006-003) (the"Project'). The property is currently developed with an 8,100
square foot building, surface parking and a two-level parking structure that
Is currently being utilized as a credit union (i.e., a financial/office use).
Thus, the project will include both demolition of the existing structure and
construction of the new fast food restaurant.
b. The Project requires environmental review, preparation of environmental
technical reports and documents under the California Environmental
Quality Act ("CEQA");the retention of costs of attorneys'fees;the retention
and costs of professional consultants; the costs of work performed by City
staff to complete a number of tasks including environmental review, zoning
review, plans review for compliance with City standards, building code
compliance, preparation of reports, and project management duties; the
reasonable processing costs related to review and inspection of the
Project; and the costs of implementing the conditions of approval
(collectively, "Project Costs"). Such Project Costs are further described in
Exhibit"A"attached hereto and incorporated by this reference.
C. City believes it is in the public interest for Applicant/Developer to pay such
Project Costs. Applicant/Developer understands that all work performed by
the City related to the Project will be under the direction of City, but at
Applicant/Developer's expense.
2. Citv (Reimbursement. Applicant/Developer agrees to fully reimburse the City for
the Project Costs. City has estimated the Project Costs as being$86,365.00. This
amount includes the environmental consulting services to be performed by Michael
Baker International as described in Exhibit "A" (which includes 10-percent
contingencies) and an estimated 10-percent for City Administrative Costs.
However, the Applicant/Developer acknowledges that the actual amount of such
Project Costs may be different. Nonetheless, even though the actual amount of
such Project Costs may be different,the Applicant/Developer agrees to reimburse
the City for the full amount of the actual costs of such Project Costs in the manner
provided in this Agreement. City will provide Applicant/Developer with an
accounting of the Project Costs on a monthly basis, which accounting the
Applicant/Developer agrees will be conclusive, in the absence of manifest error.
The total cost of the Project Costs, as disclosed by the accounting, is called the
"Reimbursement Amount"
3. Method of Reimbursement.

a. Initial Deposit. Except as provided below, upon execution of this
Agreement, Applicant/Developer agrees to deposit with City $86,365.00
("Deposit Amount"), which represents 100 percent of the total estimated
Reimbursement Amount. Costs associated with the Project will be charged
against the deposit amount.
b. The Deposit Amount will be placed in a non-interest bearing trust account
established by the City Manager. Applicant/Developer understands and
agrees that City will not pay interest to Applicant/Developer on the Deposit
Amount and Applicant/Developer will not seek such interest payments from
City.
C. Replenishment De o�sit.Whenever the Deposit Amount balance falls below
$5,000, the City may request the Applicant/Developer to replenish the
amount ("Replenishment Deposit"). Applicant/Developer agrees to deliver
a Replenishment Deposit to City within 10 business days following the
City's request.
d. Should the actual Reimbursement Amount exceed the Deposit Amount,
Applicant/Developer agrees to promptly pay City any difference. Should
the Reimbursement Amount be less than the Deposit Amount, City will
refund Applicant/Developer any remaining Deposit Amount to
Applicant/Developer within 30 days after determining the Reimbursement
Amount.
4. Citv Administrative Costs. Administrative costs incurred by City, including, without
limitation, staff time, legal costs, fees and services, must be reimbursed on a time
and materials basis based on current City reimbursement rates. As described in
Section 2 above, it is currently estimated that such administrative costs will total
10 percent. Applicant/Developer acknowledges that such amount is an estimate
only and that the actual administrative costs may be more or less than such
amount.Such costs will be deducted by City from the Deposit Amount on a monthly
basis.
5. ADolicant/Developer Default. Should Applicant/Developer fail to perform any of its
obligations under this Agreement, then City may, at its option, pursue any one or
more or all of the remedies available to it under this Agreement, at law or in equity.
Without limiting any other remedy which may be available to it, if
Applicant/Developer fails to pay either the Deposit Amount or a Replenishment
Deposit, or fails to fully reimburse the City for the Project Costs, City may cease
performing its obligations under this Agreement and may bring an action to recover
all costs and expenses incurred by the City in completing the studies,together with
interest thereon from the date incurred at the rate of 10% per annum.
6. Term. This Agreement will terminate either (i) upon issuance of a Certificate of
Occupancy for the project; or (ii) when the Project has been disapproved or the
application has been formally withdrawn. Disapproval of the Project or the
Applicant/Developer's withdrawal of the application does not excuse
Applicant/Developer from reimbursing the City for the Project Costs incurred up to
such date of disapproval or withdrawal pursuant to this Agreement.

7. Conflicts of Interest.
a. Consultants Work for City. City has sole discretion to direct the work and
evaluate the performance of the employees and contractors assigned to
work on the Project, and City retains the sole right to terminate or replace
any such employees or contractors. Notwithstanding the fact that
Applicant/Developer provides funding for the performance of the reports
and studies provided hereunder, such documents prepared hereunder or
any approvals granted reflect the City's independent judgment, and City
has no obligation to approve the Project.
b. No Emolovment by Aoolicant/Develoner. Applicant/Developer represents
and warrants that:
i. For the 12-month period preceding the submission of its application
for the Project, it has not entered into any arrangement to pay
finance consideration to, and has not made any payment to, the
City's consultants retained for the Project.
ii. For a period of 12 months after final resolution of
Applicant/Developer's application for the Project, neither
Applicant/Developer, nor any of its representatives, agents or other
persons acting in concert with Applicant/Developer, shall enter into
any financial relationship with any consultants, or with any City
official, agent or employee. Nor, during such period, shall
Applicant/Developer propose to enter into any future relationship
with the consultants, or with any City official, agent or employee.
iii. It has not entered into any arrangement to pay financial
consideration to, and has not made any payment to, any City
official, agent or employee that would create a legally cognizable
conflict of interest as defined in the Political Reform Act (California
Government Code §§ 87100 et seq.).
C. Communications with Consultants. Applicant/Developer may only
communicate with consultants retained hereunder with the permission of
the City's Director of Planning and Building Safety. In no case may
Applicant/Developer direct consultant as to how to undertake or prepare
consultant's work product.
8. Compliance with Lave. Applicant/Developer will, at its sole cost and expense,
comply with all of the requirements of all federal, state, and local authorities now
in force, or which may hereafter be in force, pertaining to this Agreement.
9. Waiver of Breach. Any express or implied waiver of a breach of any term of this
Agreement will not constitute a waiver of any further breach of the same or other
term of this Agreement.
10. Insolvencv: Receiver. Either the appointment of a receiver to take possession of
all or substantially all of the assets of Applicant/Developer, or a general assignment
by Applicant/Developer for the benefit of creditors, or any action taken or offered

by Applicant/Developer under any insolvency or bankruptcy action, will constitute
a breach of this Agreement by Applicant/Developer, and in such event this
Agreement will automatically cease and terminate if Applicant/Developer or its
successor or assign cease or fails to timely pay any amount due and payable by
Applicant/Developer (or its successor or assign) under this Agreement.
11. (Notices. Except as otherwise expressly provided by law, all notices or other
communications required or permitted by this Agreement or by law to be served
on or given to either party to this Agreement by the other party will be in writing
and will be deemed served when personally delivered to the party to whom they
are directed, or in lieu of the personal service, upon deposit in the United States
Mail, certified or registered mail, return receipt requested, postage prepaid,

Either party may change its address for the purpose of this Section by giving written
notice of the change to the other party.
12. Acceptance of Electronic Signatures, The Parties agree that agreements ancillary
to this Agreement and related documents to be entered into in connection with this
Agreement will be considered signed when the signature of a party is delivered by
electronic mail in "portable document format" (i.e., .pdf) form, or by facsimile
transmission. Such signature will be deemed to be and treated in all respects as
an original signature.
13. Governino Law. This Agreement is made in and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving
this Agreement will be in Los Angeles County.
14. Partial Invaliditv. Should any provision of this Agreement be held by a court of
competent jurisdiction to be either invalid or unenforceable, the remaining
provisions of this Agreement will remain in effect, unimpaired by the holding.
1 . Integration. This instrument and its attachments constitute the sole agreement
between City and Applicant/Developer respecting the matters above and correctly
sets forth the obligations of City and Applicant/Developer.

16. Construction.The language of each part of this Agreement will be construed simply
and according to its fair meaning, and this Agreement will never be construed
either for or against either party.
17. Authority/Modification, The Parties represent and warrant that all necessary action
has been taken by the Parties to authorize the undersigned to execute this
Agreement and to engage In the actions described herein. This Agreement may be
modified by written amendment.The City's manager, or designee,may execute any
such amendment on behalf of City.
18. Counteroarts. This Agreement may be executed in any number of counterparts,
each of which will be an original, but all of which together will constitute one
instrument executed on the same date.

Michael Baker International is pleased to submit this proposal to prepare an Initial Study (IS) and, if
deemed appropriate, a Mitigated Negative Declaration (MND) for the Chick-fil-A project pursuant to
the California Environmental Quality Act(CEQA).
PROJECT DESCRIPTION
The proposed project involves developing a Chick-fil-A restaurant with a drive-through window at 740
North Sepulveda Boulevard, near the southeast intersection of Sepulveda Boulevard and Maple
Avenue (APN 4138-006-003).The project site currently contains two structures: an 8,100-square-foot
one-story credit union building with a drive-through and a two-level parking structure. The project
proposes to demolish the credit union building and, in its place, construct a 4,996-square-foot one-
story Chick-fil-A restaurant building, with the capacity for 118 seats, a kitchen, an office, restrooms,
and a 325-square-foot children's play area. The project proposes to maintain the existing parking
structure,with modifications to the ground level to accommodate a drive-through queuing lane and a
menu/order board. With the proposed modifications, the project site will have a total of 68 parking
spaces and five bicycle parking spaces.
PROJECT TEAM QUALIFICATIONS
Having prepared environmental documents for numerous commercial projects and for projects in El
Segundo, Michael Baker is highly qualified to prepare the IS and, if deemed appropriate, MND for the
proposed project. Our project manager, John Bellas, has related experience, including multiple
IS/MNDs for restaurant and retail projects in Rolling Hills Estates, Pasadena, Burbank, Industry, and
Santa Clarita. In addition, our team's experience includes preparing the IS/MND, and corresponding
traffic study,for the In-N-Out project just south of the project site on Sepulveda Boulevard.

Peninsula Center Revitalization Project IS/MND
Michael Baker prepared an IS/MND for an expansion and remodel of the Peninsula Shopping Center,
providing for a net increase of 19,019 square feet of commercial building space, increasing the center's total
size to 313,216 square feet. The new building space would be in three new outlying building pads and one
expanded outlying restaurant pad (now occupied by The Habit Burger and Chipotle). The project also
included various additional changes to the center, including decommissioning or consolidating existing tenant
spaces, demolishing an existing pedestrian colonnade, reconfiguring parking and circulation facilities,
improving sidewalks, and installing new signage and landscaping.
Merrill Gardens Residential Care Facility for the Elderly (RCFE)/Village Shopping Center
Michael Baker prepared an IS/MND for a proposed Merrill Gardens RCFE facility and improvements to the
existing Village Shopping Center. The RCFE, as approved in September 2016,will be 137,785 square feet in
size,with 94 assisted living units, 20 memory care units, 16,255 square feet of indoor common amenity space,
and 17,309 square feet of outdoor landscaped courtyards. The facility will comprise one building with four
levels: three aboveground stories and one partially subterranean level that would partially be used for
approximately 62 parking spaces. In addition, the project included an approximately 169-space parking
structure and a modified version of the Village Shopping Center.
Rolling Hills United Methodist Church School Project IS/MND
Michael Baker prepared the IS/MND for an expansion and remodel of the United Methodist Church School.
The project consisted of replacing five existing one-story school buildings with three new one-and two-story
school buildings and an expanded administration building. The proposed new buildings would total 14,078
square feet (including a 1,461-square-foot basement), and the proposed project would expand the
administration building by 560 square feet. The project would result in a net increase of 7,759 square feet of
building space. The project would reorient the campus, with the three new proposed buildings (north,south,
and east wings) and the administration building (west wing) creating a quad with a courtyard/play area with
an additional play area adjacent to Crenshaw Boulevard.

Environtnental Coordiaaation Services
Michael Baker provides environmental coordination services to the City. In this role, staff is responsible for
overseeing the preparation and management of all of the City's environmental documents.Tasks include
supervising the CEQA process for all projects in the city; reviewing CEQA and NEPA documents prepared
by City staff and other consultants; providing recommendations on the appropriate procedures for complying
with CEQA and other environmental regulations; advising the City on environmental matters; reviewing
technical studies for adequacy; overseeing the preparation, posting, and distribution of environmental notices;
and participating in public meetings and hearings.
Paseo Colorado Revitalization Project/Hyatt Place Hotel IS/MND
Michael Baker prepared the IS/MND for a revitalization project for the Paseo Colorado retail/mixed-use
center (the Paseo),which proposed a new Hyatt Place Hotel, up to 100 multifamily residential units, new
restaurant and retail spaces, reconfigured patron amenities, and improved pedestrian connectivity. The
project's most significant improvements were proposed at the eastern end of the Paseo,where the 158,900-
square-foot Macy's building,which closed in the spring of 2013,would be demolished.Two buildings would
be developed in its place—a new 179-room hotel and a new 6-story mixed-use building,which would flank a
proposed extension of the Paseo's central pedestrian mall.
Mixed-Use Project at 254 East Union Street IS/MND
Michael Baker prepared an IS/MND for a proposed mixed-use project that involved development of a six-
story mixed-use building consisting of 2,625 square feet of commercial uses, parking on the ground floor, and
36 residential units on the upper levels.Two levels of subterranean parking would also be provided.The
project requested a variance to allow the commercial uses on the ground floor to have a reduced depth along
Union Street.The site was developed with a parking lot containing 61 parking spaces,which served the office
uses located at 225 East Colorado Boulevard. The existing parking spaces were proposed to be replaced and
incorporated as part of the project. Historic resources were a key issue for the project, since the site is
bounded by the Pasadena Civic Center Historic District on the east and north and by the Civic Center
Financial Historic District on the west.

Valencia Suites Qlotel and Restaurant Project lS/MND
Michael Baker prepared an IS/MND for a proposed extended stay hotel and a 4,000-square-foot stand-alone
restaurant in the northwest corner of the Valencia Boulevard/McBean Parkway intersection.The proposed
hotel is 5 stories and approximately 60 feet in height and includes 88 studio rooms, 32 one-bedroom rooms,
and 14 two-bedroom rooms, for a total of 134 suites. Proposed hotel amenities include an outdoor pool and
patio area, a fitness center, a breakfast bar, a lobby, a great room, and a business center area.

Canyon Country Community Center and Parr IS/MND
Michael Baker is currently preparing an IS/MND for the Canyon Country Community Center project. The
project involves the demolition of three commercial buildings and construction of an approximately 20,000-
to 22,000-square-foot community center and park improvements, including open play areas,water features,
an outdoor market/mercado, an event stage, parking, off-site street improvements, and a stormwater
infiltration system.The proposed community center would include spaces such as a multipurpose room,
gymnasium, classrooms, catering and teaching kitchen, fitness room, staff offices, a reception lobby, and
supporting uses such as restrooms and storage areas.The facility would also feature an events garden, group
picnic areas, a basketball half-court, and a perimeter trail.
Bridgeport Marketplace/Real Life Christian Church Project IS/MND
Under previous employment, Michael Baker's project manager,John Bellas, managed the preparation of an
IS/MND for the Bridgeport Marketplace/Real Life Christian Church Project.The proposed project consisted
of developing a 31.75-acre site with 132,748 square feet of commercial space, a 30,133-square-foot house of
worship, and 5-acre park.The Real Life Christian Church component included indoor and outdoor worship
areas including a 1,200-seat auditorium, gathering spaces, creative kids environments, and a community
coffee house.
Kaiser Permanente Medical Office Project IS/MND
Michael Baker prepared an IS/MND for a 115,610-square-foot Kaiser Permanente medical office building.
The proposed project consisted of converting a former US Borax office building/research and development
facility into a medical office building that includes doctors' offices, an outpatient surgery center, an urgent
care facility, a laboratory, and a pharmacy. In addition, the project included demolishing an existing 299-
space, 4-story parking structure and replacing it with a 7-story, 568-space parking structure,which would be
the tallest parking structure in Santa Clarita.

Mission Place Project EIR
Michael Baker prepared an EIR for a mixed-use project on a 1.27-acre surface parking lot owned by the
South Pasadena Unified School District and located in the Mission Street Historic Business District in South
Pasadena. The proposed project consisted of two 3-story mixed-use buildings totaling 75,820 square feet. The
project proposed 91 multifamily residential units, 7,000 square feet of ground-floor retail and restaurant space
fronting Mission Street, and 228 parking spaces in three levels of underground parking. The project would
include a mix of housing types, including garret units (above the proposed retail space), townhomes, flats, and
lofts.

drive-through along Pacific Coast Highway in the City of Lomita.The proposed Starbucks was 850 square
feet in size,with approximately 180 square feet of outdoor seating and 11,000 square feet of surface parking
with 12 parking spaces. The proposed project included demolition of 6,165 square feet of an existing,
occupied building area.

Michael Baker is currently preparing an IS/MND for a project that encompasses expansion and renovation of
an existing mall, consisting of a net increase of approximately 80,000 square feet of commercial building
space, increasing the center's total building size to 1,415,210 square feet.The expansion would result in the
addition of approximately 32,538 square feet to the west side of the mall by way of four new buildings, and
approximately 47,462 square feet to the east side of the mall by way of four new buildings. The project would
add approximately 32,000 square feet of retail space (40 percent of the new floor area) and 48,000 square feet
of restaurant/market space (60 percent of the new floor area).
Michael Baker completed the EIR for a proposed warehouse on the southeast corner of Azusa Avenue and
Chestnut Street. The project proposed to subdivide the 28.9-acre site into five parcels and develop each parcel
with a concrete tilt-up warehouse/office building. The buildings would have a combined total building area of
614,597 square feet and would not involve the demolition of any existing structures.The buildings would
occupy approkimately 49 percent of the 28.9-acre area.The new parcels would be accessed via single-use
driveways that measure 26 to 45 feet wide. The project site is situated in an industrial area occupied primarily
by warehouses, manufacturing facilities, and various businesses.
Echelon Avenue Commerce Park ISM'IND
Michael Baker prepared an IS/MND for the development of an approximately 13.4-acre site with seven
industrial/warehouse buildings totaling 246,373 square feet (12.52 acres of total development).The project
site consists of a single parcel and would be subdivided into seven parcels and developed with concrete tilt-up
buildings that would range between 27,417 and 43,166 square feet in size,with two to five dock doors each.
Building heights would be between 32 and 36 feet high at the parapets.The project would include
construction of a new public street extension, New Echelon Street, providing access to the project site from
Loukelton Street along the northern portion of the project site. The project would also develop 415 surface
parking stalls and 68,876 square feet of landscaping.

Housing Overlay/Faure Court Project IS/MND
Michael Baker is currently preparing an IS/MND for a project that would establish a Housing Overlay Zone
for the City of Industry and apply it to a 6-acre site located in the southeast corner of the intersection of Faure
Avenue and Valley Boulevard.The project also includes a development plan for a 9-unit single-family
affordable housing residential development on the western 3.33 acres of the site. The residential development
would be oriented along a new residential street with a cul-de-sac that would be parallel to and south of Valley
Boulevard and would extend east from Faure Avenue. The site has a General Plan land use designation of
Employment and is zoned Industrial. The project would require a General Plan Amendment,which would
amend the General Plan Land Use Element to allow residential uses in select areas. The project would also
require a Zone Text Amendment,which would create a Housing Overlay Zone and implement Program 7 of
the General Plan Housing Element.

Michael Baker prepared the IS/MND for a proposed DoubleTree Hotel along Atlantic Boulevard.The
proposed hotel included 180 guest rooms, 4,544 square feet of restaurant use, 1,075 square feet of retail
space, 14,727 square feet of common areas, and 13,457 square feet for service areas and support facilities that
include a reception area, back-of-house facilities (e.g., support offices), meeting rooms, a business center, a
swimming pool, and a fitness center.The proposed hotel would be 6 stories tall and would total 97,566
square feet of aboveground floor space. The project also includes three levels of underground parking to
accommodate 263 parking spaces.

Michael Baker prepared an IS/MND for the relocation and expansion of the Arroyo Pacific Academy private
school.The project involves consolidating educational programs and administration onto a single school

circulation for pedestrians and vehicles, and three parking areas. Building A, the Gateway Structure,would be
a one-story elevated structure built over an existing surface parking lot and would accommodate classrooms
and offices. Building B, a rehabilitated commercial office structure,would be the school's Science, Math, and
Technology Center. Building C, the Clarke Center,would include theater and various related performing arts
studios for educational purposes.

For budgetary purposes, our proposal assumes that an IS/MND will be the appropriate CEQA document for

To initiate the project, Michael Baker's project manager will attend a kickoff meeting with City staff.The
kickoff meeting will be used to review project plans, discuss the project's key environmental considerations,
solidify the project schedule, and discuss the action plan for achieving that schedule. Michael Baker will also
use the kickoff meeting as an opportunity to conduct a site visit to document the existing environmental
conditions on the project site and in the surrounding area.

Michael Baker's project manager will be available to City staff at any time during the course of the assignment
to discuss the project, coordinate the project schedule, exchange information, and ensure the City's
expectations are met. In addition to the kickoff meeting, coordination meetings may be conducted to review
the City's comments on administrative draft documents and in preparation for public hearings.We have
budgeted for one coordination meeting(in addition to the kickoff meeting) with City staff.Additional
management activities include monitoring the project schedule and budget, ensuring critical timeline
milestones are met, and providing quality control review of all completed work products.
TASK 2'. TECHNICAL ANALYSES
Michael Baker understands that the following studies have been prepared for the project and will be available
to Michael Baker: hydrology study and low impact development plan, geotechnical study, and phase I and
phase II environmental site assessments.We assume any tribal notification/consultation required by Assembly
Bill 52 will be conducted by City staff; however,Michael Baker is available to conduct notification upon
request,which is subject to a separate scope and fee.
In addition to the studies submitted by the applicant, Michael Baker will prepare a traffic impact analysis and
an air quality and greenhouse gas analysis for the project. Our proposed scopes of work for these studies are
presented below.

Michael Baker will prepare a traffic impact analysis for the proposed project.The project site will have a total
of three driveways. The project will retain the existing stop-controlled full access on Maple Avenue.The south
driveway on Sepulveda Boulevard will be modified to a stop-controlled right-turn-only exit for the drive-
through lane.The north driveway on Sepulveda Boulevard will remain a stop-controlled right-in/right-out
only access.

INTERNATIONAL
This traffic study will evaluate and identify traffic impacts associated with the proposed project by assessing
trip generation, distribution, and assignment of the proposed project on the study area circulation system. If
necessary, mitigation measures for identified project-generated traffic impacts will be recommended in
accordance with applicable performance criteria.
Based on the initial estimate using the Institute of Transportation Engineers (ITE) Trip Generation Manual
(9`h Edition, 2012), the proposed project is anticipated to generate approximately 1,670 net daily trips with
148 net weekday AM peak hour trips, 104 net weekday PM peak hour trips, and 203 net Saturday mid-day
(MD) peak hour trips.The trip credit for the existing office building is also calculated using the ITE trip
rates.The scope of work assumes up to 11 study intersections will be studied in the analysis-6 of which were
identified in the City's RFP and 5 additional intersections recommended by Michael Baker.The precise study
intersection locations will be identified based on further discussions with jurisdiction staff and refinement of
the project trip generation and distribution assumptions. It is estimated that the study area may include the
following 6 intersections identified in the City's RFP:
1) Sepulveda Boulevard at El Segundo Boulevard (signalized—Caltrans. CMP)
2) Sepulveda Boulevard at Grand Avenue (signalized)
3) Sepulveda Boulevard at Mariposa Avenue (signalized)
4) Sepulveda Boulevard at Maple Avenue (signalized)
5) Sepulveda Boulevard at Walnut Avenue (signalized)
6) Sepulveda Boulevard at Imperial Highway(signalized)
In addition to the intersections above, Michael Baker estimates that the study area may include the following

Scoping Process with Agency
Michael Baker will prepare a scoping document for the review and approval of City staff prior to preparation
of the traffic impact analysis. If additional tasks not included in this proposal are identified during the scoping
agreement process, this scope and corresponding fee may be adjusted accordingly.
Data Collection/Site Visit
Michael Baker will collect existing traffic count volumes at the identified study intersections on a typical
weekday and a typical Saturday. Intersection traffic count data will be collected from 7:00 a.m. to 9:00 a.m.
in the weekday morning peak period, 4:00 p.m. to 6:00 p.m. in the weekday afternoon peak period, and
11:00 a.m. to 1:00 p.m. in the Saturday MD peak period; the analysis will utilize the highest hour within
each two-hour period counted. Michael Baker may utilize a contractor to perform the task of data collection.
Michael Baker will visit the study area to document existing conditions, including intersection control, traffic
signal phasing, roadway cross-section, speed limits, parking restrictions, and intersection approach lanes.The
traffic analysis will include graphics documenting the existing intersection roadway geometry, and the analysis
will utilize existing geometric conditions to establish a baseline for current operations.
Traffic Forecast
The traffic analysis for the proposed project will analyze traffic conditions for the following four analysis
scenarios for weekday AM,weekday PM, and Saturday MD peak hour conditions:
1) Existing conditions
2) Existing with Project conditions
3) Opening Year 2022 with Ambient Growth and Cumulative Development conditions
4) Opening Year 2022 with Ambient Growth, Cumulative Development, and Proposed Project conditions
A long-range year analysis is not included because the proposed project does not require a General Plan
Amendment and zone change.
The analysis will study typical weekday(Tuesday,Wednesday, or Thursday) and typical Saturday conditions
for the above analysis scenarios when the proposed project and surrounding roadway circulation system are
forecast to experience peak traffic conditions in the AM peak hour and the PM peak hour.

Project Traffic Generation
Michael Baker will derive forecast project trip generation based on the ITE Trip Generation Manual or other
source as directed by agency staff.The existing trip credit generated by the existing office building to be
demolished by the project will be estimated using the ITE trip rates.
Cumulative Project Traffic Forecast
Michael Baker will coordinate with City staff to identify an annual traffic growth rate to account for ambient
background growth in the vicinity of the project site. The Los Angeles Congestion Management Plan (CMP)
growth rate for the study area will be used as a reference to determine the growth rate.The City may also
identify a list of pending and approved cumulative projects for inclusion in the cumulative traffic forecast.
The study will identify the number of daily and peak hour trips forecast to be generated by cumulative
projects, using trip generation rates contained in the ITE Trip Generation Manual or other source as directed
by City staff.
Intersection Operations and Impact Analysis
The analysis will assess the intersection level of service conditions at the 11 study intersections for the 4
analysis scenarios identified above. Michael Baker will use the Traffix analysis software to assess traffic
conditions at the study intersections based on the Intersection Capacity Utilization (ICU)analysis methodology
for any signalized study intersections; the 2010 Highway Capacity Manual analysis methodology will be used
for any unsignalized intersections to be assessed using the Synchro software. If the analysis indicates the
proposed project will significantly impact a study intersection based on applicable agency thresholds of
significance, mitigation measures will be recommended to eliminate or reduce the impact in accordance with
agency guidelines. The analysis will document forecast operating conditions after implementation of
recommended mitigation measures, if necessary.
Freeway Mainline Analysis
The analysis will assess the I-105 freeway mainline operations utilizing the Highway Capacity Software
analysis program based on the Highway Capacity Manual analysis methodology.The freeway mainline analysis
will be conducted at the following location:
A. I-105 between Sepulveda Boulevard and Nash Street
Parking Requirements
The traffic study will determine the off-street parking requirement of the proposed project based on the City
of El Segundo's municipal code.The traffic study will assess the adequacy of the parking provision.
Traffic Study Report
The methodologies and results of the traffic analysis will be documented and summarized in a written traffic
impact analysis report prepared under the direction of a professional traffic engineer.A preliminary draft
report will be submitted to the City for review and comment.This scope of work assumes one revision to the
draft report based on City comments.

Michael Baker will conduct an air quality and greenhouse gas analysis for the project.This analysis includes
the following:
I gLLisgin C ontlitions. The project is located within the South Coast Air Basin,which is under the jurisdiction of
the South Coast Air Quality Management District (SCAQMD). Baseline meteorological and air quality data
developed through the California Air Resources Board will be utilized for the description of existing ambient
air quality. The analysis will also describe and address the requirements set forth by the SCAQMD CEQA Air
Quality Guidelines and will be structured to address the applicable questions from Appendix G of the CEQA
Guidelines.
Construction-Related Emissions. Construction emissions will be quantified with the California Emissions
Estimator Model version 2016.3.1 (CalEEMod).A general description of the major phases of construction
and their timing will be required.The air pollutant emissions during construction will be compared to the
SCAQMD regional thresholds of significance. Naturally occurring asbestos impacts will also be discussed
qualitatively.
l,.on -1 irrm larnissions. Operational (i.e., area and mobile source) emissions will be quantified and compared to
the SCAQMD regional thresholds of significance. Primary sources of emissions will be related to area sources
and local/regional vehicle miles traveled. Project consistency with the 2016Air Quality Management Plan will
be evaluated.
localized Emissions. The project is located within the SCAQMD's Source Receptor Area 3 (Southwest Coastal
LA County). Based on localized meteorological data for Source Receptor Area 3, Michael Baker will analyze
localized impacts based upon the SCAQMD's Localized Significance Thresholds methodology.
Greenhouse Gas Emissions. Michael Baker will review the land use data and prepare an inventory of the
greenhouse gas (GHG) emissions (i.e., nitrous oxide, methane, and carbon dioxide) from both direct (i.e.,
area and mobile sources) and indirect sources (i.e., energy/water consumption and wastewater/solid waste
generation). In addition, total GHG emissions from construction activities will be amortized into the GHG
emissions inventory. CalEEMod will be used to quantify GHG emissions. Reductions from recently adopted
programs and regulations will be included, such as improvements in fuel efficiency, state building code energy
efficiency, and landscaping water efficiency. The net project-related GHG emissions will be assessed against
the proposed SCAQMD bright-line screening threshold of 3,000 metric tons per year, and if necessary, to the
SCAQMD project-level efficiency threshold of 3.0 metric tons per year per service population. Mitigation
measures will be identified and incorporated, as necessary, to reduce potentially significant GHG impacts of
the proposed project.

Using the City's standard CEQA Initial Study and Environmental Checklist format, Michael Baker will
prepare an administrative draft IS for review by City staff. The IS will provide written responses to each
question on the Environmental Checklist that describe and qualitatively and/or quantitatively evaluate the
project's impact related to each topic. Each response will provide a conclusion in regard to the significance of
the project's impact,which may be determined to be potentially significant, potentially significant unless
mitigated, less than significant, or nonexistent (i.e., no impact).The analysis conducted to support such
conclusions will meet or exceed industry standards and will consider all applicable environmental regulations
and policies as well as guidance provided by responsible, trustee, and oversight agencies.
Our approach to preparing mitigation measures (if necessary) is to offer enforceable mitigation measures that
City staff can effectively implement and monitor. Because we have served in a mitigation monitoring role,we
fully understand the importance of having mitigation measures that staff can easily ensure are properly
implemented.
Beyond the technical aspects, our approach to the CEQA document is to prepare a reader-friendly document
that clearly explains why the impact is considered not significant or why the recommended mitigation
measures reduce the impact to a less than significant level. To accomplish this,we will use a combination of
narrative, figures, photographs, maps, tables, and other visual aids.We believe that our reader-friendly
approach will greatly aid the City in meeting two of the core purposes of CEQA: informing the public about
the environmental impacts of the project, and allowing decision-makers to consider the project's
environmental consequences before deciding whether to approve the project.

After receiving the City's comments on the administrative draft IS and making the appropriate changes,
Michael Baker will prepare a proof-check version of the IS for City consideration.We assume that the proof-
check version will adequately address any substantive comments which the City had and that the City's
comments on the proof-check version will be limited to edits and clarifications of final points. Michael Baker
will address such final edits/clarifications and prepare a final version of the IS.

be responsible for publishing the notice in the local newspaper and/or posting the notice on-and Off-site, if
desired.
Given the scope of the traffic impact analysis,which includes evaluating potential impacts at the Sepulveda
Boulevard (SR-1) / El Segundo Boulevard intersection (a Caltrans and Los Angeles County Congestion
Management Plan intersection), for budgetary purposes our proposal includes circulation of the NOI and
proposed IS/MND through the State Clearinghouse. Michael Baker will discuss the need to submit the
document to the State Clearinghouse with the City when the environmental evaluation is completed.
Deliverables:
Michael Baker will file the NOI to Adopt an MND with the County Clerk, mail the NOI to up to 50
recipients, submit the NOI along with 15 copies of the Initial Study and proposed MND (or Summary
Form) to the State Clearinghouse; and submit the NOI to the City electronically for the City to utilize and

ASSUMPTIONS
Michael Baker assumes that no technical studies other than those identified in the proposed scope of
work provided herein will be required to complete the CEQA documentation for the project.If additional
technical studies become necessary, we would be available to conduct the studies per the mutual
agreement of the City and Michael Baker.
Michael Baker has included up to 20 hours of professional staff time for responding to public comments
on the IS/MND. If a greater level of effort is needed to respond to comments and additional staff time
becomes necessary, Michael Baker would develop a strategy for responding to comments in concert with
the City.
Michael Baker assumes that the project description will not substantively change during the course of the
assignment. Should the project description change during the course of work, additional Michael Baker
staff time may be necessary beyond the established budget to revise/update the document and the
analysis. Should such a scenario arise, we would work with the City to seek mutually agreeable budget
augmentation.
