CONTRACT 4219A CLOSEDFIRST AMENDMENT TO
AGREEMENT NO. 4219 BETWEEN
THE CITY OF EL SEGUNDO AND
LEGACY LONG DISTANCE INTERNATIONAL, INC.
THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this 19th day of
April, 2016, by and between CITY OF EL SEGUNDO, a general law city and municipal
corporation existing under the laws of California ( "CITY "), and, LEGACY LONG DISTANCE
INTERNATIONAL INC., a California corporation ("CONTRACTOR ").
WHEREAS, on February 21, 2012, the parties entered into a Services Agreement No.
4219 ( "Agreement "), for the installation and maintenance of CONTRACTOR's Inmate
Communications Operating System. Pursuant to Sections 11 and 12 of Exhibit A to the
Agreement, the Agreement was to remain in effect for a period of three years, with the CITY's
option to renew the agreement for an additional two, one -year terms;
WHEREAS, CONTRACTOR has advised the CITY that the Federal Communications
Commission (FCC) via order 15 -136 has instituted new call regulations that disallow a connect
charge prior to per minute charges being applies on telephone calls being placed by incarcerated
individuals, and that the new rule requires CONTRACTOR to remove the connect call charge
from the rates under the existing Agreement; and
WHEREAS, both CONTRACTOR and CITY desire to modify the current inmate call
rates to comply with FCC order 15 -136, and desire to extend the term of the Agreement.
NOW, THEREFORE, CITY and CONTRACTOR further agree as follows:
Effective February 21, 2015, the term of the Agreement is extended an additional one
year and will automatically renew each year on February 21, unless the Agreement is
terminated pursuant to Section 4 of the Agreement. The parties agree that this term
will be deemed to take effect retroactively.
1 Effective June 20, 2016, the per minute call rate for all inmate local calls will be
$0.40 and the per minute call rate for all inmate intrastate calls will be $1.10. The
amended call rates are reflected in the attached Exhibit "A," which is incorporated
herein by this reference.
3, This Amendment may be executed in any number of counterparts, each of which will
be an original, but all of which together constitutes one instrument executed on the
same date.
4. Except as modified by this Amendment, all other terms and conditions of the
Agreement will remain the same.
