CONTRACT 4259 Professional Services Agreement CLOSEDAgreement N . %J Z °1, ..) 4: J .. CONTRACT FOR PROFESSIONAL SERVICES BETWEEN THE CITY OF EL SEGUNDO AND ATKINS NORTH AMERICA, INC. This AGREEMENT is entered into this 9th day of April, 2012, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation ( "CITY ") and Atkins North America, Inc., a Florida Corporation ( "CONSULTANT "). 1. CONSIDERATION. A. As partial consideration, CONSULTANT agrees to perform the work listed in the SCOPE OF SERVICES, below; B. As additional consideration, CONSULTANT and CITY agree to abide by the terms and conditions contained in this Agreement; C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to exceed sixty five thousand six hundred thirty six dollars ($65,636) for CONSULTANT's services. CITY may modify this amount as set forth below. Unless otherwise specified by written amendment to this Agreement, CITY will pay this sum as specified in the attached Exhibit "A," which is incorporated by reference. 2. SCOPE OF SERVICES.. A. CONSULTANT will perform services listed in the attached Exhibit `B," which is incorporated herein. B. CONSULTANT will, in a professional manner, furnish all of the labor, technical, administrative, professional and other personnel, all supplies and materials, equipment, printing, vehicles, transportation, office space and facilities, and all tests, testing and analyses, calculation, and all other means whatsoever, except as herein otherwise expressly specified to be furnished by CITY, necessary or proper to perform and complete the work and provide the professional services required of CONSULTANT by this Agreement. 3. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement, CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A ") the tasks performed, the percentage of the task completed during the billing period, the cumulative percentage completed for each task, the total cost of that work during the preceding billing month and a cumulative cash flow curve showing projected and actual expenditures versus time to date. Page 1 of 11 425 9 m 4. POLITICAL REFORM ACT. CONSULTANT agrees that it will be considered a public official subject to the Political Reform Act of 1974 for purposes of this Agreement. CONSULTANT agrees and warrants that it has no financial interests which may be materially affected by the project for which the Initial Study, as specified in the SERVICES, is being prepared. Such financial interests may include, without limitation, interests in business entities, real property, or sources of income exceeding $500 received within the past year. CONSULTANT further warrants that, before executing this Agreement, it reviewed the Political Reform Act of 1974 and the Fair Political Practices Commission regulations, including, without limitation, Chapter 7 of Title 2 of the California Administrative Code, Section 18700, et seq., in order to determine whether any conflict of interest would require CONSULTANT to refrain from performing the SERVICES or in any way attempting to use its official position to influence the governmental decisions underlying the subject environmental clearances. 5. FAMILIARITY WITH WORK. A. By executing this Agreement, CONSULTANT represents that CONSULTANT has Thoroughly investigated and considered the scope of services to be performed; ii. Carefully considered how the services should be performed; and iii.. Understands the facilities, difficulties, and restrictions attending performance of the services under this Agreement. B. If services involve work upon any site, CONSULTANT represents that CONSULTANT has or will investigate the site and is or will be fully acquainted with the conditions there existing, before commencing the services hereunder. Should CONSULTANT discover any latent or unknown conditions that may materially affect the performance of the services, CONSULTANT will immediately inform CITY of such fact and will not proceed except at CONSULTANT's own risk until written instructions are received from CITY. C. Although CITY has a duty to the public to independently review any environmental document, including, without limitation a negative declaration or draft EIR, prepared by CONSULTANT, that duty to the public, or the breach thereof, will not relieve CONSULTANT of its duties under this Section or any representation provided by CONSULTANT in this Agreement. 6. KEY PERSONNEL. A. CONSULTANT's key personnel assigned to perform work under this Agreement and their level of responsibility are as follows: Page 2 of 11 Ruta K. The resume of each of the individuals identified in this Section are attached to this Agreement, collectively, as Exhibit "C," and incorporated by reference. C. In the event CITY objects to the continued involvement with this Agreement by any of the persons listed in this Section, CONSULTANT agrees that it will replace such persons with individuals that are agreed to by CITY. 7. TERM. The term of this Agreement will be from April 9, 2012 to March 31, 2013. Unless otherwise determined by written amendment between the parties, this Agreement will terminate in the following instances: A. Completion of the work specified in Exhibit "B "; B. Termination as stated in Section 15. 8. TIME FOR PERFORMANCE. CONSULTANT will not perform any work under this Agreement until: A. CONSULTANT furnishes proof of insurance as required by this Agreement; and B. CITY gives CONSULTANT a written Notice to Proceed. C. Should CONSULTANT begin work on any phase in advance of receiving written authorization to proceed, any such professional services are at CONSULTANT's own risk. 9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond CONSULTANT's control, CITY may grant a time extension for the completion of the contracted services. If delay occurs, CONSULTANT must notify CITY within forty -eight hours (48 hours), in writing, of the cause and the extent of the delay and how such delay interferes with the Agreement's schedule. CITY may, but is not required to, extend the completion time, when appropriate, for the completion of the contracted services. 10. CHANGES. CITY may order changes in the services within the general scope of this Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the contract time will be adjusted accordingly. All such changes must be authorized in writing, executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in the services will be determined in accordance with written agreement between the parties. Page 3 of 11 11. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a Taxpayer Identification Number. 12. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and maintain during the term of this Agreement, all necessary permits, licenses, and certificates that may be required in connection with the performance of services under this Agreement. 13. PROJECT COORDINATION AND SUPERVISION. A. Carrie Garlett will be assigned as Project Manager and will be responsible for job performance, negotiations, contractual matters, and coordination with CITY's Project Manager. B. Paul Samaras will be assigned as CITY's Project Manager and will be personally in charge of and personally supervise or perform the technical execution of the Project on a day -to -day basis on behalf of CITY and will maintain direct communication with CONSULTANT's Project Manager. 14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT's performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character. 15. TERMINATION. A. Except as otherwise provided, CITY may terminate this Agreement at any time with or without cause. Notice of termination will be in writing. B. CONSULTANT may terminate this Agreement at any time with CITY's mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date. C. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY's option, become CITY's property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C). D. Should the Agreement be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated. E. By executing this document, CONSULTANT waives any and all claims for Page 4 of 11 damages that might otherwise arise from CITY's termination under this Section. 16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT under this Agreement are CITY's property. CONSULTANT may retain copies of said documents and materials as desired, but will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of CONSULTANT's completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY's own risk. 17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or city without CITY's prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties. 18. INDEMNIFICATION. A. CONSULTANT agrees to the following: . Indemnification for Professional Services. CONSULTANT will save harmless and indemnify, and at CITY's request reimburse defense costs for CITY and all its officers, volunteers, employees and representatives (including reasonable attorney's fees), from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property resulting or arising from any negligent or wrongful act, error or omission by CONSULTANT or any of CONSULTANT's officers, agents, employees, or representatives, in the performance of this Agreement, except for such loss or damage arising from CITY's sole negligence, active negligence or willful misconduct. ii. Indemnification for other Damages. CONSULTANT indemnifies and holds CITY harmless from and against any claim, action, damages, costs (including, without limitation, reasonable attorney's fees), injuries, or liability, to the extent resulting from CONSULTANT's negligence or other wrongful conduct, arising out of this Agreement, or its performance, except for such loss or damage arising from CITY's sole negligence, active negligence or willful misconduct. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, whether the same be groundless or not, arising out of this Agreement, or its performance, CONSULTANT will defend CITY (at CITY's request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or otherwise. Page 5 of 11 iii. Exclusion for CEQA Actions. Notwithstanding the foregoing, CONSULTANT need not indemnify, defend, or hold CITY harmless in CEQA actions initiated pursuant to Public Resources Code §§ 21167 and 21168 where CONSULTANT's work may form the basis of a lawsuit. However, should CONSULTANT's work, as contemplated by this Agreement, contain errors or omissions that results in an adverse ruling against CITY, CONSULTANT agrees to indemnify and hold CITY harmless to the extent provided for in Section 18(A)(i). & For purposes of this section "CITY" includes CITY's officers, officials and employees, C. It is expressly understood and agreed that the foregoing provisions will survive termination of this Agreement. D. The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 22, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification. 19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services. CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's written approval are prohibited and will be null and void. 20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY. CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only. 21. AUDIT OF RECORDS. A. CONSULTANT agrees that CITY, or designee, has the right to review, obtain, and copy all records pertaining to the performance of this Agreement. CONSULTANT agrees to provide CITY, or designee, with any relevant information requested and will permit CITY, or designee, access to its premises, upon reasonable notice, during normal business hours for the purpose of interviewing employees and inspecting and copying such books, records, accounts, and other material that may be relevant to a matter under investigation Page 6 of 11 t 2 b : a " for the purpose of determining compliance with this Agreement. CONSULTANT further agrees to maintain such records for a period of three (3) years following final payment under this Agreement. B. Upon inspection, CONSULTANT will promptly implement any corrective measures required by CITY regarding the requirements of this Section. CONSULTANT will be given a reasonable amount of time to implement said corrective measures. Failure of CONSULTANT to implement required corrective measures will result in immediate termination of this Agreement. C. CONSULTANT will keep all books, records, accounts and documents pertaining to this Agreement separate from other activities unrelated to this Agreement. 22. INSURANCE. A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT must procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below: Type of Insurance Commercial general liability: Professional Liability Business automobile liability Workers compensation Limits (combined single) $1,000,000 $1,000,000 $1,000,000 Statutory requirement. B. Commercial general liability insurance will meet or exceed the requirements of ISO -CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Commercial General Liability policy will be endorsed to name City, its officials, and employees as "additional insureds" under said insurance coverage and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by City will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88. Such insurance will be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to City. C. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 0106 92, including symbol 1 (Any Auto). D. Professional liability coverage will be on an "occurrence basis" if such coverage is available, or on a "claims made" basis if not available. When coverage is provided on a "claims made basis," CONSULTANT will continue to maintain the insurance in effect for a period of three (3) years after this Agreement expires or Page 7 of 11 i is terminated ( "extended insurance "). Such extended insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by City arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect. E. CONSULTANT will furnish to City duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement, endorsements as required herein, and such other evidence of insurance or copies of policies as may be reasonably required by City from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of "A:VII." F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, City may obtain such coverage at CONSULTANT's expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate. 23. USE OF CONSULTANT. CONSULTANT must obtain CITY's prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation. 24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update. 25. NOTICES. In all other instances, notices will be deemed given at the time of actual delivery. Changes may be made in the names or addresses of persons to whom notices are to be given by giving notice in the manner prescribed in this paragraph. 26. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor retained any company or person, other than CONSULTANT's bona fide employee, to solicit or Page 8 of 11 2 . ,. secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed to pay any company or person, other than CONSULTANT's bona fide employee, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. Should CONSULTANT breach or violate this warranty, CITY may rescind this Agreement without liability. 27. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or CITY's obligations under this Agreement. 28. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in Los Angeles County or in the Federal District Court in the District of California in which Los Angeles County is located. 29. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire understanding of the parties. There are no other understandings, terms or other agreements expressed or implied, oral or written. There are three (3) Attachments to this Agreement. This Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent successors and assigns. 30. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order in which the Exhibits appear below: A. Exhibit A: Budget; B. Exhibit B: Proposal for Services /Scope of Work; and C. Exhibit C: Resumes. 31. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against either Party. 32. SEVERABILITY. If any portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 33. AUTHORITY/MODIFICATION. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to Page 9 of 11 engage in the actions described herein. This Agreement may be modified by written amendment. CITY's city manager, or designee, may execute any such amendment on behalf of CITY. 34. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement, agreements ancillary to this Agreement, and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by facsimile transmission. Such facsimile signature will be treated in all respects as having the same effect as an original signature. 35. COVENANTS AND CONDITIONS. The parties agree that all of the provisions hereof will be construed as both covenants and conditions, the same as if the words importing such covenants and conditions had been used in each separate paragraph. 36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of reference only and will not affect the interpretation of this Agreement. 37. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood, explosion, war, embargo, government action, civil or military authority, the natural elements, or other similar causes beyond the Parties' control, then the Agreement will immediately terminate without obligation of either party to the other. 38. TIME IS OF ESSENCE. Time is of the essence to comply with dates and schedules to be provided. 39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its financial resources, surety and insurance experience, service experience, completion ability, personnel, current workload, experience in dealing with private consultants, and experience in dealing with public agencies all suggest that CONSULTANT is capable of performing the proposed contract and has a demonstrated capacity to deal fairly and effectively with and to satisfy a public agency. ' o aw Exhibit A Bud et l IIlluu,„, Ally 41IIII Budget Atkins has prepared a cost estimate that is competitive, yet accurately reflective of the level of effort required to complete the scope of services requested by the City based on our understanding of the project with the information made available to date. Atkins does not believe it is in the client's interest to submit an unrealistically low cost proposal, which is made possible by either reducing the scope of work or by assuming that budget augments will be made available at a later date. That said, we are flexible and willing to discuss ways to reduce our preliminary cost proposal, if necessary. For your convenience, we have provided a detailed cost proposal for preparation of an addendum to the previous MND or a new MND as Attachment A, identifying labor costs by task, by person, and by hour, and we having also included our standard fee schedule as Attachment B. Factors that would increase the scope of work and estimated costs outlined in this proposal include, but are not necessarily limited to, any of the following: • Attendance at additional meetings • Printing of additional copies of reports • Analysis of additional issues above those discussed in this proposal, or a more detailed level of analysis than described in this proposal • Changes in the project requiring re- analysis or rewriting of report sections • Collection of additional data Our cost proposal is valid for 60 days from the date of this proposal and is based on all team members' standard hourly rates. The building was a single -story structure with an approximately 25,000 sf basement with windows and ground access on the east, south and west sides. The proposed project site was also occupied by a small storage facility on the east side of the property. These structures have since been demolished. IRC is a major worldwide supplier of power semiconductors that convert energy to operate power supplies, lighting ballasts, and motor drives. The property was classified as a heavy manufacturing facility that treats and /or disposes of liquid or semisolid wastes. The previous MND prepared by Atkins in 2008/2009 was for a project that included the development of an 88,249 sf business park (for commercial and light industrial uses) on a vacant 4.7 -acre parcel. The business park consisted of six new multi- tenant LEED- compliant structures in a campus setting with surface parking on a 4.5 -acre portion of the site. The remaining 0.2 -acre space (19 feet of public street along Grand Avenue, 5 feet along Kansas Street, and 5 feet along Franklin Avenue) were to be offered for dedication to the City. Buildings were to be designed as multi -unit commercial and industrial "condominiums," which would have required the City's approval for a subdivision to allow for the existing one lot to be subdivided into 55 units. No residential uses were proposed as part of the previous project. The previous project would have had a gross FAR of 0.41 and the heights of structures would not have exceeded two stories (maximum height of 35 feet). A total of 55 units would have been constructed; 32 units to be designed for office and restaurant uses and 23 units to be designed for light industrial uses. Restaurants and a coffee shop would have been developed to support both the on -site businesses and other businesses in the area. The previous project also proposed a lot line adjustment with two adjacent parcels to the east of the site along Grand Avenue. The existing triangular parking lot that handles overflow parking of damaged vehicles awaiting repair at Jim and Jack's Auto Body across the street would have been replaced with a walled -in parking lot set back from Grand Avenue. The lot line adjustment would not have required a zone change since it would have been replacing the former 90,000 sf facility with approximately 88,000 sf of new facilities. The previous project would have utilized the same egress and ingress (off Franklin Avenue and Kansas Street), operated during the same business hours, employed a similar number of employees, and supported a similar number of vehicles. Access to the project site would have been provided by two driveways: on Franklin Street and Kansas Street. The proposed project would have provided a total of 264 parking spaces, of which 232 would have been standard spaces and 32 would have been compact spaces. This parking allocation was equivalent to three parking spaces per 1,000 sf of development and exceeded the City's parking requirements. Our understanding is that the proposed project site has a new property owner that has a tentative agreement to use approximately one -half of the site as an office /laboratory use for the United States Proposal to Prepare Environmental Documentation for the 222 Kansas Street Project 3 .�; A uuum 1uumuu ( NV Department of Agriculture (USDA). More specifically, the proposal is for 45,150 sf of office /laboratory use for the USDA as one development (rear parcel with frontage on Franklin Avenue and Kansas Street) and the construction of two two -story office buildings totaling approximately 31,000 sf as a second development (with frontage on Grand Avenue and Kansas Street). The on -site testing laboratory would generally involve the testing of plants, fruit, small animals, and products typically being shipped through Los Angeles International Airport (LAX) and occasionally for the Port of Los Angeles. On -site testing would not include large animals such as equine and bovine shipments and other generally large objects that would be quarantined and directly on -site at LAX and /or the Port of Los Angeles. The facility would have a trucking dock but would only include a maximum of 12 truck trips per day. The facility would also include offices for the USDA inspectors but there would likely be a very low ratio of staff to building size since many inspectors are rarely on -site since they are usually either at LAX or the Port performing testing activities. The planning entitlements for the proposed project would include a General Plan Amendment, a Zone Change, a Zone Text Amendment, a Specific Plan (222 Kansas Street Specific Plan), a development agreement, and a four -lot subdivision. The on -site oil well has been abandoned by the Division of Oil, Gas, and Geothermal Resources (DOGGR) and the former on -site oil storage tanks no longer exist. The possibility of greater contamination of the site has been identified more recently by the bank that obtained the property in foreclosure and the new property owner understands that the issue will be re- studied and that they will be responsible for meeting environmental remediation requirements as necessary. Project Approach The approach of the Atkins Project Team is based on meeting the following objectives:, • Serving as a key element of the City's team to anticipate controversial issues, provide unbiased recommendations, devise solutions to potential impacts and /or other issues that may arise, and provide expert planning, policy, and environmental compliance consultation • Committing senior management to the project to provide close coordination with, and accessibility to, the City to ensure technical accuracy, document objectivity, and legal defensibility • Complying with the California Environmental Quality Act (CEQA), the current CEQA Guidelines, as well as current case law, and serving as a public educator of CEQA and the CEQA process • Complying with all unique City processing requirements • Responding to all significant issues of concern raised by the various governmental agencies, private entities, individuals, and community groups • Submitting all required deliverables within the mutually agreed upon time frames A preliminary review of the documents submitted leads us to believe that an addendum to the previous MND may be appropriate for the project, depending on the results of project -level analysis of air quality, noise and traffic impacts, particularly during construction, as well as updated hazardous materials assessments. Because of the possibility that a new mitigable impact may be identified after further comprehensive analysis, the following scope of work includes Option 1 to prepare an addendum to the previous MND and Option 2 to prepare a new updated MND. It is anticipated that the updated MND 4 Proposal to Prepare Environmental Documentation for the 222 Kansas Street Project AT IJl llllr , 1 u would consist of substantial new analysis of, at most, four issues —air quality, hazardous materials, noise and trafficas these are the four resource areas most likely to be adversely impacted by the project. If it is determined after running the air quality, noise and traffic models, and reviewing the updated hazardous materials assessments, that these impacts would still be less than significant, without new mitigation, we would prepare an addendum to the previous MND. Atkins will take full responsibility for project initiation and organization, data compilation, impact assessment, development of new mitigation measures (if needed), report compilation, monitoring and review for CEQA adequacy, attendance at public meetings and hearings (if needed), response to public comments (if an updated MND is circulated for public review), coordination of the internal project team, and preparation of a new Mitigation Monitoring and Reporting Program, if required. Report format and content will be in full compliance with CEQA (as amended through the date of submittal of the addendum to the previous MND or updated draft MND), the CEQA Guidelines (also as amended through the date of submittal of the addendum to the previous MND or updated draft MND), and the City's environmental guidelines and procedural requirements. General addendum or updated MND organization will include a discussion of existing conditions, potential direct and indirect/ secondary environmental impacts, and the recommendation of mitigation measures for each affected issue area. To present information in a concise and easily understood format, text will be supplemented with graphics, charts, maps and tables on 81/2 x 11 white paper, unless a larger format is critical to the readability of the document. Work products will consist of professionally photocopied reports in comb bindings, which are printed on recycled paper. The majority of graphics, charts, and maps will be presented in black ink, although some color graphics may be included to help convey necessary information. All work products will be submitted in hard -copy format and in electronic format and will be prepared using Microsoft Word and other formats (i.e., PDF) that are compatible with the City's software applications. All documents and plans shall be the property of the City of El Segundo, TASK 1 Participate in Project Startup Activities Subtask 1 A Attend One Project Kick -Off Meeting Atkins will attend one project kick -off meeting with representatives from the City of El Segundo and, most likely, the Applicant's team. The purpose of the kick -off meeting is to compile the relevant background data and reports; clearly define the proposed project for the purposes of the environmental analysis; begin to compile a list of cumulative projects (if different from the one used in the previous MND); discuss the project schedule and important assumptions for achieving the schedule; identify all anticipated discretionary actions; establish early communication among various project team members, as well as the protocols for ongoing communication; and to familiarize the Atkins project team with the issues and concerns that the City determines to be important issues for analysis in the environmental document. Based on the discussions and issues raised during the kick -off meeting, the Atkins project management team will refine the scope of work, schedule, and budget, if necessary. In 2008, Atkins was contracted to complete a transportation study for the proposed El Segundo Business Park Project as part of the previous MND. Since then, we understand that the land -use information used for the MND has been revised to include a new land use mix. This addendum to the original scope of work will include the following tasks: 1. Revision of land use data and its resultant trip generation calculations 2. Review of trip distribution factors and update of volumes at study locations 3. Update of the traffic impact analysis study to reflect new land use data 4. Determination and documentation of mitigation due to project impact, if any The results of the updated traffic analyses will be included as part of a separate report, as well as in the Initial Study checklist prepared as part of Subtask 2E below. Subtask 213 Conduct Air Quality Modeling Atkins will use the results of the updated traffic analyses, information regarding construction phases, schedules, and equipment, as well as information regarding specific activities and hours of operation to model the potential impacts of the proposed project on air quality. By conducting the air quality modeling early in the environmental review process, Atkins can determine whether there will be significant impacts to air quality, and if these impacts can be mitigated. If impacts to air quality are determined to be less than significant (without new mitigation), Atkins will prepare air quality impact analyses to be included as part of an addendum to the previous MND. However, if new impacts to air quality are identified and /or new mitigation measures to reduce new potential air quality impacts are recommended, Atkins will prepare air quality analyses to be included as part of an updated MND. Local carbon monoxide (CO) concentrations will be modeled at up to eight intersections to be selected in coordination with the City of El Segundo. This is the number of intersections studied in the previous MNDs air quality analysis; however, Atkins can revise the number of intersections studied based on input from the City. Local CO impacts associated with project traffic will be predicted using the CALINE -4 program and compliant with the recommendations of the CALTRANS Transportation Project -Level Carbon Monoxide Protocol (Revised December 1997). The CAMNE-4 computer dispersion model will be applied to the intersections most affected by project traffic, and nearby proximity to sensitive receptors. The air quality analysis will also evaluate potential air quality impacts of project - related construction activities. The maximum expected equipment to be in use during each phase of construction will be used to quantify maximum daily emissions. Emissions will be compared to the thresholds of significance presented in the SCAQMD Handbook. Mitigation measures for construction- related particulates will 6 Proposal to Prepare Environmental Documentation for the 222 Kansas Street Project 14 Z. b AI, V, IIIIVm INS follow guidance from the SCAQMD CEQA Handbook In addition to the air emission thresholds established by SCAQMD, potential localized impacts for certain criteria pollutants with regard to project - related emissions are calculated using a separate method. For smaller projects (less than 5 acres), localized significance thresholds (LSTs) were developed in response to the SCAQMD Governing Board's Environmental Justice Enhancement Initiative I -4. LSTs represent the maximum emissions from a project that are not expected to cause or contribute to an exceedance of the most stringent applicable federal or state ambient air quality standard, and are developed based on the ambient concentrations of that pollutant for each source receptor area and distance to the nearest sensitive receptor. A LST screening analysis using the SCAQMD provided mass -rate lookup tables only applies to projects that are 5 acres or less in size and are only applicable to CO, NOx, PM,,, and PM25. For this project, an analysis of localized concentrations of relevant criteria air pollutants (LSTs) during construction activities would also be conducted in compliance with the recommendations of the SCAQMD Final Localized Significance Thresholds Methodology (2003). The regional criteria pollutant analysis will examine vehicular and stationary sources associated with operation of the proposed project. Based on estimated vehicle trips, vehicular emissions of carbon monoxide, ozone precursors (reactive organic gases and oxides of nitrogen), and small particulate matter (PM,o) will be predicted and quantified using EMFAC 2007 emission factors and the SCAQMD's recommended CalEEMod software, which will then be compared to the SCAQMD significance thresholds to determine whether the proposed project would violate a State or federal air quality standard or contribute substantially to an existing or projected air quality violation. The criteria pollutant emissions from future stationary sources (such as HVAC equipment) will also be estimated in the same manner. The SCAQMD's regulatory structure to evaluate and offset these emissions will be described. The air quality analysis will also qualitatively evaluate the potential exposure of sensitive receptors to substantial pollutant concentrations where the project may cause emissions of identified pollutants in excess of the pounds per day or tons per quarter standards established by the SCAQMD. Mitigation measures will be identified for potentially significant impacts, and their effectiveness will be quantified to the extent feasible. Potential conflicts with or potential to obstruct implementation of the applicable air quality plan where it may cause or contribute to emission of identified air pollutants in excess of levels stated in the plan or where it may fail to implement a remedial or mitigation measure required under the plan will be analyzed. The results of the updated air quality impacts analyses will be summarized in a memo to the City, and also included as part of the Initial Study checklist prepared as part of Subtask 2E below. Subtask 2C Conduct Noise Modeling Atkins will use the results of the updated traffic analyses, information regarding construction phases, schedules, and equipment, as well as information regarding specific activities and hours of operation to model the potential noise impacts generated by the proposed project. By conducting the noise modeling early in the environmental review process, Atkins can determine whether there will be significant noise impacts, and if these impacts can be mitigated. If impacts to area noise levels are determined to be less than significant (without new mitigation), Atkins will prepare noise impact analyses to be included as part of an addendum to the previous MND. Existing ambient daytime noise levels will be measured at locations (to be selected in coordination with the City) within and around the proposed project site to establish current baseline noise levels. These locations will be identified on a map. The daytime noise levels will be measured using a Larson -Davis Model 814 precision sound level meter, which satisfies the American National Standards Institute (ANSI) for general environmental noise measurement instrumentation. Noise will be characterized in the following terms: • Ley, the equivalent energy noise level, is the average acoustic energy content of noise for a stated period of time; for evaluating community impacts, this rating scale does not vary, regardless of whether the noise occurs during the day or the night • Lin, the minimum instantaneous noise level experienced during a given period of time • L..., the maximum instantaneous noise level experienced during a given period of time Existing 24 -hour noise levels will be calculated for various roadway segments in the project vicinity using the Federal Highway Administration Highway Noise Prediction Model (FHWA -RD -77 -108) and current traffic counts from the traffic report prepared for the project. The model will calculate the average noise level at specific locations based on traffic volumes, average speeds, roadway geometry, and site environmental conditions. Vehicle noise energy rates in the FWHA model will be modified to incorporate rates utilized by Caltrans, which better represent vehicle noise levels in California. The analysis of operational noise impacts will address future noise levels at the project site and in the project vicinity. Future noise levels along the roadway segments in the project vicinity will be calculated to determine whether traffic generated by the project causes a substantial increase in noise at off -site locations. Noise levels generated during construction will be estimated based upon anticipated construction schedules, techniques, and building types, and all assumptions in the noise analysis will be consistent with what is assumed in the air quality and transportation /traffic analyses. The potential for construction noise to impact nearby noise - sensitive land uses (i.e., residences) will be characterized by quantifying anticipated noise levels (e.g., based on distance). Furthermore, vibration impacts from project - related construction activities will also be evaluated if any pile- driving or other vibration- inducing activities occur. For any impacts that exceed identified significance thresholds, feasible mitigation measures will be identified, which may include modification of construction techniques or hours, changes in project design or layout, provision of temporary or long -term barriers to noise transmission, or limitations on outdoor nighttime activities. The results of the updated noise level impacts analyses will be summarized in a memo to the City, and also included as part of the Initial Study checklist prepared as part of Subtask 2E below. s Proposal to Prepare Environmental Documentation for the 222 Kansas Street Project ATI<'E��NJS Subtask 2D Review Updated Hazardous Materials Assessments It is our understanding that updated investigations and remediation actions have taken place at the proposed project site. As noted earlier, the on -site oil well has been abandoned by DOGGR and the former on -site oil storage tanks no longer exist. The possibility of greater contamination of the site has been identified more recently by the bank that obtained the property in foreclosure and the new property owner understands that the issue will be re- studied and that they will be responsible for meeting environmental remediation requirements as necessary. Atkins will conduct a thorough review of all updated hazardous materials assessments prepared for the proposed project site in an effort to determine if any new impacts currently exist. The results of this review will be summarized in a memo to the City, and also included as part of the Initial Study checklist prepared as part of Subtask 2E below. Subtask 2E Prepare Initial Study Checklist Upon receipt of a Notice to Proceed, Atkins will begin collecting data to prepare an Initial Study checklist. As deemed necessary, this will include updating database results (i.e., biological resources) and contacting applicable agencies /city departments (i.e., cultural resources, public services, and utility providers) to confirm potentially significant resources still do not occupy the site and area service providers still have the capacity to service the new project. These tasks can be completed while Subtasks 2A through 2D are being conducted. Preparing an Initial Study checklist will help determine whether an addendum to the previous MND or a new updated MND is required for the proposed project. Atkins will prepare an Initial Study checklist that is consistent with the procedural and substantive provisions of CEQA Guidelines Sections 15063 and 15082 and Appendices C, G, and I. Ongoing The overall schedule for completion of the addendum or updated MND will specifically depend on several factors, some of which are outside of Atkins' control. In particular, the availability of City staff to review the revised project description, agree on the scope of the document, review the technical studies (traffic, air quality and noise), and review the draft environmental document will be key factors. The schedule includes the following specific assumptions: • Receipt of complete and accurate project data within two weeks of the project kick -off meeting • Stable project description throughout the environmental review process • Receipt of complete and accurate technical reports within the schedule identified above 20 Proposal to Prepare Environmental Documentation for the 222 Kansas Street Project Exhibit C Resumes 4, ATKINS Project Management Team The project management team for the 222 Kansas Street Mitigated Negative Declaration (MND) Addendum or MND (hereinafter referred to as the proposed project) consists of Ruta K. Thomas, CEQA /NEPA Senior Group Manager for the Los Angeles office and Carrie Garlett, Project Manager. The Atkins Project Manager responsible for updating the traffic analyses will be Gui Shearin, PhD. Ruta K. Thomas, REA, who has over fifteen years of CEQA /NEPA experience, will serve as the Project Director for the proposed project. Ms. Thomas is the Los Angeles Office CEQA /NEPA Senior Group Manager, as well as a Senior Project Manager responsible for managing the preparation and coordination of highly complex, controversial, and visible environmental documentation for redevelopment projects throughout the state of California. She has experience managing a diversified mix of projects, such as the Los Angeles Unified School District (LAUSD) Central Los Angeles Area Learning Center No. 1 (Ambassador) EIR, the New South Coast County Golf Course EIR in the City of Rolling Hills Estates, the AMPS Mitigated Negative Declaration in the City of El Segundo, as well as the original MND for the proposed project site. She has a solid background in the preparation of CEQA /NEPA documentation, especially for those projects with sensitive historic resources, hazardous materials, and transportation issues. Ruta is also licensed in the preparation of Phase I Environmental Site Assessments, which includes conducting site history research and hazardous waste analysis. She is currently managing Atkins' master contract with LAUSD, which has included over twenty environmental documentation projects and technical studies throughout Los Angeles County. Ms. Thomas received a B.A. in Biology /Economics from Lehigh University in Pennsylvania and an M.A. in Environmental Studies from Brown University in Rhode Island. Carrie Garlett would serve as the Project Manager for the proposed project. Ms. Garlett has 11 years of professional experience in environmental analysis and permitting, engineering, planning, and development management. She has managed and coordinated a variety of projects ranging from small commercial and residential developments to highly complex, large -scale master - planned developments. As a project manager and forward planner, Ms. Garlett has worked for a variety of public- and private - sector clients and is well- versed in the preparation and processing of environmental documentation. She has produced environmental documentation for a wide -range of projects in urban areas, complex residential projects, and large -scale mixed -use projects and has extensive experience in the City and County of Los Angeles. Prior to joining Atkins, Ms. Garlett managed development (including environmental, entitlement, and construction documents) of over 1,200 multi- family residential units within mixed -use and transit - oriented development (TOD) projects in Northern and Southern California. Her background in engineering, project management, and forward planning gives her extensive knowledge of the southern California area and the processes and procedures needed to accomplish complex development and infrastructure projects. Ms. Garlett holds a Masters degree in City Planning from the Georgia Institute of Technology (Georgia Tech) and a BSE, Civil Engineering from the University of Michigan, Ann Arbor, specializing in municipal services.
