GRANT OF EASEMENT FOR WATERLINE PURPOSES EE
FOR VALUABLE CONSIDERATION, receipt of which is hereby
acknowledged, and in further consideration of the terms, covenants,
and conditions herein contained, HUGHES AIRCRAFT COMPANY, a Delaware
corporation (hereinafter "Grantor "), owner of the real property
hereinafter described, does hereby grant and convey to the CITY OF
EL SEGUNDO, a municipal corporation (hereinafter "Grantee "), located
in the County of Los Angeles, State of California, on the terms,
conditions and provisions herein contained, a nonexclusive easement
for the operation, inspection, maintenance, repair and reconstruction
of a below surface grade, buried waterline, which has heretofore been
constructed by Grantor, within, under and affecting those certain
parcels of land (hereinafter the "Easement Parcels "), situated in
the City of E1 Segundo, County of Los Angeles, State of California,
described as follows, to wit:

That portion of the north one -half of Section 18, Township
3 South, Range 14 West, in the Rancho Sausal Redondo,
in the City of El Segundo, County of Los Angeles, State
of California, as per map filed in case No. 11629, Su-
perior Court of said County of June 21, 1890, in the of-
fice of the County Clerk of said County, a certified copy
of which map appears in the files of the County Surveyor
of said County as Clerk's filed Map No. 218, described
as follows:
PARCEL 1:
A parcel of land, 42.00 feet in width, the northerly line
being described as follows:
Beginning at the northwest corner of said Section 18 as
shown on map recorded in Book 89, Pages 25 and 26 of
Record of Surveys, in the Office of the County Recorder
of Los Angeles County; thence along the northerly line of
said Section and centerline of E1 Segundo Boulevard,
South 890 58155" East, 2294. 72 feet more or less to the
northerly prolongation of the westerly line of Parcel 1,
as shown on map recorded in Book 63, Pages 36 and 37
of Record of Surveys in said Office of County Recorder;
thence along said westerly line South 00 °01'50" West,
50.00 feet to a point on a line parallel with and 50.00

feet southerly, from the northerly line of said Section,
said point also being the TRUE POINT OF BEGINNING:
thence easterly 297.60 feet along said parallel line to a
point on the southerly prolongation of the westerly line
of Nash Street, 100. 00 feet in width, said point herein-
after referred to as Point "A."
PARCEL 2:
A parcel of land, 70. 00 feet in width, the northerly line
being described as follows:
Beginning at Point "A." hereinabove described; thence
easterly along said parallel line, hereinabove described,
to the northwesterly corner of Lot 10 as shown on map of
Tract No. 26556, recorded in Book 675, Pages 93 and 94
of Maps, in said Office of the County Recorder.
PARCEL 3:
A parcel of land, 70.00 feet in width, the easterly line
being described as follows:
Beginning at a point on the westerly line of said Tract
No. 26556, said point being the intersection of the
southerly line of Parcel 2, hereinabove described and the
westerly line of said Tract No. 26556; thence southerly
along the westerly line of said Tract No. 26556 and the
westerly line of Tract No. 25574 per map recorded in
Book 755, Pages 29 and 30 of Maps, in said Office of the
County Recorder, 2395. 54 feet to a point distant 34.00 feet
northerly along said westerly line from the southwesterly
corner of said Tract No. 25574, said southwesterly corner
also being the southeasterly corner of the 143.84 acre
parcel of land shown on map recorded in Book 89, Pages
25 and 26 of Record of Surveys in the office of said County
Recorder.
together with the right to said Grantee to enter upon And to pass
and repass over and across the Easement Parcels, and to deposit tools,
implements and other material thereon by said Grantee, its officers,
agents and employees, and by persons under contract with it and their
employees whenever and wherever necessary, for the purpose of operating,
inspecting, maintaining, repairing and reconstructing said waterline.
Grantor retains the right to use the Easement Parcels for
any purpose which does not unreasonably interfere with the nonexclu-
sive easement conveyed to Grantee hereby, including, but not limited
to, landscaping and /or paved parking, roadway or street purposes
and /or underground or overground utility transmission (including the
right to regrade the Easement Parcels provided that after such
regrading the waterline described herein remains below surface grade
and buried to a minimum of 3 feet.

The Grantee agrees, by the acceptance of this Grant, that
such waterline shall be operated, inspected, maintained, repaired and
reconstructed in a good and workmanlike manner, that the rights con-
veyed to Grantee hereunder shall be exercised so as not to unreasonably
interfere with the uses of the Easement Parcels reserved to Grantor,
and that upon completion of any inspection, repair or reconstruction
of said waterline, the surface of the Easement Parcels will be restored,
as nearly as reasonably possible, to the same condition which it was
in immediately prior to the inspection, maintenance, repair or recon-
struction of said waterline.
The Grantee further agrees that Grantor has the right to
relocate, at Grantor's expense, such easement and facilities to
another parcel of property of Grantor upon not less than three (3)
months prior written notice to Grantee and upon demand of Grantor,
the Grantee will thereafter promptly execute a quitclaim deed to the
Easement Parcels.
Grantee accepts this Grant subject to covenants, conditions,
restrictions, reservations, rights, rights -of -way and other matters
of record, if any.
By the acceptance of this Grant, Grantee agrees that
prior to any entry in, under, upon, over or across the Easement Parcels
Grantee shall contact any public utilities, regarding the location of
any facilities they may have in, under, upon, over or across the
Easement Parcels so that Grantee will not interfere with such facilities,
if any.
IN WITNESS WHEREOF, the said Grantor has duly executed
this grant of Easement on this 5th day of Jules 1979.
