W032gouK51022 FAGE391 CERTIFIED COPY OF RESOLUTION ADOPTED BY THE CITY COUNCIL OF THE CITY OF EL SEGUNDO, CALIFORNIA, AT ITS REGULAR MEETING HELD APRIL 23, 1956. ttRESOLVED, that a copy of Grant of Easement Agreement by and between North AmericafrAviation, Inc., a Delaware Corporation, therein termed the Grantor, and the City of El Segundo, a municipal corpora- tion, therein termed the Grantee, wherein said Grantor grants to said Grantee an easement and right of way for the location, installation, construction, reconstruction, repair, maintenance, and use by said Grantee of a pipe line, together with its necessary pipe fittings and appurtenances, for the transportation of water in and under the follow- ing described parcel of real property situated in the City of E1 Segundo, County of Los Angeles, State of California, to wit: et of that certain parcel of land deeded to North American Aviation, Inc. by Document No. 606, recorded December 13, 1954, in Book 46357, at Page 260 of Official Records of Los Angeles County, California, on file in the office of the Recorder of said County., be and the same is hereby accepted for water pipe line purposes on behalf of said City; and BE IT FURTHER RESOLVED, that the City Council of the City of El Segundo does hereby approve said Grant of Easement Agreement, and does hereby authorize and instruct the Mayor and the City Clerk of said City to execute the same on behalf of said City and in its name; and BE IT FURTHER RESOLAD, that the City Clerk be and she is hereby authorized and directed to cause said instrument to be filed for record in the office of the County Recorder of Los Angeles County, California." GRANT OF EASEMENT AGREEMENT THIS AGREEMENT made and entered into at E1 Segundo, California, as of the 1Ftt.h day of April , 19560 by and between the NORTH AMERICAN AVIATION, INC., a Delaware cor- poration, having its principal place of business in the City of Los Angeles, in the State of California, at 5601 West Imperial Highway, as party of the first part, hereinafter called the Grantor, and the CITY OF EL SEGUNDO, a municipal corporation, located in the County of Los Angeles, State of California, as party of the second part,, hereinafter called the Grantee. W I T N E S S E T H: THAT SAID GRANTOR FOR A VALUABLE CONSIDERATION, RE- CEIPT OF WHICH IS HEREBY ACKNOWLEDGED, DOES HEREBY AGREE WITH SAID GRANTEE AS FOLLOWS: FIRST: Said Grantor does hereby grant to said Grantee, CITY OF EL SEGUNDO, an easement and right -of -way for the loca- tion, installation, construction, reconstruction, repair, main- tenance, and use by said Grantee of a pipe line, together with its necessary pipe fittings and appurtenances, for the trans- portation of water in and under the following described parcel of real property situated in the City of El Segundo, County of Los Angeles, State of California, to wit: The Easterly six (6) feet of that certain parcel of land deeded to NORTH AMERICAN AVIATION, INC. by Document No. 606, re- corded December 13, 1954, in Book 46357, at Page 260Qf Official Records of Los An- x geles County, California, on file in the office of the Recorder of said County. SECOND: The grant of easement and right -of -way here- inabove made in the portion of this agreement designated as - 1 - "FIRST ", is made subject to conditions, reservations, restrictions, and rights -of -way now of record against the'said parcel of real property hereinabove described, and subject to the following additional conditions and reservations which are hereby estab- lished and made by said Grantor, to wit; A. The reservation by the Grantor,,its successors and assigns, of all oil, minerals, and natural gas lying in, under or flowing through said above described parcel; B. The right of Grantor, its successors and assigns, to fully use and enjoy said real property, provided, how- ever, that such right shall be exercised in such manner as not to unreasonably interfere with the rights of the Grantee hereunder, andxprovided further that no permanent building or buildings shall be located upon said easement parcel; C. The right of Grantor, its successors and assigns, to cross and use said property at will for and with road- ways, pavement, railroad tracks, pipe lines, conduits, sewers, drains, telephone and telegraph lines, and other public utility facilities, either above or below ground, together with the right to grant easements or licenses for any or all thereof to others; said rights to be so exercised, however, as not to unreasonably interfere with the rights of the Grantee hereunder; and provided further that no permanent building or buildings shall be located upon said easement parcel; and D. That the said Grantee will restore and replace the surface of the ground, including improvements, shrubs, plants, or vegetation, over the above mentioned right -of- way and will repair all and any damage to the property of - 2 - 7 BGON J 3 022- PA1 E 4 the Grantor adjoining the said right -of -way which is in- jured or damaged in the construction or maintenance of said water line. THIRD: Grantee in exercising its rights hereunder must cause the water pipe line herein referred to, to be buried below the surface of the land. The depth of such installation and maintenance shall be not less than three (3) feet from pre- sent ground surface to top of pipe. FOURTH: Said Grantee, in consideration of this agree- went and of the water line easement hereinabove granted to it, does hereby agree on its part to construct and maintain in the hereinabove described water line easement parcel, a water pipe line or main, together with its necessary fittings and appur- tenances, for the transportation of water as part of the Munic- ipal water Works System of said City. FIFTH: Said Grantee further agrees to cause such water pipe line, together with its necessary fittings and ap- purtenances, to be constructed within a period of four (y.) months, from and after the date of this agreement; and to there- after use the said line and its necessary fittings and appurten- ances for such purposes. SIXTH: Said Grantee further agrees that in the event the City Council of said City determines at any future time, by resolution duly adopted and spread upon its records, that the easement hereinabove granted is no longer required by said City for the uses and purposes hereinabove stated, to immediately upon such determination make, execute, and deliver to the Gran- tor herein, or its successors or assigns, as owners of the ad- joining properties, a good and sufficient quitclaim deed or deeds quitclaiming the easement hereinabove granted. - 3 - 0 Buuk51(Y22 P *095 SEVENTH: Said Grantee further agrees in the exercise of the rights and easement hereinabove granted to its to have due regard for any utilities or facilities which may exist upon or in the said water easement parcel, and to interfere as little as reasonably possible therewith; and to cause the surface of any land within said easement, excavated or distrubed by Grantee in the exercise of any of the rights hereunder, to be restored as nearly as reasonably possible to the same condition as that in which it existed immediately prior to the making of such ex- cavations or disturbances. EIGHTH: Due to the nature of Grantorts manufacturing activities, both parties understand and agree that at certain times certain security regulations may be in effect over all or portions of the real property covered by this easement and that during such times, the rights of the Grantee hereunder must be exercised in full conformity with any and all such security regulations or measures. NINTH: It is further understood and agreed that the rights herein granted to the Grantee include, as incidental thereto but subject to the conditions hereinabove expressed and referred to, the right of the said Grantee, its authorized of- ficers, representatives, and employees, and persons under con- tract with it and their representatives and employees to enter upon, and pass and re -pass on, over and along the said water easement parcel, and deposit tools, implements, equipment, and other materials therein and thereon, wherever and whenever neces- sary, and to do and perform any and all acts reasonably neces- sary or convenient in the construction, installation, maintenance, repair, replacement, and removal of said water line and its necessary fittings and appurtenances.
