"WHEREAS, there has been presented to this Council a certain „Grant of Easement Agreement". dated the 29th day of October, 1951, executed by North American Aviation, Inc., • Delaware corporation, granting to the City of E1 Segundo, • California municipal corporation, an easement and right - of -way for the location, installation, construction, recon- struction, repair, maintenance, and use by said Grantee of a pipe line, together with its necessary pipe fittings and appurtenances, for the transportation of water in and under the following described parcel of real property situated in the City of El Segundo, County of Los Angeles, State of California, to wit: A parcel of land 20.00 feet in width, being a portion of the northeast 1/4 of Section 7, Township 3 South, Range 14 West, S.B.B.M., Rancho Sausal Redondo, in the City of E1 Segundo, California, as more particu- larly set forth in said easement, upon certain terms and conditions therein set forth; and WHEREAS, this Council has examined said document and the City Attorney has approved the same as to form, and the City Council is satisfied therewith; NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of E1 Segundo, California, does hereby approve the said form of easement and accept the same on behalf of the said City; and BE IT FURTHER RESOLVED, that the City Clerk be and she is hereby authorized and directed to cause said instrument to be recorded in the office of the County Recorder of the County of Los Angeles, State of California.'# STATE OF CALIFORNIA, ) COUNTY OF LOS ANGELES, ) SS. W I T N E S S E T H: THAT, WHEREAS, said Grantee is, at the time of the making of this agreement, engaged in a large program of development, betterment, and expansion of the Municipal Water Works System of said Grantee in order to better and more adequately serve the inhabitants and properties within said City with water from said It2unicipal System; and WHEREAS, said Grantor has holdings of real property within said City of E1 Segundo which will be benefited in common with other properties within said City by such development, betterment, and expansion of said Municipal Water 17orks System; and WHEREAS, as a part of its said program, said Grantee requires the easement and right —of —way for water pipe line purposes hereinafter described; and WHEREAS, said Grantor desires to cooperate in the said program by granting to said Grantee the easement and right —of —way for water pipe line purposes hereinafter more particularly described; NOW, THEREFORE, IN CONSIDERATION OF THE FOREGOING PREMRSES, THE AGREEMENTS ON THE PART OF THE RESPECTIVE PARTIES HERETO HEREINAFTER CONTAINED, AND OF THE MUTUAL BENEFITS ACCRUING AND TO ACCRUE TO SAID RESPECTIVE PARTIES — 1 — GOOK37863 PAGE334 IN THE DEVELOPMENT, BETTERNI;NT, AND EXPANSION OF SAID IMICIPAL WATER WORKS SYSTEM, SAID GRANTOR AND SAID GRANTEE DO HEREBY AGREE AS FOLLOWS: FIRST: Said Grantor does hereby grant to said Grantee, CITY OF EL SEGUNDO, an easement and right -of -way for the location, installation, construction, reconstruction, repair, maintenance, and use by said Grantee of a pipe line, together with its necessary pipe fittings and appurtenances, for the transportktion of water in and under the following described parcel of real property situated in the City of E1 Segundo, County of Los Angeles, State of California, to wit: A parcel of land 20.00 feet in width, being a portion of the northeast 1/4 of Section 7, Township 3 South, Range 14 West, S.B.B.M., Rancho Sausal Redondo, in the City of El Segundo, California, and more particularly described as follows: Beginning at a point in the southerly line of that certain 2.007 acre parcel of land described in deed dated March 15, 1949, from Santa Fe Land Improvement Company to The Atchison, Topeka, and Santa Fe Railway Company, recorded in Book 29807, page 332, of Official Records, records of Los Angeles County, California, and on file in the office of the County Recorder of said County, and 30.00 feet, measured at right angles, easterly of the westerly line of the northeast 1/4 of Section 7, Township 3 South, Range 14 West, S.B.B.M., Rancho Sausal Redondo; thence northeasterly along the southerly line of said 2.007 acre parcel of land a distance of 434.35 feet to a point, and northeasterly along the arc of a curve, concave northwesterly and having a radius of 628.805 feet, a distance of 182.61 feet, more or less, to a point in a line concentric with, and distant radially 44.00 feet northwesterly from, the northwesterly line of that certain 17.858 acre parcel of land described in deed dated June 15, 1948, from the Santa Fe Land Improvement Company to North American Aviation, Inc., recorded in Book 27854, page 191, of Official Records, records of Los Angeles County, California, and on file - 2 - BOOK37863 PAGE335 as aforesaid; thence southwesterly along said concentric line, said line being also the arc of a curve concave southeasterly, and having a radius of 632,.81 feet, to a point in a line parallel to, and 20.00 feet, measured at right angles, southeasterly of the southerly line of that certain 2.007 acre parcel of land hereinabove described, recorded and on file as aforesaid; thence southwesterly along said parallel line to the point of intersection of said line with a line parallel to, and 30.00 feet, measured at right angles, easterly of the westerly line of the northeast 1/4 of Section 7 hereinabove mentioned; thence northerly along said parallel line to the point of beginning. Designated as 20 foot easement on plat attached hereto. Beginning at the intersection of the southerly line of that certain 2.007 acre parcel of land described in deed dated March 15, 1949, from the Santa Fe Land Improvement Company to the Atchison, Topeka and Santa Fe Railway Company, recorded in Book 29807, page 332, Official Records of said Los Angeles County, with the westerly line of the Northeast Quarter of Section 7; thence following along the southerly line of said 2.007 acre parcel, North 780 47' East 474.23 feet, more or less, and northeasterly along the are of a tangent curve, concave northwesterly and having a radius of 628.805 feet, a distance of 289.28 feet, more or less, to the northwesterly corner of that certain 0.042 acre parcel of land described in deed dated December 13, 1950, from Santa Fe Land Improvement Company to North American Aviation, Inc., recorded as Document No. 1761 in Book 35204, Page 41, Official Records of said Los Angeles County, being the true point of beginning of the parcel to be described; thence continuing along the southerly line of said 2.007 acre parcel, being along the arc of curve concave northwesterly and having a radius of 628.805 feet, to the northeasterly corner of said 0.042 acre parcel; thence southwesterly along the easterly line of said 0.042 acre parcel, being along the arc of a curve, concave southeasterly and having a radius of 588.81 feet, to a point in a line which is concentric with mm C SOM37863 PAGE336 and distant radially 20.00 feet southeasterly from the southerly line of said 2.007 acre parcel; thence southwesterly along said concentric line, concave northwesterly and having a radius of 648.805 feet, to a point in the westerly line of said 0.042 acre parcel; thence northeasterly along said westerly line, being along the arc of a curve concave southeasterly and having a radius of 589.81 feet, a distance of 68.28 feet, more or less, to the point of beginning, containing an area of 0.002 of an acre, more or less. Designated as one foot easement on plat attached hereto. 1�l` SECOND:4 The grant of easement and right -of -way hereinabove made in the portion of this agreement designated as "FIRST ", is made subject to conditions, reservations, restrictions, and rights -of -way now of record against the said parcel of real property hereinabove described, and subject to the following additional conditions and reservations which are hereby established and made by said Grantor, to wit: A. The reservation by the Grantor, its successors and assigns, of all oil, minerals, and natural gas lying in, under or flowing through said above described parcel; B. The right of Grantor, its successors and assigns, to fully use and enjoy said real property, provided, however, that such right shall be exercised in such manner as not to unreasonably interfere with the rights of the Grantee hereunder, and provided further that no permanent building or buildings shall be located upon said easement parcel. C. The right of Grantor, its successors and assigns, to cross and use said property at will for and with roadways, pavement, railroad tracks, pipe lines, conduits, sewers, drains, telephone and telegraph lines, and other public utility facilities, either above or below - 4 - sDoA37$63 FAGE337 ground, together with the right to grant easements or licenses for any or all thereof to others; said rights to be so exercised, however, as not to unreasonably interfere with the rights of the Grantee hereunder; and provided further that no permanent building or buildings shall be located upon said easement parcel. t D. That the said Grantee will restore and replace the surface of the ground over the above mentioned right —of —way and will repair all and any damage to the propertylbf the Grantor adjoining the said right- of —way which is injured or damaged in the construction or maintenance of the said fresh water line. THIRD: Grantee in exercising its rights hereunder must cause the water pipe line herein referred to, to be buried below the surface of the land. The depth of such installation and maintenance shall be not less than three (3) feet from present ground surface to top of pipe. FOURTH: Said Grantee, in consideration of this agreement and of the water line easement hereinabove granted to it, does hereby agree on its part to construct and maintain in the hereinabove described water line easement parcel, a water pipe line or main, together with its necessary fittings and appurtenances, for the transportation of fresh water as part of the Municipal Water Works System of said City. FIFTH: Said Grantee further agrees to cause such water pipe line, together with its necessary fittings and appurtenances, to be constructed within a period of one year, from and after the date of this agreement; and to thereafter use the said line and its necessary fittings and appurtenances for such purposes. SIXTH: Said Grantee further agrees that in the event the City Council of said city determines at any future time, by resolution duly adopted and spread upon its records, that the easement hereinabove granted is no longer required by said city for the uses and purposes hereinabove stated, to immediately upon such determination make, execute, and deliver to the Grantor — 5 — sook37863 PAGE338 herein, or its successors or assigns, as owners of the adjoining properties, a good and sufficient quit claim deed or deeds quit claiming the easement hereinabove granted. SEVENTH: Said Grantee further agrees in the exercise of the rights and easement hereinabove granted to it, to have due regard for any utilities or facilities which may exist upon or in the said water easement parcel, and to interfere as little as reasonably possible therewith; and to cause the surface of any land within said easement, excavated or disturbed by Grantee in the exercise of any of the rights hereunder, to be restored as nearly as reasonably possible to the same condition as that in which it existed immedi- ately prior to the making of such excavations or disturbances. EIGHTH: Due to the nature of Grantorts manufacturing activities, both parties understand and agree that at certain times certain security regulations may be in effect over all or portions of the real property covered by this easement and that during such times, the rights of the Grantee here- under must be exercised in full conformity with any and all such security regulations or measures. NINTH: It is further understood and agreed that the rights herein granted to the Grantee include, as incidental thereto but subject to the conditions hereinabove expressed and referred to, the right of the said Grantee, its authorized officers, representatives, and employees, and persons under contract with it and their representatives and employees to enter upon, and pass and re —pass on, over and along the said water easement parcel, and deposit tools, implements, equipment, and other materials therein and thereon, wherever and whenever necessary, and to do and perform any and all acts reasonably necessary or convenient in the construction, installation, main- tenance, repair, replacement, and removal of said water line and its necessary fittings and appurtenances. TENTH: That for the purpose of convenience in locating and referring -6 - Boox37863 PAGE339 to the water line easement hereinabove described, there is attached hereto a map or plat designated as "PLAT'showing location of a twenty (20) foot easement from the North American Aviation, Inc., to the City of E1 Segundo for the installation and maintenance of a cast iron, fresh water line. ", prepared by Barclay Surveying Company upon which said map or plat the said water line easement parcel is shown.
