SEPULVEDA PROPERTIES, INC., a California corporation,
hereinafter referred to as "GRANTOR," hereby grants to the CITY OF
EL SEGUNDO, a municipal corporation, hereinafter referred to as
"GRANTEE," a nonexclusive easement to lay, construct, reconstruct,
replace, renew, repair, maintain, operate, change the size of,
increase the number of and remove utilities and appurtenances
thereof, and to construct, mainta -an, operate, repair, renew, add
to and remove underground wires, conductors, cables, conduits and
similar facilities and appurtenances thereof, together with the
right of ingress and egress to and from the same, under, through,
and along that certain real property in the County of Los Angeles,
State of California, described as follows:

That pertain property located in Section 7, North of
E1 Segundo Boulevard, and East of Sepulveda Boulevard in
the City of E1 Segundo, County of Los Angeles, State of
California, more particularly described as follows:
That portion of the southeast quarter of Section 7,
Township 3 South, Range 14 West, in the Rancho Sausal
Redondo, as per map recorded in Book 1, Pages 507 and
508 of Patents, in the office of the County Recorder
of said county, described as follows:
Beginning at a point on the South line of said Section
7 distant thereon South 89055'25" East, 2642.25 feet
from the Southwest corner of said Section 7; thence
North 00000'23" West a distance of 1239.00 feet, thence
South 89055'25" East a distance of 551.07 feet to the
True Point of Beginning; thence southerly along a
curve concave wester1j , having a radius of 35.50 feet,
an arc distance of 15.49 feet with a central angle of
240 59' 41" to a point; thence South 89055'25" East
• distance of 72.85 feet; thence North 00000'23" West
• distance of 25.00 feet to a point; thence North
89055'25" West a distance of 70.93 feet to a point of
intersection with a curve concave westerly and having
a radius of 35.50 feet; thence southerly along said
curve a distance of 10.14 feet along an arc with a
central angle of 160 21' 40" to a point on said cu;.

Grantee shall conduct all operations thereunder, upon and
subject to the following terms and conditions; and by its
acceptance and recordation of this deed, Grantor agrees, for
itself, its successors and assigns, that it shall forever hold
the Property upon and subject to said terms and conditions,
to wit:
(i) Grantee shall not excavate, remove or in-
terfere with the use. of the surface of said strips of
land until it has given Grantor at least fifteen (15)
days' prior written notice of its intent to do so.
All operations of Grantee hereunder shall be performed
in a good and workmanlike manner and be diligently
prosecuted to completion so as to cause the least
practicable interference with the use of the surface
of said strips of land by Grantor. Grantor shall
have the right to inspect all operations of Grantee
on said strips of land to the extent necessary to in-
sure compliance by Grantee with the terms and condi-
tions hereof and to prevent damage to underground or
surface facilities of Grantor or others of which Grantee
is notified by Grantor.
(ii) Grantee shall not lay, install or construct
any facilities upon or above the surface of said land,
all future facilities laid therein, pursuant to the
easement hereby reserved, to be laid at least thirty
(30) inches below the surface of said strips of land.
(iii) Grantor, its successor and assigns) shall not
construct or permit to be constructed any permanent structure
on said land or in any manner impair or interfere with the
present or prospective exercise of any right herein
granted to Grantee; provided, however, that Grantor, its
successors and assigns, shall have the right to pave or
landscape the surface of said land and, in particular
but not by way of limitation, to use said land as a
street, roadway, vehicle parking lot, lawn or other
landscaped area. If any pipelines or other facilities of
Grantee within said Easement are required to be lowered
or otherwise modified as a result of the construction of
any such entrance road, such work shall be performed
without cost to Grantee.
(iv) If Grantee, in the exercise of any right
herein granted, shall remove or damage any paving, or
landscaping of Grantor, its successors and assigns,
Grantee shall promptly replace or repair the same or
cause the same to be replaced or repaired at Grantee's
sole cost.
(v) Grantee shall indemnify Grantor against,
and hold it harmless from, any expense, loss, damage
or liability arising out of or resulting from the ex-
ercise by Grantee of any right herein granted.

This easement in and to the above- described property is
granted and must be used as an easement for the purposes granted
only. In the event the property is not so used, or, if after
being so used, it is abandoned for such purposes, then and in
that event, without further act by Grantor or its successors
and assigns, the easement shall terminate and the property shall
revert to Grantor or its successors and assigns.
IN WITNESS WHEREOF, Grantor has executed this grant of
easement on this 16 day of May , 1972.
