GRANT DEED AND DEDICATION AGREEMENT
THIS AGREEMENT made as of September Z0, 1982, by
ALLIED CORPORATION, a New York corporation ( "Allied "), and
HUGHES AIRCRAFT COMPANY, a Delaware corporation ( "Hughes "),
in favor of the CITY OF EL SEGUNDO, a municipal corporation
( "Grantee ").

A. Allied is the owner of a strip of land
approximately 0.233 acres in size situated in the City of El
Segundo, County of Los Angeles, State of California,
described in Exhibit I attached hereto (herein called the
"Street Parcel ").
B. Allied is the owner of the real property
situated adjacent to the Street Parcel in the City of E1
Segundo, County of Los Angeles, State of California,
described an Exhibit II attached hereto (herein called the
"Slope Bank Parcel ").
C. By undated Letter of Intent (the "Letter of
Intent ") among Allied, Hughes and Chevron U.S.A. Inc.
( "Chevron "), executed by Allied on December 22, 1981, by
Hughes on January 6, 1982, and by Chevron on April 22, 1982,
Allied agreed, on the terms and conditions set forth
therein, to dedicate to Grantee land sufficient in accor-
dance with Grantee's standards adjacent to Sepulveda
Boulevard in the City of E1 Segundo for construction of a
portion of a deceleration lane for traffic turning right
from Sepulveda Boulevard onto Hughes Way. The Street Parcel
and the Slope Bank Parcel constitute the land determined by
Hughes and acknowledged by Grantee to satisfy Grantee's
requirements for a portion of the deceleration lane.
D. Chevron is the owner of certain land adjacent
to the Street Parcel and Slope Bank Parcel described in
Exhibits III and IV attached hereto (the "Chevron Parcel ").
The Chevron Parcel is being offered to Grantee for dedi-
cation concurrently herewith.
E. The parties intend hereby to effect a dedi-
cation by Allied and Hughes of the real property described
herein to Grantee.

NOW, THEREFORE, in consideration of the mutual
covenants and conditions herein contained, the parties
hereto agree as follows:
1 Allied hereby grants the Street Parcel to Grantee,
subject to any and all covenants, conditions and restric-
tions of record.
2. Allied hereby grants to Grantee, subject to any
and all covenants, conditions and restrictions of record, a
nonexclusive, perpetual easement over and across the Slope
Bank Parcel for the construction, reconstruction, mainte-
nance, repair and use of a slope bank adjacent to the Street
Parcel to provide structural support and stability for the
Street Parcel; provided, however, that Allied shall have the
right to remove and /or fill, or landscape the surface of,
such slope bank or any portion thereof as it sees fit so
long as such changes do not impair the structural support or
stability of the roadway. If Allied elects to fill the
slope bank such that the Slope Bank Parcel or some portion
thereof is no longer necessary for the structural support
and stability of the Street Parcel, the rights granted
herein shall cease and terminate as to the portion of the
Slope Bank Parcel which becomes unnecessary due to such fill
operations.

3 Hughes hereby waives, relinquishes, releases and
quitclaims unto Grantee all of its right, title and interest
in the Street Parcel and Slope Bank Parcel.
4. Allied hereby waives, relinquishes, releases and
quitclaims unto Grantee all of its right, title and
interest, if any, in the Chevron Parcel.
5. Grantee agrees that Allied is under no obligation
to maintain the Slope Bank Parcel and shall not be responsi-
ble for any damage to the Street Parcel by reason of the
existence of the Slope Bank Parcel or the lack of mainte-
nance thereof.
6. This Agreement shall inure to the benefit of and
be binding upon the respective successors and assigns of the
parties hereto.
IN WITNESS WHEREOF, the parties have executed this
Agreement as of the date first hereinabove written.
