OCT 181982 PAST. FREE A SPACE ABOVE THIS LINE FOR RECORDER'S USE GRANT DEED AND DEDICATION AGREEMENT THIS AGREEMENT made as of September 22, 1982, by CHEVRON U.S.A. INC., a California corporation ( "Chevron "), and HUGHES AIRCRAFT COMPANY, a Delaware corporation ( "Hughes "), in favor of the CITY OF EL SEGUNDO, a municipal corporation ( "Grantee "). RECITALS A. Chevron is the owner of a strip of land approximately 1.2 acres in size situated in the City of E1 Segundo, County of Los Angeles, State of California, described in Exhibit I attached hereto (herein called the "Street Parcel "). B. Chevron is the owner of the real property situated adjacent to the Street Parcel in the City of E1 Segundo, County of Los Angeles, State of California, described in Exhibit II attached hereto (herein called the "Slope Bank Parcel "). C. By Street Easement Agreement dated as of October 8, 1981 (the "Easement Agreement "), recorded in the Official Records of Los Angeles County, California, on November 18, 1981 as Instrument No. 81- 1140870, Chevron granted to Hughes an easement over the Street Parcel and an easement over the Slope Bank Parcel for the purposes and otherwise on the terms and conditions set forth in the Ease- ment Agreement. D. The parties intend hereby to effect a dedi- cation by Chevron of the real property described herein to Grantee and by Hughes pursuant to the Easement Agreement. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants and conditions herein contained, the parties hereto agree as follows: 1. Chevron hereby grants to Grantee, subject to any and all covenants, conditions and restrictions of record, the Street Parcel: EXCEPTING AND RESERVING TO CHEVRON, its successors and assigns all oil, gas and other hydrocarbons, geothermal resources as defined in Section 6903 of the California Pub- lic Resources Code and all other minerals, whether similar to those herein specified or not, within or that may be produced from said real property. g0- 1045152 z AND FURTHER EXCEPTING AND RESERVING TO CHEVRON, its successors and assigns, the sole and exclusive right from time to time to drill and maintain wells or other works into or through said real property and adjoining streets, roads and highways below a depth of five hundred (500) feet and to produce, inject, store and remove from and through such wells or works, oil, gas, water and other substances of whatever nature, including the right to perform below said depth any and all operations deemed by Chevron necessary or convenient for the exercise of such rights. The rights hereinabove excepted and reserved to Chevron do not include and do not except or reserve to Chevron any right of Chevron to use the surface of said real property or the first five hundred (500) feet below said surface or to conduct any operations thereon or therein. Unless hereinafter specifically excepted and reserved, all rights and interests in the surface of said real property are hereby conveyed to Grantee. 2. Hughes hereby waives, relinquishes, releases and quitclaims unto Grantee all of its right, title and interest in the easement over the Street Parcel created by the Ease- ment Agreement. . 3. Hughes hereby grants to Grantee, subject to all covenants, conditions and restrictions of record and the 82- 1045152 3 terms and conditions of the Easement Agreement, all of Hughes' right, title and interest in the easement over and across the Slope Bank Parcel granted to Hughes pursuant to the Easement Agreement. Chevron shall have the right to remove and /or fill, or landscape the surface of, such slope bank or any portion thereof as it sees fit so long as such changes do not impair the structural support or stability of the roadway. If Chevron elects to fill the slope bank such that the Slope Bank Parcel or some portion thereof is no longer necessary for the structural support and stability of the Street Parcel, the rights granted herein shall cease and. terminate as to the portion of the Slope Bank Parcel which becomes unnecessary due to such fill operations. 4. Grantee agrees that Chevron and Hughes are under no obligation to maintain the Slope Bank Parcel and shall not be responsible for any damage to the Street Parcel by reason of the existence of the Slope Bank Parcel or the lack of maintenance thereof. 82- 1045152 M 5. Grantee agrees that Hughes is not under any obligation to maintain the slope bank described on Exhibit III attached hereto (the "Allied Slope Bank ") and shall not be responsible for any damage to the portion of the street described on Exhibit IV attached hereto (the "Al- lied Street Parcel ") by reason of the existence of the Allied Slope Bank or the lack of maintenance thereof. 6. This Agreement shall inure to the benefit of and be binding upon the respective successors and assigns of the parties hereto. IN WITNESS WHEREOF, the parties have executed this .
