FOR A VALUABLE CONSIDERATION, receipt of which is hereby
acknowledged, Lenore Horowitz (hereinafter "Grantor "), owner of the
real property hereinafter described, does hereby grant to the
CITY OF EL SEGUNDO, a municipal corporation, located in the County
of Los Angeles, State cf California (hereinafter "Grantee "); an easement
and right -of -way for the construction, reconstruction, inspection,
maintenance, operation and repair of a catchbasin in, over, ups and, x
across the real property in the City of E1 Segundo, County of Lbs A le§,
State of California, described as follows: i

An easement for Catch Basin
over that portion of the Northwest Ouarter of Section 7, Township 3 South,
Range 14 West, in the Rancho Sausal Redondo, in the City of El Segundo,
County of Los Angeles, State of California, described as follows:
Beginning at a point on the centerline of Nash Stret, 80 feet wide, said
centerline being a line parallel with and 10 feet westerly, measured at
right angles, from the easterly line of said Northwest Quarter, said
point lying 33.20 feet southerly, measured along said centerline, from
the centerline of Imperial Highway, 90 feet wide, said last mentioned
centerline being also the northerly line of said Section 7; thence
westerly in a direct line 55.97 feet to an intersection with a line that
is parallel with and 32.40 feet southerly, measured at right angles, from
said centerline of Imperial Highway; thence along said last mentioned
parallel line West 1873.87 feet; thence westerly in a direct line 52 feet
to an intersection with a line that is parallel with and 32.00 feet
southerly, measuredl at right angles, from said centerline of Imperial
Highway; thence along said last mentioned parallel line, West 89.83 feet
to the beginning of a tangent curve, concave southerly and having a radius
of 45 feet; !;fence westerly and southwesterly along said curve, through a
central angle of 20 ", an arc distance of 15.71 feet; thence tangent to

said curve, South 70" West 9.61 feet to a point in a line that is parallel
with and 38 feet southerly, measured at right angles, from said centerline
of Imperial Highway; thence South 2 feet to a point in a line that is
parallel with and 40 feet southerly, measured at right angles, from said
centerline of Imperial Highway, said last mentioned point being the true
point of beginning of this description; thence along said last mentioned
parallel line, East 2 feet; thence South 5 feet; thence West 25 feet;
thence North 5 feet, thence East 23 feet to the true point of beginning.
Together with the right to Grantee to enter upon and to pass
and repass over and along said parcels of land, and to deposit
tools, implements and other material thereon by Grantee, its
agents, and employees, and by persons under contract with it,
and their employees, whenever and wherever necessary, for the
purpose of construction, reconstructing, inspecting, maintaining,
operating and repairing said catchbasin over Parcel "E ".
TO HAVE AND TO HOLD said easements and rights of way unto
Grantee, its successors and assigns, for the purposes and uses,
and subject to the covenants and agreements, herein set forth.
Upon any exercise of the rights and privileges afforded
hereby which results in a penetration of the surface of the
above - described parcels of 1,ind, Grantee shall restore tEe sur-
face of the land, including any improvements thereon, as nearly
as reasonably possible, to the same condition in which it
existed immediately prior to the entry of Grantee thereon.
The easement described herein as Parcel "E" is depicted
on the Plot Plan attached hereto marked Exhibit "A" and by this
reference incorporated herein.

INDEMNIFICATION AGREEMENT I
WHEREAS, LENORE HOROWITZ is the owner and HUGHES
AIRCRAFT COMPANY, a Delaware corporation, is the lessee
(referred to collectively herein as the Owner) of the parcel
or parcels of real property located generally at SOUTHWEST
CORNER OF SELBY STREET AND IMPERIAL HIGHWAY, in the City of

E1 Segundo, County of Los Angeles, State of California, more
fully described in Attachment I attached hereto and hereby
incorporated herein (the "Subject Property "), and
WHEREAS, the City of E1 Segundo (the "City ") has
applied to Owner for an easement and right of way (the
"Easement ") for the construction, reconstruction, inspec-
tion, maintenance, operation and repair of CATCH BASIN and
appurtenant storm drain structures in, over, upon and across
the Subject Property, as more fully described in said
Attachment I.
NOW THEREFORE, in consideration of the Owner
granting the Easement to the City, the undersigned City, for
itself and its successors in interest and assigns, does
hereby covenant and agree as follows:
1. City hereby agrees to defend, indemnify and
hold harmless Owner, its directors, officers, agents, and
employees, and their respective heirs, successors and
assigns (collectively the "Indemnitees ") from and against
any cost, liability, penalty, expense, loss, lien, damage,
injury, expenditure, claim, demand, action or cause of
action of whatsoever kind or nature ( "Claim ") incurred by or
asserted against the Indemnitees, or any of them, by reason
of or in any way related to or arising out of the existence

or condition of any catch basin, storm drain, pipeline,
appurtenant structure or other improvement constructed by or
at the request or direction of the City on or about the
Subject Property or the entry upon, use, maintenance or
occupation of the Subject Property by City, or the
construction by City of any improvements thereon, except to
the extent that any Claims are caused by or result from the
gross negligence or wilful misconduct of any Indemnitee.
City shall be responsible for all legal costs and charges,
including, without limitation, reasonable attorneys' fees,
incurred with respect to any Claim and the defense of any
action or proceeding arising out of the same or in
discharging the Subject Property or any part thereof from
any and all liens, charges or judgments which may accrue or
be placed thereon by reason of any act or omission of the
City.
2. Without limiting the generality of the
foregoing, City agrees to defend, indemnifv and hold
harmless the Indemnitees from and against any and all
demands, claims, actions, causes of actions and proceeding
of whatsoever kind or nature for personal injury (including
death) or property damage arising by reason of or relating
to any actual or alleged defect, malfunction, inoperability,
failure, or other imperfection in the design, location,
construction, installation, operation, maintenance or repair
of any catch basin, storm drain, pipeline, curb, gutter,
grating, barricade, warning device, or any other appurtenant
structure, improvement or equipment constructed, placed or
installed by or at the request or under the direction of
City on or about the Subject Property or any portion

thereof. It shall be the responsibility of City at its sole
cost and expense to inspect, repair and maintain in good,
clean, operable and safe condition any catch basin, storm
drain, pipeline, grate, barricade, warning device and other
appurtenant structures, equipment and improvements
constructed, placed or installed by or at the request or
direction of the City on the Subject_ Property.
IN WITNESS WHEREOF the undersigned duly authorized
representatives of the City of E1 Segundo have executed this
Indemnification Agreement as of the 2nd day of September1986.
