L FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, and in further consideration of the terms, covenants, and conditions herein contained, HUGHES AIRCRAFT COMPANY, a Delaware corporation (hereinafter "Grantor "), owner of the real property hereinafter described, does hereby grant and convey to the CITY OF EL SEGUNDO, a municipal corporation (hereinafter "Grantee "), located in the County of Los Angeles, State of California, on the terms, conditions and provisions herein contained, a nonexclusive easement for the operation, inspection, maintenance, repair and reconstruction of a below surface grade, buried storm drains which have heretofore been constructed by Grantor, within, under and affecting those certain parcels of land (hereinafter the "Easement Parcels "), situated in the City of E1 Segundo, County of Los Angeles, State of California, described as follows, to wit: That portion of Section 18, Township 3 South, Range 14 West, in the Rancho Sausal Redondo, in the-City of E1 Segundo, County of Los Angeles, State of California, as per map filed in Case No. 11629, Superior Court of said County on June 21, 1890, in the office of the County Clerk of said County, a certified copy of which map appears in the files of the County Surveyor of said County as Clerk's filed Map No. 218, described as follows: PARCEL 1: A parcel of land, 70.00 feet in width, the northerly line being described as follows: Beginning at the northwest corner of said Section 18 as shown on map filed in Book 89, Pages 25 and 26 of Record of Surveys, in the Office of the County Recorder of Los Angeles County; thence along the northerly line of said Section and centerline of E1 Segundo Boulevard, South 89058'55" East, 2592.32 feet to a point on said centerline, 50.00 feet 4 Past 8 A M. NOV 2(, 1980 Registrar- Recorder ' r „ westerly of the centerline of Nash Street as shown on said Record of Survey; thence South 00001'05" West 50.00 feet to a point on a line parallel with and 50.00 feet southerly from the northerly line of said section; said point also being the True Point Of Beginning; thence easterly along said parallel line, to the northwesterly corner of Lot 10 as shown on map of Tract No. 26556, recorded in Book 675, Pages 93 and 94 of Maps, in said Office of the County Recorder. EXCEPT the east 70.00 feet thereof. PARCEL 2: A parcel of land, 70.00 feet in width, the easterly line being described as follows: Beginning at the northwest corner of Tract No. 26556 per map recorded in Book 675, Pages 93 and 94 of Maps, in the office of the County Recorder of said County, thence along the westerly line of said Tract and the westerly line of Tract No. 25574 per a map filed in Book 755, Pages 29 and 30 of Maps, in said Office of the County Recorder; South 00°00'16" East, 2499.54 feet to the southwesterly corner thereof. The westerly sideline of said Parcel 2 shall be pro- longed so as to terminate southerly in the south- easterly line of the 143.84 acre parcel of land shown on a map filed in Book 89, Pages 25 and 26 of Record of Surveys, in the office of the County Recorder of said County. PARCEL 3: Beginning at a point on the southwesterly boundary of the 143.84 acre parcel of land shown on a map filed in Book 89, Pages 25 and 26 of Record of Surveys, in the office of the County Recorder of said County, said point being distant North 75013'23" West, 33.31 feet from the southeasterly terminus of that particular course shown as "South 75013'23" East, 737.68 feet" on said Record of Survey; thence North 78008'54" East, 560.35 feet to the southeasterly line of said parcel; thence North 62022'25" East, 58.45 feet along said southeasterly line to a line parallel with and 70.00 feet westerly from the east line of said parcel; thence North 0000'16" West, 55.29 feet along said parallel line to a line parallel with and 70.00 feet northerl� from the above mentioned course which bears North 78 08'54 "East, 560.35 feet from the point of beginning; thence South 78008'54" West, 647.59 feet along last mentioned parallel line; thence South 46047'52" West, 63.42 feet to a point on said south- westerly boundary distant North 75013'23" West, 82.56 feet from the point of beginning; thence South 75013'23" East, 82.56 feet along said southwesterly boundary to the Point Of Beginning. 300M B® -� together with the right to said Grantee to enter upon and to pass and repass over and across the Easement Parcels, and to deposit tools, implements and other material thereon by said Grantee, its officers, agents and employees, and by persons under contract with it and their employees whenever and wherever necessary, for the purpose of operating, inspecting, maintaining, repairing and reconstructing said storm drains. Grantor retains the right to use the Easement Parcels for any purpose which does not unreasonable interfere with the nonexclusive easement conveyed to Grantee hereby, including, but not limited to, landscaping and /or paved parking, roadway or street purposes and /or underground or overground utility transmission (including the right to regrade the Easement Parcels provided that after such regrading the storm drains described herein remains below surface grade and buried to a minimum of 3 feet. The Grantee agrees, by the acceptance of this Grant, that such storm drains shall be operated, inspected, maintained, repaired and reconstructed in a good and workmanlike manner, that the rights conveyed to Grantee hereunder shall be exercised so as not to unreasonably interfere with the uses of the Easement Parcels reserved to Grantor, and that upon completion of any inspection, repair or reconstruction of said storm drains, the surface of the Easement Parcels will be restored, as nearly as reasonably possible, to the same condition which it was in immediately prior to the inspection, maintenance, repair or reconstruction of said storm drains. The Grantee further agrees that Grantor has the right to relocate, at Grantor's expense, such easement and facilities to another parcel of property of Grantor upon not less than three (3) months prior written notice to Grantee and upon execution of a new easement; and upon demand of Grantor, the Grantee will thereafter promptly execute a quitclaim deed to the former Easement Parcels, or portion thereof that is so affected. S®- 319'700 -3- Grantee accepts this Grant subject to covenants, conditions, restrictions, reservations, rights, rights -of -way and other matters of record,. if any. By acceptance of this Grant, Grantee hereby agrees that prior to any entry in, under, upon, over or across the Easement Parcels for any construction or reconstruction Grantee shall contact any record holder of rights within the Easement Parcels, including Grantor herein, regarding the location of any facilities they may have in, under, upon, over or across the Easement Parcels so that Grantee will not interfere with such facilities, if any, and prior to any construction or reconstruction Grantee shall deliver the plans and specifications related thereto to any record holder of rights within the Easement Parcels, including Grantor herein, and upon completion of same a copy of the as -built drawings shall also be delivered.
