LEE, County Recorder , for valuable con- sideration, receipt of which is hereby acknowledged, does by these presents grant and convey unto the said party of the second part, a perpetual easement and /or right of way for the construction, reconstruction, inspection, maintenance, operation and repair of a pipeline for storm drain purposes in, under, and along a certain parcel of land, situated in the City of E1 Segundo, County of Los Angeles, State of California, described as follows, to wits A parcel 5 feet in width and 289,285 feet, more or less, in length, lying within and along the northerly line of the following described land; 3.27 acres on south line of Imperial Highway (90 feet wide) commencing east thereon 289.285 feet from west line of NE 1/4 of Section 7, Township 3 South, Range 14 West; THENCE east on said south line 338.515 feet; THENCE south 00 11° east 420 feet; THENCE south 890 479 west 338.445 feet; THENCE in a northerly direction 420 feet to point or place of beginning. Part of NE 1/4 of Section 79 Township 3 South, Range 14 West. together with the right to said party of the second part, subject to applicable security laws and regulations of the Federal and State governments and security regulations of the party of the first part, to enter upon and to pass and repass over and along said parcel of land, and to deposit tools, implements and other material thereon by said party of the second part, its officers, 2Kl ESTED 51 City clerk 0 PAR S Z 1479Pc527 agents, and employees and by persons under contract with it and their employees, whenever and wherever necessary, for the purpose of constructing, reconstructing, inspecting, maintain- ing, operating and repairing said pipeline. TO HAVE AND TO HOLD the said easement and right of way unto the said party of the second part, its successors and assigns, for the purpose and uses, and subject to the covenants and agreements, herein set forth. By its acceptance of grant above set forth in this Indenture said party of the second part agrees as follows. a. to construct such pipeline in a good and workman- like manner beneath the surface of such parcel and, upon completion of said pipeline, to restore the surface of the land, including any improvements thereon, as nearly as reasonably possible to the same condition in which it was immediately prior to the entry of said party of the second part onto the said parcel of land pursuant to this Indenture, b. to exercise the rights granted herein in such way as to interfere as little as reasonably possible with said party of the first part °s use and enjoyment of, includ- ing without limitation the access to and egress from, the said parcel and the real property above described of which said parcel is a part, C. to indemnify and hold harmless said party of the first part from and against any and all claims and liabil- ities (including costs and expenses) for bodily injury (including death) or property loss or damage resulting in any way from the exercise by said party of the second part W of any of the rights granted to it in this Indenture, d. to reimburse and make whole the party of the first part for any physical damage to the said parcel of land or —2— c exD 1479Pc528 to any other portion or part of the real property described above of which said parcel is a part, including any improve- ments thereon, which physical damage is caused by reason of, or in the course of, the exercise by said party of the second part of any of the rights granted to it in this Indenture, and e. to relocate said pipeline to a different part of the real property described above at any time and from time to time within a reasonable time after receipt of written request therefor from said party of the first part at the expense of the said party of the first part.
