GRANT OF PERPETUAL COMMON EASEMENT
THIS GRANT OF PERPETUAL COMMON EASEMENT is made this a�
day of , 1982, by KILROY INDUSTRIES, a
California corporation ( "Kilroy "), whose address is 2230 East
Imperial Highway, Suite 111, E1 Segundo, California 90245, to
KILROY AIRPORT CENTER - LAX, a sole proprietorship, whose
address is 2230 East Imperial Highway, Suite 111, E1 Segundo,
California 90245 ( "KACII), with reference to the following
facts and objectives:
A. Kilroy is the owner and developer of that certain
real property improved with two eleven -story office buildings
and a ten -story combined parking structure and office building,
the street addresses of which are 2200, 2222 and 2230 East
Imperial Highway, E1 Segundo, California 90245, and legally
described in Exhibit "A ", attached hereto ( "Existing Kilroy
Property ").
B. Kilroy has purchased that certain real property
located adjacent to and easterly of the Existing Kilroy
Property, which adjacent property is legally described in
Exhibit "B ", attached hereto ( "Additional Kilroy Property ").
C. Kilroy also intends to develop the Additional Kilroy
Property with two office buildings and a parking structure.
D. KAC is the entity and name under which the Existing
Kilroy Property has been developed and under which the Addi-
tional Kilroy Property is to be developed, subject to such
future changes as may be made by Kilroy or KAC.
E. A perpetual common easement for purposes of ingress
and egress is to be granted for the benefit of Kilroy, KAC and
the lessees, licensees and business invitees of the Existing
Kilroy Property and the Additional Kilroy Property, which
perpetual common easement is to be located between and parti-
ally upon the Existing Kilroy Property and partially upon the
Additional Kilroy Property (the "Perpetual Common Easement
Property "). The Perpetual Common Easement Property is legally
described in Exhibit "C ", attached hereto.
NOW, THEREFORE, Kilroy does hereby grant to KAC a perpet-
ual common easement for purposes of ingress and egress over,
along and across the Perpetual Common Easement Property for the
benefit of and appurtenant to both the Existing Kilroy Property
and the Additional Kilroy Property. The Perpetual Common
Easement Property may also be used by Kilroy or KAC for
drainage and underground public utility purposes, for ingress
and egress to the parking structure located upon the Existing
Kilroy Property, for ingress and egress to the parking
structure to be located upon the Additional Kilroy Property,
and for such other uses and purposes as shall not be
inconsistent with or materially interefere with ingress and

egress thereover. PROVIDED, HOWEVER, that Kilroy may establish
reasonable rules and regulations in connection with the use of
the Perpetual Common Easement Property and Kilroy or KAC may
construct a parking kiosk or kiosks and parking controls regu-
lating the use of the Perpetual Common Easement Property for
ingress and egress to the parking areas and parking structure
located upon the Existing Kilroy Property and to be located
upon the Additional Kilroy Property, including structures above
and below ground level facilitating such ingress and egress.
Kilroy reserves the right to enter upon said Perpetual
Common Easement Property to survey, construct, reconstruct,
lay, relay, maintain, operate, control, use and remove pipe-
lines, pipes and conduits, and fixtures and appurtenances
therefor, and directional signs and markers, parking kiosks and
parking control equipment and to establish and collect parking
charges for the use of Kilroy's and /or KAC's parking facilities
and parking structures. Kilroy also reserves all airspace
rights above the Perpetual Common Easement Property, together
with the right, power and authority to dedicate or further
convey all or any portion of such airspace rights.
This Grant of Perpetual Common Easement shall be binding
upon and it shall inure to the benefit of Kilroy and its suc-
cessors and assigns and KAC and its successors and assigns.
This Grant of Perpetual Common Easement shall constitute a
covenant running with the land for the benefit of the Existing
Kilroy Property and the Additional Kilroy Property and binding
upon Kilroy and KAC and their respective successors in inter-
est. No person or entity other. than Kilroy or KAC, or their
successors and assigns, shall have any right to enforce this
Agreement. However, this Grant of Perpetual Common Easement
may not be changed or terminated without the written consent of
the City of E1 Segundo, or one of its designated agencies.
The unenforceability, invalidity or illegality of any
provision, covenant or condition of this Perpetual Common
Easement shall not render the other provisions, covenants or
conditions unenforceable, invalid or illegal.
IN WITNESS WHEREOF, Kilroy has executed this Perpetual
Common Easement as of the day and year first above written.
