THIS AGREEMENT made and entered into this loth day
of March , 1980, by and between THE PRUDENTIAL INSURANCE
COMPANY OF AMERICA, a New Jersey corporation, hereinafter referred
to as "Prudential ", and the CITY OF EL SEGUNDO, a municipal corpo-
ration, hereinafter referred to as "City"
This Agreement is entered into in consideration of
the following facts:
A. On June 4, 1965, Prudential's predecessor entered
into a "Covenant and Agreement to Hold Property as One Parcel"
which said Covenant and Agreement was recorded on June 28, 1965
as Document No. 3826 in Book M1898, Page 899 in the official
records of the County of Los Angeles.
B. On November 16, 1979 Prudential filed an application
with the Director of Planning of the City for a subdivision known
as Subdivision 6 -79, to create Parcels 1 and 2 on Tentative Parcel
Map No. 11008 for property generally located at the southeast
corner of Sepulveda Boulevard and Walnut Avenue.
C. On January 24, 1980, the Planning Commission of
the City held a public hearing and approved Tentative Parcel
Map No. 11008 subject to the following condition:
Applicant shall enter into an Agreement with
the City in a form satisfactory to the City
Council covenanting that the parking garage
located on Parcel No. 1 shall be available
and shall provide the necessary parking for
the land uses located on Parcel No. 1 and
Parcel No. 2 and that the City shall receive
a copy of the recorded document for its files.
D. On February 14, 1980, the document referred to
in paragraph "C" was recorded as Document No. 80- 159663, in the
official records of the County of Los Angeles.
E. Whereas, the instrument referred to in paragraph
"A" is no longer required by reason of the instrument referred
to in paragraph "C" and for that reason the parties desire to
release and cancel the instrument referred to in paragraph "A ".
