OF THE CITY OF EL SEGUNDO, CALIFORNIA, AT ITS REGULAR
MEETING HELD AUGUST 200 1954•
"RESOLVED, that that certain Easement, dated the 15th day of
July, 1954, executed by Standard Oil Company of California, a corpor-
ation, granting an easement for the maintenance and repair of out and
fill slopes upon, over and across the surface of the real property
situated in the City of El Segundo, County of Los Angeles, State of
California, described as follows:
Those certain parcels of land lying within the area shaded
red on map No. 62447 -1, attached hereto, and by this refer-
ence made a part hereof, and being a portion of Lot 2 of
Tract No. 1314, as per map recorded in Book 20, page 161,
of Maps; a portion of a strip of land, 50.00 feet wide,
lying Southwesterly of and adjoining said Lot 2; a portion
of Lot 2 of Tract No. 3303, as per map recorded in Book 36,
page 14, of Maps, and portions of Lots 31, 32, 34, 36 and
37 of Tract No. 2356, as per map recorded in Book 28, pages
41 and 42, of Maps, all of which maps were recorded in the
office of the County Recorder of said County.,
for public street purposes be and the same is hereby accepted for and
on behalf of the City of E1 Segundo for cut and fill slopes in con-
nection with a portion of Coast Boulevard, in said City; and
BE IT FURTHER RESOLVED, that the City Clerk be and she is hereby
authorized and directed to cause said instrument to be filed for record
in the office of the County Recorder of Los Angeles County, California.„

do hereby certify that the foregoing is a full, true and correct copy of a
resolution adopted by the City Council of said City at a reguarcmeoting of
said body held on the 18th day of August, 1954, and that, as of this date,
said resolution has not been repealed or in any way amended.

STANDARD OIL COTPANY OF CALIFORNIA, a corporation hereinafter called 0

"Grantor ", does hereby grant to the CITY OF EL SEGUNDO, a California municipal <
corporation, an easement for the maintenance and repair of cut and fill slopes
for the protection and support of Coast Boulevard, a public street, upon, over,
and across the surface of the real property situated in the City of E1 Segundo,
County of Los Angeles, State of California, described as follows:
Those certain parcels of land lying within the area shaded red
on map No. 62447-1, attached hereto, and by this reference made
a part hereof, and being a portion of Lot 2 of Tract No. 1314,
as per map recorded in Book 20, page 161, of laps; a portion of
a strip of land, 50.00 feet wide, lying Southwesterly of and
adjoining said Lot 2; a portion of Lot 2 of Tract No. 3303, as
per map recorded in Book 36, page 14, of naps, and portions of
Lots 31, 32, 34, 36 and 37 of Tract No. 2356, as per map recorded
in Book 28, pages 41 and 42, of °laps, all of which maps were
recorded in the office of the County Recorder of said County.
RESERVING unto Grantor, its successors and assigns, for its and their
benefit and for the benefit of its and their present or future subsidiaries and
their respective successors and assigns, the right to lay, construct, operate,
maintain, repair, renew, change the size of, increase the number of, and remove
pipelines for the transportation of oil, petroleum, gas, gasoline, water and
other substances, and to erect, maintain, operate, repair, renew, add to and
remove telephone, telegraph, and poorer lines, conduits, poles, towers, and appur-
tenances thereto, retainin walls, access roads, surface water drainage structures,
and fences, under, along and across said property, together with the right to
tunnel under said property for the purpose of constructing thereunder, roads and
railroads, which right so to do, at any time and from time to time, and from any
place or places, is hereby expressly reserved to Grantor and its successors or
assigns.
SUBJECT TO the rights, if any, of the County of Los Angeles in and to
that portion of said lands lying within said Lot 37 of Tract No. 2356, or within
that portion of Lot 2 of Tract No. 1314 included within that certain strip of

land, 60 feet wide, described in the deed to the County of Los Angeles, dated
October 20, 1916, and recorded in Book 6388, page 49, of Deeds, in the office
of the County Recorder of said County.
SUBJECT'TO;al other easements, rights, leases, licenses and encum-
brances, whether of record or not, affecting the above described real property
or any portion thereof.
The above described real property is to be used only for the purposes
of supporting and protecting the cuts and fills in connection with the portion of
Coast Boulevard in the City of El Segundo immediately adjacent to said real prop-
erty. In the event that the use of the above described real property is no longer
necessary for the protection and support of cut and fill slopes relating to said
Coast Boulevard, or in the event that said portion of Coast Boulevard is abandoned
or vacated as a public street and highway, or in the event any portion of said
real propertyRhall cease to be used for said cut and fill slope purposes for the
protection and supoort of Coast Boulevard, or in the event that Grantor, its suc-
cessors or assigns, construct a retaining wall or walls on said real property to
support and protect the cuts and fills aforesaid, or a portion or portions thereof,
the easement herein granted shall thereupon terminate as to said real property, or
the portion thereof affected by any event or events aforesaid, and said real prop-
erty or the portion thereof so affected shall thereupon be free and clear of this
easement.
In the event that, and. so long as, Grantor, its successors and assigns,
shall construct and maintain a fence or fences over all or portions of the property
herein described in such manner as may substantially impair access for maintenance
purposes by the City of El Segundo, Grantee herein, to the cuts or fills thereon,
Grantor, its successors and assigns, agree to maintain, at its or their own expense,
the surface of such cuts and fills in such manner as will not adversely affect the
protection and support afforded by such cuts and fills to Coast Boulevard and in
accordance with reasonable regulations of public bodies having jurisdiction in
the premises. Such obligation shall terminate as to all or any portion thus fenced

when the easement herein granted is terminated as to any such portion as hereinabove
provided or when access rights are restored by removal of such fence or fences.
Grantor, its successors and assigns, agree to indemnify and hold the City of E1
Segundo harmless for any loss, liability, claim or damages arising out of the neg-
ligent performance or failure to perform the foregoing obligation to maintain.
