Construction, Inc., a California Corporation ( "GRANTOR "), for valuable consideration, grants to the CITY OF EL SEGUNDO, a general law city and municipal corporation ( "GRANTEE ") a perpetual and non - exclusive easement for a right -of -way upon, in, across, over, and under the lands described below, to construct, operate, maintain, repair, use, or reconstruct a public sidewalk located where and within the easement GRANTEE may require. The land burdened by this easement is located in the City of El Segundo, County of Los Angeles, State of California, and is described as follows: The southerly six (6) inches of Parcel 1, Parcel Map No. 62674, in the City of El Segundo, County of Los Angeles, State of California, as filed in Parcel Map Book 343 Pages 77 and 78 of Parcel Maps, in the office of the county recorder of said county. 1. GRANTOR grants the right of ingress and egress to and from said easement for all purposes associated with a public sidewalk including, without limitation, maintenance and improvement. 2. GRANTOR will not construct any improvements within the easement. GRANTEE will have the right to remove any improvement that unreasonably interferes with GRANTEE's easement including, without limitation, the right to trim or remove any landscaping within the easement boundaries that unreasonably interferes with its use of this easement. 3. GRANTEE will indemnify, defend, and hold GRANTOR harmless from and against any claims, damages, costs including reasonable attorney fees, judgments, and liability solely resulting from GRANTEE's use of the easement. For purposes of this section, "GRANTEE" 3750..+ f includes GRANTEE's employees and contractors authorized to enter into the easement. The foregoing indemnification and hold harmless provision does not include claims, damages, costs, judgments, and/or liability arising from GRANTOR's sole or contributory negligence. GRANTOR will also retain responsibility for the existence and cleanup, if required by State or Federal law or regulation, of any hazardous and/or contaminated materials within the easement that were in place at the time the easement was granted to GRANTEE. 4. All terms and conditions in this easement will be binding upon the parties, their successors, and their assigns. The benefits and burdens herein are intended to and will run with the land. This is the entire agreement between the parties and will not be modified except by written instrument signed by the parties. 5. GRANTOR expressly warrants and represents that it has the power to grant this easement in accordance with its terms. 6. This document was drafted in and will be construed in accordance with the laws of the State of California and exclusive venue for any action involving this document will be in Los Angeles County. 7. This document may be executed in any number or counterparts, each of which will be an original, but all of which together will constitute one instrument executed on the same date.
