CONTRACT FOR PROFESSIONAL SERVICES
BETWEEN
THE CITY OF EL SEGUNDO AND
POST, BUCKLEY, SCHUH & JERNIGAN, INC. (PBS &J)
This AGREEMENT is entered into this 13th day of December, 2007, by and between the
CITY OF EL SEGUNDO, a general law city and municipal corporation ( "CITY ") and Post,
Buckley, Schuh & Jernigan, Inc. (PBS &J) ( "CONSULTANT ").
1. CONSIDERATION.
A. As partial consideration, CONSULTANT agrees to perform the work listed in the
SCOPE OF SERVICES, below;
B. As additional consideration, CONSULTANT and CITY agree to abide by the
terms and conditions contained in this Agreement;
C. As additional consideration, CITY agrees to pay CONSULTANT a sum not to
exceed seventy four thousand five hundred twenty three dollars ($74,523) for
CONSULTANT's services. CITY may modify this amount as set forth below.
Unless otherwise specified by written amendment to this Agreement, CITY will
pay this sum as specified in the attached Exhibit "A," which is incorporated by
reference.
2. SCOPE OF SERVICES.
A. CONSULTANT will perform services listed in the attached Exhibit `B," which is
incorporated herein.
B. CONSULTANT will, in a professional manner, furnish all of the labor, technical,
administrative, professional and other personnel, all supplies and materials,
equipment, printing, vehicles, transportation, office space and facilities, and all
tests, testing and analyses, calculation, and all other means whatsoever, except as
herein otherwise expressly specified to be furnished by CITY, necessary or proper
to perform and complete the work and provide the professional services required
of CONSULTANT by this Agreement.
3. PAYMENTS. For CITY to pay CONSULTANT as specified by this Agreement,
CONSULTANT must submit a detailed invoice to CITY which lists the hours worked and
hourly rates for each personnel category and reimbursable costs (all as set forth in Exhibit "A ")
the tasks performed, the percentage of the task completed during the billing period, the
cumulative percentage completed for each task, the total cost of that work during the preceding
billing month and a cumulative cash flow curve showing projected and actual expenditures
versus time to date.

4. POLITICAL REFORM ACT. CONSULTANT agrees that it will be considered a public
official subject to the Political Reform Act of 1974 for purposes of this Agreement.
CONSULTANT agrees and warrants that it has no financial interests which may be materially
affected by the project for which the Initial Study, as specified in the SERVICES, is being
prepared. Such financial interests may include, without limitation, interests in business entities,
real property, or sources of income exceeding $500 received within the past year.
CONSULTANT further warrants that, before executing this Agreement, it reviewed the Political
Reform Act of 1974 and the Fair Political Practices Commission regulations, including, without
limitation, Chapter 7 of Title 2 of the California Administrative Code, Section 18700, et seq., in
order to determine whether any conflict of interest would require CONSULTANT to refrain
from performing the SERVICES or in any way attempting to use its official position to influence
the governmental decisions underlying the subject environmental clearances.
5. FAMILIARITY WITH WORK.
A. By executing this Agreement, CONSULTANT represents that CONSULTANT
has
Thoroughly investigated and considered the scope of services to be
performed;
ii. Carefully considered how the services should be performed; and
iii. Understands the facilities, difficulties, and restrictions attending
performance of the services under this Agreement.
B. If services involve work upon any site, CONSULTANT represents that
CONSULTANT has or will investigate the site and is or will be fully acquainted
with the conditions there existing, before commencing the services hereunder.
Should CONSULTANT discover any latent or unknown conditions that may
materially affect the performance of the services, CONSULTANT will
immediately inform CITY of such fact and will not proceed except at
CONSULTANT's own risk until written instructions are received from CITY.
C. Although CITY has a duty to the public to independently review any
environmental document, including, without limitation a negative declaration or
draft EIR, prepared by CONSULTANT, that duty to the public, or the breach
thereof, will not relieve CONSULTANT of its duties under this Section or any
representation provided by CONSULTANT in this Agreement.
6. KEY PERSONNEL.
A. CONSULTANT's key personnel assigned to perform work under this Agreement
and their level of responsibility are as follows:

B. The resume of each of the individuals identified in this Section are attached to this
Agreement, collectively, as Exhibit "C," and incorporated by reference.
C. In the event CITY objects to the continued involvement with this Agreement by
any of the persons listed in this Section, CONSULTANT agrees that it will
replace such persons with individuals that are agreed to by CITY.
7. TERM. The term of this Agreement will be from December 3, 2007, to December 31, 2008.
Unless otherwise determined by written amendment between the parties, this Agreement will
terminate in the following instances:
A. Completion of the work specified in Exhibit `B ";
B. Termination as stated in Section 15.
8. TIME FOR PERFORMANCE. CONSULTANT will not perform any work under this
Agreement until:
A. CONSULTANT furnishes proof of insurance as required by this Agreement; and
B. CITY gives CONSULTANT a written Notice to Proceed.
C. Should CONSULTANT begin work on any phase in advance of receiving written
authorization to proceed, any such professional services are at CONSULTANT's
own risk.
9. TIME EXTENSIONS. Should CONSULTANT be delayed by causes beyond
CONSULTANT's control, CITY may grant a time extension for the completion of the contracted
services. If delay occurs, CONSULTANT must notify CITY within forty -eight hours (48 hours),
in writing, of the cause and the extent of the delay and how such delay interferes with the
Agreement's schedule. CITY may, but is not required to, extend the completion time, when
appropriate, for the completion of the contracted services.
10. CHANGES. CITY may order changes in the services within the general scope of this
Agreement, consisting of additions, deletions, or other revisions, and the contract sum and the
contract time will be adjusted accordingly. All such changes must be authorized in writing,
executed by CONSULTANT and CITY. The cost or credit to CITY resulting from changes in
the services will be determined in accordance with written agreement between the parties.
11. TAXPAYER IDENTIFICATION NUMBER. CONSULTANT will provide CITY with a
Taxpayer Identification Number.

12. PERMITS AND LICENSES. CONSULTANT, at its sole expense, will obtain and
maintain during the term of this Agreement, all necessary permits, licenses, and certificates that
may be required in connection with the performance of services under this Agreement.
13. PROJECT COORDINATION AND SUPERVISION.
A. Ruta Kshirsagar Thomas will be assigned as Project Manager and will be
responsible for job performance, negotiations, contractual matters, and
coordination with CITY's Project Manager.
B. Kimberly Christensen will be assigned as CITY's Project Manager and will be
personally in charge of and personally supervise or perform the technical
execution of the Project on a day -to -day basis on behalf of CITY and will
maintain direct communication with CONSULTANT's Project Manager.
14. WAIVER. CITY's review or acceptance of, or payment for, work product prepared by
CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights
CITY may have under this Agreement or of any cause of action arising from CONSULTANT's
performance. A waiver by CITY of any breach of any term, covenant, or condition contained in
this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any
other term, covenant, or condition contained in this Agreement, whether of the same or different
character.
15. TERMINATION.
A. Except as otherwise provided, CITY may terminate this Agreement at any time
with or without cause. Notice of termination will be in writing.
B. CONSULTANT may terminate this Agreement at any time with CITY's mutual
consent. Notice will be in writing at least thirty (30) days before the effective
termination date.
C. Should termination occur, all finished or unfinished documents, data, studies,
surveys, drawings, maps, reports and other materials prepared by CONSULTANT
will, at CITY's option, become CITY's property, and CONSULTANT will
receive just and equitable compensation for any work satisfactorily completed up
to the effective date of notice of termination, not to exceed the total costs under
Section 1(C).
D. Should the Agreement be terminated pursuant to this Section, CITY may procure
on its own terms services similar to those terminated.
E. By executing this document, CONSULTANT waives any and all claims for
damages that might otherwise arise from CITY's termination under this Section.

16. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models,
photographs and reports prepared by CONSULTANT under this Agreement are CITY's
property. CONSULTANT may retain copies of said documents and materials as desired, but
will deliver all original materials to CITY upon CITY's written notice. CITY agrees that use of
CONSULTANT's completed work product, for purposes other than identified in this Agreement,
or use of incomplete work product, is at CITY's own risk.
17. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service
under this Agreement, no copies, sketches, or graphs of materials, including graphic art work,
prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or
city without CITY's prior written approval. All press releases, including graphic display
information to be published in newspapers or magazines, will be approved and distributed solely
by CITY, unless otherwise provided by written agreement between the parties.
18. INDEMNIFICATION.
A. CONSULTANT agrees to the following:
i. Indemnification for Professional Services. CONSULTANT will save
harmless and indemnify, including, without limitation, CITY's
defense costs (including reasonable attorney's fees), from and against
any and all suits, actions, or claims, of any character whatever,
brought for, or on account of, any injuries or damages sustained by
any person or property resulting or arising from any negligent or
wrongful act, error or omission by CONSULTANT or any of
CONSULTANT's officers, agents, employees, or representatives, in
the performance of this Agreement.
ii. Indemnification for other Damages. CONSULTANT indemnifies and
holds CITY harmless from and against any claim, action, damages,
costs (including, without limitation, reasonable attorney's fees),
injuries, or liability, arising out of this Agreement, or its performance.
Should CITY be named in any suit, or should any claim be brought
against it by suit or otherwise, whether the same be groundless or not,
arising out of this Agreement, or its performance, CONSULTANT
will defend CITY (at CITY's request and with counsel satisfactory to
CITY) and will indemnify CITY for any judgment rendered against it
or any sums paid out in settlement or otherwise.
iii. Exclusion for CEQA Actions. Notwithstanding the foregoing,
CONSULTANT need not indemnify, defend, or hold CITY harmless in
CEQA actions initiated pursuant to Public Resources Code §§ 21167 and
21168 where CONSULTANT's work may form the basis of a lawsuit.
However, should CONSULTANT's work, as contemplated by this
Agreement, contain errors or omissions that results in an adverse ruling

against CITY, CONSULTANT agrees to indemnify and hold CITY
harmless to the extent provided for in Section 18(A)(i).
B. For purposes of this section "CITY" includes CITY's officers, officials and
employees,
C. It is expressly understood and agreed that the foregoing provisions will survive
termination of this Agreement.
D. The requirements as to the types and limits of insurance coverage to be
maintained by CONSULTANT as required by Section 22, and any approval of
said insurance by CITY, are not intended to and will not in any manner limit or
qualify the liabilities and obligations otherwise assumed by CONSULTANT
pursuant to this Agreement, including, without limitation, to the provisions
concerning indemnification.
19. ASSIGNABILITY. This Agreement is for CONSULTANT's professional services.
CONSULTANT's attempts to assign the benefits or burdens of this Agreement without CITY's
written approval are prohibited and will be null and void.
20. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that
CONSULTANT will act as an independent contractor and will have control of all work and the
manner in which is it performed. CONSULTANT will be free to contract for similar service to
be performed for other employers while under contract with CITY. CONSULTANT is not an
agent or employee of CITY and is not entitled to participate in any pension plan, insurance,
bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that
may appear to give CITY the right to direct CONSULTANT as to the details of doing the work
or to exercise a measure of control over the work means that CONSULTANT will follow the
direction of the CITY as to end results of the work only.
21. AUDIT OF RECORDS.
A. CONSULTANT agrees that CITY, or designee, has the right to review, obtain,
and copy all records pertaining to the performance of this Agreement.
CONSULTANT agrees to provide CITY, or designee, with any relevant
information requested and will permit CITY, or designee, access to its premises,
upon reasonable notice, during normal business hours for the purpose of
interviewing employees and inspecting and copying such books, records,
accounts, and other material that may be relevant to a matter under investigation
for the purpose of determining compliance with this Agreement. CONSULTANT
further agrees to maintain such records for a period of three (3) years following
final payment under this Agreement.
B. Upon inspection, CONSULTANT will promptly implement any corrective
measures required by CITY regarding the requirements of this Section.
CONSULTANT will be given a reasonable amount of time to implement said

corrective measures. Failure of CONSULTANT to implement required corrective
measures will result in immediate termination of this Agreement.
C. CONSULTANT will keep all books, records, accounts and documents pertaining
to this Agreement separate from other activities unrelated to this Agreement.
22. INSURANCE.
A. Before commencing performance under this Agreement, and at all other times this
Agreement is effective, CONSULTANT must procure and maintain the following
types of insurance with coverage limits complying, at a minimum, with the limits
set forth below:

Statutory requirement.
B. Commercial general liability insurance will meet or exceed the requirements of
ISO -CGL Form No. CG 00 01 11 85 or 88. The amount of insurance set forth
above will be a combined single limit per occurrence for bodily injury, personal
injury, and property damage for the policy coverage. Commercial General
Liability policy will be endorsed to name City, its officials, and employees as
"additional insureds" under said insurance coverage and to state that such
insurance will be deemed "primary" such that any other insurance that may be
carried by City will be excess thereto. Such endorsement must be reflected on
ISO Form No. CG 20 10 11 85 or 88. Such insurance will be on an "occurrence,"
not a "claims made," basis and will not be cancelable or subject to reduction
except upon thirty (30) days prior written notice to City.
C. Automobile coverage will be written on ISO Business Auto Coverage Form CA
00 0106 92, including symbol 1 (Any Auto).
D. Professional liability coverage will be on an "occurrence basis" if such coverage
is available, or on a "claims made" basis if not available. When coverage is
provided on a "claims made basis," CONSULTANT will continue to maintain the
insurance in effect for a period of three (3) years after this Agreement expires or
is terminated ( "extended insurance "). Such extended insurance will have the same
coverage and limits as the policy that was in effect during the term of this
Agreement, and will cover CONSULTANT for all claims made by City arising
out of any errors or omissions of CONSULTANT, or its officers, employees or
agents during the time this Agreement was in effect.
E. CONSULTANT will furnish to City duly authenticated Certificates of Insurance

evidencing maintenance of the insurance required under this Agreement,
endorsements as required herein, and such other evidence of insurance or copies
of policies as may be reasonably required by City from time to time. Insurance
must be placed with insurers with a current A.M. Best Company Rating
equivalent to at least a Rating of "A:VII."
F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance
required by this Agreement, City may obtain such coverage at CONSULTANT's
expense and deduct the cost of such insurance from payments due to
CONSULTANT under this Agreement or terminate.
23. USE OF CONSULTANT. CONSULTANT must obtain CITY's prior written approval to
use any consultants while performing any portion of this Agreement. Such approval must
approve of the proposed consultant and the terms of compensation.
24. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the
status on the project, which will include a schedule update and a short narrative description of
progress during the past month for each major task, a description of the work remaining and a
description of the work to be done before the next schedule update.
25. NOTICES. All communications to either party by the other party will be deemed made
when received by such party at its respective name and address as follows:

Any such written communications by mail will be conclusively deemed to have been received by
the addressee upon deposit thereof in the United States Mail, postage prepaid and properly
addressed as noted above. In all other instances, notices will be deemed given at the time of
actual delivery. Changes may be made in the names or addresses of persons to whom notices are
to be given by giving notice in the manner prescribed in this paragraph.
26. SOLICITATION. CONSULTANT maintains and warrants that it has not employed nor
retained any company or person, other than CONSULTANT's bona fide employee, to solicit or
secure this Agreement. Further, CONSULTANT warrants that it has not paid nor has it agreed
to pay any company or person, other than CONSULTANT's bona fide employee, any fee,
commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting
from the award or making of this Agreement. Should CONSULTANT breach or violate this
warranty, CITY may rescind this Agreement without liability.

27. THIRD PARTY BENEFICIARIES. This Agreement and every provision herein is
generally for the exclusive benefit of CONSULTANT and CITY and not for the benefit of any
other party. There will be no incidental or other beneficiaries of any of CONSULTANT's or
CITY's obligations under this Agreement.
28. INTERPRETATION. This Agreement was drafted in, and will be construed in accordance
with the laws of the State of California, and exclusive venue for any action involving this
agreement will be in Los Angeles County or in the Federal District Court in the District of
California in which Los Angeles County is located.
29. ENTIRE AGREEMENT. This Agreement, and its Attachments, sets forth the entire
understanding of the parties. There are no other understandings, terms or other agreements
expressed or implied, oral or written. There are three (3) Attachments to this Agreement. This
Agreement will bind and inure to the benefit of the parties to this Agreement and any subsequent
successors and assigns.
30. CONSISTENCY. In interpreting this Agreement and resolving any ambiguities, the main
body of this Agreement takes precedence over the attached Exhibits; this Agreement supersedes
any conflicting provisions. Any inconsistency between the Exhibits will be resolved in the order
in which the Exhibits appear below:
A. Exhibit A: Scope of Work;
B. Exhibit B: Budget; and
C. Exhibit C: Proposal for Services.
31. RULES OF CONSTRUCTION. Each Party had the opportunity to independently review
this Agreement with legal counsel. Accordingly, this Agreement will be construed simply, as a
whole, and in accordance with its fair meaning; it will not be interpreted strictly for or against
either Party.
32. SEVERABILITY. If any portion of this Agreement is declared by a court of competent
jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the
extent necessary in the opinion of the court to render such portion enforceable and, as so
modified, such portion and the balance of this Agreement will continue in full force and effect.
33. AUTHORITY /MODIFICATION. The Parties represent and warrant that all necessary
action has been taken by the Parties to authorize the undersigned to execute this Agreement and to
engage in the actions described herein. This Agreement may be modified by written amendment.
CITY's city manager, or designee, may execute any such amendment on behalf of CITY.
34. ACCEPTANCE OF FACSIMILE SIGNATURES. The Parties agree that this Agreement,
agreements ancillary to this Agreement, and related documents to be entered into in connection
with this Agreement will be considered signed when the signature of a party is delivered by

facsimile transmission. Such facsimile signature will be treated in all respects as having the
same effect as an original signature.
35. COVENANTS AND CONDITIONS. The parties agree that all of the provisions hereof
will be construed as both covenants and conditions, the same as if the words importing such
covenants and conditions had been used in each separate paragraph.
36. CAPTIONS. The captions of the paragraphs of this Agreement are for convenience of
reference only and will not affect the interpretation of this Agreement.
37. FORCE MAJEURE. Should performance of this Agreement be prevented due to fire, flood,
explosion, war, embargo, government action, civil or military authority, the natural elements, or
other similar causes beyond the Parties' control, then the Agreement will immediately terminate
without obligation of either party to the other.
38. TIME IS OF ESSENCE. Time is of the essence to comply with dates and schedules to be
provided.
39. STATEMENT OF EXPERIENCE. By executing this Agreement, CONSULTANT
represents that it has demonstrated trustworthiness and possesses the quality, fitness and capacity
to perform the Agreement in a manner satisfactory to CITY. CONSULTANT represents that its
financial resources, surety and insurance experience, service experience, completion ability,
personnel, current workload, experience in dealing with private consultants, and experience in
dealing with public agencies all suggest that CONSULTANT is capable of performing the
proposed contract and has a demonstrated capacity to deal fairly and effectively with and to
satisfy a public agency.

1. This schedule is effective until January 1, 2008 and is subject to annual and/or periodic revisions thereafter, as necessary to

Scope of Work
Project Understanding
The proposed project site consists of a two- story, 32,980- square -foot concrete tilt -up medical office
building on 4.25 acres at 1700 East Grand Avenue in the City of El Segundo. The site was previously
occupied by four manufacturing/ office buildings of approximately 56,000 square feet plus several
detached outbuildings and associated parking lots used by Aerojet for machining aerospace and defense
industry parts. All structures on the site have been demolished. The project site is bounded by Grand
Avenue to the north, an SCE electrical substation and nursery to the east, a dog kennel and International
Rectifier (a manufacturer of electronic components) to the south, and International Rectifier also to the
west.
Regional access to the site is provided by I -405 to the north at the Sepulveda Boulevard exit. Local access
is provided via Grand Avenue. The site is within the Smoky Hollow Specific Plan area, and is also within
the Grand Avenue Commercial (GAC) "floating zone." The site is currently zoned medium
manufacturing, with general and medical- dental office uses a permitted use. The purpose of the GAC
zone is to provide for limited commercial development along Grand Avenue, and the project Applicant
(Mar Ventures) has applied for activation of the floating GAC zone for the project.
Uses in the immediate vicinity of the site include commercial and light industrial establishments, such as
International Rectifier, an auto collision center, an electrical substation, electronics manufacturing, and a
dog kennel. In general, commercial /light industrial uses extend on both sides of Grand to Center Street.
As noted, the proposed project would consist of one 32,980- square -foot, two -story medical office
building approximately 35 feet in height that would be leased to the General Services
Administration /Department of Defense for a Military Entrance Processing Station (MEPS). The
building is designed to achieve Silver LEED certification, and will conform to all governmental
regulations for security setbacks for government buildings. Parking would be provided via 151 parking
stalls. One central secured access point and one secured exit only access would be provided from Grand
Avenue.
Discretionary actions by the City include activation of the GAC floating zone for the site, site plan
review, certification of the EIR, approval of the project, and issuance of grading, building, electrical, and
sign permits. The County will be responsible for issuance of fire hydrant and sewer permits.
Project Approach
The approach of the PBS &J Project Team is based on meeting the following objectives:

recommendations, devise solutions to potential impacts and /or other issues that may arise, and
provide expert planning, policy, and environmental compliance consultation

• Committing senior management to the project to provide close coordination with, and accessibility
to, the City to ensure technical accuracy, document objectivity, and legal defensibility
• Complying with the California EnvironmentalQuality Act (CEQA), the current CEQA Guidelines, as
well as current case law, and serving as a public educator of CEQA and the CEQA process
• Complying with all unique City processing requirements
• Responding to all significant issues of concern raised by the various governmental agencies, private
entities, individuals, and community groups
• Submitting all required deliverables within the mutually agreed upon time frames
A preliminary review of the documents submitted leads us to believe a Negative Declaration/ Mitigated
Negative Declaration (ND /MND) may be appropriate for the project, depending on the results of
project -level analysis of traffic and air quality, particularly construction emissions. Because of the
possibility that one or more impacts may be unmitigable after further comprehensive analysis, the
following scope of work is based on the worst -case scenario of preparing an EIR rather than an
ND /MND. It is anticipated that the EIR would consist of analysis of, at most, two issues — air quality
and traffic, as these are the two resource areas most likely to be adversely impacted by the project. If it is
determined after running both the traffic and air quality models that these impacts would be less than
significant, either with or without mitigation, this scope of work will be revised to reflect preparation of
an Initial Study and ND or MND.
PBS &J will take full responsibility for project initiation and organization, data compilation, impact
assessment, development of mitigation measures, report compilation, monitoring and review for CEQA
adequacy, attendance at public meetings and hearings, response to public comments, coordination of the
internal project team, and preparation of a Mitigation Monitoring and Reporting Program.
Report format and content will be in full compliance with CEQA (as amended through the date of
submittal of the draft EIR), the CEQA Guidelines (also as amended through the date of submittal of the
draft EIR), and the City's environmental guidelines and procedural requirements. General EIR
organization will include a discussion of existing conditions, potential direct and indirect/ secondary
environmental impacts, and the recommendation of mitigation measures for each affected issue area. To
present information in a concise and easily understood format, text will be supplemented with graphics,
charts, maps and tables on 8' /2-by -11 white paper, unless a larger format is critical to the readability of the
document. Work products will consist of professionally photocopied reports in comb bindings, which
are printed on recycled paper. The majority of graphics, charts, and maps will be presented in black ink,
although some color graphics may be included to help convey necessary information. All work products
will be submitted in hard -copy format and on CD and will be prepared using Microsoft Word and other
formats that are compatible with the City's software applications. All documents and plans shall be the
property of the City of El Segundo.

TASK 1 Participate in Project Startup Activities
Subtask 1 A Attend One Project Kick -Off Meeting
PBS &J will attend one project kick -off meeting with representatives from the City of El Segundo and,
most likely, the Applicant's team. The purpose of the kick -off meeting is to compile the relevant
background data and reports; clearly define the proposed project for the purposes of the environmental
analysis; begin to compile a list of cumulative projects; discuss the project schedule and important
assumptions for achieving the schedule; identify all anticipated discretionary actions; establish early
communication among various project team members, as well as the protocols for ongoing
communication; and to familiarize the PBS &J project team with the issues and concerns that the City
determines to be important issues for analysis in the environmental document. Based on the discussions
and issues raised during the kick -off meeting, the PBS &J project management team will refine the scope
of work, schedule, and budget, if necessary.

PBS &J will prepare an Initial Study /Notice of Preparation (IS /NOP) and Notice of Completion (NOC)
for the proposed project that is consistent with the procedural and substantive provisions of Sections
15063 and 15082 and Appendices C, G, and I of the California Environmental Quality Act (CEQA)
Guidelines and would be used to narrow the focus of the environmental issues addressed in the EIR. (In
recent past, an IS /NOP must now also be accompanied with a Notice of Completion, instead of a
Notice of Availability, much like distribution of a Draft EIR.)
The Initial Study will be prepared in conformance with a City- approved Initial Study checklist format,
and the NOC would be consistent with Appendix C of the CEQA Guidelines. Based upon review and
comment by the City, PBS &J will revise the IS /NOP and NOC, as appropriate. It is anticipated that the
following issue areas will be sufficiently analyzed in the Initial Study to allow them to be scoped out from
further analysis in the EIR. All appropriate mitigation measures for these resources would be included in
the Initial Study and incorporated into the Mitigation Monitoring and Reporting Program. The
"Environmental Impact Analysis" section at the end of this Scope of Work discusses each of these
resources in more detail.

The objective of this task is to prepare a comprehensive, accurate, and objective project -level Focused
EIR for the proposed project that fully complies with CEQA and the CEQA Guidelines (both as
amended throughout submittal of the Draft Focused EIR) and all applicable guidance and procedures
established by the City of El Segundo for the purpose of environmental review.
The main purpose of the Draft Focused EIR will be to thoroughly and accurately analyze the
environmental impacts of the proposed project with respect to resources for which impacts have not
been scoped out in the IS /NOP. The document will be as free as possible of jargon so that the
information it contains is accessible to the City and the public. The methodology and criteria used for
determining the impacts of the project will be clearly and explicitly described in each section of the EIR,
including any assumptions, models, or modeling techniques used in the analysis.

It is assumed that key construction and operational features of the project would be available at the
beginning of work on the EIR such that an accurate, finite, and stable project description could be
prepared prior to beginning substantial work on the EIR. This approach has proven to result in the most
expeditious preparation and processing of an EIR.
The scope of work for the two environmental issue areas expected to be analyzed in the Draft Focused
EIR is further described at the end of this Scope of Work in the "Environmental Impact Analysis"
section, with an emphasis on unique and /or important components of the environmental analysis. In
order to ensure a common understanding of the scope and content of the EIR, PBS &J will prepare a
comprehensive list of each of the thresholds that would be evaluated in the EIR, as well as every impact
statement that would be addressed to respond to each of the thresholds for review and approval by the
City prior to beginning work on the EIR (some thresholds may contain more than one impact
statement).
■ Cumulative Impacts
Cumulative impacts will be specified in the individual technical sections of the EIR. The cumulative
analysis will be qualitative in nature and will be based upon known projects, either approved, proposed
(applications on file), or reasonably foreseeable, within a defined area around the proposed project, as
determined by the factors relevant to each environmental issue area. The cumulative impact assessment
will be based on potential development projects that may, in combination with the proposed project,

create cumulatively considerable environmental impacts, as required by Section 15130 of the 2007
CEQA Guidelines.
■ Other CEQA Sections
Summary. This section will be in tabular format and will briefly describe the impacts of the proposed
project, the level of significance of impacts, recommended mitigation measures, and the level of
significance after the recommended mitigation measures are implemented.
Long -Term Implications. The EIR will discuss all significant unavoidable adverse impacts. The EIR
will discuss any potential growth- inducing and irreversible impacts of the proposed project. Potential
sources of growth inducement and their corresponding impacts, such as removal of obstacles to growth
will be qualitatively analyzed, to the extent that they are applicable.
Alternatives. In order to accurately define alternatives, PBS &J will work with the City to first clearly
articulate project objectives. The EIR can then most effectively assess alternatives in light of CEQA's
mandate to reduce significant project impacts while meeting the project's basic objectives. PBS &J
proposes a two -tiered approach to the alternatives analysis, which is to (1) describe the alternatives
screening process and (2) describe and analyze those alternatives selected for detailed study. This will
allow the EIR to demonstrate the consideration given to a sufficiently broad range of alternatives.
The alternatives screening process will provide an opportunity for the EIR to describe the process used
to identify alternatives. The section will describe a range of alternatives initially considered, including
their ability to meet "screening criteria." Alternatives not carried forward for detailed analysis will be
identified, and the reason for rejection of these alternatives will be specified.
For those alternatives described in detail, the EIR will qualitatively address the environmental impacts
that would result. PBS &J will work closely with City staff to develop up to three alternatives to the
proposed project, including (1) no project alternative (including the no project /no development
alternative and the no project /reasonably foreseeable use alternative), (2) alternative density or land use
scenario, and (3) a third alternative to be determined once key project impacts have been further defined.
The alternatives will be provided in a sufficient level of detail for comparison with the proposed project.
Each alternative will be evaluated with respect to each key impact category. The advantages and
disadvantages of each alternative and the reasons for rejecting or recommending the alternative will also
be discussed and the environmentally superior alternative will be identified. During the course of the
environmental analysis, minor variations to the proposed project that could have the effect of reducing
or eliminating environmental concerns may become apparent. These variations will be recommended,
where feasible.
Appendices. All technical studies, survey results, data, and public and agency comments will be included
as appendix material to the Draft Focused EIR.

PBS &J will prepare a Draft Focused EIR for public review that incorporates all of the comments on the
Administrative Draft Focused EIR. The Draft Focused EIR will be comb - bound, using heavy stock
paper for the cover, rather than plastic or laminate, as is typical City practice. PBS &J will provide the City
with fifteen (15) printed copies and two (2) CD copies of the Draft Focused EIR for distribution to
internal City departments and /or local organizations, as well as one (1) PDF version of the document on
CD -ROM. It is assumed that PBS &J will distribute the requisite fifteen (15) CD copies of the Draft
Focused EIR (including its technical appendices) and fifteen (15) hard - copies of the Draft Focused EIR
Executive Summary to the State Clearinghouse. In addition, PBS &J will distribute up to sixty (60) hard
copies of the Draft Focused EIR to persons, organizations, or agencies identified on a distribution list
that would be collaboratively developed by the City and PBS &J. Of the total of sixty (60) hard copies of
the Draft Focused EIR, which include fifteen (15) copies for the City and forty-five (45) copies to be
mailed by PBS &J, only forty-five (45) copies would include bound copies of the technical appendices. In
addition, one unbound reproducible copy of the Draft Focused EIR and technical appendices, as well as
one (1) electronic copy on CD, would be provided to the City.
It is assumed that PBS &J would be responsible for preparation of the Notice of Completion, while the
City would be responsible for any applicable filing fees. It is assumed that PBS &J will distribute the NOC
along with the Draft Focused EIR to the State Clearinghouse and up to forty-five (45) persons,
organizations, or agencies. It is assumed that the City would be responsible for distribution of the NOC
to area property owners, local organizations, and departments within the City (some of which will also
receive a copy of the Draft Focused EIR), as well as publication in a local newspaper and transmittal of
the NOC to the County Clerk of Los Angeles.

answer questions raised by the public regarding the CEQA process and /or questions regarding the

It is assumed that the City will compile and transmit all written comments on the Draft Focused EIR
throughout the public review period and as one unified set of comments following the close of the public
review period. PBS &J will confer with the City to review written comments on the Draft Focused EIR,
including comments from public meetings and hearings, to develop a general strategy for preparation of
responses. To the maximum extent feasible, topical responses will be provided for broad issue areas if
there is extensive public comment. PBS &J will consult with the project team to review and revise, if
necessary, the project schedule that was developed and reviewed as part of Task 1 based upon the
number of comment letters received. In addition, a matrix will be prepared that will identify each
comment, whether the response is anticipated to be individual or topical, and the team member
responsible for preparing the response.

Monitoring and Reporting Program (MMRP)
The Response to Comments volume of the Final Focused EIR will include all comments received,
responses to those comments, and standard introductory material. The Mitigation Monitoring and
Reporting Program (MMRP) would be provided separately, but prepared concurrently with the Final
Focused EIR. All comments will be numbered (to indicate comment letter and comment number), and
the responses to those comments will be similarly numbered to allow easy correlation. In addition, where
the text of the Draft Focused EIR must be revised, the text will be isolated as "text changes" in the
Response to Comments volume, indicating deleted text by strikeout and inserted text by double -
underline. The text of the Draft Focused EIR will not be revised. The Final Focused EIR will collectively
consist of the Draft Focused EIR, the Response to Comments document, and the technical appendices.
It is assumed that the Final Focused EIR would be provided at least 10 days prior to consideration for
certification by the City to any commenting public agency and any member of the public who has
requested the document. Further, the MMRP will be designed to ensure compliance with all adopted
mitigation measures during project implementation. The MMRP will be in table format and will specify
project - specific mitigation measures, as well as standard conditions of approval that are applicable to the
project, if requested by the City. Mitigation timing and responsible parties will also be identified. The
objective of the MMRP is to ensure compliance with Public Resources Code Section 21081.6, as
mandated by Assembly Bill 3180 (Cortese 1988), which requires that a lead agency adopt an MMRP at
the time an EIR is certified.
An estimated budget has been prepared for the responses to comments effort. While the actual scope
and extent of public comments (in either written or oral format) cannot be definitively determined at this
time, we have tried to provide a conservative, yet realistic, estimate of the scope of work that would be

PBS &J will prepare a Final Focused EIR and MMRP that incorporates all of the comments on the
Administrative Final Focused EIR and MMRP. PBS &J will provide the City with thirty (30) printed
copies and one (1) CD copy of the Final Focused EIR, as well as one (1) PDF version of the document.
PBS &J will distribute the Final Focused EIR to an additional 20 commenting agencies, which would
include appropriate persons or agencies on the City's mailing list and any public agency that commented
on the Draft EIR. For public agencies that commented on the Draft Focused EIR, they would be
provided with a Final Focused EIR at least ten days prior to the meeting during which the City would
consider certification of the EIR. In addition, one unbound reproducible original copy of the Final
Focused EIR and technical appendices would be provided to the City.

Segundo would coordinate and facilitate the meetings and that oversized presentation materials
describing or illustrating the project will be provided by the Applicant. PBS &J would be available to
answer questions raised concerning the CEQA process and /or technical questions regarding the analysis
contained in the EIR.
In addition, PBS &J would prepare and file the Notice of Determination with the County Clerk, assuming
the Final Focused EIR is certified. It is assumed that the City or the Applicant would be responsible for
any applicable filing fees.

Subtask 8A Project Management and General Coordination
The purpose of this task is to manage the PBS &J project team, manage the EIR preparation effort, and
maintain constant, close communication between the City and the EIR team. This task is also intended to
ensure that the project will be completed on time and within budget, and that all work products are of
the highest quality. PBS &J will coordinate the team's work for the communication of issues, transmittal
of comments, financial management, and other project management matters.
TASK 9 Prepare Certification Documents
PBS &J will prepare draft Findings of Fact for each significant effect identified in the Focused EIR and
prepare a Statement of Overriding Considerations, if unavoidable significant impacts occur. As required
by the State CEQA Guidelines, one of three findings must be made for each significant effect and must
be supported by substantial evidence in the record. The Statement of Overriding Considerations will rely
on input from the City regarding the benefits of the project. PBS &J will consult with City staff to review
and finalize the Findings and Statement of Overriding Considerations for the City's ultimate adoption.

Environmental Impact Analysis
■ Impacts Anticipated to Be Scoped out in the Initial Study
Aesthetics
Aesthetics (defined as any element, or group of elements, that embodies a sense of beauty), views,
daytime glare, and nighttime illumination are related elements in the visual environment. Visual impacts
of a project include the provision of objective visual resources (such as project design elements) and the
subjective viewer response to those changes in the visual environment.
The Initial Study will provide a description of views to and from the site, supplemented by photographs.
PBS &J will analyze whether the proposed project would substantially degrade the existing visual
character or quality of the site and its surroundings due to grading, height, bulk, massing, or architectural
style or building materials; location in a visually prominent area; degradation of the visual unity of the
area; or degradation of views from roadways or adjacent uses. No scenic vistas are held from or through
the project site.
Existing sources of light and glare will also be described. The Initial Study will analyze whether the
proposed project would create a new source of substantial light or glare that would adversely affect day
or nighttime views in the area. PBS &J will evaluate changes in ambient lighting levels, including hot spots
and spillover onto adjacent areas, particularly nearby residential uses. Substantial light can be caused by
lighting to illuminate signage or architectural features, or for wayfinding purposes, and substantial glare
can be caused by the use of reflective building materials.
Agricultural Resources
The project site has not been utilized for agriculture purposes in at least the last hundred years, if ever,
and it is not designated as prime farmland, farmland of statewide importance, unique farmland, or local
importance and is not subject to a Williamson Act contract.
Biological Resources
The project site has been largely disturbed as the result of previous development activities and has either
been graded or consists of some asphalt paving after demolition of the Aerojet buildings. No native
vegetation exists, and no sensitive species or habitats are located on site. While there are ornamental trees
located in the public right -of -way that could be directly or indirectly affected by construction activities, it
is highly unlikely that they would provide suitable habitat for nesting migratory birds. To ensure that no
impacts to migratory birds would occur, the IS /NOP will include a mitigation measure that requires
preconstruction surveys for nesting migratory birds. This mitigation will be included in the Mitigation
Monitoring and Reporting Program prepared for the project.

Cultural Resources
The Cultural Resources section will include a prehistoric, ethnographic, and historic setting for the
project area; a description of the buildings, landscaping, and site conditions as a whole; a regulatory
setting that identifies applicable state, federal, and local regulations that pertain to cultural resources.
The project site has been previous developed. However, because there is the potential to discover buried
cultural resources (paleontological, archaeological, or human remains) at this site, which is the same for
nearly any site in southern California, particularly since subsurface project elements are proposed (i.e.,
subterranean parking garage), PBS &J will conduct a records check through the South Central Coastal
Information Center at California State University, Fullerton and the County of Los Angeles Museum of
Natural History to determine whether there are known subsurface resources at the project site. If there
are known (or recorded) subsurface resources at the project site based upon this inquiry, we would
develop a cultural resources recovery program under a separate contract authorization. However, in most
cases, there are no recorded subsurface cultural resources, and all protection of subsurface cultural
resources occurs during the construction process. Using standard industry practice, we propose to apply
a comprehensive set of construction - related mitigation measures to reduce this impact to a less -than-
significant level.
A search of the Native American Heritage Commission sacred lands database will be conducted to
determine if any Native American cultural resources are present on or in the vicinity of the proposed
project site. It is assumed that the existing documentation will be provided by the City and /or Applicant,
that such information is complete and sufficient for the purposes of the IS /NOP, and no additional
research will be required.
Geology, Soils, and Minerals
This section will be prepared using any geological information submitted by the Applicant, as well as
available geologic and /or soils maps, published literature, stereoscopic aerial photographs, and
information, reports, and /or plans with information regarding geology and /or soils provided by the City.
Typically, for urban infill projects, enough data can be gathered such that a detailed geological study is
not required, and further, standard construction techniques and the rigorous requirements of the Uniform
Building Code, the California Building Code, and the City's Municipal Code provide enough protection to
ensure that significant impacts do not result. Accordingly, these techniques and standards will be
identified and discussed with respect to the proposed project, and additional mitigation measures, if
required, will also be presented.
The geology and soils section will report the type and magnitude of seismic activity typical in this portion
of Los Angeles County, including the location of the nearest earthquake fault. In addition, the suitability
of the on -site soils for the proposed development will also be identified and discussed, particularly as
they may present potential risks to future occupants. Based on the information collected, soils and
geologic conditions will be discussed, and potential impacts will be identified. The project site has never
been utilized for mineral extraction, and it is not anticipated that mineral resources exist at the project
site.

Scope of Work
Hazards and Hazardous Materials
The project site was previously used for machining of aircraft parts. A Phase I Environmental Site
Assessment (ESA) was prepared for the site by SCS Engineers in April 2006, which indicates evidence of
past releases or potential releases of hazardous substances or petroleum products. SCS recommended no
further investigation, but suggested that vapor barriers beneath buildings be provided for future
development. Documentation from the City's Fire Department indicate that, as a vapor barrier will be
incorporated into the proposed project, no further action for the hydrotest sump areas at the site is
required other than an initial inspection and smoke testing prior to final testing of the vapor barrier
system. The Fire Department further indicated that no further action is required regarding the
abandoned underground fuel tank or former oil sump at the project site. The Department of
Conservation (DOC) conducted a construction site plan review and an approved Division gas test on the
abandoned well of Government Refining & Gasoline Corporation designated as "Ramsey- Wallace" 1.
The DOC findings indicated that the well was abandoned to current standards, and recommends a well
vent system approved by the city or county permitting agency. It is assumed that the Applicant will
complete this requirement prior to the issuance of building permits.
Because the Phase I ESA is more than a year and a half old, PBS &J will conduct an Environmental Data
Resource (EDR) database search to update the previous findings and characterize the potential for any
previously unidentified hazardous conditions in the vicinity of the project site. The results of the EDR, in
combination with the information contained in the Phase I ESA, will be included in this section.
The IS /NOP will describe planned uses at the project site that could create hazards for existing or future
residents or occupants, such as those associated with the use, disposal, transportation, or potential upset
of hazardous materials, including those typically used for commercial cleaning as well as medical wastes.
Federal, state, County, and City laws and regulations governing hazardous materials will be summarized.
The IS /NOP will also evaluate the extent to which the project could impair or physically interfere with
an adopted emergency response plan or emergency evacuation plan, or expose people or structures to a
significant risk of loss, injury, or death involving wildland fires, the latter of which is unlikely.
As the facility proposed will be operated by the Department of Defense, safety risks from terrorism are
greater than for a conventional medical office. The project design includes setbacks that are in
compliance with governmental safety requirements, and other design features, such as security access and
bollards, would reduce these risks. Therefore, while this issue will be discussed in the IS /NOP, it is not
anticipated to result in any significant impacts.
Hydrology and Water Quality
Existing hydrologic conditions will be identified, including the extent and nature of the existing
watershed, groundwater recharge and supply (which is expected to be nonexistent in this area), drainage
conditions, and water quality. Surface water resources will be described for the project area. Existing and
planned drainage and flood control facilities will also be described. The 100- and 500 -year floodplains
within the project vicinity will be mapped, and any exposure of structures to the 100 -year floodplain will
be evaluated. Typically, studies are not conducted in areas that are unlikely to pose a significant threat of
flooding.

Scope of Work
The potential increase in the rate of runoff as a result of the proposed project will be described and
compared to pre - development conditions. The IS /NOP will analyze whether the proposed project
would adversely alter the existing drainage pattern of the site, such that flooding, erosion, or other
degraded water quality conditions would occur. As would be expected, impacts related to erosion are not
considered likely, particularly assuming compliance with the requirements of the National Pollutant
Discharge Elimination System (NPDES) program during construction activities.
A description of existing water quality conditions will be compiled based on existing data or inquiries to
local agencies. The IS /NOP will address potential changes in surface water and groundwater quality as a
result of site development. PBS &J will discuss the applicability of relevant water quality regulations to
reduce potential effects. In addition, this section will determine whether the project would result in a rate
of flow that exceeds any downstream storm drain facility's capacity.
The risk of inundation by seiches, mudflows, and tsunamis will also be addressed in the IS /NOP.
However, the risk of inundation by seiches or mudflows is considered highly unlikely given that there is
no nearby water body that could result in a seiche, and similarly, there are no mountain ranges in close
enough proximity to result in mudflows at the project site.
Land Use and Planning
The Land Use section of the IS /NOP will describe the consistency of the proposed land use with the
City's General Plan as well as the Smoky Hollow Specific Plan. According to the City's Zoning Map, the
project site is zoned MM (Medium Manufacturing) with a Grand Avenue Commercial "floating zone"
overlay, which permits medical- dental office uses. The Applicant has applied for activation of the GAC
overlay to the project site.
The land use section will describe existing land uses, intensities, and patterns in the vicinity of the project
site and the compatibility of the proposed project with development along Grand Avenue. The IS /NOP
will evaluate any potential conflicts between the proposed development and surrounding uses. These
conflicts could include a use that would create a nuisance for adjacent properties or result in
incompatibility with surrounding land uses, such as difference in the physical scale of development, noise
levels, traffic levels, or hours of operation. The IS /NOP will evaluate the extent to which adopted City
development standards or proposed design standards would eliminate or minimize potential conflicts
between the proposed project and adjacent uses.
Noise
The section will address the impacts of the project on background noise levels and exposure to
potentially excessive noise levels (due to proposed uses at the project site). Existing information will
summarize the nature of sound, noise, and ground -borne vibration, and will introduce acoustical terms
that relate to the noise analysis. Relevant state and local noise standards and guidelines will also be
summarized. Potentially vulnerable existing noise - sensitive land uses in the project vicinity will be
identified. Existing ambient daytime noise levels will be measured at five selected locations within and
around the proposed project site to establish current baseline noise levels. These locations will be
identified on a map. The daytime noise levels will be measured using a Larson -Davis Model 814 precision

sound level meter, which satisfies the American National Standards Institute (ANSI) for general
environmental noise measurement instrumentation.
Noise will be characterized in the following terms:
■ Leq, the equivalent energy noise level, is the average acoustic energy content of noise for a stated
period of time; for evaluating community impacts, this rating scale does not vary, regardless of
whether the noise occurs during the day or the night
■ L;,,, the minimum instantaneous noise level experienced during a given period of time
• L.., the maximum instantaneous noise level experienced during a given period of time
Existing 24 -hour noise levels will be calculated for various roadway segments in the project vicinity using
the Federal Highway Administration Highway Noise Prediction Model (FHWA -RD -77 -108) and current
traffic counts from the Traffic Report prepared for the project by KOA Corporation. The model will
calculate the average noise level at specific locations based on traffic volumes, average speeds, roadway
geometry, and site environmental conditions. Vehicle noise energy rates in the FWHA model will be
modified to incorporate rates utilized by Caltrans, which better represent vehicle noise levels in
California. The analysis of operational noise impacts will address future noise levels at the project site and
in the project vicinity. Future noise levels along the roadway segments in the project vicinity will be
calculated to determine whether traffic generated by the project causes a substantial increase in noise at
off -site locations.
Noise levels generated during construction will be estimated based upon anticipated construction
schedules, techniques, and building types, and all assumptions in the noise analysis will be consistent with
what is assumed in the air quality and transportation /traffic analyses. The potential for construction
noise to impact nearby noise - sensitive land uses (i.e., residences) will be characterized by quantifying
anticipated noise levels (e.g., based on distance). Furthermore, vibration impacts from project - related
construction activities will also be evaluated if any pile- driving or other vibration- inducing activities
occur.
For any impacts that exceed identified significance thresholds, feasible mitigation measures will be
identified, which may include modification of construction techniques or hours, changes in project
design or layout, provision of temporary or long -term barriers to noise transmission, or limitations on
outdoor nighttime activities.
Population and Housing
The proposed project would not displace or develop housing. Although some individuals may move due
to the relocation of the project, it is not anticipated that the numbers would represent a substantial
percentage of City population or exceed population projections for the City. Therefore, this issue will
need no further analysis in the Focused EIR.
Public Services
The IS /NOP will address potential impacts of the project on police and fire department response
capabilities and time. The proposed project would provide its own security protection, which would
minimize the impact on police services. The IS /NOP would also address proper site access and

circulation, location and number of fire hydrants, and fire prevention devices and systems that would be
installed.
The approximately 120 employees of the project would not be anticipated to increase City population, as
it is assumed that most, if not all, of the employees from the existing MEPS in Los Angeles would
transfer to the new facility, which would be less than 10 miles away from the current facility. While some
employees may choose to move closer to the new facility, the number of those who would choose to do
so would not represent a substantial percentage of City population or exceed population projections for
the City. Since there is no anticipated increase in population with the proposed project, there would be
no impact on schools or libraries. This will be substantiated in the IS /NOP.
Recreation
The estimated 120 employees of the proposed project would not be likely to utilize City of El Segundo
parks or recreational facilities on more than an occasional basis. The proposed project includes a jogging
path around the perimeter, as well as a mini basketball court and landscaped park area that would provide
on -site recreational opportunities for employees. The IS /NOP will update the list of existing and
planned park facilities in the area, and determine whether there is a increase in the demand for parkland
generated by the proposed project, which is considered unlikely.
Utilities and Service Systems
Since the proposed project would construct 32,980 square feet of new building on a currently vacant site,
the project would increase the amount of wastewater and solid waste currently generated, as well as
increase the need for potable drinking water. The analysis of wet utilities (sewer, water, and storm drain)
will focus on the adequacy of existing City systems to accommodate the proposed project.
With respect to sewer, this section of the IS /NOP will address whether the sewage generated by the
proposed project would exceed the wastewater treatment requirements of the Los Angeles Regional
Water Quality Control Board. In addition, PBS &J would also coordinate with the City to ensure that the
wastewater treatment provider has adequate capacity to serve the proposed project's projected demand,
in addition to the provider's existing commitments. Similarly, the IS /NOP will address whether the
wastewater generated by the project would require the expansion of existing wastewater treatment
facilities or the construction of new wastewater treatment facilities. If inadequate wastewater treatment is
identified, measures to provide adequate wastewater treatment will be identified.
In terms of storm drainage, this section of the IS /NOP will address whether implementation of the
proposed project would exceed the capacity of existing or planned stormwater drainage systems, either
immediately downstream of the project site or at a potentially constrained confluence of storm drains
further downstream. If inadequate storm drain capacity is identified, measures to eliminate impacts (such
as the on -site detention, retention, and /or filtration) and /or upgrading the storm drain facilities will be
identified. Water quality impacts would also be addressed in the IS /NOP. There is overlap in the CEQA
thresholds with respect to the analysis of impacts to storm drainage: there is a threshold identified in
Appendix G of the CEQA Guidelines for this issue in both hydrology and water quality and utilities and

service systems. Typically, we address it in one of the two locations, and we refer to the analysis in the
other location.
A water supply assessment will not be required, since none of the requirements identified in Section
10912(a) of the Water Code would be triggered, such as the provision of at least 500 residential uses or a
shopping center of more than 250,000 square feet. The IS /NOP will evaluate whether adequate water
supply is available to serve the project site by providing the following analysis:
• Anticipated water demand
• Water entitlements and water sources, including groundwater resources and wells
• Need for additional water supply, treatment, and /or conveyance infrastructure improvements
needs to serve the proposed project
• Wastewater flow using factors provided from the City's Public Works Department
The IS /NOP will provide a description of existing and future landfill capacity at the landfills that accept
waste from the City of El Segundo and describe any regulations associated with State - mandated waste
reduction requirements. The amount of solid waste that could be generated by the proposed project will
be quantified based on factors developed in consultation with the City. Projected solid waste will be
compared to existing and future landfill capacity to determine whether the changes in land use would
substantially shorten the life of the landfill or necessitate expansion of the landfill.
PBS &J will also contact Southern California Gas Company and Southern California Edison for
information concerning existing and planned energy infrastructure and sources that would serve the
project site. This information will be summarized in the IS /NOP. Based on factors provided by the
service providers, the IS /NOP will quantify estimated energy use for the proposed project. This demand
will be discussed with the service providers to determine whether there is ample supply, which is almost
always the case.
■ Resources to be Evaluated in the Focused EIR
Air Quality
The City of El Segundo is located in the South Coast Air Basin and is within the jurisdiction of the South
Coast Air Quality Management District (SCAQMD). The air pollutants of greatest concern in the South
Coast Air Basin are ozone, NOx, CO, PM,,, and PM,;.
The air quality analysis will provide an introductory discussion of the air pollutants of concern in the
region, summarize local and regional air quality, describe pertinent characteristics of the air basin, and
provide an overview of the physical conditions affecting pollutant buildup and dispersion in the City
and /or basin. The setting will also discuss the sources, types, and health effects of air pollutants.
Local carbon monoxide (CO) concentrations will be modeled at up to six intersections to be selected in
coordination with the City of El Segundo and KOA Corporation. Local CO impacts associated with
project traffic will be predicted using the CALINE -4 program and compliant with the recommendations
of the CALTRANS Transportation Project -Level Carbon Monoxide Protocol (Revised December 1997).

The CALINE -4 computer dispersion model will be applied to the ten intersections most affected by
project traffic, and nearby proximity to sensitive receptors.
The air quality analysis will also evaluate potential air quality impacts of project - related construction
activities. The maximum expected equipment to be in use during each phase of construction will be used
to quantify maximum daily emissions. Emissions will be compared to the thresholds of significance
presented in the SCAQMD Handbook. Mitigation measures for construction- related particulates will
follow guidance from the SCAQMD CEQA Handbook In addition to the air emission thresholds
established by SCAQMD, potential localized impacts for certain criteria pollutants with regard to project -
related emissions are calculated using a separate method. For smaller projects (less than 5 acres), localized
significance thresholds (LSTs) were developed in response to the SCAQMD Governing Board's
Environmental Justice Enhancement Initiative I -4. LSTs represent the maximum emissions from a
project that are not expected to cause or contribute to an exceedance of the most stringent applicable
federal or state ambient air quality standard, and are developed based on the ambient concentrations of
that pollutant for each source receptor area and distance to the nearest sensitive receptor. A LST
screening analysis using the SCAQMD provided mass -rate lookup tables only applies to projects that are
5 acres or less in size and are only applicable to CO, NOx, PMIO, and PM2.5. For this project, an analysis
of localized concentrations of relevant criteria air pollutants (LSTs) during construction activities would
also be conducted in compliance with the recommendations of the SCAQMD Final Localized
Significance Thresholds Methodology (2003).
The regional criteria pollutant analysis will examine vehicular and stationary sources associated with
operation of the proposed project. Based on estimated vehicle trips, vehicular emissions of carbon
monoxide, ozone precursors (reactive organic gases and oxides of nitrogen), and small particulate matter
(PMIO) will be predicted and quantified using EMFAC 2007 emission factors and the California Air
Resources Boards URBEMIS 2007 software, which will then be compared to the SCAQMD significance
thresholds to determine whether the proposed project would violate a State or federal air quality standard
or contribute substantially to an existing or projected air quality violation. The criteria pollutant emissions
from future stationary sources (such as HVAC equipment) will also be estimated in the same manner.
The SCAQMD's regulatory structure to evaluate and offset these emissions will be described. The air
quality analysis will also qualitatively evaluate the potential exposure of sensitive receptors to substantial
pollutant concentrations where the project may cause emissions of identified pollutants in excess of the
pounds per day or tons per quarter standards established by the SCAQMD. Mitigation measures will be
identified for potentially significant impacts, and their effectiveness will be quantified to the extent
feasible.
Potential conflicts with or potential to obstruct implementation of the applicable air quality plan where it
may cause or contribute to emission of identified air pollutants in excess of levels stated in the plan or
where it may fail to implement a remedial or mitigation measure required under the plan will be analyzed.
In addition, global warming (or climate change) will be addressed using a methodology that will be
developed in close coordination with the City of El Segundo, recognizing that the state of art for this
issue is rapidly changing and we must be compliant with the currently acceptable methodologies for
analysis, and we must also be aware of the precedent - setting nature of this analysis for future

environmental documents. That said, based upon guidance from the South Coast Air Quality
Management District at a greenhouse gas meeting on July 18, 2007, at a minimum, the environmental
document must (1) estimate the greenhouse gas emissions for the proposed project, (2) establish a link
between the project's greenhouse gas emissions and potential impacts, (3) identify mitigation measures
that would apply to the proposed project as published by the California Climate Action Team, and
(4) make a significance determination. The SCAQMD went on to suggest it was better to make a
significant and unavoidable impact determination in order to avoid potential problems associated with a
less than significant ( "drop in the bucket ") determination; however, most of the analyses the SCAQMD
has seen have identified less- than - significant impacts. Additional guidance with respect to global warming
(or climate change) has been published in a "white paper" by the Association of Environmental
Professional entitled Alternative Approaches to Analyze Greenhouse Gas Emissions and Global Climate Change in
CEQA Documents (Revised Draft, April 27, 2007). Other useful guidance is also provided in Greenhouse
Gas Emissions and Climate Change: CEQA Catches up with Science, Celebrities, and Product Placement (California
Land Use Law and Policy Reporter, June 2007). PBS &J has already prepared several global warming
analyses based on this guidance and would be able to do so for the proposed project.
The cumulative net increase of criteria pollutants for which the project region is in non - attainment will
be analyzed to determine if the project emissions, considered cumulatively, will increase the level of any
criteria pollutant above the existing ambient level.
Transportation /Traffic (KOA Corporation)
KOA Corporation (KOA) will prepare the traffic impact analysis for the proposed project. Based on
their preliminary calculations, the project is expected to generate approximately 50 AM and PM peak
hour trips. This is about 10 more trips than the previous land use. The 50 peak hour trips is less than
one per minute so widespread project impacts are not anticipated. KOA's scope of work includes the
following:
A. KOA will visit the existing Military Entrance Processing Station to confirm that the facility operates
in a manner similar to a general office building in order to confirm the trip generation forecast
methodology that will be used as part of the traffic analysis.
B. KOA proposes to perform turning- movement traffic counts for performing intersection capacity
utilization calculations for the weekday AM and PM peak hour periods at up to three intersections.
The list of study intersections will be selected in consultation with the City of El Segundo and will
include the Sepulveda Boulevard/ Grand Avenue intersection. Residential street analysis is not
anticipated and is considered out of scope.
C. KOA will obtain information pertaining to approved projects and projects pending approval in the
El Segundo study area from the City and any other affected agencies. The cumulative project list will
include all projects within a two -mile radius of the project site.
D. KOA will perform fieldwork to survey the study area and intersections. The field inventory will
include striping at the study intersections, type of traffic operations at intersections, surrounding land
uses and on— street parking. The status of the related projects in the study area will also be checked in
the field.

E. KOA will compute daily and peak hour trips that will be generated from each of the related projects
based on the Institute of Transportation Engineers Trip Generation Manual, Seventh Edition when
possible. A comprehensive trip generation list will be compiled for the cumulative projects that
impact study intersections.
F. KOA will summarize the traffic data collection, traffic forecasts and traffic analysis for review by the
client. The traffic analysis will follow the guidelines of the City of El Segundo regarding the study
time frames and traffic analysis methodologies. The determination of a significant impact will be
based on the City's adopted criteria.
G. As part of the traffic circulation analysis effort, local circulation at project driveways will be assessed.
This will include an analysis of the proposed site plan to assess bus operations for the drop -off and
pick -up of military personnel.
H. KOA will determine the adequacy of the parking based on the City Parking Code.
KOA will produce a standalone traffic impact report that provides recommendations for the mitigation
of project impacts, if any. The report will include the appropriate maps showing the study area, study
intersections and locations of the cumulative projects, diagrams showing peak hour turning movement
volumes at the study intersections for each scenario and trip distribution percentages. All calculations
will be provided. KOA will respond to comments received from El Segundo staff.

Budget
PBS &J has prepared a cost estimate that is competitive, yet accurately reflective of the level of effort
required to complete the scope of services requested by the City based on our understanding of the
project with the information made available to date. PBS &J does not believe it is in the client's interest to
submit an unrealistically low cost proposal, which is made possible by either reducing the scope of work
or by assuming that budget augments will be made available at a later date. That said, we are flexible and
willing to discuss ways to reduce our preliminary cost proposal, if necessary. For your convenience, we
have provided a detailed cost proposal as Attachment A, identifying labor costs by task, by person, and
by hour, and we having also included our standard fee schedule as Attachment B.
Factors that would increase the scope of work and estimated costs outlined in this proposal include, but
are not necessarily limited to, any of the following:
• Attendance at additional meetings
• Printing of additional copies of reports
• Analysis of additional issues above those discussed in this proposal, or a more detailed level of
analysis than described in this proposal
• Changes in the project requiring re- analysis or rewriting of report sections

The project management team for the 1700 East Grand Avenue medical office building Focused
Environmental Impact Report (hereinafter referred to as the 1700 East Grand Focused EIR) consists of
Ruta Kshirsagar, CEQA /NEPA Group Manager for the Los Angeles office, Alison Rondone, Senior
Project Manager, and Julian Capata, Environmental Planner.
Ruta Kshirsagar, REA, who has nearly ten years of CEQA /NEPA experience, will serve as the Project
Director for the 1700 East Grand Focused EIR. Ms. Kshirsagar is the Los Angeles Office
CEQA /NEPA Group Manager, as well as a Senior Project Manager responsible for managing the
preparation and coordination of highly complex, controversial, and visible environmental documentation
for redevelopment projects throughout the state of California. She has experience managing a diversified
mix of projects, such as the Los Angeles Unified School District (LAUSD) Central Los Angeles Area
Learning Center No. 1 (Ambassador) EIR, the New South Coast County Golf Course EIR in the City of
Rolling Hills Estates, and the Salida Community Plan Update EIR in Stanislaus County. She has a solid
background in the preparation of CEQA /NEPA documentation, especially for those projects with
sensitive historic resources, hazardous materials, and transportation issues. Ruta is also licensed in the
preparation of Phase I Environmental Site Assessments, which includes conducting site history research
and hazardous waste analysis. She is currently managing PBS &J's master contract with the Los Angeles
Unified School District (LAUSD), which at present includes over ten environmental documentation
projects throughout Los Angeles County. Ms. Kshirsagar received a B.A. in Biology/ Economics from
Lehigh University in Pennsylvania and an M.A. in Environmental Studies from Brown University in
Rhode Island.
Alison Rondone, who has seven years of CEQA /NEPA experience, will serve as the Project Manager
for this Focused EIR. Alison Rondone is a Senior Project Manager providing project management as
well as technical and analytical assistance for a variety of environmental documentation, natural resources
permitting, and urban planning projects. She has managed a wide range of projects, including large
transportation improvement, university growth planning, seismic retrofit, and problematic residential
projects. She managed the highly controversial Rose Bowl Stadium Renovation Project for the City of
Pasadena, The Shops at Santa Anita Park Specific Plan EIR, and the Glendale Downtown Specific Plan
Program EIR, all of which were highly visible and controversial projects, as well as many other complex
projects. Alison holds a B.A., magna cum laude, in Interdisciplinary Studies from Cal State University,
Dominguez Hills, specializing in natural and environmental sciences, and in particular conservation
biology and atmospheric science. She also received a M.A. in Environmental Studies, magna cum laude and
with honors, from the University of Southern California, with emphasis on environmental law and public
policy.
Julian Capata is an environmental professional providing technical support for a variety of
environmental documentation projects. He will serve as the Deputy Project Manager for this Focused

EIR. His background includes experience in both federal and State environmental policy. Mr. Capata's
base knowledge is enhanced by his work in ArcGIS, ArcView, and all aspects of cartographic and
geographic theory. His GIS modeling experience includes using MapInfo to import, edit, and create GIS
data layers within set timeframes. In addition, Mr. Capata conducts noise assessment for environmental
documents, with particular expertise in the use of the Federal Highway Administration Highway Noise
Prediction Model and Caltrans Transportation Noise Modeling. As a featured speaker for several local
environmental organizations, his calm demeanor and use of facts were videotaped to market programs to
local communities, elected officials, and other funding organizations. Mr. Capata has worked on a
number of high- profile and highly complex projects that required expert level analytic abilities and
superior communication skills. He has performed as the Deputy Project Manager on the Ocean Avenue
Hotel Project EIR, The Shops at Santa Anita Specific Plan EIR, the Genentech Corporate Facilities
Master Plan Update MEIR, the Lake Forest Opportunities Study EIR, and the South San Francisco

Mr. Capata pursued his degree in Environmental Geography at California State
University, Northridge, with a Minor in GIS Operation. His knowledge and
skills in geographic and cartographic theories and techniques has enhanced his
understanding of complex environmental issues and enables him to arrive at
equitable solutions to difficult problems.
Julian has worked on a number of projects, including working as Deputy Project
Manager on Exposition Corridor Transportation Authority Light Rail Transit
Project Phase II EIS/EIR, "The Shops at Santa Anita Specific Plan" for the city
of Arcadia, as well as working on the Genentech Corporate Facilities Master
Plan Update, The Lake Forest Opportunities Study EIR, and the South San
Francisco Ferry Terminal Project.
