AMENDMENT No. 2 TO MEMORANDUM OF UNDERSTANDING
BETWEEN CITY OF EL SEGUNDO AND
THE LOS ANGELES COUNTY METROPOLITAN TRANSPORTATION AUTHORITY
This Amendment No. 2 to Memorandum of Understanding (this
"Amendment "), is dated as of October 8, 2008, by and between City of El Segundo
( "Grantee "), and the Los Angeles County Metropolitan Transportation Authority
( "LACMTA ")
RECITALS:
A. Grantee and LACMTA entered into that certain Memorandum of
Understanding No. MOU.P0008079 dated November 15, 2005, which was amended on May
2, 2007 (as amended, the "Existing MOU "), which Existing MOU provides for the Nash
Street /Douglas Street One -Way to Two -Way Conversion, (the "Project "); and
B. Grantee sent a letter to LACMTA dated April 3, 2008, requesting
changing the slurry seal component of the original scope to resurfacing the asphalt concrete
pavement on Douglas Street, located between El Segundo Boulevard and Imperial Highway,
as part of the Nash /Douglas One -Way to Two -Way Conversion Call for Project.
C. In a letter dated April 21, 2008 LACMTA approved Grantee's request
for scope change to include resurfacing of Douglas Street based on the System Preservation
component of the 2007 Call for Project's Regional Surface Transportation Improvement
mode, allowing 15% of the Project cost for the resurfacing element of the Project.
D. The LACMTA Board on July 24, 2008, desires to extend the lapsing
date of funds programmed for ALL programmed Fiscal years to June 30, 2009; and
E. Grantee and LACMTA desire to amend the Existing MOU as provided
herein.

NOW, THEREFORE, for good and valuable consideration, the receipt and
adequacy of which are hereby acknowledged, the parties hereby agree as follows:
1. Part II, Paragraph 8.1(iv) of the Existing MOU is hereby amended by
deleting it in its entirety and replacing it with the following: "All existing Funds
programmed in all years are subject to lapse by June 30, 2009. Grantee shall expend such
Funds by the lapsing date ".
2. Attachment C of the Existing MOU is hereby replaced by Attachment
C -1, attached.
3. Attachment F of the Existing MOU is hereby replaced by Attachment
F -1 as a special condition to the amended Existing MOU, attached.
4. Except as expressly amended hereby, the Existing MOU remains in full
force and effect as originally executed. All rights and obligations of the parties under the
Existing MOU that are not expressly amended by this Amendment shall remain unchanged.

SCOPE OF WORK

The additional proposed work to convert the existing Nash - Douglas Streets from a one -way
system to a two -way system includes:
1. Design, Engineering Plans and Specifications. There is no Right -of -Way acquisition
or lease.
2. Slurry seal of Nash Street to obliterate existing striping.
3. Resurface Douglas Street.
4. Modifications to the twelve (12) existing traffic signals.
5. Re- striping and installation of new pavement markings for the Nash and Douglas
Streets from El Segundo Boulevard to Imperial Highway.
6. Installation of new street signage.
7. Douglas Street raised painted median islands.
8. Construction Engineering (Inspection and Contract Administration)
9. Construction Contingencies

ATTACHMENT G
SPECIAL GRANT CONDITIONS
Grantee's request to change the existing scope of work to resurface the asphalt concrete
pavement on Douglas Street is allowed provided that the resurfacing component does not
exceed 15 percent of the total Project cost. LACMTA grant funds shall only be used for no
more than 65 percent of the resurfacing component. The Grantee is responsible for the
remaining balance of the resurfacing cost.
