SUBORDINATION AGREEMENT
WHEREAS, LASALLE BANK NATIONAL ASSOCIATION, formerly known as
LaSalle National Bank, as Trustee for the registered holders of Nomura Asset Securities
Corporation Commercial Mortgage Pass - Through Certificates, Series 1998 -D6, is the current
Beneficiary under a Deed of Trust executed by Innkeepers Summerfield General II, L.P., a
Virginia limited partnership, dated February 19, 1998, and recorded March 4, 1998, as Document
No. 98- 346850, of Official Records, in the office of the Recorder of the County of Los Angeles;
and
WHEREAS, GMAC Commercial Mortgage Corporation, a California corporation, is the
current Master Servicer under the Pooling and Servicing Agreement, dated as of March 30, 1998,
for said Commercial Mortgage Pass - Through Certificates, Series 1998 -D6; and
WHEREAS, the City of El Segundo, a municipal corporation, has by Easement document
recorded March 1, 2005, as Document No. 05- 0461774, of said Official Records, acquired from
Innkeepers Summerfield General II, L.P., a Virginia limited partnership, the record owner of the
real property, a perpetual easement for drainage purposes in, on, over, and across the real
property in the City of El Segundo, County of Los Angeles, State of California, described in
Exhibit "A" attached hereto and by this reference made a part hereof; and
WHEREAS, said Beneficiary and the City of El Segundo, a municipal corporation, desire to
have the lien or charge of said herein before-mention ed Deed of Trust be made subject to the
easement which said City has acquired from said record owner.
