AMENDMENT TO DECLARATION
This Amendment to Declaration ("Amendment") is made as of the _2& day of
Anri 1 2005, by Kilroy Realty Finance Partnership, L.P., a Delaware limited partnership
RECITALS:
A. Kilroy - freehold Industrial Development Organization, a California general
partnership ("K-FIDO"), as owner of the property more particularly described in Exhibit A
attached hereto (the "Property"), recorded that certain Declaration dated June 20, 1996, recorded
on June 21, 1996 as Instrument No. 96-986628 in the Official Records of Los Angeles County,
California ("Declaration").
B. Pursuant to that certain Grant Deed recorded on January 31, 1997 as Instrument
No. 97-172766 in th-. Official Records of Los Angeles County, California, K-FIDO conveyed its
interest in the Property to KRFP.
C. Certain improvements have been made to the Property (the "Improvements"),
which Improvements encroach onto certain of the easements established by the Declaration.
D. KRFP desires to amend the Declaration to relocate such easements.
KRFP is currently the Owner of Parcels 1, 2 and 3 of the Declaration.
AGREEMENT:
NOW, THEREFORE, in consideration of the foregoing, and the covenants and
agreements set forth herein, the partics hereby agree as follows:
I. Parking Lot Area. The third paragraph of Exhibit B of the Declaration (i.e.,
"Beginning at the hereinabove point "A"; thence north . , -west 18.00 feet to the true point [sic]

of beginning ") is hereby deleted and replaced in its entirety with the legal description appearing
in Exhibit B attached hereto.
2. Access Easement Access Easement "C" in Exhibit "C" of the Declaration is
hereby deleted and replaced in its entirety with the legal description in Exhibit C attached hereto.
3. Defined Terms. All capitalized terms used in this Amendment not defined herein
shall have the meanings given to such terms in the Declaration.
4. Full Force and Effect Except as specifically set forth herein, the Declaration
shall remain in full force and effect.
S. Counterparts. This Amendment may be executed in two or more counterparts,
each of which when taken together shall constitute one and same document.
