CONTRACT 3935 Reimbursement Agreement CLOSED3935•... REIMBURSEMENT AGREEMENT This Reimbursement Agreement ( "Agreement ") is entered into as of March 9, 2009 by and between the City of El Segundo, a general law city and municipal corporation ( "City "), and The Boeing Company, a Delaware Corporation ( "Owner "), who agree as follows: 1. Recitals. This Agreement is made with reference to the following facts and circumstances: a. The Owner has filed an application to develop properties generally located at 900, 950, 960 Sepulveda Boulevard and 901 and 915 Selby Street in the City's jurisdiction, as described on Exhibit A attached hereto and incorporated by this reference, for a zone change, lot line adjustment, building remodel and addition (the "Project ") and such Project requires environmental review and preparation of environmental technical reports under the California Environmental Quality Act ( "CEQA "). b. Owner is seeking to develop the properties. The project would involve a zone change from General Commercial (C -3) to Corporate Office (CO) and a corresponding General Plan land use designation change from General Commercial to Corporate Office. The existing 159,803 square feet of development on the site would be extensively remodeled and an additional 25,428 square feet of development would be added for a total of 185,231 square feet of development on the 256,606 square foot site. C. In order for Owner to accomplish such development, City must assign certain City staff or consultants to complete a number of tasks including environmental review, zoning review, plans review for compliance with City standards, building code compliance, analysis of technical studies, preparation of staff reports, development of potential mitigation measures, and project management duties (collectively, "Services ") which will exceed the capacity of the current city staff. d. City believes it is in the public interest for Owner to pay for such Services. 2. City Reimbursement. City has estimated the costs and expenses of completing the Services as being approximately $ 119,712 (of which $ 99,760 is estimated for an environmental consulting services and $19,952 is estimated for contract administration services). However, the Owner acknowledges that the actual amount of such costs and expenses may be different. Nonetheless, even though the actual amount of such costs and expenses may be different, the Owner agrees to reimburse the City for the full amount of such actual costs and expenses in the manner provided in this Agreement. Upon completion of the Services, City will provide Owner with an accounting of those costs and expenses, which accounting 39 3 5 • . • 04 the Owner agrees will be conclusive, in the absence of manifest error. The total of the costs and expenses, as disclosed by the accounting, is called the "Reimbursement Amount." 3. Method of Reimbursement. a. Except as provided below, upon execution of this Agreement, Owner agrees to deposit with City $55,751.00, in addition to the $4,105.00 previously submitted to the City at time of application, for a total of $59,856.00 ( "Deposit Amount ") which represents fifty percent (50 %) of the estimated Reimbursement Amount. Each month after executing this Agreement, Owner agrees to deposit an additional $ 29,928.00 to the Deposit Amount. Should the actual Reimbursement Amount exceed the Deposit Amount, Owner agrees to promptly pay City any difference. Should the Reimbursement Amount be less than the Deposit Amount, City will refund Owner any remaining Deposit Amount to Owner within thirty (30) days after determining the Reimbursement Amount. b. The Deposit Amount will be placed in a non - interest bearing trust account established by the City Manager. Owner understands and agrees that City will not pay interest to Owner on the Deposit Amount and Owner will not seek such interest payments from City. Costs associated with the Activities will be charged against the deposit amount. The City may require Owner to replenish the amount should the balance fall below $20,000.00. 4. City Administrative Costs. Administrative costs incurred by City, including, without limitation, staff time, fees and services, must be reimbursed on a time and materials basis based on current City reimbursement rates. Owner agrees that it will pay for such costs on a monthly basis within thirty (30) days of receiving an invoice from City. 5. Owner Default. Should Owner fail to perform any of its obligations under this Agreement, then City may, at its option, pursue any one or more or all of the remedies available to it under this Agreement, at law or in equity. Without limiting any other remedy which may be available to it, if Owner fails to perform any of its obligations under this Agreement, City may cease performing its obligations under this Agreement and may bring an action to recover all costs and expenses incurred by the City in completing the Studies, together with interest thereon from the date incurred at the rate of 10% per annum. 6. Compliance with Law. Owner will, at its sole cost and expense, comply with all of the requirements of all federal, state, and local authorities now in force, or which may hereafter be in force, pertaining to this Agreement. 7. Waiver of Breach. Any express or implied waiver of a breach of any term of this Agreement will not constitute a waiver of any further breach of the same or other term of this Agreement. 3935 • •'•J 8. Insolvency; Receiver. Either the appointment of a receiver to take possession of all or substantially all of the assets of Owner, or a general assignment by Owner for the benefit of creditors, or any action taken or offered by Owner under any insolvency or bankruptcy action, will constitute a breach of this Agreement by Owner, and in such event this Agreement will automatically cease and terminate. 9. Notices. Except as otherwise expressly provided by law, all notices or other communications required or permitted by this Agreement or by law to be served on or given to either party to this Agreement by the other party will be in writing and will be deemed served when personally delivered to the party to whom they are directed, or in lieu of the personal service, upon deposit in the United States Mail, certified or registered mail, return receipt requested, postage prepaid, addressed to: Owner at: Mona C. Acceptance of Facsimile Signatures. The Parties agree that agreements ancillary to this Agreement and related documents to be entered into in connection with this Agreement will be considered signed when the signature of a party is delivered by facsimile transmission. Such facsimile signature will be treated in all respects as having the same effect as an original signature. 11. Governing Law_ This Agreement has been made in and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this Agreement will be in Los Angeles County. 12. Partial Invalidity. Should any provision of this Agreement be held by a court of competent jurisdiction to be either invalid or unenforceable, the remaining provisions of this Agreement will remain in effect, unimpaired by the holding. 13. Integration. This instrument and its attachments constitute the sole agreement between City and Owner respecting the matters above and correctly sets forth the obligations of City and Owner. The language of each part of this Agreement will be construed simply and according to its fair meaning, and this Agreement will never be construed either for or against either party. 15. Authority /Modification. The Parties represent and warrant that all necessary action has been taken by the Parties to authorize the undersigned to execute this Agreement and to engage in the actions described herein. This Agreement may be modified by written amendment. City's city manager, or designee, may execute any such amendment on behalf of City. 16. Counterparts. This Agreement may be executed in any number of counterparts, each of which will be an original, but all of which together will constitute one instrument executed on the same date. Is there a real need in the community for more of the types of uses permitted by the Zone requested than can be accommodated in the areas already for such zones? (Fully explain your answer, considering the surrounding property as well as the property proposed to be reclassified.) The community will benefit from the proposed zone change in several ways. Zoning and land use will be consistent with surrounding parcels and with the development of Sepulveda as a commercial artery through the city. In keeping with the intent of the new CO zone requirements, it is Boeing's intent to largely eliminate the warehouse space now allowed as legal non - conforming. Development of the site under the CO designation will afford the opportunity for a substantially improved experience entering the city. Boeing is one of the largest and oldest employers in the city. Vital to the economic health of the community, Boeing has determined to stay in El Segundo and to maintain its satellite development operations here. But in order to meet the demands of this economy, Boeing must wisely use its available resources. This zone change will allow for converting the existing buildings to office space in a manner consistent with the surrounding areas, serving both Boeing's needs and the improvement of the community environment. The subject site is at the important intersection of Sepulveda Boulevard and Imperial Highway and is within the Boeing campus that extends along the south side of Imperial Highway from Kilroy Center Drive to west of Washington Street. For business reasons, Boeing seeks to use these properties to their best use. The Economic Development Element of the General Plan identifies maintaining economic development as one if the City's top priorities, and lists the goal of providing a supportive and economically profitable environment. In this case, the improvement of the community and the redevelopment of the site for Boeing office and R &D space will result in aiding Boeing to improve and sustain its El Segundo operations in these difficult economic times. Is the property involved in the proposed reclassification more suitable for the purposes permitted in the proposed zone than for the purposes permitted in the present classification? (Answer completely; give all reasons for your answer.) Under the current zone only 5,000 square feet of offices are allowed. Even as an industrial use, that limitation is severe. The buildings on this site were built in the 1950's for office and industrial uses, and were a part of the Hughes Space and Communications campus. Originally, the area supported mostly similar uses. At the time of the 1992 General Plan, the site was designated C -3 while surrounding areas were designated CO and M -1. The use of the site, however always included offices, making it existing, legal non - conforming under the C -3 zone designation. For whatever reason the site was designated C -3, it essentially created a "spot zone." South and west along the Sepulveda corridor are zoned CO. To the east is zoned M -1. To the north is LAX. This change will continue the CO zone along Sepulveda to Imperial. Both sides of Sepulveda will then be in a CO zone. 3. Possible impact includes somewhat greater demand on city infrastructure, including some traffic. But because considerable portions of the existing buildings were used for similar purposes prior to the change to the current designation, and have continued to be used for offices and R &D (as well as storage), the impact will be significantly lessened. In addition, the requested zone change will inherently reduce the impact of development since it reduces the allowable FAR from 1.0 to 0.8. 4. Would the use(s) permitted by the proposed land use designation and /or amendment be detrimental in any way to the surrounding property? (Explain reasons supporting your answers.) Possible impact includes somewhat greater demand on city infrastructure, including some traffic. But because considerable portions of the existing buildings were used for similar purposes prior to the change to the current designation, and have continued to be used for offices and R &D (as well as storage), the impact will be significantly lessened. In addition, the requested zone change associated with the proposed land use change will inherently reduce the impact of development since it reduces the allowable FAR from 1.0 to 0.8. Are there any deeds or other restrictions concerning the type and class of uses on the property involved? If so, give expiration dates of the restrictions and attach a copy of the restrictions. There are no deed restrictions. There is, however, a parking covenant for the three lots that constitute this site. 6. Explain how the proposed redesignation and /or amendment would be integrated, internally consistent and compatible with all of the elements of the General Plan, as a whole. (Cite specific applicable General Plan sections.) Primarily, the proposed change would make the site consistent with surrounding uses. Since the existing, legal non - conforming uses of the property (except storage, which will be largely eliminated) are already consistent with the proposed redesignation, there will be little impact. The intent of the Economic Development Element will be better satisfied by this change. General Plan Objectives ED1 -1.1 Maintain economic development as one of the City's and the business and residential communities'top priorities; ED1 -2.2 Maintain and promote land uses that improve the City's tax base, balancing economic development and quality of life goals; and ED2 -1.1 Take steps to maintain public sector support of the business community, including large and small businesses, and the residential community, are among goals that will be furthered by the proposed change. The proposed development under the new use will increase Boeing's ability to continue its operations in El Segundo while improving the community environment. Since the current uses will not significantly change, and because parking is available campus wide, the effects of the Circulation Element policies on the site will be largely unchanged. The Air Quality Element objectives will be more closely met because the change will not allow industrial uses, and the proposed development will be built to current "green" standards. The objectives of the Hazardous Materials & Waste Management Element will be followed as the development requires. The Conservation Element's CN5: Urban Landscape goal will be achieved in the updating of landscaping along the Sepulveda and Imperial public right -of -ways. A new sign and landscaping at the Sepulveda / Imperial corner announcing the entrance to El Segundo is being proposed.
