A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF EL SEGUNDO, CALIFORNIA,
AUTHORIZING THE SOUTH BAY
PRIVATE INDUSTRY COUNCIL TO ACT AS
THE LOCAL WORKFORCE INVESTMENT BOARD
WHEREAS, the cities of El Segundo, Gardena, Hawthorne, Hermosa Beach, Inglewood,
Lawndale, Manhattan Beach, and Redondo Beach, (hereinafter "Participating Cities ") have entered
into that certain Joint Powers Agreement (hereinafter "Agreement ") dated July 2, 1983, as amended
from time to time; and
WHEREAS, said Agreement, in part, created the South Bay Private Industry Council
(hereinafter "PIC ") in order to accomplish the mandates and goals of the federal Job Training
Partnership Act (hereinafter "JTPA "); and
WHEREAS, the City of Inglewood was authorized to act as, and be responsible for, the
general administration and supervision of all funds received under the JTPA by all the Participating
Cities and to receive an administrative fee for such services; and
WHEREAS, the United States Congress has created the Workforce Investment Act
(hereinafter "WIA ") to replace the JTPA;
NOW, THEREFORE, be it resolved, by the City Council of the City of El Segundo as follows:
The City of El Segundo hereby affirms that the Agreement forming the PIC shall remain in
effect under the WIA.
The PIC is authorized to act, pursuant to WIA § 117(i), as the Local Workforce Investment
Board.
The City of Inglewood is authorized to continue to act as the Chief Elected Official for the
South Bay Service Delivery Area (the "Local Area ").
As authorized by Section 4 of the Agreement, the membership of the PIC shall consist of
representatives of categories as set forth in the WIA.
The City of Inglewood is authorized to request that the Governor designate the South Bay
Service Delivery Area as the Local Workforce Investment Area and the City is further authorized
to submit all documents necessary for him to do so.
The City of Inglewood is authorized to apply to the Governor for certification as the Local
Workforce Investment Board and the City is authorized to submit all documents necessary for him
to do so.

AGREEMENT
THIS AGREEMENT is made and entered into this
31st day of March , 1992 by and between the
City of E1 Segundo ( "EL SEGUNDO ") and the City of Inglewood
( "INGLEWOOD ").
WHEREAS, E1 Segundo and Inglewood are both parties
to a Joint Powers Agreement executed in July, 1983, which
was entered into pursuant to the Job Training Partnership
Act of 1982; and
WHEREAS, pursuant to Section 8 of that agreement,
El Segundo is desirous of obtaining the services of
Inglewood for the planning, coordination, and implementation
of its job training program designed to deliver
comprehensive employment and training services for the
benefit of E1 Segundo; and
WHEREAS, Inglewood has had experience in operating
said programs and is ready, willing and able to perform said
services for E1 Segundo;
NOW, THEREFORE, the parties hereto agree as
follows:
I. SCOPE OF SERVICES:
A. Inglewood shall perform the following services:
1. Develop a proposal process for service
providers for the City of El Segundo and make
recommendations to the Private Industry
Council for the South Bay Service Delivery
Area for selecting appropriate providers.
2. Design and implement an applicant intake
process for E1 Segundo.
3. Design and implement an orientation procedure
for participants and service providers.

4. Design and implement job development,
placement and follow -up services.
5. Prepare and enter into necessary contracts
for delivery of services and ensure that
appropriate contract monitoring occurs.
6. Develop and maintain a management information
system as well as fiscal and programmatic
accountability to the appropriate state and
federal agencies.
7. Negotiate employment and training agreements
as needed with the State of California.
8. Provide quarterly reports to E1 Segundo,
identifying the number of participants in the
program beginning with the quarter ending
September 30, 1992.
9. Perform any and all other functions as
requested by E1 Segundo within the guidelines
of and as required by the Job Training
Partnership Act of 1982, and the California
Family Economic Security Act as amended, and
the Job Training Plan for the South Bay
Service Delivery Area.
10. Establish and operate a Summer Youth
Employment and Training Program ( SYETP) for
E1 Segundo youth each year that funds are
available therefore.
11. All services to be performed hereunder shall
commence on July 1, 1992; provided however
that SYETP services for the summer 1992
program shall commence as soon as necessary
after execution of this agreement.

B. The City of El Segundo in consideration for the
services described above agrees:
1. To cooperate and assist Inglewood in the
development and implementation of E1
Segundo's Job Training Program.
2. To hereby relinquish in favor of Inglewood
its rights to receive any employment and
training funds under the Job Training
Partnership Act of 1982 in order that such
funds shall be initially paid to Inglewood by
the State of California for performing the
above - referenced services.
II. COMPENSATION.
The funds referred to in paragraph I B(2) above shall
represent the total compensation to which Inglewood
shall be entitled for operating the E1 Segundo program
provided, however, that these funds are in addition to
any funds to which Inglewood might otherwise be
entitled under the Joint Powers Agreement executed in
July, 1983 for the general administration and
supervision of the Job Training Program of all cities
located within the South Bay Delivery Area.
III. TERM.
This agreement shall become effective on the date of
execution.
IV. LIABILITY.
Inglewood•shall defend, indemnify and hold harmless E1
Segundo, its officers and employees, from and against
any and all actions, suits, proceedings, claims, demands,
losses, costs, and expenses, including legal costs for
attorneys' fees, for injury to or death of person(s),

for damage to property, and other loss arising out of
or related to Inglewood's performance under this
agreement, except for such loss as may be caused by E1
Segundo's own negligence or that of its officers or
employees.
V. TERMINATION.
This agreement may be terminated by either party only
at the end of the then current contract period as that
term is defined in the Joint Powers Agreement referred
to above provided however, that notice of said
termination shall be in writing delivered to the City
Clerk of the other party no later.than ninety (90) days
prior to the end of the then current contract period.
Upon such termination Inglewood shall cause an audit to
be performed to determine the financial condition of
the program and any surplus funds may be disbursed
according to law.
VI. ENTIRE AGREEMENT.
This agreement constitutes the entire agreement of the
parties.
