CC RESOLUTION 1531RESOLUTION NO. 1531 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EL SEGUNDO, CALIFORNIA, AWARDING TO RICH- FIELD OIL CORPORATION THE CONTRACT FOR FUR- NISHING CERTAIN PETROLEUM PRODUCTS TO SAID CITY FOR A ONE YEAR PERIOD, BEGINNING AUGUST 15, 1955, AND ENDING AUGUST 14, 1956, AT MID- NIGHT. WHEREAS, the City Council of the City of E1 Segundo, California, has heretofore in the manner provided by law, duly and regularly advertised for bids under notice to bidders, entitled "NOTICE TO BIDDERS ON GASOLINE, OIL, LUBRICANTS, PETROLEUM PRODUCTS AND ASPHALTIC EMULSION TO BE FURNISHED THE CITY OF EL SEGUNDO, CALI- FORNIA", dated the 22nd day of June, 1955, which is now on file in the office of the City Clerk, open to public inspection, and here- by referred to and by this reference incorporated herein and made a part hereof, for furnishing said City with the items referred to in said notice; and WHEREAS, at the time for opening and considering all of said bids, to wit: the hour of 7:00 o'clock P. M. (California Daylight Saving Time) on Wednesday, the 27th day of July, 1955, said Council did publicly open, examine and declare all bids re- ceived; and WHEREAS, at said hour said Council did take all of said bids under advisement until its next regular meeting to be held August 10, 1955, and referred said bids to the City Administrative Officer for checking, tabulation and report; and WHEREAS, said last mentioned date has now arrived and the City Administrative Officer has reported that the bid of Richfield Oil Corporation was the lowest, regular bid received on Items Nos. 1 to 6, both inclusive, and Items Nos. 10A to 142 - 1 - I .. both inclusive, under said notice to bidders and recommends that contract for said Items Nos. 1 to 6, both inclusive, and Items Nos. 10A to 14, both inclusive, be awarded to said Richfield Oil Corporation; and WHEREAS, said Council concurs in the recommendation of said City Administrative Officer, and has reached its decision in the said matter; NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF EL SE- GUNDO, CALIFORNIA, DOES RESOLVE, DECLARE AND DETERMINE AS FOLLOWS: SECTION 1. That the bid of RICHFIELD OIL CORPORATION, of 555 South Flower Street, Los Angeles 17, California, dated July 22, 1955, which said Council determines to be substantially as follows, to wit: "To the Honorable City Council City of E1 Segundo, California Gentlemen: The undersigned hereby proposes to furnish to the City of E1 Segundo, California, in said City, during the period August 15, 1955 to and inclusive of August 14, 1956, at midnight, the following petroleum products at the prices stated in the schedule below and all in accordance with the Notice to Bid- ders attached hereto and further in accordance with Specifi- cations G.O. -5, heretofore approved and adopted by the City Council of said City and on file in the office of the City Clerk of said City, as follows, to wit: ITEM 1. R I D E R The amount of any City, State and Federal Sales, Privilege, Excise, Use or Compensating Taxes applicable to any sales made hereunder shall be added to Invoice Prices and paid by Buyer. The amount of any other tax or charge now levied by any governmental authority or which may hereafter become payable by Seller and the amount of any new, increased or additional tax payable by Seller on the manufacture, trans- portation or sale of commodities covered herein by reason of a sale hereunder, and which is not included in Unit Prices shown, shall be included in Invoice Prices and paid by Buyer. When products are delivered hereunder in returnable barrels, such barrels are to be regarded solely as a means of trans- portation, and Buyer shall return them promptly; and in the event such returnable barrels are not so returned within ninety (90) days, Buyer shall be charged therefor a sum equal to Seller's established charge prevailing on said ninetieth day. Seller agrees to return full amount charged and col- lected for barrels returned in good condition within twelve (12) months from date of delivery. Seller agrees "to fill all orders with reasonable promptness; however, Seller shall not be liable for any delay in or failure of delivery of products hereunder occasioned by or arising out of fire, flood, earthquake, storm, explosion, strikes, labor disturbances, lack or failure of transporta- tion, war, perils of the sea, insurrection, riot, lack of raw materials or equipment, governmental regulation, exces- sive increase in cost of performance, and /or any other cause, similar or dissimilar to the foregoing, beyond the control of Seller. Dieudonne For General Sales Manager be and the same is hereby accepted as to Items Nos. 1 to 6, both inclusive, and Items Nos. l0A to 14, both inclusive, under said notice to bidders dated June 22, 1955, at the respective prices therefor set forth in said bid, which is now on file in the of- fice of the City Clerk of said City, and which said bid so on file - 4 - is hereby expressly referred to and by this reference incorporated herein and made a part hereof for all further particulars. SECTION 2. The Contractor agrees, responsive to the preference of the City Council of said City as expressed in the notice inviting bids, pursuant to which this contract is made, that only American -made materials and California -made materials will be used in the work or improvement contemplated under this contract, all in conformity with the provisions of Sections 4300 to 4305, both inclusive, and Sections 4330 to 4334, both inclusive, of the Government Code of the State of California. SECTION 3. The Contractor, insofar as said Contractor is legally required so to do, must observe and abide by the provi- sions of all laws of the State of California and of the United States of America relating to contracts of the nature contemplated herein, whether herein specifically mentioned or not. SECTION 4. That all bids received under said Items Nos. 1 to 6, both inclusive, and Items Nos. 10A to 14, both inclusive, under said notice to bidders, with the exception of the said bid of said RICHFIELD OIL CORPORATION, be and the same are hereby re- jected; and the City Clerk is hereby authorized and instructed to return the checks of all unsuccessful bidders. SECTION 5. That the City Clerk shall prepare copies of this resolution after the passage and adoption thereof, and shall affix to such copies at the end thereof, after the Clerk's Cer- tificate, forms for the approval of the successful bidder and on the part of the said City; and such copies of this resolution, so approved and accepted by the successful bidder and by and on be- half of said City, shall constitute the contract for furnishing to said City all of the materials mentioned in said Items Nos. 1 to 6, both inclusive, and Items Nos. 10A to 14, both inclusive, in said bid, for a one year period, pursuant to the award herein - above made; and the Mayor of the City of E1 Segundo is hereby - 5 - authorized on behalf of said City to affix the approval and accep- tance of said City to such contract, and said City Clerk is hereby authorized and instructed to attest the same on behalf of said City and to affix the seal of said City thereto. SECTION 6. That the City Clerk shall certify to the passage and adoption of this resolution; shall enter the same in the book of original resolutions of said City; and shall make a minute of the passage and adoption thereof in the records of the proceedings of the City Council of said City in the minutes of the meeting at which the same is passed and adopted.
