A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF EL SEGUNDO, CALIFORNIA, ACCEPTING
A CERTAIN PROPOSAL FOR ENGINEERING SERVICES
BY LIPPINCOTT AND ROWE, BY E. A. ROWE,
DATED FEBRUARY 16, 1949, AND JWPLOYING
SAID LIPPINCOTT AND ROWE, E. A. ROWE, TO
FURNISH SUCH ENGINEERING SERVICES FOR SAID
CrZTY.
WHEREAS, there has been presented to the City
Council of the City of El Segundo, California, a communication
proposal and offer in words and figures as follow a, to wit:

Gentlemen:
You have requested this office to submit a proposal
for engineering services required in connection with the
design and construction of water works improvements to be
built under the recently voted bond issue. The works to
be constructed and the estimated cost thereof are as re-
commended in our report to the City of E1 Segundo dated
October, 1948 and entitled 'Transmission main and other
improvements required in connection with the obtaining
of additional water supply from the Metropolitan District
of Southern California.' This proposal is for the follow-
ing items of construction as described in the aforemention-
ed report:

This proposal is made in accordance with the neat
to the last paragraph of our letter of July 26, 1946
wherein we submitted our proposal for the preparation
of the aforementioned report. In this paragraph we
stated as follows:
'With regard to our charges for additional
engineering services in connection with the
preparation of plans and specifications for
the required improvements and the supervision
and inspection of the construction of said
works, we are not prepared at this time to
submit a proposal, however, we can state that
our charges for such services will not be in
excess of the recommended fees of the American
Society of Civil Engineers "for professional
services on Federal and Federal Aid projects
undertaken as an aid to industrial recovery
or to relieve unemployment" as approved by
the Board of Direction April 3, 1935.1
For the improvements enumerated above we propose
to furnish the following engineering services:
1. Furnish the City with twenty copies of the
necessary contract dooument s, detailed plans and speci-
fications ready for calling for bids for each and all
of the above enumerated items. The contract documents
to inolude Notice Inviting Bids, Instructions to Bidders,
Form of Proposal, Bidding Schedules, Form of Contract,
Form of Bid Bond, Form of Contractor's Bond, Specifi-
cations, General Conditions and Detail Specifications,
all to be approved as to form by your City Attorney.
2. Estimates of quantities and cost.
3. Assistance in securing bids.
4. Analysis of bids.
5. Assistance in letting contracts.
6. Checking shop and working drawings furnished
by contractors.
7. Consultation and advice during construction.
8. Final inspection and report.
For the above outlined engineering services we shall
receive as full payment therefor the sum of $29,600.00
payable as hereinafter provided. Engineering services
described above to be furnished as outlined above for the
fee of $29,600. does not include the following services
which shall be provided by the City as necessary to carry
on and complete our engineering services.
1. Field surveys as required for design and prepara-
tion of plans and specifications.
2. Services of a resident engineer to direct and
supervise the constructions.
3. Services of field staff additional to the services
of a resident engineer including inspectors, draftsmen and
surveyors, if and when required.

4. Special tests and research, mill and shop
inspection of materials and equipment and for founda-
tion explorations such as borings, test pits and
excavations or instrumental tests required to locate
existing pipe lines or underground structures.
6. Engineering services in connection with the
acquisition of rights -of -way.
If it is desired by the City that any one or all
of the last above five enumerated items be furnished
by this office, we would expect to be paid for same by
reimbursement of actual out -of- pocket expense, plus
25 c/o for overhead, payable monthly on statements
rendered.
For personal engineering services of Mr. Rowe, not
included within the scope of the work covered by the
fee of $29,600.00 when such services are specifically
requested by proper City Authority, they will be billed
at his regular charge of $100.00 per day, plus out -of-
pooket expense.
The above mentioned fee of $29,600.00 is 5.05 c/o
of the total estimated cost of the works to be constructed,
i.e. $566,000.00. Payment of this fee is to be made as
follows: When any plans and specifications are submitted
and adopted by the City Council, we shall be paid within
30 days thereafter 3.5 c/o of the total cost of the work
included in said specifications as estimated in our report
of October, 1948. Second, when construction contracts
have been awarded for the work covered by said specifica-
tions, 30 days thereafter we shall receive payment in the
amount of 1.0 c/o of the total cost of such work as esti-
matieu in oar report of October, 1948 and when the contracts
for the work covered by the said specifications have been
Completed and accepted by the City, we shall, within 30
days thereafter, receive an additional payment equal to
0.56 c/o of the total Cost of such work as estimated in
our report of October, 1946.
We are ready to start this work immediately and would
expect to complete the deliver+ of all plans and specifi-
cations within eight months after date of contract provid-
ing rights -of -way are promptly obtained.

AND, WHEREAS, said Council has duly and carefully
considered the offer of said LIPPINCOTT AND ROWE (E. A. Rowe)
for the furnishing to said City of the engineering services
therein referred to, all as set forth in said above quoted
communication:
NOW, THEREFORE, the City Council of the City of
E1 Segundo, California, does hereby resolve, declare, determine
and order as follows:
SECTION 1. That the original of said above quoted
communication be placed on file in the office of the City Clerk
of the City of El Segundo, open to public inspection, and that
the said original as so on file be and the same is hereby
incorporated herein and made a part hereof.
SECTION 2. That the City Council of the City of
E1 Segundo, California, on behalf of said City, does hereby
accept the proposal and offer of said Lippincott and Rowe
(E. A. Rowe) set forth in said above quoted communication for
the furnishing of the engineering services therein referred to
and described, at the fees and considerations therefor, all a s
expressed and set forth in said communication, offer and pro-
posal, and does hereby agree that said City will pay to said
Lippincott and Rowe (E. A. Rowe) the fees for said engineering
services at the times, in the manner and in the respective
amounts as set forth in said communication proposal and offer.
SECTION 3. That in making this acceptance the City
Council reserves the rizht to exercise the alternatives and
optional privileges extended to said City in said communication
proposal and offer from time to time hereafter as said Council may
determine, and to promptly make such elections and determinations
provided for under said optional arrangements, as and when
requested so to do by said Lippincott and Rowe (E. A. Rowe),
to the end that the work and improvements with which the services
aM
to be rendered by said Lippincott and Rowe (E. A. Rowe) are
concerned, may proceed with all due dispatch.
SECTION 4. That this resolution and the acceptance
of said offer and proposal therein contained shall take effect
immediately.
SECTION 5. That the City Clerk shall prepare two
certified copies of this resolution, upon or at the end of
each of which shall be endorsed the approval of said City by
its proper officers (the Mayor and City Clerk, who are hereby
authorized to make such endorsement on behalf of said City),
and by said Lippincott and Rowe (E. A. Rowe), and the said
certified copies so endorsed shall be and constitute the
evidence of the proposal and acceptance constituting the
contract between said parties in the premises.
SECTION 6. That the City Clerk shell certify to
the passage and adoption of this resolution; shall cause
the same to be entered in the book of resolutions of the Ctty
Council of the City of El Segundo, California, and shall make
a minute of the passage and adoption thereof in the records of
the proceedings of the City Council of said City, in the minutes
of the meeting at which the same is passed and adopted.
Passed, approved and adopted this 16th day of
February, A. D., 1949.

El Segundo, California, do hereby certify that the whole
number of members of the City Council of the said City is five;
that the foregoing resolution, being Resolution No. 992 , was
passed and adopted by the said City Council, approved and
signed by the Mayor of said City, and attested by the City
Clerk of said City, all at a regular meeting of the said
Council held on the 16th day of February, 1949, and that the
same was so passed and adopted by the following vote:
