BE IT RESOLVED, by the Board of Trustees of the City
of El Segundo, as follows:
Section 1. That the public interest and convenience
require that there be organized in the City of E1 Segundo a
volunteer fire department for the purpose of fighting and
extinguishing fires and preventing the same, and protecting

life and property within the City of E1 Segundo.
Section 2. The said department is hereby 6reated
and shall be known as
"EL SEGUNDO VOLUNTEER FIRE DEPARTMENT."
Section 3. That the said department shall be gov-
erned by the Constitution and By -Laws hereto attached, marked
Exhibits "A" and "E" respectively, and expressly made a part
hereof, and the Board of Trustees hereby ap_roves the said
Constitution and By -Laws and adopts the same for that purpose.
Section 4. All officers elected or appointed by
said department or any company thereof, in the manner in said
Constitution and By -Laws provided, shall, before assuming
their duties, be approved by the Board of Trustees of the City
of El Segundo.

CONSTITUTION OF T'r0; EL SEGUNDO VOLUNTEER
FIRE DEPARTMENT.

ARTICLE I. Name.
Section 1. The name of the organization shall be
EL SEGUNDO VOLUNTEER FIRE DEPARTMENT.
ARTICLE II. Purpose and Unite.
Section 1. The purpose of this organization is to
fight and extinguish fires and prevent the same, and protect
life and property within the City of E1 Segundo, California.
Section 2. The department shall consist of such
number of companies as the Board of Trustees of the City of
E1 Segundo may from time to time determine, and application
by citizens for permission to organize as a company of this
department shall be made directly to the Board of Trustees of
said city under such regulations as the By -Laws of the Depart-
ment may prescribe.
ARTICLE III. Government.
Section 1. The Government of the Department shall

Section 3. The regular meetings of the Executive
Committee shall be held on the first Tuesday after the first
Monday, in the months of July, October, January and April, of
each year. Special meetings may be called by the Chief, or
by any three members of the Committee, upon two hours' notice
to the other members.
Section 4. The Chief shall be the Chairman of the
Executive Committee, but shall have no vote, except in case
of a tie.
_- ARTICLE IV. Department Officers.
Section 1. The officers of the Department shall
consist of a Chief, a First Assistant Chief, a Second Assistant
Chief, a Secretary-Treasurer, and as many engine drivers as
the apparatus of the Department may require. The rank of
Engine Driver shall be next below that of Lieutenant.
Section 2. The said officers shall perform the
duties usually connected with their said respective offices
and such further duties as may be properly prescribed in the
By -Laws of the said Department.
Section 3. Department officers shall be elected
at the annual meeting of the Department and shall hold office
for one year, and until their successors are elected and
qualified, except Engine Drivers, who shall be appointed by
the Board of Trustees of the City of E1 Segundo. Engine
Drivers by such appointment shall become members at large of
the Department and shall be subject to all Department and Com-
pany laws and regulations. The compensation of Engine Drivers
shall be fixed by the Board of Trustees of the City of E1
Segundo.
Section 4. Such company officers shall be elected
in such manner and for such terms as the laws of the Department

may prescribe.
Section 5. Upon the election or appointment of any
member of a company to a Department office, except the office
of Secretary- Treasurer, and members of the executive committee
other than the Chief, the company membership of the said offi-
cer so elected or apr_ointed shall forthwith be suspended, and
shall continue so suspended during the incumbency of such
officer, and during said incumbency said officer shall be a
member at large of the Department and shall be subject to all
laws and regulations of the Department as other members of the
Department and Companiee.
ARTICLE V. Meetings.
Section 1. The regular annual meeting of the Depart-
ment shall be held on the first Tuesday in January of each
year.
Section 2. Special meetings may be called by the
Chairman of the Executive Committee, by three members of the
said Committee or by ten members of any company, upon written
notice of the same and the object thereof being delivered or
mailed to the members of the Department at least 24 hours be-
fore said meeting.
ARTICLE VI. Membership.
Section 1. All candidates for membership must be
of the age of 21 years, of sound health and of good moral
character, and shall possess such other or further qualifica-
tions, and make application in such manner, as the said de-
partment shall by laws prescribe.
Section 2. The Secretary shall issue to each member
J a certificate of membership, for which a charge of 25¢ shall
be made.
Section 3. The Seal of the Department, which shall
be in such form as the Department ii.ay determine, shall be af-
fixed to all certificates of membership.
ARTICLE VII. Elections.
Section 1. Elections shall be conducted in the man-
ner provided by the laws of the Department.
ARTICLE VIII. Impeaching and Expelling.
Section 1. Members may be impeached and expelled
for good cause shown and in such manner as the Department may
prescribe, but no member shall be impeached or expelled with-
out a fair and impartial trial.
ARTICLE IX. Committees.
Section 1. All Department Committees, other than
the Executive Cc mnittee, shall be appointed by the Chief.
ARTICLE X. Vacancies.
Section 1. Vacancies in any Department office shall
be filled by appointment br the Executive Committee; the ap-
pointee shall hold office for the balance of the unexpired
term and until his successor is elected and qualified.
ARTICLE XI. Expenditures.
Section 1. No money shall be expended for any
purpose other than current expenses, without a two- thirds
vote of the executive committee.
ARTICLE XII. Honorary Members.
Section 1. Honorary members may be received in
such manner as the Lava of the Department may prescxibe.
Section 2. Honorary Members shall be entitled to
all the privileges of active members, except they may not hold
office hereunder.

ARTICLE XIII. Revenue.
Section 1. The revenue of this department shall be
derived from certificate fees, fines, assessments upon com-
panies of the department, or by any other legitimate means.
ARTICLE XIV. Indebtedness to Company or Department.
Section 1. No company shall be entitled to repre-
sentation in the department unless all its indebtedness to the
department shall have been canceled.
Section 2. No member of a company or the department
shall be allowed to vote unless all indebtedness upon the part
of said member to said company or department shall have been
canceled.
ARTICLE XV. Amendments.
Recommendations for the amendment of this Constitution
may be made by either the Board of Trustees of the "ity of E1
Segundo, or Executive Committee of the Department, but said
recommendations shall not become effective for any purpose
until the same shall have been adopted by a vote of at least
two- thirds of both the said Board of Trustees and the Execu-
tive Committees.

EXHIBIT "B ".
BY -LAPIS OF THE EL SEGUNDO FIRE DEPARTMENT.
ARTICLE I. Chief.
The Chief shall in all cases of fire, or alarm
thereof, or when ordered out for drills, have sole and entire
command over all apparatus and members of the department.
He shall be called and designated as the "Chief." His orders
shall be given directly or through the assistant chiefs to
the captain or lieutenant of companies in charge of said
companies. He shall have power and it shall be his duty to
suspend any company or company officer for disobedience of his
orders, or those of his assistants, for unnecessary delay in
executing them, or for disrespectful language, and he shall
report the name or names, and facts connected therewith, to
the Executive Committee, when next convened for their action.
He shall see that all fire apparatus, company houses and
public hydrants are kept in good order and condition, and re-
port to the Board of Trustees of the City of E1 Segundo, re-
pairs or supplies required by the department. He shall,
upon learning of any improper practices in or about the house
of any company, notify the Captain thereof of the same, and
report the name or names of the offenders, and the facts
connected therewith, to the Executive Committee, vihm next
convened, for their action. He shall sign all certificates and
shall perform such other duties as the laws of the State and
the Department may require of him.
Section 2. It shall be the duty of the Chief to
grant all leaves of absence from the city to Department Offi-
cers, and immediately after granting a leave of absence to any

such officer, he shall notify the secretary of the Department
of such leave and the duration thereof.
ARTICLE II. Assistant Chiefs.
There shall be a First Assistant Chief and a Second
Assistant Chief of the Department. The assistant chiefs
shall, immediately upon arriving at fires, report to the Chief
for his orders. An assistant chief shall not give orders or
in any manner interfere with the formation or conduct of a
line, when he shall have ascertained that another officer is
in charge thereof; and it shall be his duty to inquire of an
officer in command of a company whether another is in charge
of the line. Whenever the Chief shall absent himself from
the city, and shall be prevented from discharging the duties
of his office, the assistant chief highest in rank shall
perform the duties and possess the rights and powers of said
office during such absence or disability. If an Assistant
Chief be absent from the city for a period exceeding thirty
days, without the permission of the Chief, his office may be
declared vacant.
ARTICLE III. Secretary - Treasurer of the Department.
The said officer, as Secretary, shall keep full,
fair and accurate minutes of the proceedings of the Department
and of the Executive Committee. He shall keep a book in which
he shall write out in full the laws and standing resolutions
adopted by the Department. He shall keep a registry of the
Department, which shall contain the names of all the members
and shall show opposite each name the age, occupation, date
of election, company, transferred, suspended, expelled, re-
signed, reinstated, issue of certificate, whether active or
honorary, died, and remarks. He shall keep a book containing
separate lists of all members finally exempt, and of all per-

sons suspended, disbanded or expelled. He shall have the
custody of the Department seal, and affix the same token to
the notices, resolutions, orders and laws of the Department,
and to exempt certificates, and such other papers as may be
directed by the Executive Committee. He shall fill up and
sign certificates of exemption when directed by the Executive
Committee. He shall collect all fines and assessments.
He shall keep an account of all moneys collected by him for
the Department, specifying each sum paid in, by whom, and for
what pur,-ose; and report the same in the months of January and
July. He shall at the same time report the changes that have
occurred in the registry of the Department during the preced-
ing six months. He shall, whenever a Chief, Company, officer
of the Department, or Company officer shall be suspended by
the Chief of the Department, or the Executive Committee, fur-
nish the accused with a copy of the charges upon which he or
they were suspended, together with a notice of the next meet-
ing of the Executive Committee. He shall call meetings of
the Executive Committee when regularly ordered, and shall per-
form such other duties as are customary and may be imposed
upon him by the Executive Committee or Department.
As Treasurer he shall receive and safely keep all
moneys belonging to the Department, paying out the same upon
the order of the Executive Committee, duly signed by the
President and attested by the Secretary, which shall be his
vouchers. He shall at the stated meetings in July and January,
submit to the Executive Committee full reports of his receipts
and disbursements, together with the amount of money remaining
in the treasury.
He shall, at the expiration of his term of office,
promptly deliver up all funds, books, papers and other property

belonging to the department and the Executive Committee, in
his custody, to his successor in office.
The Secretary - Treasurer may receive such com.?ersation,
payable from the Treasury of the Department, as the Executive
Committee may from time to time determine.
ARTICLE IV. Election of Department Officers and Terms.
Section 1. Department officers shall be elected at
the annual meeting of the Department by a majority vote of the
members present and shall hold office for the period of one
Year and until their successors are elected and qualified.
ARTICLE V. Executive Committee.
Section 1. At all meetings of the Executive Commit-
tee it shall require a majority of all the menbere of the
Committee to constitute a quorum for the transaction of busi-
ness, but a less number may call the roll, have absentees
noted, and adjourn to a time stated or without day.
Section 2. It shall be the duty of the said Commit-
- tee to make such regulations as may be necessary for the
government and direction Of the department. They shall as
hereinafter provided try all charges of any nature made by
any member or company of the department.
Section 3. They shall have power to levy an assess-
ment upon each and every company in the department whenever
it is deemed advisable by the said Committee, provided, how-
ever, that the amount of the assessment due from each company
and to be paid by it shall be in proportion as the membership
Of the said company in numbers bears to the membership of the
Department in numbers. Said assessment when so levied shall
Jf be paid into the treasury of the department within thirty
days after the said levy.
Section 4. The resignation of a representative of
the Executive Committee must be tendered to his company in

writing at a regular meeting thereof, when his successor
shall be elected, and the Secretary of the company shall
immediately notify the Department Secretary of said proceed-
ings.
Section 5. In case of the removal of the Chief or
any of his assistants, or of their death, resignation, or in-
ability to discharge the powers and duties of their respec-
tive offices, the Committee shall, at their next meeting,
arpoint one of the members of either of the companies who
are under the control of the department to fill the vacancy
thus occurring until an election is held.
Section 6. The Executive Committee shall have
power to examine all books, papers, vouchers and accounts of
any department or company officer at any time.
ARTICLE VI. Companies.
Section 1. No hose company shall have an active
membership to exceed 25, and no hook and ladder company shall
have an active membership in excess of 35. No company shall
be organized with less than ten members, nor shall any company
be organized or disbanded except by resolution of the Board of
Trustees of the City of E1 Segundo.
Section 2. Each and every company shall keep its
apparatus in good order, ready for instant use.
Section 3. The officers of a company shall consist
of a Captain, a First Lieutenant, a Second Lieutenant, a Sec-
retary and Treasurer, who shall be elected at the annual meet-
ing of their company.
Section 4. No member shall be eligible to the of-
face of Captain, unless he shall have been an active member for
at least one year.

Section 5. Any vacancies occurring shall be filled
for the unexpired term, at the first regular meeting there-
after, by election. The Captain shall have the power to ap-
point until such vacancies shall have been so filled.
Section 6. No department or company officer shall
be allowed to contract any debt for the department or a company,
except permission be granted him by a vote of the department,
or his company. Any officer so doing shall be individually
liable therefor.
Section 7. Each company shall hold a regular meet-
ing for the transaction of business once each month, the date
thereof,and of the annual meeting, being fixed by resolution
and recorded in the minutes.
ARTICLE VII. Certificates.
Section 1. A certificate of membership, signed by
the Chief of the Department and the Captain and Secretary of
the Company, shall be issued to each member immediately after
he has taken the obligation and signed the Constitution and
By -Laws of the Department.
Section 2. Exempt certificates will be issued ac-
cording to the laws of the State of California.
Section 3. A certificate of honorary membership
may, by a two- thirds vote of all members of the Executive
Committee, be given to any person who shall have rendered the
department a valuable or important service.
Section 4, Whenever the certificate of a member
of the Department shall have been injured, destroyed or lost,
he shall, on producing a eatisfactory evidence thereof to the
Executive Committee, be granted a duplicate upon payment of
the cost thereof.

ARTICLE VIII. Duties of P.;embers.
Section 1. It shall be the duty of every member
to respond to every alarm of fire within the said city and
attend to any duty to which he may be detailed by any officer
in command.
ARTICLE IX. Membership.
Section 1. No person shall be admitted to member-
ship in any company of the Department unless he is a white,
male citizen of the United States, a resident of the City of
E1 Segundo, and twenty -one years of age or more. No person
may be proposed for membership unless he has actually resided
in the city for at least six months immediately preceding the
filing of his application.
Section 2. Any person wishing to become a member
of any Company of the Department, shall be furnished with a
copy of the Constitution and By -Laws of the Department, after
reading which he may sign an application in writing, endorsed
by one member of the company of which he proposes to become
a member, and deposit the same with the secretary of said
ccml:any. The application shall be referred, at a regular
meeting only, to a committee of three appointed by the Captain
of the Company. Said committee shall investigate the quali-
fications of the candidate and report to the company at the
same meeting, when a ballot shall be had. If not more than
five black balls appear, the applicant shall be declared
elected; if more than five black balls appear, he shall be
declared rejected.
p Section 3. An exempt member may, if he desires,
continue in active membership; otherwise he shall be enrolled
upon the books of his company as exempt.

Section 4. An exempt member continuing in active
membership shall not be fined for non - attendance at meetings
or drills.
Section S. A disabled member of the department
shall, during the period of such disability, be considered
an active member.
ARTICLE X. Order of Business.
Section 1. The following shall be the order of
business for all meetings:
1. Roll Call.
2. Reading minutes of previous meeting.
3. Excuses of absentees.
4. Collection of assessments and fines.
5. Propositions for membership.
6. Reports of Committees.
7. Resignations and expulsions.
S. Election of officers and members.
- 9. Presentation of Bills.
10. Unfinished business.
11. Miscellaneous business.
12. Adjournment.
Section 2. All meetings shall be governed by par-
liamentary -rules given in "Robert's Rules of Order."
ARTICLE XI. Captains.
Section 1. Captains of companies shall -promptly
report to the chief any breakage or disarrangement of appara-
tus, or repairs required to the houses under their respective
charge, and shall see that the same are kept in good order.
They shall, at fires or alarms, see that the orders of the
chief and assistant chiefs are punctually obeyed. They shall
certify to the correctness of semi - annual reports of companies.

Section 2. It shall be the duty of a Captain to
preside at all meetings of his company; to sign all warrants
dra-im upon the treasurer by a vote of the company, direct
the secretary to call special meetings upon a written request
of five members, or when in hie judgment the interests of the
-company require it.
ARTICLE XII. Lieutenants.
Section 1. It shall be the duty of the First Lieu-
tenant to aid the captain in the discharge of his duties, and
in his absence officiate in his company.
Section 2. It shall be the duty of the Second
Lieutenant to render such assistam to both the Captain and
the First Lieutenant as may be required of him, and in the
absence of both he shall assume command of the company.
ARTICLE XIII. Treasurers of Companies.
Section 1. It shall be the duty of the treasurer of
each company to perform the usual duties of his office and such
other duties as the company may prescribe.
ARTICLE XIV. Secretaries of Companies.
Section 1. Secretaries of companies shall keep
full, fair and accurate minutes of the proceedings of their
respective companies and perform the usual duties of their
offices.
Section 2. Immediately after the election by their
companies of all elective officers, the secretaries shall re-
port the names of the same to the Secretary of the Department,
which shall be by him communicated to the City Council.
M Section 3. The secretary of the company shall make
and submit to the company in January and July of each year
a semi - annual report of the business of his office.
Section 4. In the event of the absence of the

secretary, it shall be his duty to see that the books are at
the company's rooms, properly posted, at the time stated in
the call.
ARTICLE XV. Charges.
Section 1. Charges and specifice.tions of charges
against companies and officers and members of the Department
shall be preferred in writing to the Executive Committee and
shall be tried in the manner followed in the Courts of this
State, before the said Committee.
Section 2. Neglect or refusal on the part of any
company, officer or member to answer a charge preferred as
aforesaid shall be considered as acknowledgment of guilt, and
the Board shall proceed as though the charge had been aus-
twined.
Section 3. Any member of the Department, or of any
company of the Department, who shall, after having been duly
subpoenaed, refuse or neglect to appear to testify in the trial
of any cause before the Executive Committee, shall be expelled
from the Department, unless excused by the Executive Committee.
ARTICLE XVI. Impeachment, Suspension and Expulsion.
Section 1. The Captains of the several companies
of the Department, when called together by a vote of the com-
panies, or any company of the Department, shall have power to
impeach any Department Officer for neglect or inability to
discharge the duties of his office, provided, however, that the
Board of Trustees of the City of E1 Segundo shall have the
sole power of impeaching and removing Engine Drivers, and may
1 institute such proceedings of their own initiative, or upon
complaint of the Chief of the Department.

ARTICLE XVII. Penalties.
Section 1. Any active member who shall be absent
from the City for the period of one month without leave of
absence from the Chief or Captain of his company, shall be ex-
gelled.
Section 2. If a member be intoxicated while on
duty, the officer in command shall report the same to the
Executive Committee, and, on conviction thereof, he shall be
exp.11ed or suspended.
ARTICLE XVIII. Excuses and Leaves of Absence.
Section 1. Any active member desiring to be absent
from the City for 30 days or more shall apply to the Chief,
or to the Captain of his company, for a leave of absence.
ARTICLE XIX. Elections.
Section 1. The ,node of procedure at all department
and company elections shall be as follows: The presiding
officer shall declare nominations in order for the office to
be filled; when the nominations are made for that office, the
ballot shall be taken, the count completed and the result
announced. (dominations will then be in order for the next
office and the same procedure shall be had upon it and each
of the offices to be filled.
Section 2. Voting shall be by written ballot and
when there are more than two candidates for the same office,
the one having the smallest number of votes shall be dropped
at each ballot. If there be but one candidate for any office,
the presiding officer may declare him elected by consent.
ARTICLE XX. Drills.
Section 1. It shall be the duty of the Chief to
order out the Department once each month for drill; and he

may call such other drille as he deems necessary. Captains
may order out their companies for drill whenever they see
fit.
ARTICLE XXI. Amendment of By-Laws.
Section 1. Recommendations for the amendment of
these By -Laws may be made by either the Board of Trustees of
the City of E1 Segundo, or the Executive Committee of the De-
partment; but said recommendations shall not become effective
for any purpose until the same shall have been adopted by a
vote of at least two - thirds of both the said Board of Trustees
and the Executive Committee.
ARTICLE XXII. Quorum.
Section 1. C1 _ members of the Department
at any Department meeting shall constitute a quorum for the
transaction of business.
ARTICLE XXIII. Miscellaneous.
Section 1. Members at large of the Department, upon
paying to any company of the Department the regular dues and
assessments of said company, shall be entitled to all house
Privileges of said company acoorded regular members thereof.
Section 2. Officers of the Department shall at all
times have access to the meetings of all companies of the De-
partment.
Section 3. Department officers shall be elected by
a majority vote of the members present at the annual meeting
of the Department.
Section 4. All acts, laws and proeeedinEs of this
Department shall, before becoming, effective, be in full ac-

cord with the powers granted over this Department by law to
the Board of Trustees of City of E1 Segundo, and the said Board

shall exercise all authority over this Department granted
them by law.
We, the undersigned, members of the E1 Segundo
Volunteer Fire Department, do hereby agree to abide by and
uphold the said Constitution and By-Laws hereto attached, and
all amendments thereto hereafter .properly made in accordance
therewith.
