ELEVENTH AMENDMENT TO
AGREEMENT NO.2774 BETWEEN
THE CITY OF EL SEGUNDO AND
PROGRESSIVE SOLUTIONS, INC.
THIS ELEVENTH AMENDMENT ("Amendment") to Agreement No. 2774 ("Agreement")
is made and entered into this 13th day of April 2026, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and PROGRESSIVE SOLUTIONS, INC., a California corporation
("LICENSOR"). The parties agree as follows:
Pursuant to Section 9 (General Provisions), Subsection E of the Agreement, the
Agreement is amended so that, in consideration of LICENSOR providing all services
listed in the attached Attachment 1, the CITY agrees to pay the annual support fees,
license fees, and hosting fee specified for a total, not -to -exceed amount of
$35,440.54 for the period specified below.
2. Pursuant to Section 9 (General Provisions), Subsection E of the Agreement, the
term for the above services and the term of this Amendment will be from July 1, 2026
to June 30, 2027. Notwithstanding any Agreement term, including Section 3, to the
contrary, the extension of the Agreement through this Amendment, and any
associated license term, must only be made via subsequent amendment or new
agreement.
3. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is delivered
by electronic transmission. Such electronic signature will be treated in all respects
as having the same effect as an original signature. LICENSOR warrants that its
signatory (or signatories, as applicable) to this Amendment has the legal authority
to enter this Amendment and bind LICENSOR accordingly.
4. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.
