CONTRACT 7549 OtherAgreement No. 7549 Docusign Envelope ID: 022F1C5E-1029-421E-9E33-CF66DF182E6.5 AGREEMENT REGARDING TRANSFER OF iiY URBAN SEARCH AND RESCUE VEHICLE, TOOLS AND EQUIPMENT BY'THE CITY OF EL SEGUNDO TO THE CITY OF TORRANCE This AGREEMENT is entered into this 1QA day of March 2026, by and between the CITY OF EL SEGU�NDO!, a municipal corporation and general law city ('EL SEGUNDO") and the CITY OF TORRANCE, a municipal corporation and charter city (-TORRANCE"), EL SEGUNDO and TORRANCE are collectively referred to as "Parties" herein. TORRANCE understands and agrees that TORRANCE was provided the opportunity to inspect the Property before accepting it as a donation. Under no I I Agreement No. 7549 Docusign Envelope ID: 022F1C5E-1029-421E-9E33-CF66DF182E65 circurnstances will EL SEGUNDO accept a return of the Property on account of property not coming up to the standard expected nor will failure to inspect the Property be considered grounds for a claim against EL SEGUNDO. 5. TORRANCE releases, waives, discharges, and covenants, not to sue the City of EI Segundo, its elected and appointed officials, agents, volunteers, and employees (collectively, "Releasees") from all liability for any loss or damage, and any claim or demands on account of personal injury or property damage, whether caused by, Releasees' negligence or otherwise arising from TORRANCE's purchase or subsequent use of the Property. 6,. TORRANCE agrees to indemnify and hold the Releasees harmless from and against any and all claims arising out of Torrances, ownership, operation, maintenance, or use of the Property, but only to the extent caused by the negligent or wrongful acts or omissions of TORRANCE, its officers, employees, or agents, and expressly, excluding any claims arising from the acts or omissions of other public agencies, third parties, or users of the, Property not under TORRANCE's direction or control. 7. TORRANCE expressly agrees that the foregoing release, waiver, and indemnity agreement is, Intended to be as broad and inclusive as is Permitted by the law of the State of California and that if any portion is held invalid, it is agreed that the balance will, notwithstanding, continue in full legal force and effect. 8, This Agreement is forth the entire understanding of the Parties. There are no other understandings, terms or other agreements expressed or implied, oral or written, If any, portion of this Agreement is declared by a court of competent jurisdiction to be invalid or unenforceable, then such portion will be deemed modified to the extent necessary in the opinion of the Court to render such portion enforceable and, as so modified, such portion and the balance of this Agreement will continue in full force and effect. 9.
