CONTRACT 6805A AmendmentAgreement No. 6805A FIRST AMENDMENT TO AGREEMENT NO. 6805 BETWEEN THE CITY OF EL SEGUNDO AND ENVIRONMENTAL SCIENCE ASSOCIATES THIS FIRST AMENDMENT ("Amendment") is made and entered into this 1st day of January 2026, by and between CITY OF EL SEGUNDO, a general law city and municipal corporation existing under the laws of California ("CITY"), and ENVIRONMENTAL SCIENCE ASSOCIATES, a California Corporation ("CONSULTANT"), collectively referred to as the "Parties." WHEREAS, the Parties entered into Professional Services Agreement No. 6805 (the WHEREAS, the Parties wish to amend the Agreement to extend the term and expand its scope of services and compensation payable by CITY to CONSULTANT as consideration for such additional services. NOW, THEREFORE, pursuant to Sections 11 (Changes) and 34 (Authority/Modification) of the Agreement and in consideration of the foregoing, the Parties agree as follows: 1. Section 7 is amended to extend the term of this Agreement to June 30, 2027. 2. Exhibit 'A" as referenced in Agreement Sections 1(C) and 3(A) is amended to expand the Scope of Services referenced in Section 3 to include the additional services set forth in Exhibit "B," to this Amendment (Contract Amendment Request by ESA dated November 6, 2025), which includes an expanded transportation/traffic scope to address comments raised by Caltrans, EIR revisions to multiple sections based on project changes, and additional project management and meetings/teleconferences associated with the environmental documents for the proposed residential development at 1521 E. Grand Avenue. 3. Agreement Section 1(C) is amended to increase the compensation payable by CITY to CONSULTANT by an additional amount of $56,032.00, resulting in a maximum not -to -exceed Agreement total of $426,000.00 (which includes a 10- percent contingency above the CONSULTANT'S cost proposal and Amendment 1) as consideration for preparing and completing the environmental documents for the proposed residential development at 1521 E. Grand Avenue. The additional amount of $56,032.00 includes additional work necessary to complete the project's environmental documents contemplated in the Agreement. 4. This Amendment may be executed in any number of counterparts, each of which will be an original, but all of which together constitutes one instrument executed on the same date. In accordance with Government Code §16.5, the parties agree that this Amendment will be considered signed when the signature of a party is delivered by electronic transmission. Such electronic signature will be treated in all respects as having the same effect as an original signature. Agreement No. 6805A 5. Grand Avenue Environmental Impact Report (EIR) Project being conducted under Professional Services Agreement No. 6805. This request resulted from additional technical analysis being requested by Caltrans in a Notice of Preparation (NOP) scoping comment letter, as well as through follow-up coordination with Caltrans. In addition, due to delays and changes in the proposed Project resulting from the applicant's decision -making process regarding the final project size, additional budget is required to ensure that the EIR sections are consistent with the Project Description that is moving forward. Lastly, due to the stops and starts in the Project, and the longer timeframe for completing the environmental review process, additional project management time is needed. Amendment Request Task 1: Transportation/Traffic Scope (Fehr & Peers) In Professional Services Agreement No. 6805, ESA's traffic subconsultant, Fehr & Peers, scope of work included conducting an ICU Level of Service (LOS) analysis that the City has typically required for signalized intersections and an HCM LOS analysis using Synchro 11 software for unsignalized intersections. However, to address comments raised by Caltrans in their NOP scoping comment letter and per follow up coordination with Caltrans, Fehr & Peers will include the following additional study intersections in the non-CEQA Local Transportation Assessment. Level of Service Analysis — Fehr & Peers will conduct HCM LOS and queueing analysis at the following three additional intersections, for weekday AM and PM peak hours for each of the intersections,. utilizing Synchro 12 software: — Mariposa Avenue & Pacific Coast Highway — Grand Avenue & Pacific Coast Highway — El Segundo Avenue & Pacific Coast Highway Agreement No. 6805A Professional Services Agreement No. 6805: Additional Scope/Costs for Caltrans Requested Analysis, EIR Updates due to Project Description uncertainty, and Additional Project Management The following scenarios will be analyzed for the LOS and queueing analysis: — Existing Conditions — Opening Year (No Project) Conditions — Opening Year Plus Project Conditions Multimodal Conflict Analysis — Fehr & Peers will conduct an evaluation of multimodal conflict points at the following four intersections to evaluate potential traffic safety conflicts between various transportation modes: — Grand Avenue & Washington Street — Grand Avenue & Kansas Street — Holly Avenue & Washington Street — Holly Avenue & Kansas Street The multimodal conflict analysis will consist of a description of conflict locations between vehicles and pedestrians and cyclists, as well as a description of pedestrian attractors (such as transit stops). This analysis will include a graphic identifying the conflict points. In addition, Fehr & Peers will estimate project trip generation for two additional project alternatives, which will be a reduced project size alternative and a by -right development alternative, using the same methodology as the Project. Cost: $11,684 Task 2: EIR Revisions Based on Project Changes Based on coordination with the City, we understand the direction is to move forward with the original 323-unit Project. However, direction was provided on September 26, 2025 to move forward with the 276-unit reduced project. After that meeting with the City and a subsequent meeting with the City and Applicant's main contact on October 8, 2025, ESA was provided direction to revise the existing Project Description and work on updating EIR sections to account for the revised unit count and other project changes. Since multiple EIR sections were already written (including the Project Description, Aesthetics, Population and Housing, Public Services, Recreation, and Utilities and Service Systems, among others), many of these sections were then revised per the reduced Project details. Now that the direction is to revert back to the 323-unit Project, we will need to ensure that all EIR sections and graphics match the most recent site plan that reflects the 323 units. As part of this effort, ESA will determine what additional data needs are required to support our technical studies. For example, there have been multiple responses and iterations of the Air Quality and Noise Construction and Operation Data Form (July 2024, April 2025, and July 2025). Efforts will be needed to update our data requests to reflect the revised Project characteristics. This amendment request assumes that updates to the EIR will be made based on the January 2025 set of plans and technical studies. Should additional plan sets or modified technical studies be reviewed, additional ESA budget may be required to complete the necessary updates to the EIR. Cost: $14,348 Agreement No. 6805A Professional Services Agreement No. 6805: Additional Scope/Costs for Callrans Requested Analysis, EIR Updates due to Project Description uncertainty, and Additional Project Management Task 3: Project Management, Meetings/Telecons Our original schedule assumed 10-11 months up until the Draft EIR public review period, and we are currently 19 months into the schedule and have not yet reached the Draft EIR public review portion of the schedule. Due to Project delays and the total duration of the Project taking longer than anticipated in our original proposal, approximately 80% of the existing budget for management and meetings has been expended. Therefore, additional management and meeting time is needed to complete the CEQA process. Moving forward, the precise number of meetings and the duration and staffing of meetings required to complete the environmental review process cannot be accurately predicted at this time. Accordingly, ESA has assigned a budget allowance for this task. For purpose of this amendment, ESA anticipates scheduling bi-weekly (one meeting every other week) meetings during the preparation/review stages of the Draft EIR and then again during the preparation of the Final EIR. We assume the bi-weekly meetings would be half an hour in length and up to 12 meetings are assumed. The budget herein would also be expected to allow 2 ESA Staff members to attend 2 public hearings during the CEQA/Project approval process. Cost: $20,000 Contingency Per Professional Services Agreement No. 6805, item 1. C., the contract originally included a 10% contingency of $33,483. After Modification 2 for the Archaeological, Paleontological, and Historic Analysis, the remaining contingency was $508. As noted in the table below, we have included a new contingency amount of $10,000. Amendment Cost The out -of -scope work identified above as well as a new contingency budget includes a total cost of $56,032. The breakdown is as follows: The original contract was $364,000 which included a 10% contingency. Amendments No. 01 and 02 were requests to use contingency funds for additional tasks but did not add any new funds to the contract. With Amendment No. 3, the new contract amount would be $419,526.00 (including the $10,000 new contingency budget). A summary of the contract costs to date are shown below.
