FIFTH AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT NO. 5482
BETWEEN THE CITY OF EL SEGUNDO AND
MGT IMPACT SOLUTIONS, LLC
THIS FIFTH AMENDMENT ("Amendment") is made and entered into this 12 1h day of November,
2025, by and between the CITY OF EL SEGUNDO, a general law city and municipal corporation
existing Under the laws of California ("CITY"'), and MGT IMPACT SOLUTIONS, LLC, a Flmida
limited liability company ("'CONSLJLTANT"). The parties agree as follows:
Pursuant to Section 35 of Agreement No. 5482 ("Agreement"), the term of the
Agreement described in Section 8 is extended to June 30, 2026. The parties agree that
this Amendment took effect retroactively on July 1, 2025.
2. MGT of America Consulting, LLC has notified the CITY of its change of name to MGT
Impact Solutions, LLC. Accordingly, effective August 19, 2024, and pursuant to Section
35 of the Agreement, any references to "CONSULTANT" in the Agreement, as
amended, shall reference MGT Impact Solutions, LLC.
3. This Amendment may be exCCLIted in any number of counterparts, each of which will be
an original, but all of which together constitutes one instrument executed on the same
date. In accordance with Government Code § 16.5, the parties agree that this Amendment
will be considered signed when the signature of a pasty is delivered by electronic
transmission. Such electronic signature will be treated in all respects as having the same
effect as an original signature.
Except as modified by this Amendment, all other terms and conditions of the Agreement
will remain the same.
