FIRST AMENDMENT TO
AGREEMENT NO. 6654 BETWEEN
THE CITY OF EL SEGUNDO AND
E.J. WARD, INC.
THIS FIRST AMENDMENT ("Amendment") to Agreement No. 6654 ("Agreement") is
made and entered into this 4t" day of September 2625, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and E.J. WARD, INC„ a Texas corporation ("CONSULTANT"). The
parties agree as follows:
1. Pursuant to Section 18 of the Agreement, Section 1.C. is modified to read in its
entirety as follows:
"As additional consideration, CITY agrees to pay CONTRACTOR on a lurnp sum
basis an amount set forth in the attached Exhibit "A," which is incorporated by
reference, for CONTRACTOR's services. In addition, CITY agrees to pay
CONTRACTOR an additional lump sum amount, as set forth in Attachment 1,
which is hereby incorporated by reference into this Agreement, for the additional
scope of work described therein. CITY will pay such amount promptly, but not later
than thirty (3+) days after receiving CONTRACTOR's invoice."
2. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission, Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONSULTANT
warrants that its signatory (or signatories, as applicable) to this Amendment has the
legal authority to enter this Amendment and bind CONSULTANT accordingly.
3. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.
