THIRD AMENDMENT TO
AGREEMENT NO. 6605 BETWEEN
THE CITY OF EL SEGUNDO AND
GOVINVEST, INC. dba TRUECOMP
THIS THIRD AMENDMENT ("Amendment") to Agreement No. 6605 ("Agreement") is
made 71h day of October 2025, by and between the CITY OF EL SEGUNDO, a general
law city and municipal corporation existing under the laws of California ("CITY"), and
GOVINVEST, INC., dba TRUECOMP, a Delaware corporation ("CONTRACTOR"). The
parties agree as follows:
1. Pursuant to Section 5 of the Agreement, and effective July 1, 2025, Section 8 is
modified to extend the term of the Agreement to June 30, 2028.
2. Subsection A of Section 2 is amended to include Exhibit "A" and Exhibit "B," which
are incorporated by reference.
3. Section 18 is amended to read as follows:
"As consideration, CITY agrees to pay CONTRACTOR for CONTRACTOR'S
services not to exceed a total of $15,750 per fiscal year for the work. CITY will pay
for work as specified in the attached Exhibit "A," which is incorporated by
reference."
4. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission. Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONSULTANT
warrants that its signatory (or signatories, as applicable) to this Amendment has the
legal authority to enter this Amendment and bind CONSULTANT accordingly.
5. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.

Scope of Services
Labor Costing Software Module Provision
Agreement No. 6605C
The Agreement is amended to continue providing the Labor Costing Software module. This
module offers an online software platform designed for calculating labor -related expenses
relevant to budgeting and union negotiations. Key features include:
• Unlimited licenses for the Labor Costing Module.
• Capability to model a variety of costs, such as cost -of -living adjustments (COLAs),
special pays, pension, healthcare, and taxes.
• Ability to configure and modify cost parameters instantly, with comparisons available
against established baselines.
• Filtering of proposal results by sub -groups to enable detailed demographic reporting.
• Execution of turn -key cost scenarios, with side -by -side comparison functionality.
• Tools to create and export reports for sharing with both internal and external
stakeholders, including personnel budgets and scenario cost impact analyses.
Compensation Benchmarking Module Discontinuation
Effective June 30, 2025, the provision of the Compensation Benchmarking Module will be
discontinued.
