FOURTH AMENDMENT TO
AGREEMENT NO. 6471 BETWEEN
THE CITY OF EL SEGUNDO AND
GOVERNMENTJOBS.COM, INC. DBA NEOGOV
THIS FOURTH AMENDMENT ("Amendment") to Agreement No. 6471 ("Agreement") is
made and entered into this 251h day of August 2025, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and GOVERNMENTJOBS.COM, INC. DBA NEOGOV, a California
corporation ("CONSULTANT"). CITY and CONSULTANT may be referred to collectively
herein as "the Parties".
Pursuant to Section 20 (Entire Agreement; Amendment) of the Agreement, the Parties
agree as follows:
Section 5 (Payment Terms) of the Agreement is modified to increase the total
compensation payable to CONSULTANT for a new total not to exceed amount of
$48,500.47 for the period October 1, 2025 through September 30, 2026.
2. Section 6, Subsection A (Term) of the Agreement is modified to extend the
Agreement's term, pursuant to Attachment 1 to this Amendment, such that the
Agreement will now expire September 30, 2026.
3. Exhibit A of the Agreement, as amended, is hereby replaced in its entirety with
Attachment 1 to this Amendment, which is incorporated herein by reference, and
subject to termination as set forth in Section 6, Subsection B (Termination for
Cause; Effect of Termination) of the Agreement.
4. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission. Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONSULTANT
warrants that its signatory (or signatories, as applicable) to this Amendment has
the legal authority to enter this Amendment and bind CONSULTANT accordingly.
5. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.

License Terms: Enterprise license denotes that Customer has purchased an enterprise wide license up to the employee count specified above.
User based license denotes that Customer has purchased the number of licenses set forth in the quantity column. Item count denotes the number
of items that Customer has licensed as set forth in the quantity column.
Payment Terms: All invoices issued hereunder are due upon the invoice due date. If the Order is for a period longer than one year, the fees for
the first period shown shall be Invoiced immediately and the fees for future years/periods shall be unvoiced annually in advance of each 12 month
period shown on the Order, but regardless of the billing cycle, Customer is responsible for the fees for the enfire Order. The fees set forth in this
Service Order are exclusive of all applicable taxes, levies„ or duties imposed by taxing authorities and Customer shall be responsible for payment of
any such applicable taxes, levies, or duties. All payment obligations are non -cancellable, and all fees paid are non-refundable. Payment for services
ordered hereunder shall be made to Governmentjobs.com, Inc., (D/B/A NEOGOV).
Terms & Conditions: This Order Form creates a legally binding contract on the parties. Unless otherwise agreed in a written agreement
between GovernmentJobs.com, Inc. (D/B/A/ NEOGOV), parent company of PowerDMS, Inc., Cuehit, Inc., Ragnasoft LLC (D/B/A/PlanIT Schedule),
and Design PD, LLC (D/B/A Agency360) (collectively, "NEOGOV") and Customer, this Order Form and the services to be furnished pursuant to
