FIRST AMENDMENT TO
AGREEMENT NO. 6942 BETWEEN
THE CITY OF EL SEGUNDO AND
DURA SOFTWARE, INC. DBA FENESTRAE, LLC
THIS FIRST AMENDMENT ("Amendment') to Agreement No. 6942 ("Agreement") is
made and entered into this 18th day of August 2025, by and between the CITY OF EL
SEGUNDO, a general law city and municipal corporation existing under the laws of
California ("CITY"), and Dura Software, Inc. dba Fenestrae, LLC, a Texas corporation
("CONTRACTOR"). CITY and CONTRACTOR may be referred to collectively herein as
"the Parties".
The Parties agree as follows:
1. Section 5 (Term) of the Agreement is modified to extend the term so that the
Agreement will now expire August 31, 2027.
2. Section 18 (Consideration) of the Agreement is modified to increase the total
compensation payable to CONTRACTOR by $3,520 for a new total amount not to
exceed $5,385.
3. Exhibit "A" of the Agreement is hereby replaced in its entirety with Attachment 1 to
this First Amendment and incorporated herein by reference.
4. This Amendment may be executed in any number or counterparts, each of which
will be an original, but all of which together constitutes one instrument executed on
the same date. In accordance with Government Code §16.5, the parties agree that
this Amendment will be considered signed when the signature of a party is
delivered by electronic transmission. Such electronic signature will be treated in all
respects as having the same effect as an original signature. CONSULTANT
warrants that its signatory (or signatories, as applicable) to this Amendment has
the legal authority to enter this Amendment and bind CONSULTANT accordingly.
5. Except as modified by this Amendment, all other terms and conditions of the
Agreement remain the same.
